Abstract

General Background: Land rights transfer due to inheritance requires legal certainty and proper registration to establish the legal status of land rights. Specific Background: The Inheritance Rights Distribution Deed (Akta Pembagian Hak Waris/APHW) is recognized as a document in inheritance-based land registration, but its position as a direct basis for land rights transfer remains subject to different interpretations. Knowledge Gap: Previous studies have discussed the validity and registration of APHW, while differences in its practical implementation between Land Offices remain an important issue. Aims: This study analyzes the legal position of APHW as an alternative mechanism for inheritance-based land rights transfer from the perspective of the publicity principle and examines its implementation at the Land Offices of Sidoarjo Regency and Pasuruan Regency. Results: Using normative legal research with a statutory approach, supported by interviews, the study finds that APHW may serve as a basis for inheritance-based land rights transfer when all heirs have agreed on the distribution and the change is registered. The Land Office of Sidoarjo Regency accepts APHW as a direct basis for transfer, whereas the Land Office of Pasuruan Regency requires inheritance registration followed by a Deed of Joint Rights Distribution (APHB). Novelty: The study connects the normative position of APHW with differences in legal interpretation and administrative implementation between two Land Offices. Implications: Clearer regulatory harmonization and technical guidelines are needed to establish legal certainty and uniformity in inheritance-based land registration. Kye Finding Highlights APHW Is Recognized As A Document For Inheritance-Based Land Registration. Sidoarjo And Pasuruan Apply Different Interpretations To APHW. Regulatory Harmonization Is Needed For Uniform Land Registration Practices. Abstract

General Background: Fish trading activities at the Sidoarjo Fish Auction Site (TPI Sidoarjo) commonly rely on oral agreements and mutual trust between borg and pengkulak. Specific Background: These transactions are frequently conducted without payment guarantees, particularly when trusted pengkulak receive payment terms that allow settlement after the fish has been sold. Knowledge Gap: Existing studies have discussed breach of contract, creditor protection, oral agreements, and fish trading practices, but limited attention has been given to the specific characteristics and legal risks of uncollateralized fish transactions at TPI Sidoarjo. Aims: This study examines breach of contract risks in fish trading without payment guarantees and analyzes the role of TPI supervisors in assisting dispute resolution. Results: Using an empirical socio-legal approach supported by statutory and conceptual approaches, the study draws on semi-structured interviews with 21 informants consisting of 10 borgs, 10 pengkulak, and 1 TPI supervisor. The findings show that oral agreements remain legally valid when the requirements of Article 1320 of the Indonesian Civil Code are fulfilled. The most common form of default is delayed payment, while total payment failure occurs less frequently. Delayed payment disrupts borgs' working capital, delays payments to fishermen, increases collection costs, and creates the possibility of accumulated or uncollectible receivables. TPI supervisors primarily facilitate deliberation without authority to impose legal sanctions. Novelty: The study connects empirical trading practices at TPI Sidoarjo with Indonesian contract law and the practical role of TPI supervision in dispute resolution. Implications: The findings highlight the need for more orderly transaction records, controlled payment terms, and continued good-faith fulfillment of contractual obligations. Key Findings Highlights Oral Transactions Remain Legally Valid Under Article 1320. Delayed Payment Is the Dominant Form of Default. TPI Supervisors Facilitate Deliberation Without Sanctioning Authority. Keywords : Breach Of Contract, Fish Trading, Payment Guarantees, Contract Law, TPI Sidoarjo

Abstract

General Background: The Merah Putih Cooperative is a village-based cooperative model established to strengthen rural economic development and community welfare in Indonesia. Specific Background: Its financing mechanism has raised legal concerns regarding the use of Village Funds to support loan repayments, particularly under Minister of Finance Regulation Number 49 of 2025 and subsequent regulatory changes. Knowledge Gap: Previous studies have focused on cooperative institutional development, legal establishment, and governance, while the legal status of Village Funds as support for cooperative financing and debt repayment remains insufficiently examined. Aims: This study examines the mechanism of Village Fund allocation for Merah Putih Cooperative financing and analyzes its legal position as loan security from the perspective of civil obligations law. Results: The normative legal analysis indicates that under the former regulatory framework, Village Funds functioned as administrative support for loan repayment and resembled a guarantee, but did not fully qualify as personal or material security under civil law. The mechanism was considered sui generis because Village Funds are public finances subject to statutory restrictions. Subsequent regulations changed the financing structure by placing PT Agrinas Pangan Nusantara (Persero) as the borrower for physical infrastructure development. Novelty: This study connects cooperative financing regulations, public finance restrictions, and civil law obligations to explain the changing legal position of Village Funds. Implications: The findings highlight the need for regulatory consistency, legal certainty, and compliance with public financial management principles in implementing cooperative financing policies. Key Findings Highlights Village Funds under the former framework resembled repayment guarantees but did not fully qualify as civil law security. Public financial restrictions limit the village government's authority to use Village Funds for cooperative debts. The 2026 regulatory framework shifted financing to PT Agrinas Pangan Nusantara for cooperative infrastructure development.
