Abstract

Badan Usaha Milik Desa (BUMDes) merupakan badan hukum yang didirikan oleh Desa. Pendirian oleh Desa sejalan dengan adanya Perseroan Perorangan dalam UU Cipta Kerja yang pendiriannya hanya dilakukan oleh satu orang saja, berkaitan dengan hal tersebut maka BUMDes dapat diklasifikasikan sebagai Perseroan Perorangan. Akan tetapi, banyak BUMDes yang belum melakukan pendaftaran sebagai Perseroan Peroranga, sehingga dipertanyakan status badan hukumnya. Penelitian ini bertujuan untuk mengetahui apakah BUMDes yang telah ditetapkan dengan Peraturan Desa sudah sah status badan hukumnya meskipun belum melakukan pendaftaran sebagai Perseroan Perorangan. Metode penelitian yang digunakan adalah penelitian hukum normatif. Hasil penelitian menunjukan bahwa BUMDes yang telah ditetapkan dengan Peraturan Desa telah sah sebagai badan hukum sehingga tidak perlu melaksanakan pendaftaran sebagai Perseroan Perorangan.

Abstract

Perjanjian titip jual yang dilakukan melalui sosial media dalam pelaksanaannya tidak selalu berjalan dengan mulus, dimana pihak penjual dapat melakukan wanpretasi terhadap pembeli. Tujuan dari penelitian ini adalah untuk mengkaji penerapan kepastian hukum dalam perjanjian titip jual melalui sosial media dengan dikaitkan dengan hukum perjanjian serta untuk mengetahui penyelesaian wanprestasi pada perjanjian titip jual di sosial media yang merugikan pembeli dikaitkan dengan asas kepastian hukum. Penelitian ini menggunakan metode yuridis normatif untuk menelaah kaidah hukum positif dengan spesifikasi penelitian deskriptif analitis mengenai peraturan perundang-undangan yang berlaku. Penelitian ini juga dilakukan dengan studi kepustakaan mengenai peraturan perundang-undangan terkait seperti KUH Perdata, buku-buku, dan literatur terkait lainnya serta melakukan studi lapangan dengan wawancara pihak makelar dan perjanjian titip jual dalam bentuk yang tersedia sebagai objek penelitian. Analisis terhadap studi kepustakaan tersebut dilakukan secara kualitatif untuk mengungkapkan kenyataan yang ada berdasarkan hasil penelitian berupa deskripsi atau penjelasan terkait penyelesaian masalah dalam penelitian ini. Hasil penelitian ini menunjukkan bahwa kepastian hukum dalam pelaksanaan perjanjian titip jual melalui sosial media ini belum dipenuhi dengan baik. Penyelesaian wanprestasi yang merugikan pembeli kemudian diselesaikan secara kekeluargaan yang menimbulkan wanprestasi kepada makelar, dimana makelar secara hukum memiliki hak menuntut penjual atas wanprestasi yang dilakukannya.

Abstract

One of the organs of a Limited Liability Company that often becomes a guarantor of a company’s debt is the Board of Directors. In practice, when a company can no longer carry out its obligations to pay debts, the guarantor is often bankrupted together with the debtor. Article 2 paragraph (1) jo. Article 8 paragraph (4) of the Bankruptcy and PKPU Law states that if the Debtor has two or more Creditors and has debts that are due and collectible, then the request for a bankruptcy statement must be granted if there are facts or circumstances that are proven simply. This research was conducted to examine the legal considerations of judges regarding the application of simple proof in Decision Number 20/Pdt.Sus-Bankruptcy/2022/PN.Niaga.Smg and what the implications are for the Directors of the company who act as a personal guarantee for their company’s debt. The results showed that the legal consideration of the majority of the Panel of Judges examining the case are not entirely in accordance with the Bankruptcy and PKPU Law, as the panel of judges only focused on fulfilling formal requirements without considering the principles of bankruptcy, which will have a broad impact on the parties involved. In addition, the juridical implications arising from the decision are that the Directors of the company as a personal guarantee remains personally responsible for the company’s debt, thus causing bankruptcy for him and the company.

Abstract

The increase in the buying and selling of residential properties has led to intense competition between developers, who are trying to sell quickly with the use of the pre-project selling system. However, this system has a high risk for consumers, as happened in the sealing of Jatiasih Central City housing unit with PT Hadez Graha Utama as a developer who built housing illegally and resulting on harm to 260 consumers. Therefore, legal protection is required for consumers who are harmed both internally and externally. Based on Law No. 8 of 1999 concerning Consumer Protection and Law No.1 of 2011 concerning Housing and Residential Areas, consumers can file a Class Action lawsuit to the court demanding PT Hadez Graha Utama to be responsible for default and unlawful acts (PMH).

Abstract

Micro Small Medium Enterprises (MSMEs) are the largest segment of national economic actors that can continue to grow. Still, in practice, MSMEs are difficult to develop because several obstacles are faced, especially in the digital world, which is difficult to get financing because of the unfulfilled collateral requirements. In its development, corporate financing also uses information technology media. This research aims to analyze juridical reviews of Corporate Finance Law in digital platforms, business financing practices on MSMEs Digital Market (PaDi) Marketplace in MSMEs development efforts, and invoice financing as collateral development in MSMEs company financing. The research methods used are normative juridical with analytical descriptive research specifications. The results of this study show: (1) corporate financing has been regulated in several laws and regulations and related to its development in digital platforms is implied to be regulated through Financial Services Authority Regulation Number 13/POJK.02/2018; (2) MSMEs Digital Market (PaDi) Marketplace acts as a facilitator of buying and selling as well as providing finance; and (3) the new securities theory of Performance Securities is realized through invoice financing as finance without collateral.

Abstract

This study aims to examine Indonesia’s Suspension of Debt Payment Obligations (PKPU) through the Islamic legal concept of taʿassur (financial distress), focusing on the operation of the current framework as a genuine distress-based restructuring mechanism or creditor-driven outcomes. Even though existing studies have analyzed PKPU from doctrinal and procedural perspectives, limited attention has been given to the evaluation through an integrated Islamic insolvency framework, particularly in relation to debtor capacity and proportionality. A normative juridical method is adopted with statutory, conceptual, and comparative approaches. Furthermore, legislation, selected commercial court decisions, and classical Islamic jurisprudence are analyzed using qualitative doctrinal reasoning. The results show that the absence of a substantive financial-distress test and limited judicial scrutiny permit creditor-initiated PKPU proceedings to contribute to inefficient liquidation, even though Article 222(1) sets out basic eligibility requirements. Insolvency mechanisms should incorporate proportionality, feasibility, and debtor-capacity assessment by applying taʿassur as a normative evaluative framework. This study contributes to insolvency law theory by operationalizing Islamic jurisprudential principles into modern restructuring standards and offers policy implications, including the need for distress-based entry criteria, enhanced judicial oversight, and proportionality-based evaluation of creditor decisions, to support a more balanced and sustainable regime in Indonesia.

Abstract

One form of security is mortgage rights, which may be executed through an auction when the debtor defaults. In practice, however, obstacles frequently arise when the debtor, as the party whose property is auctioned, continues to retain physical control over the auctioned object of mortgage execution, even though the proprietary right has been transferred to the auction winner. This study aims to analyze the legal remedies available to auction winners in resolving disputes concerning the vacating of auctioned objects under mortgage execution, as well as the application of the principle of justice in the mediation process for such disputes. This research employs a normative legal approach by examining secondary data as the primary legal material, supported by primary data obtained through interviews. The collected data are then analyzed using a qualitative juridical method. The most constructive legal remedy for auction winners in disputes over the vacating of objects subject to mortgage execution is to pursue mediation before the District Court. Although forced execution under Article 200 paragraph (11) of the HIR is legally possible, such a mechanism often imposes additional time and financial burdens on auction winners. The application of the principle of justice through mediation enables the voluntary and dignified transfer of physical control over the object, thereby producing substantive justice that balances the formal rights of auction winners with the factual circumstances of the auctioned party while preventing potential social conflict.

Abstract

Bank yang melanggar prinsip kehati-hatian dalam operasionalnya dapat menyebabkan kerugian bagi bank itu sendiri. Metode penelitian ini menggunakan pendekatan yuridis normatif dengan spesifikasi penelitian yang bersifat deskriptif analitis untuk memperoleh gambaran yang menyeluruh dan sistematis tentang permasalahan yang diteliti dihubungkan dengan ketentuan yang mengaturnya. Teknik pengumpulan data yang digunakan adalah melakukan penelitian kepustakaan untuk menelusuri data primer dan data sekunder serta wawancara dengan pihak yang relevan dengan topik penelitian untuk mendukung data sekunder sehingga terkumpul berupa bahan pustaka yang berkaitan dengan permasalahan yang diteliti dan akan dianalisis secara normatif kualitatif. Hasil penelitian memberikan kesimpulan bahwa akibat hukum bagi bank yang telah melakukan pengikatan jaminan kebendaan terhadap harta benda milik debitur yang berpotensi diletakkan sita oleh pengadilan adalah ketidakpastian hukum hak bank untuk mengeksekusi jaminan kebendaan berdasarkan melalui parate eksekusi. Kemudian, tanggung jawab bank atas tindakan pengikatan jaminan kebendaan terhadap harta benda debitur yang berpotensi diletakkan sita oleh pengadilan adalah tanggung jawab untuk memperoleh kembali pinjaman yang telah diberikan kepada debitur melalui mekanisme sita jaminan umum sebagaimana diatur dalam Pasal 1131 KUHPerdata.
