Abstract

The doctrine of piercing the corporate veil serves as a mechanism of justice and policy aimed at protecting third parties from the actions of a company. This legal concept is applied in common law jurisdictions, including the UK, and is exemplified by the case of VTB Capital PLC v. NutritekInternational Corp. This research aims to analyze the developmental stages of the doctrine of piercing the corporate veil, particularly in the UK and in the context of VTB Capital PLC v. Nutritek International Corp. The methodology employed in this study is normative juridical research. The results indicate that shareholder liability is generally limited to their capital contribution; however, the doctrine of piercing the corporate veil can be applied if a legitimate shareholder uses the company for illegal purposes, particularly in cases where there are indications of fraud. Additionally, the court possesses common law jurisdiction to lift the corporate veil, but this authority is typically exercised only under special circumstances. Justice ought to serve as a guiding principle, though it may sometimes appear obscured by the complexities involved in attempts to penetrate the corporate veil. Such attempts, whether initiated by the plaintiff or the defendant, reveal the challenges of balancing corporate protections with accountability. The application of the Piercing the Corporate Veil (PCV) doctrine can be evaluated from multiple perspectivesboth in terms of its legal basis or more into common way.

Abstract

Perkawinan tidak tercatat menjadi tantangan dalam sistem hukum keluarga di Indonesia terutama dalam memberikan perlindungan hukum bagi perempuan dan anak. Pertama, bagaimana perbandingan konsep harta bersama dalam konteks hukum perkawinan Islam dan BW di Indonesia. Kedua, bagaimana kedudukan hukum dan hak keperdataan sehubungan dengan harta bersama bagi perkawinan yang tidak dicatatkan menurut Hukum Islam dan BW. Ketiga, apa yang melatarbelakangi terjadinya perkawinan yang tidak dicatatkan serta apa yang perlu dilakukan untuk memperkuat hukum keluarga agar selaras dengan tujuan SDGs. Penelitian ini menggunakan pendekatan yuridis normatif melalui perundang-undangan dan pendekatan konseptual. Data diperoleh melalui studi kepustakaan mencakup peraturan, jurnal ilmiah, serta laporan lembaga pemerintah. Berdasarkan penelitian ditemukan bahwa: Pertama, dalam perceraian, baik hukum Islam maupun BW memberikan perlindungan hukum bagi pasangan suami istri atas harta bersama. Hukum Islam lebih fleksibel dalam pembagian harta berdasarkan asas keadilan, sedangkan BW menekankan pembagian sama rata otomatis. Kedua, politik hukum perkawinan di Indonesia berorientasi pada formalisme hukum sebagai dasar pengakuan dan perlindungan hak-hak keperdataan pasangan. Hal ini menunjukkan bahwa meski berbeda pendekatan normatif, hukum Islam dan BW sama-sama mengarah pada penguatan sistem legal formal sebagai instrumen perlindungan hak ekonomi. Ketiga, untuk mengatasi permasalahan ini diperlukan penguatan regulasi, peningkatan kesadaran hukum, serta optimalisasi peran lembaga negara dalam pencatatan perkawinan. Dengan demikian, penguatan hukum keluarga di Indonesia dapat lebih selaras dengan prinsip kesetaraan gender dan keadilan sosial sebagaimana diamanatkan dalam SDGs.

Abstract

Adanya perjanjian kerja di dalam sebuah klausul yang yang memuat tentang pengaturan tenaga kerja untuk menyetujui atau tidak posisi pekerjaan sebagai karyawan atau bagian perusahaan yang akan dianggap sebagai pesaing atau lawan yang bergerak di bidang usaha yang sama untuk jangka waktu setelah pekerja tersebut diberhentikan atau dilakukannya pemberhentian hubungan kerja. Klausul ini tercipta karena rasa takut dari perusahaan terhadap pekerja terdahulu akan membocorkan rahasia dari perusahaan mereka yang sifatnya sangat rahasia dan memiliki nilai ekonomis yang tinggi kepada perusahaan baru tempat mereka bekerja. Tetapi dalam kenyataannya klausul ini memberikan batasan kepada pekerja yang bertentangan dengan ketentuan kebebasan setiap pekerja yang diatur di dalam UU. Tujuan penelitian ini adalah untuk mengetahui bagaimana kaitan hukumnya permasalahan pemberlakuan klausul non kompetisi di dalam perjanjian kerja menurut hukum di Indonesia. Penelitian ini dilakukan dengan metode yuridis normatif yaitu menelaah bahan pustaka yang digunakan di bidang hukum melalui studi kepustakaan yang bersifat deskriptif analisis yang tujuannya untuk memahami bagaimana praktek yang ada dan dikaitkan dengan hukum yang diberlakukan di Indonesia. Hasil dari penelitian ini menunjukkan jika pemberlakuan klausul non-kompetisi sudah melanggar hak kebebasan seseorang untuk dapat memilih pekerjaan yang dilindungi dan dijamin hukumnya oleh negara yang tercantum di dalam UU HAM dan UU Ketenagakerjaan.

Abstract

he integration of artificial intelligence (AI) into various sectors, including banking, has grown increasingly prevalent. AI holds significant potential in the banking system, particularly in financial risk analysis. However, its utilization requires a robust legal framework to ensure ethical and accountable application. This study aims to analyze the direction of Indonesia's legal policy and develop a legal framework model that supports the ethical use of AI for financial risk analysis in the banking sector. The research employs a normative legal research method. Through this method, the study identifies several normative issues that may negatively impact the use of AI for financial risk analysis. These issues range from fundamental legal norms, such as accountability for AI utilization, to more technical concerns, including transparency, cybersecurity, and data privacy. The findings highlight gaps in the current regulatory framework, necessitating an urgent response to accommodate the complexities introduced by AI technologies in financial systems. This research proposes a legal framework development model to provide a normative construction for relevant regulations. The proposed model emphasizes the pivotal role of the Financial Services Authority (OJK) in implementing and monitoring regulations based on the framework. By addressing these regulatory challenges, the model seeks to facilitate the ethical and responsible deployment of AI in financial risk analysis while safeguarding stakeholder interests and ensuring compliance with prevailing legal principles. Pemanfaatan artificial intelligence (AI) dewasa ini semakin terintegrasi ke dalam berbagai sektor, seperti salah satunya sektor perbankan. AI memiliki potensi yang signifikan dalam sistem perbankan, khususnya untuk digunakan dalam analisis risiko finansial. Namun pemanfaatan ini perlu diakomodasi dengan kerangka hukum yang memadai, untuk memastikan pemanfaatan sistem AI yang etis dan bertanggung jawab. Tujuan penelitian ini adalah untuk menganalisis arah politik hukum Indonesia serta mengembangkan model pengembangan hukum yang dapat diterapkan untuk mendukung pemanfaatan AI yang etis untuk tujuan analisis risiko finansial dalam sistem perbankan. Metode penelitian yang digunakan adalah metode penelitian hukum normatif. Dengan menggunakan metode penelitian hukum normatif, hasil penelitian ini menemukan beberapa permasalahan normatif yang dapat berdampak negatif terhadap pemanfaatan AI untuk analisis risiko finansial, mulai dari norma hukum yang mendasar seperti pertanggungjawaban mengenai pemanfaatan AI, hingga yang bersifat lebih teknis seperti transparansi, keamanan siber, dan privasi data. Penelitian ini mengusulkan model pengembangan hukum yang dapat dimanfaatkan untuk memberikan gambaran konstruksi normatif bagi beberapa peraturan perundang-undangan relevan, dengan mendukung OJK sebagai bagian sentral dari penerapan dan pengawalan regulasi berdasarkan model tersebut.

Abstract

This research aims to examine and understand the legal implications of deceptive advertising practices within the framework of consumer protection, using a case study of court rulings. Deceptive advertising refers to false or misleading information in advertisements, intended to gain profit through actions that violate legal and ethical standards. This research employs a qualitative normative method, incorporating a statutory approach and case studies. Data collection relies on secondary sources obtained through literature reviews, including primary, secondary, and tertiary legal materials. The collected data is analyzed using qualitative methods based on the literature review. The findings reveal that regulations concerning consumer protection against deceptive advertising in Indonesia are clearly stipulated in Law Number 8 of 1999 on Consumer Protection (UUPK). The legal implications of deceptive advertising, as evidenced by court rulings, provide a degree of protection for consumers. However, the lack of tangible benefits, such as compensation for consumers based on court decisions, indicates that the position of consumers remains weak in cases involving deceptive advertising.

Abstract

Legal disruption has been reported to significantly change judicial practice. Therefore, this study aims to explore 2 problem topics, namely 1) how the era of legal and technological disruption affects the profession of judges in carrying out their duties as case deciders, and 2) how is the adaptability of judges in Indonesia in facing the era of legal disruption to ensure their role and function remain relevant. The study procedures were carried out using the normative-empirical legal method, where secondary data were obtained using literature studies. Subsequently, data were enriched with empirical data obtained through field studies. The results showed Artificial Intelligence (AI) and Big Data could be integrated into the judicial system as a transformative solution due to the limited number of judges in Indonesia. The integration was expected to improve the efficiency, consistency, and unity of law enforcement. The profession of judges was required to carry out a transformation that was not only technical but also philosophical. In addition, the Supreme Court Technical Education and Training Center was expected to create an ecosystem where technology could be used as an instrument to improve the quality of Indonesian judges decisions. This could be achieved through hybrid curriculum strategies, inclusive infrastructure, and adaptive regulations.

Abstract

This study discusses legal issues surrounding the management of secondhand clothing trade (thrifting) in the context of preventing smuggling through a comparative study between Indonesia and Thailand. The main issues examined are the differences in regulatory approaches between the two countries and their implications for the effectiveness of law enforcement and consumer protection. The research method used is normative juridical with a legislative approach and a comparative law approach, analyzing national regulations and international legal instruments, including the Basel Convention (1989). The results show that Indonesia implements a restrictive policy on the import of used clothing, but faces obstacles in terms of supervision and the legal culture of society, so that smuggling practices still continue. In contrast, Thailand implements a more adaptive licensing and hygiene supervision mechanism, thereby creating harmony between the legal structure, legal substance, and legal culture. Normatively, this study concludes that the management of the used clothing trade requires a balance between legal certainty and effective supervision, as well as a regulatory approach that is in line with the principles of sustainability and the circular economy.

Abstract

The implementation of the right to be forgotten in digital banking transactions in Indonesia faces complex legal challenges. Legal disharmony among regulations on personal data protection, electronic information and transactions, and banking law creates uncertainty in applying this right. This study aims to evaluate the legal framework of the right to be forgotten in Indonesia and compare it with the European Union's General Data Protection Regulation (GDPR) to identify an ideal normative solution. The research employs a normative legal method with statutory and comparative approaches. The findings indicate that the GDPR provides a more flexible data deletion mechanism, including the existence of an independent supervisory authority and simpler procedures for individuals to request data erasure. To enhance legal certainty in regulating the right to be forgotten in Indonesia, legal reform is necessary. This includes harmonizing existing regulations, formulating technical guidelines for Electronic System Providers (ESPs), and establishing an independent Personal Data Protection Authority similar to the European Data Protection Board (EDPB).

Abstract

In the context of interfaith marriage, this study aims to investigate the differences in inheritance law regulations between Indonesian civil law and Islamic law. This study uses a normative juridical approach that combines conceptual, legislative, and comparative methodologies. The Civil Code, the Compilation of Islamic Law (KHI), and Supreme Court decisions are examples of primary legal materials; secondary legal elements are derived from literature and legal journals that are evaluated qualitatively. The findings show that, as long as it does not conflict with Article 838 of the Civil Code and allows for the use of wills, civil inheritance law does not view religious differences as an obstacle to inheritance. Islamic inheritance law, on the other hand, prohibits inheritance between people of different religions as stated in the KHI and hadith, but provides for a mandatory will as a substitute, with a maximum of one-third of the inheritance. To achieve legal certainty in Indonesia, this study finds that the wajibah will serves as a legal bridge to connect the principles of justice in Islamic law with the freedom to determine wills in civil law.

Abstract

The type of research by the author in this study is normative legal research to involves and examining applicable laws and regulations as well as other relevant legal literature, commonly referred to as secondary data, in order to address specific legal issues in accordance with the research object. The liability of a limited liability company's organs is generally limited to the shares held in the company. However, in a Sole Proprietorship Limited Liability Company, management is carried out by the same person, both as Directors and as Meeting Decision-makers under the Job Creation Law. Therefore, in practice, there are many potential conflicts of interest that cause individuals who act as both founders and managers of a Limited Liability Company to be liable for their personal assets, provided that their errors and negligence can be legally proven in the Court where the Limited Liability Company is legally registered.
