Abstract

This study examines the legal protection of consumers in online business transactions in Indonesia, an issue that has become increasingly critical in the digital era. Advances in information technology have transformed traditional commerce into e-commerce, offering convenience while also introducing various risks, such as fraud, product non-conformity, and breaches of consumer data privacy. Employing a normative juridical method with a statutory approach, this research analyzes the implementation of Law No. 8 of 1999 on Consumer Protection and the Electronic Information and Transactions Law (ITE Law) in resolving e-commerce disputes. The findings reveal that despite the existence of legal regulations, significant challenges persist in the implementation of consumer protection, primarily due to low consumer awareness of their rights and weak law enforcement. The novelty of this study, compared to previous research, lies in its empirical approach to identifying the legal challenges consumers face in online transactions. In addition to examining existing regulations, this study investigates real cases of e-commerce fraud in Indonesia that have led to financial losses for consumers. The study underscores the importance of consumer education, stricter supervision of online business operators, and the development of more effective dispute resolution mechanisms. By highlighting the necessity of synergy between the government, business operators, and society, this research contributes to the formulation of more adaptive policies to strengthen consumer protection in the digital economy.

Abstract

Toll roads are constructed to connect distant locations, aiming to reduce travel time and facilitate mobility and transportation. However, the extended travel distances often result in driver fatigue and drowsiness, increasing the risk of traffic accidents. Law enforcement in cases of traffic accidents resulting in fatalities is an effort to uphold legal norms as guidelines for behavior in traffic and to maintain legal order in society. This study examines two main issues: (1) how law enforcement is carried out against negligent drivers responsible for fatalities and (2) the legal considerations of judges in adjudicating cases of fatal traffic negligence. This study employs a normative juridical method with a statutory approach and qualitative normative analysis using inductive reasoning. Law enforcement against drivers causing fatal accidents involves investigations to collect evidence clarifying the crime and identifying suspects. In this case, the suspect was charged with violating Article 310 paragraph (4) and Article 312 of the Traffic and Road Transportation Law (LLAJ Law), carrying a maximum penalty of six years’ imprisonment and/or a fine of IDR 12,000,000, along with an additional penalty of up to three years’ imprisonment for further violations. The findings reveal that the suspect was legally and convincingly proven guilty of negligence in driving, which resulted in an accident causing four fatalities. In their legal considerations, the judges emphasized the ultimum remedium principle as the basis for sentencing, while also taking into account aggravating and mitigating factors in issuing a verdict of three years and two months’ imprisonment. These findings highlight the challenges in enforcing traffic laws in Indonesia, including the low level of legal awareness among drivers and the lack of an effective preventive system to reduce accidents caused by negligence.

Abstract

This study aims to analyze the challenges faced in the implementation of collateral seizure on land mortgages in Indonesia, particularly in the context of legal uncertainty and complicated execution procedures. Using a descriptive method and a juridical-normative approach, this study finds that the main issue in the execution of land collateral is the uncertainty regarding the ownership status of the land, often caused by unresolved land disputes or unregistered ownership. Additionally, the land execution process, which involves lengthy court procedures and the existence of land mafia, further worsens the efficiency of execution. Based on these findings, the study suggests several reforms, including improvements to the land registration system, more efficient judicial procedures, and enhanced legal protection for all parties involved. These reforms are expected to accelerate and simplify the process of executing land collateral as a legitimate and accountable form of credit guarantee.

Abstract

Penelitian ini menginvestigasi pencemaran Sungai Ciliwung, khususnya di sekitar Mall Seasons City di Jakarta, yang disebabkan oleh limbah domestik, limbah industri, dan sampah plastik. Penelitian ini menggunakan pendekatan yuridis normatif dengan menganalisis data sekunder dari dokumen hukum, studi sebelumnya, dan observasi lapangan. Hasil penelitian menunjukkan bahwa penyebab utama pencemaran adalah pembuangan limbah domestik yang tidak terkelola dengan baik dan limbah industri yang dibuang langsung ke sungai tanpa pengolahan yang memadai. Kadar BOD, COD, dan TSS yang tinggi menunjukkan bahwa kualitas air Sungai Ciliwung melampaui ambang batas yang diatur dalam Undang-Undang No. 32 Tahun 2009 dan Peraturan Pemerintah No. 82 Tahun 2001. Penelitian ini juga menunjukkan rendahnya kesadaran masyarakat tentang pengelolaan limbah dan kurangnya infrastruktur pengelolaan limbah yang efektif. Penelitian ini membahas dampak lingkungan, kesehatan, dan ekonomi dari pencemaran sungai, termasuk peningkatan penyakit seperti diare, infeksi kulit, dan penurunan keanekaragaman hayati. Temuan ini menekankan perlunya partisipasi masyarakat dalam program pengelolaan limbah serta penegakan hukum yang lebih kuat. Hasil penelitian menunjukkan bahwa kolaborasi antara pemerintah, sektor swasta, dan masyarakat sangat diperlukan untuk mengurangi pencemaran dan memulihkan kualitas lingkungan.

Abstract

This study examines defaults in credit agreements secured by land collateral at PT BPR Gajah Mungkur, with particular emphasis on legal protection mechanisms available to creditors when debtors fail to meet their obligations. Although credit agreements are supported by a strong legal framework, incomplete registration of mortgage rights can undermine the creditor’s legal standing. The objective of this research is to address gaps in existing studies concerning creditor protection in mortgage enforcement and to analyze the implications of the Supreme Court Decision No. 469 K/Pdt/2024 on the practice of credit agreements in Indonesia. A normative juridical approach was employed, utilizing data sources such as court decisions, statutory regulations, and pertinent legal literature on credit agreements. The findings indicate that incomplete or delayed registration of mortgage rights significantly impedes creditors’ ability to execute collateral. The case study of PT BPR Gajah Mungkur demonstrates that, despite the formal validity of credit agreements, failure to register as a preferred creditor adversely affects the creditor’s right to debt repayment. This research contributes to legal theory by reinforcing the critical role of mortgage registration in enhancing creditor protection. Practically, it offers valuable insights for legal practitioners, emphasizing the necessity of properly completing the mortgage registration process to safeguard creditor interests in cases of debtor default.

Abstract

Badan Usaha Milik Negara (BUMN) memegang peran strategis dalam perekonomian Indonesia, baik dalam sektor pelayanan publik maupun komersial. Namun, tidak sedikit BUMN yang mengalami tekanan keuangan signifikan sehingga memerlukan mekanisme restrukturisasi, seperti Penundaan Kewajiban Pembayaran Utang (PKPU) dan homologasi. Salah satu strategi penyelamatan yang diinisiasi pemerintah adalah mekanisme titip kelola, yakni pengalihan sementara pengelolaan BUMN bermasalah kepada BUMN lain yang memiliki kinerja lebih baik. Strategi ini bertujuan untuk meningkatkan efisiensi operasional, tata kelola, serta daya saing BUMN yang mengalami kesulitan. Studi ini menganalisis aspek hukum mekanisme titip kelola, kinerja BUMN yang terlibat dalam proses tersebut, serta potensi diversifikasi produk dan layanan sebagai upaya perluasan segmen pasar. Hasil kajian menunjukkan bahwa mekanisme titip kelola berpotensi mendukung stabilisasi keuangan dan operasional, meskipun keberhasilannya sangat ditentukan oleh transparansi implementasi dan strategi pengelolaan yang tepat. Selain itu, diversifikasi produk dan layanan menjadi elemen krusial dalam memperkuat daya saing serta keberlanjutan bisnis BUMN pasca-restrukturisasi. Oleh karena itu, diperlukan kajian lanjutan mengenai indikator keberhasilan dan kebijakan pendukung guna mengoptimalkan kontribusi titip kelola terhadap pemulihan dan pertumbuhan BUMN.

Abstract

Civil liability of directors involves managing and representing limited liability companies under the doctrine of the business judgment rule, which originated in the United States within the common law system and is examined in civil cases. In contrast, Indonesia, following the civil law system, holds directors of State-Owned Enterprises (SOEs) accountable for company mismanagement that leads to state losses, typically addressed in criminal cases, such as corruption. However, this responsibility is also linked to the business judgment rule. Directors make business decisions aligned with the company’s goals and objectives (intra vires), but such decisions can also result in breaches of fiduciary duties, leading to company losses. The business judgment rule, as practiced in the United States, is reflected in Law No. 40/2007 and influenced by the Dutch Civil Code. Directors’ actions that result in losses are generally not subject to liability, as long as these actions are executed in accordance with their fiduciary duties and the principles of the business judgment rule.

Abstract

Economic development across countries plays a crucial role in shaping an economic system that adapts to changing times. However, economic activities are inherently linked to various transactions, which may result in companies facing challenges, losses, or even bankruptcy. In Indonesia, bankruptcy regulations are governed by Law No. 37 of 2004 on Bankruptcy and Suspension of Debt Payment Obligations. Indonesia adheres to a territorial principle in handling cross-border insolvency cases, which affects the authority of the trustee and the rights of creditors. This study aims to analyze the legal framework and implications of applying the territorial principle in cross-border insolvency. The findings suggest that the application of the territorial principle exacerbates difficulties and complexities for the trustee in managing the debtor’s bankrupt assets. Furthermore, creditors experience more significant losses. Thus, the territorial principle in cross-border insolvency tends to complicate the trustee’s responsibilities and place creditors at a disadvantage.

Abstract

This study aims to analyze the implementation of the Corporate Rescue Concept within Law Number 37 of 2004 concerning Bankruptcy and Suspension of Debt Payment Obligations (Bankruptcy Law) and to identify its weaknesses, as well as the urgency for legal reform to optimize the business rescue function. The research adopts a normative juridical approach, utilizing doctrinal analysis, comparative law, and a literature review of the Bankruptcy Law’s provisions and its practical implementation. The findings indicate that while the Bankruptcy Law incorporates the Corporate Rescue Concept through the PKPU mechanism and the peace plan, its provisions remain limited and predominantly focus on liquidation. Three critical issues were identified: (1) the lack of detailed provisions on debt restructuring mechanisms, (2) the absence of standards for business feasibility assessments, and (3) insufficient oversight in the implementation of rescue plans. The study concludes by recommending amendments to the Bankruptcy Law to better emphasize the principle of business rescue, including: (1) the regulation of comprehensive restructuring schemes, (2) the establishment of an independent supervisory body, and (3) the provision of incentives for creditors. These reforms are crucial to strike a balance between creditor protection and the continuity of debtor businesses.

Abstract

This study examines the validity of the Build, Operate, and Transfer (BOT) Agreement between the Indonesian Marine Corps and PT Karya Tumbuh Bersama Indo regarding the construction and management of Plaza Cilandak, as well as the impact of the implementation of the Minister of Finance Regulation No. 54/PMK.06/2015 concerning the management of State-Owned Assets (BMN) on the existing agreement. Using a normative legal approach, this research analyzes the agreement’s compliance with the essential elements of validity as regulated in the Civil Code and the implications of the new regulations on the already signed contract. The findings indicate that the BOT agreement is legally valid, but the implementation of the new regulation requires renegotiation between the private sector and the government. This study also highlights the importance of applying the Pacta Sunt Servanda principle to maintain legal certainty in the BOT agreement, and the necessity of dialogue between the private sector and the government to avoid disputes and ensure the project’s sustainability.
