Abstract

The position of the state-owned Persero has sparked debate, namely as a public body and a private entity. Consequently, the duties and functions of the Persero SOEs, as drivers of the national economy, are not proportionate to the legal risks faced by the board of directors. The accountability of directors is not only subject to private law but also to public law. This research uses a legal normative method, focusing on legal principles and the level of legal synchronisation. This study found that the Company’s SOEs as private legal entities should be managed through private legal mechanisms. Still, the conflict of norms between the concept of state losses and business risks raises fundamental problems. State capital paid to SOEs has become the wealth of SOEs. However, existing regulations still treat it as state wealth, resulting in the legal status of SOEs becoming blurred and in the loss of their independence and personhood. This research contributes to encouraging legal reform of Indonesian SOEs to clarify the position of SOEs as private entities, directors' accountability, and the management of corruption risks by strengthening transparency and applying the doctrine of fiduciary duty and the business judgment rule as benchmarks for management accountability.

Abstract

The digital economy has positioned Big Data as a primary strategic asset that creates new market entry barriers in the form of "data fortresses." The assessment of company acquisitions in this sector demands a paradigm shift from physical asset parameters to data control parameters. This study aims to analyze and compare the approaches employed by the Business Competition Supervisory Commission (Komisi Pengawas Persaingan Usaha/KPPU) of the Republic of Indonesia and the German Federal Cartel Office (Bundeskartellamt) in evaluating data access. The research employs a normative juridical method with a comparative law approach. The findings reveal that the KPPU continues to rely on traditional quantitative parameters, such as sales-based market share indicators (HHI), which have demonstrably exhibited gaps in detecting data-driven market power, as evidenced in the case of TikTok's acquisition of Tokopedia. In contrast, the Bundeskartellamt has adopted explicit qualitative criteria through Section 18(3a) of the Gesetz gegen Wettbewerbsbeschränkungen (GWB) to assess data access and network effects, as illustrated in the Parship-ElitePartner case. It is concluded that the KPPU must reform its assessment guidelines by incorporating data access as a primary qualitative factor to ensure fair competition in the digital market.

Abstract

Negara Indonesia adalah negara hukum, di mana yang menjadi Landasan ini ada pada pasal 1 ayat 3 UUD 1945, jadi tidak heran jika hukum merupakan aspek yang sangat penting di dalam bangsa ini salah satunya terkait kecelakaan kerja. Salah satu kecelakaan kerja yang terjadi hingga menyebabkan kematian tenaga kerjanya. Insiden tragis ini terjadi pada saat proses bongkar muat semen, di Pelabuhan I Selatpanjang dibawah naungan PT. Indomakmur Expressindo. Tujuan dari penelitian ini adalah untuk menganalisis pelaksanaan tanggung jawab perdata perusahaan terhadap pekerja yang mengalami kecelakaan pada saat bekerja, ,serta upaya penyelesaiannya terhadap keluarga korban. Dalam penulisan skripsi ini metode penelitian hukum yang digunakan adalah metode pendekatan sosiologis, yaitu suatu pendekatan masalah dengan mengkaji peraturan yang berlaku dibandingkan dengan pelaksanaan ketentuan yang ada pada lapangan. Dalam proses tanggung jawab perdata yang dilakukan, pihak PT. Indomakmur Expressindo menerapkan pencegahan, penanganan serta pertanggungjawaban terhadap keselmatan kesehatan kerja (K3) serta Jaminan Kecelakaan Kerja dari BP Jamsostek.. Penyelesaian perkara yang dilakukan berdasarkan peraturan perundang-undangan yang berlaku.

Abstract

This research was performed to develop a model of legal protection for tenure rights and Indigenous peoples' access to forests based on local and ecological wisdom in Riau Province. Socio-legal research methods are employed to examine the relationship between law and government policy, with a focus on local and ecological issues. This approach facilitates a more fundamental understanding of the law's substance. Using the normative analysis with interdisciplinary dialogue, in a protection model for public interests over the long term is proposed. The research suggests that cooperation between the public and local or regional governments can be pursued to implement a legal protection model for tenure rights, ensuring that the traditional rights of customary law communities are recognized and upheld within judicial processes. The protection of traditional and constitutional rights of customary law communities has not yet implemented in concrete actions. As a result, the private property rights and access to land in Riau Province are currently protected by the local and ecological considerations..
