Abstract

The embodiment of legal protection for debtors whose companies still have the prospect of continuing but the debtor's financial condition in a state of inability to pay must be declared bankrupt due to the absence of an insolvency test which is considered contrary to the application of the going concern principle, which is related to the existence of expectations regarding the concept of the Indonesian Bankruptcy Law. in the future, especially regarding the shift in the purpose of the Bankruptcy Law, where initially the Bankruptcy Law aimed to liquidate debtor's assets, so it is hoped that in the future the Bankruptcy Law will in its development change as a means of reorganizing debtors in continuing their business activities, where this goal is not embodied in Law Number 37 of 2004 concerning Bankruptcy and PKPU.

Abstract

Dalam menjalankan usahanya para pelaku usaha sering mengadakan perjanjian utang piutang.Perjanjian utang piutang merupakan suatu hal yang umum dilakukan antara kreditor dan debitor.Namun tidak jarang menimbulkan sengketa antara debitor yang lalai dan tidak sanggup membayar atas utang-utangnya kepada kreditor.Salah satu upaya untuk mengatasi utang yang tidak terbayarkan adalah melalui Kepailitan dan Penundaan Kewajiban PembayaranUtang (PKPU) yang dimohonkan oleh debitor atau kreditor. Kepailitan adalah sita umum atas semua kekayaan debitor pailit yangpengurusan dan pemberesannya dilakukan oleh Kurator di bawah pengawasan Hakim Pengawas.Sedangkan PKPU adalah penyelesaian utang piutang dengan tujuan untuk mengadakan rencana perdamaian yang meliputi tawaran pembayaran sebagian atau seluruh utang kepada kreditor. Kapailitan dan PKPU dalam penerapannya telah diatur dalam Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang, Herziene Indonesisch Reglement (HIR), Reglement of de Rechtsvordering (Rv), Rechtsreglement Buitengewesten(RBg), dan diatur lebih lanjut dalam Rancangan Undang-Undang Hukum Acara Perdata. Didalam pengaturan hukum acara kepailitan dan PKPU yang terdapat dalam berbagai peraturan dan Rancangan Undang-Undang Hukum Acara Perdata, masih terdapat kekurangan yang perlu dianalisis untuk memberikan dasar hukum terhadap pengaturan hukum acara kepailitan dan PKPU. Mengingat akan diundangkannya Rancangan Undang-Undang Hukum Acara Perdata maka dalam penelitian ini akan menganalisis beberapa poin penting yang dapat digunakan sebagai bahan masukan dalam Rancangan Undang-Undang Hukum Acara Perdata.

Abstract

Tujuan penelitian ini adalah untuk mengetahui proses penyelesaian sengketa melalui lembaga arbitrase bagi pelaku usaha. Penyelesaian sengketa melalui lembaga arbitrase banyak diminati oleh para pelaku bisnis, sebab penyelesaian sengketa melalui lembaga arbitrase memiliki kelebihan dibanding lembaga pengadilan yang bersifat formal. Kelebihan lembaga arbitrase diantaranya yaitu proses cepat dan sederhana, biaya murah, kerahasiaan sengketa terjaga, putusan bersifat merangkul dan menguntungkan para pihak (win-win solution), serta menjaga hubungan usaha para pihak, sehingga dijadikan pilihan oleh pelaku usaha.

Abstract

Di Indonesia, lima tahun terakhir ini sangat pesat perkembangan teknologi sampai sampai merambah ke bidang transportasi yang dinamakan transportasi online. Keberadaan transportasi online dihipotesiskan oleh sebagian besar masyarakat sebagai hal yang positif dari revolusi Industri 4.0 dalam bidang transportasi di Indonesia. Tidak sedikit masyarakat juga memandang negatif transportasi online ini, karena keberadaan transportasi online ini dianggap menggusur keberadaan transportasi konvensional dan berdampak penghasilan dari transportasi konvensional ini semakin menurun. Perlu adanya perlindungan hukum terhadap pelaku usaha transportasi online maupun transportasi konvensional harus diberikan oleh pemerintah. Penelitian ini merupakan penelitian normatif yang mengkaji peraturan terkait transportasi dan perlindungan hukum terhadap pelaku usaha transportasi online. Maka perlu adanya peran dari pemerintah untuk memberi payung hukum tentang transportasi online ini.

Abstract

Bankruptcy of a finance company is a condition in which the company is unable to fulfill its obligations to creditors, resulting in a bankruptcy legal process. In the bankruptcy process, creditors have rights that must be considered, including the right to submit bills, attend creditors' meetings, and obtain payments from the liquidation of the bankrupt company's assets. However, problems often arise regarding payment priorities, objections to asset management, and other legal actions that can affect the position of creditors. Therefore, creditors need to understand the legal remedies that can be taken, such as filing objections to bankruptcy decisions, homologation requests, and other legal steps to protect their interests. This article comprehensively discusses the rights and remedies available to creditors in the face of finance company insolvency proceedings, highlighting relevant legal aspects as well as prevailing practices in Indonesia

Abstract

Several well-known companies have recently been the subject of discussion due to their bankruptcy filings. One of the most frequently filed disputes is a request for a suspension of debt payment obligations (PKPU) and bankruptcy. At least several companies have disputes being processed at the Commercial Court at the Central Jakarta District Court (PN). One such case occurred with the Meikarta developer, PT Mahkota Sentosa Utama (MSU), which was sued by PT Graha Megah Tritunggal for a suspension of debt payment obligations (PKPU) or bankruptcy on October 6, 2020, under case number 328/Pdt.Sus-PKPU/2020/PNNiagaJkt.Pst. Based on the cases above, bankruptcy can occur due to a bankruptcy lawsuit. This condition reflects a high level of financial distress for the company. This can occur due to the inability of company management to carry out its management functions, thus threatening business continuity. In other words, corporate governance is not running as it should. The type of research used in this paper is normative legal research. An important step in legal risk management, legal audits have a strategic role in mitigating potential bankruptcy applications or PKPU against companies by helping to detect the risk of corporate bankruptcy early. Legal audit results are often considered an important tool to support a company's defense in legal proceedings, including in bankruptcy applications or PKPU. Investigative legal audit results can be used as evidence of expert testimony in criminal trials. The Board of Commissioners and the Audit Committee as internal monitoring mechanisms have a role to detect potential bankruptcy early. Therefore, an external monitoring role is needed, carried out by an independent auditor, in this case a public accounting firm (KAP). Because auditing can provide value and benefits to a company's decision makers regarding the quality of the company's financial report information, the role of audits can detect the possibility of a company's bankruptcy.

Abstract

This study discusses the strategic role of notaries in the bankruptcy and Suspension of Debt Payment Obligations (PKPU) process in Indonesia. In practice, notaries not only function as public officials who make and validate authentic deeds, but also play an important role in guaranteeing the validity and evidentiary power of legal documents used in filing bankruptcy and PKPU applications at the Commercial Court. Notaries play a role in the preparation and legalization of various important documents such as debt agreements, financial balance sheets, special powers of attorney, to deeds of transfer of assets and binding of material collateral. In addition, in the curator selection process, notaries have an important function in legalizing administrative documents to ensure the authenticity and integrity of prospective curators. This study uses a normative juridical method with a descriptive-analytical approach, based on positive legal provisions such as Law Number 37 of 2004 concerning Bankruptcy and PKPU and Law Number 2 of 2014 concerning the Position of Notary. The research results show that the existence of an authentic notarial deed provides legal certainty, protection, and legitimacy at every stage of bankruptcy and the PKPU (Deferred Payment for Debt) process, as well as strengthening the integrity of the legal process and protecting the rights of debtors and creditors. Abstract

Children, as a trust and a gift from God Almighty, possess inherent rights, dignity, and worth as complete human beings. Within the context of national law, the state is obligated to provide protection for children’s rights as stipulated in Law Number 35 of 2014 on Child Protection, which amends Law Number 23 of 2002. Such protection includes the right to life, growth and development, education, protection from violence, and the right to social welfare. Children living in orphanages constitute a vulnerable group requiring special attention, both in terms of the fulfillment of basic needs and legal protection. This community service activity was conducted at Pelangi Orphanage in Palembang with the aim of enhancing the understanding of orphanage administrators and foster children regarding the legal protection of children’s rights, as well as encouraging the creation of a child-friendly and legally oriented orphanage environment. The method employed was a participatory-educational approach through interactive legal counseling, discussions and question-and-answer sessions, as well as simple case studies tailored to the conditions of the children and the orphanage management. The results indicate an improvement in participants’ legal understanding of children’s rights and the obligations of orphanage administrators, increased awareness among foster children regarding their right to protection from violence and discrimination, and the establishment of a commitment by the administrators to create a safe, comfortable, and child-friendly environment in accordance with the principles of child protection. This activity has a positive impact in the form of increased legal awareness and capacity within the orphanage environment, which is expected to be sustainable in supporting children’s welfare and protection.

Abstract

The process settling of the different perceptions that lead to dispute is very disruptive to the construction activities. Thus the election of dispute resolution must be observed specifically to obtain maximum results. Dispute council and arbitration council are the choice where disagreement that lead dispute must be resolved. Settlement prioritizes values that uphold good relationships, legal certainty and certainty of project sustainability. The assessment between the owner and the contractor is different, besides they prioritize the legal certainty of a dispute, evidently they have their own respective interests, the owner priority is the sustainability of the project to be achieved amid a dispute, in order to keep the business opportunity in the next project. This can be well accommodated by the dispute council by referring to the Fidic Conditions of Contracts. With a sample of 100 respondents in which 47% of Owners and Consultants, 53% of Contractors, they tend to prefer the Dispute Council as a way to resolve construction disputes. The result is 53.7% of the owner and the contractor chooses the dispute councils by prioritizing legal certainty, the sustainability of the project and good relations, while the remaining 29.6% chose Arbitration.
