Abstract

This article examines the role of Business Competition Regulation in curbing unhealthy practices within Securities Crowdfunding (SCF). It seeks to assess the efficacy of current legal regulations regarding business competition in preventing such malpractices in SCF. The regulations set forth by the Indonesia Financial Services Authority (Peraturan Otoritas Jasa Keuangan - POJK), which oversee SCF, necessitate an effective harmonization with Business Competition Law or anti-monopoly legislation to ensure the integrity and efficiency of the financial market. The synergy between SCF regulations and Law No. 5/1999, concerning the Prohibition of Monopoly Practices and Unhealthy Business Competition, is crucial for establishing a fair and transparent capital market. The consistent application and enforcement of this law are anticipated to reinforce Indonesia's economic foundation, facilitate more efficient economic growth, and foster a reliable investment climate for business entities. Therefore, the advancement of SCF in contributing to economic progress hinges on meticulous regulatory harmonization and stringent law enforcement, thus positioning Indonesia as a key player in the dynamic global economy.

Abstract

This article aims is to explores an issue where  Sustainable finance itself is a form of embodiment in Article 33 paragraph (4) of the 1945 Constitution of the Republic of Indonesia that the national economy is organized based on several principles, one of which is sustainable principles by maintaining a balance and unity of the national economy. Thus Article 33 paragraph (4) of the 1945 Constitution of the Republic of Indonesia is a juridical basis of sustainable finance that promotes a sustainable financial system. The research methodology was an integration of empirical juridical research methods and interpretation of the normative method results. The results indicated that with the involvement of banks in implementing sustainable finance, banks must be selective in granting credit to debtors by setting conditions that are following bank policies. Because basically, sustainable finance activities do not harm the community, it creates justice for the community based on the constitutional rights of citizens to get a decent life. In the concept of sustainable finance, economic sustainability includes several criteria in carrying out credit risk analysis, including sustainability of resources, the sustainability of results and sustainability of the business.

Abstract

The Financial Services Authority, anticipating the movement towards digital (bank 5.0), issued Regulation no. 12/POJK.03/2021 concerning Commercial Banks. However, its coverage is limited. It covers only rules on how to establish and manage digital branches of existing banks. Not yet available are special arrangements for the establishment of digital commercial banks or neo-banks. This paper discusses the possibility of establishing digital banks in Indonesia. By perusing the prevailing laws and regulations, and re-evaluate what exist, the author reached the conclusion that the Bank Law should be changed to accommodate this new trend. The prevailing OJK regulation apparently does not suffice as the legal basis for the establishment and operation of digital system of the Bank-Ied model, the Telco-Ied Model or the Hybrid Model, or neo-bank. In addition, adequate arrangements are needed regarding online dispute resolution, and imposition of sanctions.

Abstract

This study explores the critical factors shaping legal certainty in green bond issuance, focusing on the roles of coherence in bond issuance objectives, legislative legitimacy, economic benefits, and governmental authority. Legal certainty is essential in fostering investor confidence, reducing risks such as greenwashing, and ensuring compliance with environmental and regulatory standards. The research employs Partial Least Squares Structural Equation Modeling (PLS-SEM) to analyze data collected from institutional investors with a recommended sample of 300 participants, revealing that economic benefits have the most significant impact on legal certainty, followed by governmental authority, legislative legitimacy, and coherence of objectives. The results underscore the importance of clear and measurable objectives in green bond issuance, transparency in the legislative process, and consistent governmental oversight. These findings highlight the need for robust legal frameworks that ensure both environmental sustainability and financial stability. The study's implications suggest that policymakers and regulators must prioritize the harmonization of green bond regulations to promote cross-border investments and long-term market growth.

Abstract

In today’s era, technology is increasingly developing with various provided conveniences. The disruption era presents the power of technology, information, and communication using the benefits of internet media. One of them is the needs of society and the development of payment methods which continue to evolve. PayLater makes the easier solution to meet your needs. However, with the many conveniences and the increasing number of users, there are also problems regarding the failure of payment which reached the Non-Performing Loan (NPL) ratio DPD30+ as of April 2023 in the amount of 9.7% or above the safe limit of the NPL ratio which is in the percentage of 5%. Deriving from that, protection for financial technology is needed when there are many failures of payment from PayLater payment system through e-commerce employing the preventive legal protection, risk management, and the principle of prudence by PayLater organizers, as well as the repressive legal protection using the expected compensation method.

Abstract

Backdoor listing refers to a situation where an unlisted company obtains listed status indirectly through a listed company. Law Number 8 of 1995 concerning Capital Markets (UUPM) and its implementing regulations that have been enacted in Indonesia to accommodate activities in the capital market do not include detailed arrangements related to backdoor listing corporate actions, resulting in confusion about the practice of backdoor listing itself. This research aims to analyze the responsibility of the Capital Market Supporting Notary for the contents of the deed of backdoor listing corporate action by Limited Liability Companies. the research used in this research is normative legal research, with a research approach to the legislative approach and concept approach used to examine problems related to legal issues. Briefly, the result of the research is that the Notary plays an important role in backdoor listing by making the GMS deed. The main responsibility of the notary is to ensure the deed complies with the regulations. If there is a violation of the law, the notary can be summoned but must be with the permission of the Notary Honor Council.

Abstract

After the abolition of the Emergency Financing Facility (FPD) by the 2016 Financial System Crisis Prevention and Management Law (PPKSK Law), there are potential problems that may arise if a bank applies for a Short-Term Liquidity Loan (PLJP) but in the process is unable to meet the requirements as stipulated in the Bank of Indonesia Regulation (PBI) on Short-Term Liquidity Loans (PLJP), or the Short-Term Liquidity Loan (PLJP) provided later fails to resolve the liquidity problems of the bank. The purpose of this article is to analyze the theoretical underpinnings of emergency liquidity assistance that have actually been covered in the previous Emergency Financing Facility (FPD) arrangement. The research method used is a normative juridical research (doctrinal research) type with an analytical approach and statutory approach. The results show that In crisis conditions, the government will need funding for the state budget at a low-interest rate, because if it has to seek from investors, the desired interest will be high and cannot be a solution in times of crisis. So it can be said that the financing needs of the state in times of crisis require BI because fiscal costs become cheaper, compared to having to seek from investors who ask for high returns. This funding model has been implemented in several developed countries with the term known as quantitative easing. With the open space for BI to carry out burden sharing in times of crisis continuously, it can trigger integrity risk or moral hazard.

Abstract

This article focuses on the Analysis of the Legal Status of Joint Offices in Notary Civil Partnerships: Perspective of Article 20 of the Law Concerning Notary Positions (from now on UUJN-P), which focuses on the legal status of joint offices by notary civil partnerships. The research in this article uses normative juridical research. Aims to describe and analyze the legal status of establishing a joint office by a civil partnership of notaries. Notaries can enter into civil partnerships to form a joint office as regulated in Article 20 of Law Number 02 of 2014 concerning Amendments to Law Number 30 concerning Notary Positions. Establishing a joint office can be convenient for notaries when opening a notary office, which requires expensive costs. However, there is legal ambiguity regarding the regulation of the legal status of the establishment of a joint office by a notary civil association, where there is a synonym for terms in article 20 UUJN, which equates notary civil partnerships with notary joint offices and civil partnerships in the Civil Code.

Abstract

Penelitian ini bertujuan untuk mengkaji dan menganalisis bagaimana perlindungan data dan informasi pelanggan debitur dalam perspektif hak asasi manusia. Metode penelitian yang digunakan adalah penelitian hukum dengan pendekatan perundang-undangan, pendekatan filosofis, dan pendekatan konseptual. Hasil penelitian ini menunjukkan bahwa perlindungan data dan informasi pelanggan debitur dilakukan dengan menerapkan aturan kerahasiaan bank. Namun, aturan kerahasiaan bank di Indonesia masih tidak memadai, karena ruang lingkup perlindungannya sempit, hanya mencakup pelanggan penyimpan dan simpanan dari pelanggan penyimpan. Hal ini telah melanggar hak-hak pelanggan debitur. Perlindungan data dan informasi merupakan hak asasi manusia yang fundamental, sebagaimana diakui dalam UDHR dan ICCPR, serta di Indonesia mencerminkan Pancasila sila kedua, yang dilindungi oleh konstitusi, hukum hak asasi manusia, dan undang-undang perlindungan data pribadi. Sebagai negara hukum, Indonesia menjunjung pendekatan yang seimbang terhadap hak asasi manusia, memastikan hak pelanggan debitur untuk perlindungan data sambil mempertimbangkan hak publik untuk mengakses informasi tertentu dalam kasus-kasus mendesak. Keseimbangan ini sejalan dengan teori utilitarianisme hukum alam, yang menekankan baik pada privasi maupun transparansi yang diperlukan.Kata Kunci: Perlindungan Hukum, Data Pribadi, Debitur, Perbankkan This research aims to examine and analyse how the protection of debtor customer data and information in the perspective of human rights. The research method used is legal research with a statutory approac h, philosophical approach and conceptual approach. The results of this study indicate that the protection of debtor customer data and information is by implementing bank secrecy rules. However, the rules of bank secrecy in Indonesia are inadequate, because the scope of protection is narrow, covering only depositing customers and deposits of depositing customers. This has violated the rights of debtor customers. The protection of data and information is a fundamental human right, as recognized in the UDHR and ICCPR, and in Indonesia, it reflects the 2nd Precept of Pancasila, safeguarded by the constitution, human rights law, and personal data protection law. As a rule-of-law state, Indonesia upholds a balanced approach to human rights, ensuring debtor customers' right to data protection while considering the public's right to access certain information in urgent cases. This balance aligns with the utilitarian theory of natural law, emphasizing both privacy and necessary transparency.Keywords: Legal Protection, Personal Data, Debtors, Banking

Abstract

The development of digital technology has encouraged the use of smart contracts as an instrument for automating agreements in Blockchain-based electronic transactions. In the context of Indonesian law, the validity of a smart contract must meet the legal requirements for an agreement, as regulated in Article 1320 of the Civil Code, which includes the agreement between the parties, legal capacity, a transparent object of the agreement, and lawful causes. Additionally, data verification in smart contracts is a key element in guaranteeing the security, authenticity, and transparency of e-commerce transactions, which is related to the provisions in the ITE Law and the PDP Law. This verification aims to prevent data manipulation, reduce the risk of fraud, and increase trust in transactions by using encryption technology, digital signatures, and Blockchain-based identity. Smart contracts can be considered valid if they fulfill the terms of the agreement and data security principles, making their use in e-commerce more effective and reliable.
