Abstract

The purpose of this study is to analyze how the legal consequences of the annual report accountability letter were not signed by the entire Board of Commissioners of a limited liability company by looking at the case of PT. Garuda Indonesia Tbk which occurred in 2019. Where in that case there was a rejection by 2 (two) Commissioners from PT. Garuda Indonesia Tbk to sign the annual report at the General Meeting of Shareholders. The nature of this research uses normative research, namely by reviewing laws and regulations, as well as company case reports. Based on this case, the function of company organs in charge of supervising a company is not going well. The case shows that this organ does not carry out its supervisory function in accordance with Article 108 of the Limited Liability Company Law. The legal consequence in this case is the imposition of fines on the organ of the company that signs the annual report. This is a consequence of the collegiality of the responsibility of the Board of Commissioners in a limited liability company.

Abstract

The home marketing strategy that is currently being used is home sales in the form of images (pre-project selling). The transaction is set out in the form of Bonds for Sale and Purchase (PJB) which in practice raises various problems, both in terms of PJB content and the quality of work results. PJB for developers is often used to break the law and legislation such as by disguising the actions of company directors for and on behalf of themselves, consumers are required to pay excess land prices that were not previously agreed and thought of, down payments that originally increased from the price offered, the construction of the house is not in accordance with the specifications and general standards, the delay in the submission of the certificate, the fasum problem, which should be the responsibility of the developer. From the description above, the problem examined was how to implement the sale and purchase of houses through the built-in message system at PT. Pratama Griya Makmur Regency of West Pasaman and how to protect the rights of consumers. This study uses an empirical juridical approach. The results of the study show the implementation and legal protection for consumers in buying and selling houses through a built-in message system at PT. Pratama Griya Makmur, West Pasaman Regency has been carried out by breaking the rules, namely parties representing companies in making PJB are directors, acting for and on behalf of themselves, in PJB the building specifications are not included, sanctions for cancellation of agreements, rights and obligations of the parties are not included implicitly.

Abstract

This study aims to determine the responsibility of a notary for a power of attorney to sell in the transfer of land rights and differences in consideration of the decisions of judges of first instance, judges of appellate level and judges of final instance in judicial review based on Supreme Court decision Number 20 PK/Pid/2020. This study uses a normative juridical research method, with a conceptual and statutory approach. The technique of collecting data is by studying literature relevant to legal issues and then analyzing it qualitatively. This study concludes that the notary Ketut Neli Asih can only be subject to administrative sanctions that adhere to the principle of responsibility based on fault (based on fault of liability), so that the notary concerned cannot be held criminally responsible, because the notary performs his duties as a public official. The verdict of the Panel of Judges of the First Level and the Panel of Judges of the Appellate Level are of the opinion and believe that the actions committed by Ketut Neli Asih as a notary have fulfilled the elements of a crime Article 378 jo. Article 56 paragraph 2 of the Criminal Code, namely "Deliberately Providing Opportunities or Means in the Crime of Fraud". Meanwhile, the Panel of Judges of the Supreme Court who tried the review was of the opinion and believed that the charges charged by the Public Prosecutor were true and proven, but it was not a crime, but rather an administrative matter.

Abstract

A notary is a public official authorized to make authentic deeds. This authority must be carried out in accordance with the regulations stipulated in the Notary Office Act and not violate the Notary Code of Ethics. However, not a few notaries carry out their duties in accordance with the established regulations, resulting in a party being harmed and the notary being held accountable. This happened in the Decision on Criminal Case Number 1362/Pid.B/2019/Pn.Jkt.Utr. In this decision, notary R forged an authentic deed because he entered information that was not in accordance with the facts and also did not read and sign the deed he made in front of the parties. Therefore, this thesis takes the title Liability of a Notary Who Issues Deeds Containing False Statements (Case Study Case Number 1362/Pid.B/2019/PN.Jkt.Utr). The formulation of the problem in this research is: 1) What are the legal considerations of the judges in deciding case number 1362/Pid.B/2019/PN.Jkt.Utr? 2) What is the responsibility of the notary for the deed he made based on case number 1362/Pid.B/2019/PN.Jkt.Utr? This study uses normative juridical legal research methods, namely the systematic compilation of data, assessment, then concludes on the relationship to the problems studied with the statutory approach. The results of this study are: 1) The basis for the judge's consideration in decision number 1362/Pid.B/2019/PN.Jkt.Utr comes from juridical and non-juridical and grants the indictment of the public prosecutor in accordance with the provisions violated by notary R but the judge does not make the existence of peace into the lightening thing. 2) The responsibility imposed on notary R is administrative sanctions, namely temporary dismissal due to being in custody then the main sanction is imprisonment for 1 (one) year and 8 (eight) months.

Abstract

The development of information and electronic technology, which is currently increasing rapidly, has an impact on the Notary's work related to the signing of the Notary deed. The cyber notary concept contained in Law Number 2 of 2014 concerning Amendments to Law Number 30 of 2004 concerning the Position of Notary (hereinafter referred to as UUJN) in the elucidation of Article 15 paragraph (3) states that there are other powers for a Notary, namely the authority to certify transactions carried out electronically (cyber notary) but in the absence of regulations regarding this matter it seems to be an obstacle to the implementation of electronic signing. Based on this, the authors formulate the problem, namely, first how to regulate norms regarding electronic signatures on notarial deeds, Second, how are the requirements for an electronic signature on a notary deed to be considered legally valid. This study uses a juridical-normative approach. The results of this research study indicate that the regulation of Cyber notary has not been regulated in Indonesia so because there is no regulation regarding the electronic signing of the notary deed, the notary cannot carry out the signing of the deed electronically under any circumstances. The legal requirements relating to the electronic signature do not meet the requirements for a valid signature on a notary deed because according to Article 16 UUJN it requires the signature to be carried out directly by the appearer or the parties before the notary.

Abstract

According to Article 613 paragraph (1) of the Civil Code, it is stated that the surrender of receivables on behalf of and other incorporeal objects are carried out by making an authentic deed and/or private deed, by which the rights to the object are delegated to another person. In a cessie, the takeover of bank receivables by a third party does not mean that only the receivables are taken over, but is accompanied by the takeover of the bank's rights and obligations, including the transfer of collateral for the debtor's debt. The research method used in this study is a Normative Juridical approach, the research results obtained are 1. As a result of the Cessie Deed being carried out unilaterally by the creditor, the Jessie is carried out by making an authentic deed or private deed, the Jessie is transferred by the creditor, and there will be a replacement of the creditor only if the cassie is carried out by Article 613 of the Civil Code, but if the cassie is carried out unilaterally by the creditor then the cassie deed has no legal consequences because the cassie in the deed does not fulfill one of the elements of Article 613 of the Civil Code 2. In case, the taking over of a receivables bank by a third party does not mean that only the receivables are taken over, but it is accompanied by the takeover of the rights and obligations of the bank, including the transfer of collateral for the debtor's debt. The transfer of receivables by Jessie does not result in the termination of the existing agreement made between the creditor and the debtor. 3. The debtor's legal protection for a session which is carried out unilaterally by the creditor according to the Civil Code Article 613 such submission to the debtor has no consequences unless the delivery is notified to him or in writing it is approved and acknowledged if the cassie is carried out unilaterally by the creditor the Jessie has not resulted in the debtor, in other words, the Jessie has not occurred or has not been transferred and the debtor can file a lawsuit in court.

Abstract

In Indonesia, SOE has a strategic role as a pioneer for business activities that cannot yet be carried out by the private sector, providing public benefits in the form of providing adequate goods and/or services to meet the needs of many people and actively providing assistance and guidance to the community. However, the challenges faced by SOEs are that there are too many SOEs, some SOEs have poor financial, operational and governance performance, and the roles and functions of SOEs themselves are still not efficient in supporting the national economy. Therefore, restructuring SOE has been carried out in an effort to streamline the number of SOEs in Indonesia, one of which is through a Merger. There are two road transport SOEs that currently play a role in the development and operation of national road transportation and have equivalent core businesses, namely Perum DAMRI and Perum PPD. Perum DAMRI and Perum PPD were both affected by the Covid-19 Pandemic so that both their financial and operational performance deteriorated. The Ministry of SOEs together with the Ministry of Finance initiated the merger of the two companies as a strategic effort to nourish the two companies. This study aims to analyze the legal aspects of the Merger of Perum PPD into Perum DAMRI. This research seeks to answer the following questions: what is the legal process for the merger of Perum DAMRI and Perum PPD based on regulations in force in Indonesia. The research method used is normative juridical. This study concludes that the merger of Perum with Perum has not been regulated directly in the existing laws and regulations in Indonesia. The merger of Perum PPD into Perum DAMRI currently still refers to regulations regarding the merger of SOE Companies. Several regulations related to the Merger of Public Corporations in Indonesia, especially regarding the Merger of Perum PPD into Perum DAMRI, including Law No. 19 of 2003 on SOE, GR No. 43 of 2005 concerning Mergers, Consolidations, Acquisitions, Changes in Legal Entity Forms of State-Owned Enterprises, Law No. 5 of 1999 on the Prohibition of Monopolistic Practices and Unfair Business Competition, Law No. 13 of 2003 concerning Manpower as amended by Perppu No. 2/2022, Law no. 22 of 2009 concerning Road Traffic and Transportation as amended by Perppu No. 2/2022, and Government Regulation No. 30 of 2021 concerning Implementation of the Road Traffic and Transportation Sector.

Abstract

The purpose of this research is to find out the implementation of the electronic General Meeting of Shareholders (e-RUPS) using the e-proxy method at PT Telkom and to find out how the Notary's authority is in holding the General Meeting of Shareholders electronically. The research method that researchers use is Empirical Juridical law (sociolegal research). The data that has been collected will then be analyzed using a qualitative approach, namely research procedures that produce descriptive data. The research results of PT Telkom as one of the users of the easy.KSEI applications have carried out e-RUPS since the Covid-19 pandemic hit Indonesia in 2020 until the last e-RUPS in 2022.

Abstract

Undang-undang Kepailitan dan Penundaan Kewajiban Pembayaran Utang hanya mengatur permohonan pailit dikabulkan apabila dapat dibuktikan secara sumir dengan membuktikan adanya debitur memiliki 2 (dua) atau lebih kreditur dan salah satu utang telah jatuh waktu serta dapat ditagih. Hakim dalam memaknai pembuktian sumir dalam permohonan pailit terdapat perbedaan pandangan yang mengakibatkan adanya diparitas putusan atas permohonan pailit. Disapritas putusan tersebut dapat dilihat dalam perkara perkara nomor 125 PK/PDT.SUSPAILIT/2015 j.o. Nomor 19 K/Pdt.Sus-Pailit/2015 j.o. Nomor 02/Pdt.Sus.Pailit/2014/PN Niaga Mks. Permasalah dalam tesis ini adalah apa yang menjadi pertimbangan hukum Hakim dalam memaknai pembuktian sumir serta mengapa terjadi disparitas putusan dalam memaknai pembutian sumir. Tujuan dari penelitian ini adalah untuk mengetahui pengertian makna sumir dalam permohonan pailit dan mengetahui pertimbangan hukum Hakim dalam memaknai pembuktian sederhana dalam putusannya serta mengetahui penyebab disparitas putusan dalam memaknai pembuktian sederhana pada permohonan pailit. Medote yang digunakan dalam penelitian ini adalah penelitian hukum normatif berfokus pada norma hukum positif berupa peraturan perundang-undangan kepailitan dan putusan pengadilan mengenai permohonan pailit. Hasil yang diperoleh dari penelitian ini bahwa pembuktian sumir dalam hukum kepailitan di Indonesia, Bahwa makna pembuktian sederhana dalam perkara kepailitan yang dimuat dalam Pasal 8 ayat (4) sudah cukup jelas yaitu membuktikan adanya fakta dua kreditur atau lebih dan minimal satu utang yang telah jatuh waktu dan tidak dibayar. Selanjutnya Hakim dalam memaknai pembuktian sumir terdapat perbedaan dengan mendasarkan bahwa dengan menilai sulit tidaknya pembuktian suatu pekara yang cenderung subjektif. Penyebab adanya disparitas dalam memaknai pembuktian sumir dikarenakan undang-undang kepailitan tidak mengatur secara tegas yang menjadi batasan dari suatu perkara yang pembuktiannya sumir atau sulit.

Abstract

Pada saat dewasa ini, perkembangan teknologi telah memberikan pengaruh yang sangat besar dalam kehidupan masyarakat dan sekaligus juga telah mengubah sistem interaksi masyarakat, salah satunya yaitu dengan hadirnya fintech sebagai salah satu inovasi dalam sektor layanan jasa di bidang keuangan berbasis teknologi untuk memudahkan masyarakat melakukan transaksi kapanpun dan dimanapun dengan memberikan sistem layanan berupa e-money, crowfunding, lending dan transaksi-transaksi lainnya di bidang keuangan. Otoritas Jasa Keuangan (OJK) sebagai lembaga yang berwenang dalam hal keuangan, membuat suatu alternatif pendanaan berbasis fintech tersebut namun tetap memberikan perlindungan juga bagi masyarakat, yaitu dengan membuat suatu platform online pendanaan yang dinamakan dengan Fintech Lending, yaitu suatu platform online yang menyediakan fasilitas bagi pemberi dana untuk memberikan pinjaman secara langsung kepada penerima dana. Dalam praktiknya, terdapat praktik pelaksanaan fintech lending oleh penyelenggara fintech yang telah berizin dan terdaftar di OJK. Namun, terdapat pula contoh praktik pelaksanaan fintech lending oleh penyelenggara yang beroperasi secara ilegal atau tidak berizin atau terdaftar di OJK. Rumusan Masalah yang timbul yaitu: 1) Pengaturan tentang pembiayaan berbasis teknologi (fintech) berdasarkan Hukum Positif Indonesia; 2) Perlindungan hukum para pihak dalam perjanjian fintech. Penelitian ini menggunakan metode penelitian normatif, yaitu penelitian yang bertujuan untuk meneliti asas-asas hukum, sinkronisasi hukum, sejarah hukum, dan perbandingan hukum dalam rangka mengumpulkan bahan hukum dilakukan dengan beberapa pendekatan. Berdasarkan hasil penelitian, diperoleh hasil: 1) Sampai saat ini, terdapat beberapa peraturan atau regulasi terkait yang dikeluarkan oleh Bank Indonesia dan Otoritas Jasa Keuangan sebagai lembaga yang berwenang dalam hal pengaturan dan pengawasan fintech sebagai bentuk penerapan teori kepastian hukum demi tetap berlangsungnya pemberlakuan hukum yang jelas, tetap, konsisten, dan konsekuen dalam pelaksanaan perjanjian fintech antara kedua belah pihak; 2) Saat ini, pelaksanaan transaksi yang berujung pada terjadinya suatu perjanjian yang tertuang dalam kontrak elektronik yang mempunyai kekuatan hukum mengikat para pihak selayaknya perjanjian atau kontrak-kontrak pada umumnya dan juga melindungi hak dan kewajiban para pihak yang terlibat dalam perjanjian fintech tersebut.
