Abstract

Corporate takeover actions (acquisitions) carried out by companies are always in the spotlight of the capital market public, because corporate acquisition actions are classified as material transactions that require very large financing, and it is not uncommon for there to be conflicts of interest in their implementation. However, sometimes there can be cases where a company acquires another company in the hope of gaining synergies but instead incurs losses, which may be due to an unreasonable acquisition price that can harm many parties including the public and shareholders. This can of course be prevented by assessing the performance of the company to be acquired previously and assessing the company's fair market (valuation). This research was conducted to analyze the fair market value of 20% of the shares of PT Link Net Tbk in connection with the planned acquisition by PT XL Axiata Tbk using the Discounted Cash Flow and Abnormal Income methods and to analyze the price offered by PT XL Axiata Tbk to acquire 20% of the shares of PT Link Net Tbk is classified as fair or not. The research results show that in the valuation using the Discounted Cash Flow (DCF) method, based on the results of calculating the fair market value of 20% of PT Link Net Tbk amounting to IDR 2,795,896 million or IDR 4,882 per share, while in the valuation using the Abnormal Income method, it is based on the results of calculating the value fair market 20% PT Link Net Tbk amounting to IDR 2,602,704 million or IDR 4,545 per share. If we compare the transaction value of the purchase of PT Link Net Tbk shares by PT XL Axiata Tbk which is IDR 4,800 per share, the transaction value is considered fair in both methods, both the Discounted Cash Flow (DCF) and Abnormal Income methods.

Abstract

Bali is known as a leading tourist destination abroad, with various attractions that attract both international and local tourists. Among these attractions, Wellness Tourism has emerged as the top choice for tourists in Bali. Wellness Tourism aims not only to promote health and wellness but also to offer unique and valuable experiences for tourists. However, despite its popularity, there has been no structured and systematic effort to integrate mental health-based tourism concepts. In addition, preserving the sacred values of local communities is important to maintain Balinese cultural heritage and wisdom. Implementing health tourism in the wrong way can threaten to undermine these sacred values, highlighting the importance of using the right marketing mix strategy. To find out more about this, a qualitative study was carried out using purposive sampling, involving observation, interviews and documentation. Analysis was carried out using NVivo software. The findings show that the development of sustainable health tourism in Bali has gone well, showing the effectiveness of the marketing mix approach without any manipulation.

Abstract

Illegal, unreported, and unregulated (IUU) fishing presents a substantial obstacle to the effective administration of maritime affairs, specifically in areas such as Papua New Guinea, where Indonesian fishermen partake in unlawful operations within the Exclusive Economic Zone. The primary objective of this research endeavor is to assess the effectiveness of policy interventions that target IUU fishing by Indonesian seafarers in Papua New Guinea, with a specific emphasis on the deployment of vessel monitoring systems (VMS). This research identifies significant challenges and assesses alternative approaches for improving VMS policies by employing the Analytical Hierarchy Process (AHP). The findings underscore the significance of involving stakeholders, adhering to legal and regulatory requirements, and the consequences for maritime security. Identifying education and training as the most crucial options emphasizes the importance of equipping stakeholders with the essential knowledge and abilities to efficiently utilize VMS technology. The study also stresses how important it is for agencies to work together, for VMS coverage to grow, and for infrastructure to be improved in order to make policies more effective. The Indonesian Government can enhance its regulatory capabilities regarding illegal, unregulated, and unreported (IUU) fishing, thereby promoting maritime security and sustainable fisheries management in the region, by placing an equal emphasis on education and training in conjunction with these supplementary measures.
