Abstract

In business activities in the form of a Company, there are often legal problems involving directors as a result of the decisions and policies they make in carrying out their duties and authority in the company. The Board of Directors is one of the most important organs in a Limited Liability Company whose duty is to run the company as stated in Law Number 40 of 2007 (UU PT) concerning Limited Liability Companies. In the event of a loss caused by the decision or policy, the board of directors can be sued personally either criminally or civilly. This research aims to analyze the case of former President Director of PT Krakatau Steel (KS) Fazwar Bujang in making decisions on the construction of the Blast Furnace Complex plant in 2011 which is considered to have harmed the state of Rp 2.3 trillion and USD 292 or up to Rp 6 trillion and has benefited the MCC Ceri consortium, a company from China and PT Krakatau Engineering and others. The first result shows that the business judgment rule doctrine is a concept in corporate law that provides protection to company directors regarding the decisions and policies they make, to ensure that directors can make decisions based on good faith, prudence, and the best interests of the company without having to be personally liable for losses that may arise from business decisions. In Indonesia, the business judgment rule doctrine is only regulated in UU PT, but it has not been regulated in the law completely. Second, in the case of the construction of PT Krakatau Steel's Blast Furnace Complex, the business judgment rule cannot be applied because the business policies taken do not meet the requirements of the business judgment rule stipulated in Article 97 paragraph (3) of the UU PT.

Abstract

The enactment of the Job Creation Law affects the provisions of Limited Liability Companies. The mechanism for establishing an Individual Company which is explained implicitly in the Company Law and the Job Creation Law raises issues related to the process of organ responsibility in an Individual Company which states that directors can concurrently hold positions as shareholders and vice versa. One of the problems of the presence of Individual Companies in MSEs in Indonesia is the birth of Alter Ego conditions. The solution to limit the unlimited liability of corporate organs is that the government needs to strengthen and reinforce the doctrine of Piercing the Corporate Veil for Individual Companies and provide legal certainty regarding the regulation of corporate organs in the Company Law and Government Regulation No. 8 of 2021. This article examines the existence of individual companies in the context of micro and small businesses in Indonesia. The focus of the analysis lies on the concept of the alter ego doctrine which often becomes a problem in business practice. This research utilizes a document analysis approach and literature study to explore the legal and practical implications of the alter ego doctrine on individual companies in Indonesia. The analysis shows that the alter ego doctrine has a significant impact on the personal liability of micro and small business owners. The implications of these findings are discussed in the context of business regulation and legal protection for micro and small business owners in Indonesia.

Abstract

Putusan Mahkamah Konstitusi Nomor 23/PUU-XIX/2021 hadir dengan memberikan konsekuensi yuridis untuk mengubah acara hukum pada perkara yang diawali dengan pengajuan permohonan penundaan kewajiban pembayaran utang dan ditolaknya tawaran perdamaian dari debitur. Tujuan penelitian ini adalah untuk meninjau putusan a quo berdasarkan asas keadilan dan diwujudkan dengan gagalnya kewajiban pembayaran utang yang berdimensi cepat. Metode penelitian yang digunakan adalah yuridis normatif pada penelitian hukum kepustakaan atau penelitan hukum doktrinal sebagai penelitian hukum dengan cara mengkaji bahan Pustaka atau data-data sekunder. Hasil penelitian menunjukkan bahwa berdasarkan asas keadilan, debitur dan masing-masing kreditor dapat mempertahankan hak-haknya dalam rangka penyelesaian utang piutang dengan membukanya upaya hukum kasasi.

Abstract

Majelis Hakim menolak Putusan Pengadilan Negeri Medan Nomor 6/Pdt-Sus.Pailit/2023/PN Mdn dengan alasan karena tidak terdapat fakta atau keadaan yang terbukti secara sederhana sebagaimana dimaksud dalam  Pasal 2 ayat (1), jo. Pasal 8 ayat (4) UU KPKPU yang mengakibatkan setelah putusan diambil, menyebabkan permasalahan utang dan penagihan utang antara  debitur dan kreditur belum juga menemukan penyelesaiannya, sehingga timbul pertanyaan-pertanyaan lain, diantaranya yaitu  bagaimana kedudukan debitur dan kelanjutan pembayaran hutang pihak termohon pailit kepada pemohon pailit. Permasalahan di atas diteliti dengan menggunakan metode-metode sebagai berikut, metode penelitian yang digunakan dalam penelitian ini adalah normatif. Penelitian ini bersifat preskriptif. Metode pendekatan yang digunakan adalah pendekatan kasus (case appoarch). Jenis dan sumber data antara lain: bahan primer yaitu KUHPerdata dan Undang-Undang Kepailitan dan Penundaan Hutang Nomor 37 Tahun 2004, bahan sekunder berupa buku dan majalah, serta bahan non hukum berupa KBBI. Teknik pengumpulan bahan hukum studi pustaka dan studi kasus. Teknik analisis data menggunakan logika deduktif. Hasil penelitian terhadap permasalahan pertama yaitu ditolaknya suatu putusan dalam perkara pailit tidak menyebabkan kedudukan debitur berubah, sehingga debitur tetap memiliki kewenangan dalam melakukan perbuatan pengalihan dan pengurusan kekayaannya, asalkan hal itu tidak merugikan kreditur. Permasalahan kedua, Akibat hukum objek perkara pailit yang berada di pihak ketiga terhadap pembayaran utang adalah debitur masih memiliki kewajiban dalam membayar hutang kepada kreditur namun kreditur tidak dapat mengeksekusi objek jaminan yang berada di pihak ketiga untuk membayar utang debitur pailit.

Abstract

Kepailitan merupakan sebuah keadaan yang bisa saja terjadi dalam Persero BUMN. Istaka karya, merupakan salah satu dari beberapa Persero BUMN. Setelah melewati berbagai tahun dengan kondisi keuangan yang tak kunjung membaik, berbagai kabar berita mengenai perusahaan ini dengan berbagai partisipasi aktif di dunia konstruksi, akhirnya resmi ditutup akibat pailit pada 2023 ini, dengan sederet utang kepada para kreditor juga penunggakan pembayaran gaji kepada para karyawannya. Penelitian ini bertujuan untuk menganalisis kepastian hukum yang didapatkan oleh para kreditor, serta pertanggungjawaban negara dalam hal pailitnya sebuah Persero BUMN ini. Hasil penelitian ini menunjukan lemahnya posisi kreditor dalam mendapatkan hak nya. Oleh karena itu, untuk memberikan kepastian hukum, tidak hanya berlandaskan Undang-undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang saja, akan tetapi pihak direksi juga harus bertanggungjawab penuh atas seluruh utang kepada para kreditor menggunakan harta pribadi yang dimiliki, namun tidak termasuk dengan harta yang telah dinyatakan pailit oleh Pengadilan Niaga.

Abstract

This research discusses the application of the Principle of Business Continuity in Debt Payment Suspension in Indonesia over the last three years. The Principle of Business Continuity is a bankruptcy law principle that allows companies to address financial difficulties through restructuring rather than bankruptcy. This study analyzes the Principle of Business Continuity in the context of Debt Payment Suspension and the influencing factors, including financial conditions, future prospects, restructuring plans, creditor support, and management. Practical recommendations include enhancing transparency, consulting legal and financial experts, and maintaining effective communication with creditors. The research also highlights the role of research in applying the Principle of Business Continuity in Debt Payment Suspension. It is expected that this research will provide guidance for companies, the government, creditors, and relevant parties in addressing financial and legal challenges with the aim of preserving business continuity and fairness in Debt Payment Suspension.

Abstract

PT Garuda Indonesia (Persero) Tbk is one of the State-Owned Enterprises that has passed the postponement of debt payment obligations (PKPU) period well until it escaped the threat of bankruptcy. The escape of PT Garuda Indonesia from the threat of bankruptcy is inseparable from its success in applying the principles known in Good Corporate Governance (GCG). This research uses a normative method with a statutory approach, and with the specification of this research using an analytical descriptive method. The result of this research is that PT Garuda Indonesia managed to recover its company and show positive growth, maintaining its role as a national airline with more stable operational sustainability through the sustainable implementation of GCG principles of Transparency, and Accountability. Abstract

Indirect evidence is used by the Competition Supervisory Commission to determine the existence of violations of competition law by business actors. Indirect evidence consists of communication evidence and economic evidence. The application of indirect evidence in competition cases presents a unique challenge due to the difficulty in interpreting it. This research aims to understand and examine the validity of indirect evidence used in cases related to airline price-fixing and cartels, in the case of the Supreme Court Decision Number 1811 K/Pdt.Sus-KPPU/2022. The research uses a normative juridical approach method with analytical descriptive research specifications. The research results show that the considerations in the Supreme Court's Decision regarding the existence of an implied contract among the Reported Parties, which is proven through indirect evidence, are in accordance with Law Number 5 of 1999. The validity of indirect evidence to prove violations of the competition law is equivalent to the evidence categorized as bukti petunjuk which is regulated in Article 42 of Law Number 5 of 1999.

Abstract

Along with globalisation, economic development continues to change dynamically in order to achieve success in national economic development. National economic development is the development of equitable economic growth for the greatest prosperity of all Indonesian people based on the principle of kinship in accordance with Pancasila and the 1945 fourth amendment of the Republic of Indonesia. This economic development is marked by the development of a variety of transactions or economic activities, one of which is investment or capital activities through the capital market such as mutual fund investments made through the role of investment managers. In carrying out its business activities, there is a risk of default that can result in a Suspension of Payment against the Investment Manager, one of which is the case of Central Jakarta District Court Decision Number 78/Pdt.Sus-PKPU/2020/PN Niaga Jkt.Pst. This research aims to examine the accuracy of the consideration of the Central Jakarta District Court judge in the related decision regarding the qualification of investment losses as a default charged to the Investment Manager, as well as the judge's consideration in accepting the suspension of payment application against PT Emco as the Investment Manager by the Investor. This research uses the juridical-normative method, which prioritises the use of literature material from positive law as a source with the results of the research described descriptively. The results of this study show conclusion that can be drawn. The judge's consideration in the relevant decision is not correct because the responsibility for default should be borne by the issuer, in addition, the judge's consideration does not conduct further investigation regarding the origin of the compensation agreement between the Investment Manager and the Investor.

Abstract

Postponement of Debt Payment Obligations (“PKPU”) and Bankruptcy are risks that companies cannot avoid, prompting various efforts to prevent bankruptcy declarations. This study aims to examine the authority of the Commercial Court at the Central Jakarta District Court in handling bankruptcy cases that involve arbitration clauses and force majeure claims asserted by the PKPU Respondent, which should be considered in the judge’s deliberations. The research employs normative legal methods with a legislative and case approach. In case decision No. 337/PDT.SUS-PKPU/2023/PN.NIAGA.JKT.PST, the respondent, PT. Pacific Global Utama, claimed the occurrence of force majeure and the presence of an arbitration clause. Findings based on the Bankruptcy and PKPU Law (UU-KPKPU) indicate that the commercial court retains authority to review and resolve bankruptcy petitions despite arbitration clauses and force majeure conditions. The force majeure claim should be considered by the judge, as the absence of force majeure would mean the debt would not have arisen.
