Abstract

The Chinese ethnic group is one of many ethnicities or tribes that contain communities with quite complex religious plurality, within the Chinese ethnic group there are people who are Muslim, Buddhist, Hindu, Christian and also Confucian. The diversity of religions in the ethnic Chinese traditional community also gives rise to several legal options that can be chosen to be applied, especially in matters of inheritance, where there are at least 3 (three) inheritance law provisions that can be used, namely civil inheritance law, customary inheritance law, and also inheritance law of Islam. The differences in religion adhered to between heirs and heirs will raise several questions related to this regarding: 1. How implementation of inheritance from different religions in the ethnic Chinese community in Bungo Regency? 2. What is the influence of the legal system in terms of regulating and implementing inheritance of different religions by ethnic Chinese in Bungo Regency? 3. What are the legal steps for a Notary if a client visits him who wants to arrange an inheritance deed but the parties to the deed have different religions? The research method used is an empirical juridical method. This research is descriptive. Data collection techniques are document study and interviews. From the research results, in general, the Bungo Chinese ethnic community chooses a very different inheritance rules, there are some people choose to use Chinese inherintance rules, the others choose to use the inheritance rules of the Civil Code, Apart from the two inheritance rules above, a small percentage of people choose to implement Islamic inheritance rules, and there are also who choose rules of inheritance base on agreement.

Abstract

Based on Article 399 paragraph (1) of Law Number 23 of 2014 concerning Regional Government jo Article 5 paragraph (1) of Government Regulation Number 54 of 2017 concerning Regionally Owned Enterprises states that one of the requirements for BUMD in the form of Perseroda is the existence of share ownership by one of the shareholder regions with a minimum percentage of 51% (fiftyone percent). As of December 31, 2023, the highest percentage of share ownership in PT Bank Nagari is owned by the West Sumatra Provincial Government, which is 32.51% (thirtytwo point fifty one percent). The percentage of shares owned by the West Sumatra Provincial Government as the Highest Shareholder still does not meet the provisions of the regulations that make the status of PT Bank Nagari as Perseroda. The difference in practice that occurs at PT Bank Nagari with the provisions of the laws and regulations needs to be studied. This study discusses is the legal consequences if the percentage of share ownership is not fulfilled by the Regional Government of West Sumatra Province as the controlling shareholder in PT Bank Nagari as a Regional Company. The research method uses a Juridical-Normative problem approach, which is supported by empirical data. The conclusion of this study is the consequences of the unfulfilled share ownership are not regulated by any laws and regulations. However, even though there are no firm consequences, the status of PT Bank Nagari as a state-owned company in the form of Perseroda does not obtain legal certainty.

Abstract

A limited liability company is a legal entity that is a partnership of capital established based on an agreement, conducts business activities with a basic capital entirely divided into shares, and meets the requirements set forth in this regulations. The existence of the board of directors in the company is mandatory as their presence is crucial for managing the company in accordance with the provisions of the company law. Based on this, the author formulates the issues as follows: first, how the directors' responsibilities relate to the deposit of funds in the company by shareholders, and second, how the judges' considerations in decision number 892/Pdt/2021/Pt.Sby and decision number 39/Pdt.G/2020/Pn Btm regarding the deposit of shareholders' funds in the company. The research method used is normative juridical, which means that the board of directors is obligated to carry out their duties in good faith and with full responsibility. The theories used are first the theory of responsibility, second the ultra vires theory, and third the judge's discretion theory. The results of this research indicate that in the execution of the board of directors' duties, it should be carried out with a review of the theory of responsibility and the ultra vires theory. Conclusion on the personal responsibility of the board of directors for company losses caused by negligence in performing their duties, it is advisable for the parties to ensure the implementation of good corporate governance by strengthening the internal supervision. Abstract

The constitutional basis regarding the importance of personal data protection is found in Article 28G paragraph (1) of the 1945 Constitution, providing a fundamental basis to guarantee the right to privacy, particularly the protection of personal data. This is due to the development of increasingly complex and large-scale technological innovations. As a result, information regarding personal data is much more likely to be accessed quickly and easily. Especially since the emergence of Robot Process Automation technology in all business fields. RPA is a software robot designed to perform repetitive tasks in processing data and information. Therefore, an enhancement of the security system of this technology is necessary. Thus, it becomes a challenge for businesses to prevent data breach cases such as the loss of personal data. Based on that issue, the problem will be formulated as follows. First, how is the legal regulation in Indonesia regarding the use of Robotic Process Automation (RPA) technology? Second, what is the company's responsibility in the event of data breaches from the use of Robotic Process Automation (RPA) technology? This research uses a normative juridical research type. The data used in this research are secondary data consisting of primary legal materials and secondary legal materials. Based on the research results, first, it was concluded that there are no specific regulations regarding robot process automation, but it can refer to the ITE Law, PDP Law, and Permenkominfo. Abstract

Berdasarkan asas kebebasan berkontrak, setiap orang bebas untuk mengadakan perjanjian dengan siapapun juga. Hal ini menjadi berbeda penerapannya jika objek perjanjian merupakan objek waris yang belum terbagi. Dalam perkara yang disidangkan Mahkamah Agung Nomor 147 K/Pdt/2017 para pihak merupakan saudara kandung yang merupakan Warga Negara Indonesia Keturunan Tionghoa yang mempermasalahkan mengenai pembagian waris atas objek waris yang belum terbagi yang telah dilakukan Perjanjian Pengikatan Jual Beli disertai dengan Kuasa Pengelolaan oleh Sang Ayah kepada salah seorang anaknya. Penelitian ini bertujuan untuk menganalisa pertimbangan Hakim Agung dalam memutus sengketa waris dengan adanya perjanjian disertai dengan kuasa pengelolaan serta untuk mengetahui kepastian hukum atas pembagian waris dengan adanya perjanjian disertai kuasa yang dilakukan oleh pewaris. Dengan menggunakan metode penelitian yuridis normatif didapati hasil bahwa dalam KUH Perdata tidak dikenal adanya perbedaan antara ahli waris laki-laki maupun perempuan sebagaimana yang berlaku dalam hukum adat Tionghoa yang menganut pewarisan hanya bagi anak laki-laki saja. Hakim Agung berpandangan hukum adat Tionghoa tidak tertulis dan harus menyesuaikan dengan perkembangan zaman. Terhadap perjanjian jual beli antara ayah dan anak, tidak ditemukan aturan hukum yang melarangnya. Dalam hal objek jual beli merupakan objek waris yang belum terbagi maka hal ini harus mendapatkan persetujuan dari seluruh ahli waris.

Abstract

Pemberian kuasa menjual objek jaminan merupakan praktik hukum yang sering digunakan dalam perjanjian utang piutang untuk menjamin pelunasan utang oleh debitur. Namun, pelaksanaannya sering kali menghadapi tantangan hukum, khususnya terkait perlindungan bagi pemberi kuasa. Penelitian ini bertujuan untuk menganalisis konsep pemberian kuasa menjual objek jaminan serta perlindungan hukum yang diberikan kepada pemberi kuasa di Kabupaten Pelalawan. Pendekatan yuridis-empiris digunakan dalam penelitian ini, dengan data diperoleh melalui studi kepustakaan dan wawancara dengan notaris setempat. Hasil penelitian menunjukkan bahwa praktik pemberian kuasa menjual kerap menimbulkan risiko hukum bagi pemberi kuasa, terutama jika kuasa tersebut disalahgunakan oleh penerima kuasa. Notaris sering kali menolak membuat akta kuasa menjual dalam konteks utang piutang karena dinilai melanggar prinsip kepastian hukum. Alternatif pelaksanaan melalui penjualan di bawah tangan sesuai dengan Pasal 20 ayat (2) UU Hak Tanggungan menawarkan solusi yang lebih aman secara hukum. Namun, kurangnya pemahaman masyarakat tentang opsi ini serta biaya dan prosedur yang lebih kompleks menjadi kendala utama. Penelitian ini menegaskan pentingnya peran notaris dalam memberikan edukasi hukum kepada masyarakat dan kebutuhan untuk memperkuat regulasi terkait pemberian kuasa menjual.

Abstract

In common banking practice in Indonesia, the bank credit agreement used is a standard agreement or standard agreement, the clauses of which have been previously prepared by the bank, so that the customer as a prospective debtor only has the choice between accepting the entire contents of the clauses, either in part or completely or refuse, which will result in the customer not receiving the credit. As risk mitigation in implementing standard agreements, debtors are given a credit decision offer letter more commonly called an offering letter. An credit decision offering letter is a bank offer letter for credit approval addressed to the debtor. If the debtor agrees, then the offering letter is used as the basis for making a credit deed.

Abstract

Technological advancements in Indonesia's Construction have initiated a digital transformation in the sector. The necessity of incorporating automated systems in contract performance to meet future digital needs has become increasingly apparent. This paper presents to spearhead research into the possibility of the Indonesian construction industry adopting smart contracts. The chosen research approach is a qualitative scientific methodology involving a systematic review highlighting the benefits and obstacles associated with adopting smart contracts within the construction industry. Further data were collected from construction contract management experts through interview sessions. The findings reveal that the self-execution feature of smart contracts could better distribute risks within a contract. However, the study also uncovers substantial challenges in applying smart contracts, such as their immutability, irreversibility, and vulnerability to human errors. The study concludes that smart contracts are best suited for short-term contracts that do not require variations. Smart contracts could streamline contract management, reducing time and effectively addressing conflicts and disputes during the contract's lifespan. The devised implementation framework holds significance for construction professionals, particularly those involved in contract administration. Incorporating smart contracts into construction could enhance contract administration and management discipline by fostering investment in this emerging technology

Abstract

Construction projects are considered a sector loaded with risks. Almost every construction service industry activity always appears as a claim, often becoming a dispute. The legal basis for the settlement of construction contract disputes is regulated in Article 88 of Law Number 2 of 2017 by directing dispute settlement through an out-of-court mechanism and providing support for the existence of a dispute board to avoid claims before they arise into disputes. However, Law Number 2 of 2017 does not provide detailed regulations regarding dispute boards, so parties in Indonesia's construction service industry doubt its effectiveness. The research aim is to analyze the implementation of legal risk mitigation to avoid construction contract disputes. The research methodology is done in normative legal research by combining historical, statute, comparative, and conceptual approaches. Research data sources are secondary legal materials and research data collection methods conducted by library research. The results of the study show that there are fundamental differences between construction claims and lawsuits. The concept of dispute avoidance is designed to change the culture to enable proactive dispute prevention and real-time dispute resolution. The dispute board rules in Indonesia are regulated in the Regulation of Minister of Public Works and Public Housing Number 11 of 2021. The output of the dispute boards is a formal decision that is final and binding. In this case, it is not equivalent to an enforceable decision but is contractually binding.
