Abstract

Such actions by the curator could potentially fall under the category of unlawful acts (PMH) as stipulated in Article 1365 of the Civil Code. These actions are considered unlawful if they are carried out without a clear legal basis and without adequate verification of ownership. To be declared an unlawful act, the following elements must be fulfilled: the existence of an act, the act is unlawful, there is fault, loss has been incurred, and there is a causal relationship between the act and the loss incurred. This phenomenon indicates a gap between norms and practices in the administration of bankruptcy. The definition of the descriptive analytical method is a method that serves to describe or provide an overview of the object being studied through data or samples that have been collected as they are, without conducting analysis and making conclusions that apply to the general public. The curator's action of including third-party assets in the bankruptcy estate without a valid legal basis constitutes an unlawful act (PMH). This action violates the principles of property rights protection and legality in civil and bankruptcy law. The curator must ensure that the assets included in the bankruptcy estate truly belong to the debtor based on strong and valid legal evidence. Legal protection for third parties whose assets are included in the bankruptcy estate can be sought through commercial court proceedings, such as other lawsuits (Article 217 of the Bankruptcy Law) or third-party opposition (derden verzet). Third parties acting in good faith can submit proof of legal ownership through official documents such as a Sale and Purchase Agreement (PPJB), Deed of Sale and Purchase (AJB), or proof of full payment for the disputed object. Supreme Court Decision Number 311 K/Pdt.Sus–Pailit/2024 shows that the Supreme Court is increasingly consistent in providing protection for the property rights of third parties who have no debt relationship with the bankrupt debtor. This sets an important precedent in bankruptcy practice in Indonesia to prevent curators from exceeding their authority.

Abstract

Restoration of minority shareholder rights in private limited companies is often ineffective, despite court decisions confirming a breach of fiduciary duty. This situation indicates a gap between the legal protection norms in Law Number 40 of 2007 concerning Limited Liability Companies and their implementation in practice. This study analyzes the effectiveness of the mechanism for restoring minority shareholder rights following a court decision. The results show that court decisions are generally declarative and poorly enforced, making them difficult to implement. Key obstacles include resistance from majority shareholders, weak institutional coordination, and low transparency in private companies. This study recommends the formulation of more operational rulings, strengthening implementation oversight, and integrating legal technology with a restorative justice approach. Using a juridical-empirical approach, this study contributes to strengthening legal protection for minority shareholders and increasing legal certainty in corporate practice.Keywords: Minority Shareholders, Fiduciary Duty, Legal Remedies

Abstract

Sales and Purchase Agreements (Perjanjian Pengikatan Jual Beli—PPJBs) frequently give rise to disputes when legal defects arise in the transfer of land rights, particularly where such defects prejudice buyers acting in good faith. The tension between legal certainty of land ownership and the protection of good-faith parties remains a legal problem that has yet to be fully resolved in judicial practice. This study examines the application of the doctrine of unlawful acts in PPJBs and evaluates the form and effectiveness of legal protection afforded to landowners and good-faith buyers. Employing a normative legal research method, the study adopts statutory, conceptual, and case-based approaches, with particular attention to judicial decisions concerning PPJB disputes. The findings demonstrate that unlawful acts in PPJBs predominantly originate from the bad faith of one of the contracting parties or third parties. At the same time, courts tend to provide proportional protection to good-faith buyers without disregarding the rights of the lawful owner. The study concludes that effective legal protection in PPJB disputes can only be achieved through a balanced application of the principles of good faith and legal certainty within the agrarian law framework.

Abstract

In a limited liability company, the General Meeting of Shareholders serves as the highest corporate organ authorized to determine strategic matters, including the transfer of shares. This study examines the legality of share transfer conducted without fulfilling the quorum requirements, as reflected in Surabaya District Court Decision No. 7/Pid.B/2020/PN.Sby in conjunction with Surabaya High Court Decision No. 1476/Pid/2020/PT.Sby. This research employed a normative juridical method with qualitative analysis based on statutory and case approaches. The findings indicate that such transfer is legally defective unless justified through the Circular Resolution of Shareholders mechanism. Notaries play a crucial role in ensuring legal certainty and the validity of the transaction.

Abstract

Penelitian ini bertujuan untuk menganalisis bentuk pertanggungjawaban pidana notaris terhadap tindak pemalsuan Akta Kuasa Menjual berdasarkan Studi Putusan Mahkamah Agung Nomor 1209 K/Pid/2022. Notaris sebagai pejabat umum memiliki kewenangan untuk membuat akta otentik yang memiliki kekuatan pembuktian sempurna, sehingga setiap tindakan dalam proses pembuatan akta harus dilaksanakan sesuai ketentuan peraturan perundang-undangan dan prinsip kehati-hatian. Penelitian ini menggunakan metode yuridis normatif dengan pendekatan perundang-undangan dan pendekatan kasus. Sumber data yang digunakan berupa bahan hukum primer, sekunder, dan tersier yang dianalisis secara kualitatif. Hasil penelitian menunjukkan bahwa notaris dalam perkara tersebut terbukti melakukan pemalsuan terhadap Akta Kuasa Menjual melalui penggunaan tanda tangan yang tidak sah dan pembuatan akta tanpa kehadiran pihak yang berkepentingan. Perbuatan tersebut memenuhi unsur tindak pidana pemalsuan surat otentik sebagaimana diatur dalam ketentuan KUHP, sehingga notaris dapat dimintai pertanggungjawaban pidana. Putusan Mahkamah Agung menegaskan bahwa penyalahgunaan kewenangan oleh notaris tidak hanya menimbulkan konsekuensi administratif dan perdata, tetapi juga berimplikasi pada sanksi pidana demi menjaga kepastian hukum dan kepercayaan masyarakat terhadap akta otentik.

Abstract

Notaris sebagai pejabat umum memiliki kewenangan untuk membuat akta otentik sebagaimana diatur dalam Undang-Undang Nomor 2 Tahun 2014 tentang Jabatan Notaris (UUJN). Akta otentik memiliki kekuatan pembuktian sempurna, sehingga setiap proses pembuatannya harus memenuhi ketentuan formal dan material yang ditetapkan peraturan perundang-undangan. Pasal 16 ayat (1) huruf a dan m UUJN menegaskan kewajiban notaris untuk bertindak jujur, saksama, mandiri, tidak berpihak, serta membacakan dan menandatangani akta di hadapan penghadap dan saksi. Menganalisis pemenuhan unsur tindak pidana pemalsuan akta kuasa menjual dalam Putusan Mahkamah Agung Nomor 1209 K/Pid/2022. Pendekatan perundang-undangan (statute approach), dengan menelaah ketentuan dalam UUJN dan KUHP khususnya Pasal 264 ayat (1) ke-1 jo. Pasal 55 ayat (1) ke-1 KUHP. Pendekatan kasus (case approach), dengan menganalisis pertimbangan hukum dalam Putusan Mahkamah Agung Nomor 1209 K/Pid/2022. Hasil penelitian menunjukkan bahwa Notaris Madiyana Herawati, S.H., Sp.N. terbukti secara sah dan meyakinkan membuat empat Akta Kuasa Menjual tanpa kehadiran penghadap serta menggunakan tanda tangan palsu atas nama pemberi kuasa (Suratinah). Tindakan tersebut memenuhi unsur tindak pidana pemalsuan surat otentik sebagaimana diatur dalam Pasal 264 ayat (1) ke-1 jo. Pasal 55 ayat (1) ke-1 KUHP. Dapat disimpulkan bahwa pembuatan akta kuasa menjual tanpa kehadiran penghadap dan dengan tanda tangan palsu telah memenuhi unsur tindak pidana pemalsuan surat otentik sebagaimana diatur dalam Pasal 264 ayat (1) ke-1 jo. Pasal 55 ayat (1) ke-1 KUHP. Notaris dalam perkara Putusan Mahkamah Agung Nomor 1209 K/Pid/2022 terbukti bertindak dengan kesengajaan (dolus) sehingga dapat dimintai pertanggungjawaban pidana dan dijatuhi pidana penjara selama 1 (satu) tahun 6 (enam) bulan.
