Abstract

The use of Artificial Intelligence in investment decision-making and corporate financial management constitutes part of the digital transformation in corporate governance, which requires legal certainty regarding the liability of the Board of Directors. While the use of AI has the potential to enhance efficiency and accuracy in business analysis, it simultaneously gives rise to legal risks where decisions generated by AI result in losses to the company.This study aims to analyze directors’ legal liability for corporate financial losses arising from the use of Artificial Intelligence in investment decisions and to examine the application of the Business Judgment Rule and fiduciary duty as forms of legal protection. This research employs normative legal methods using statutory and conceptual approaches, relying on primary, secondary, and tertiary legal materials. The findings indicate that AI does not constitute a legal subject; therefore, liability remains with directors as final decision-makers. The use of AI expands the directors’ duty of care by requiring technological risk awareness and system oversight. Legal protection under the Business Judgment Rule applies when decisions are made rationally, based on adequate information, and free from conflicts of interest. Excessive reliance on AI without critical evaluation may be considered negligence. Accordingly, AI utilization in corporations necessitates stronger fiduciary duty standards and good corporate governance.

Abstract

Asset Takeover (AYDA) constitutes a non-performing loan resolution mechanism recognized in banking practice, including in Rural Credit Banks (BPR). Although normatively permitted, its implementation may raise legal concerns, particularly when collateral is taken over without the debtor’s consent and without proper execution of security rights as regulated by law. This study aims to analyze debtor legal protection against unilateral collateral takeover by a BPR, based on Jember District Court Decision Number 128/Pdt.Bth/2023/PN Jmr, and to examine the application of the principles of legal certainty and good faith in the AYDA mechanism. This research employs normative legal methods using statutory and case approaches. The results of the study show that the legal protection for debtors for collateral taken over by BPR without the debtor's consent is based on the Jember District Court Decision Number 128/Pdt.Bth/2023/PN Jmr and analyzes the application of the principle of legal certainty and the principle of good faith in the AYDA mechanism, especially in the obligation of creditors who act honestly and fairly towards the debtor during the collateral takeover process. In addition,, Such practice also fails to reflect the principle of good faith as mandated under Article 1338 paragraph (3) of the Civil Code. The court decision affirms that creditors’ preferential rights are not absolute and must be exercised in accordance with statutory provisions and justice principles. Therefore, AYDA implementation must ensure transparency, proportionality, and adherence to legal certainty and good faith.

Abstract

This study aims to analyze the regulation and implementation of marital agreements under the Indonesian Marriage Law and to examine the legal considerations of the Supreme Court in Decision Number 1362 K/Pdt/2024. This research employs a normative juridical method. The findings indicate that in Decision Number 1362 K/Pdt/2024, the Supreme Court affirmed that a prenuptial agreement containing an imbalanced clause where all marital assets become the wife’s property while all obligations are imposed upon the husband contradicts the principle of balance (the principle of equality). This decision emphasizes that freedom of contract in marital agreements is not absolute, but must be limited by the principles of substantive justice and the protection of the weaker party.

Abstract

Penelitian ini menganalisis secara yuridis penggunaan akta nominee dalam kepemilikan tanah serta pertimbangan hukum hakim dalam Putusan Pengadilan Negeri Gianyar No. 259/Pdt.G/2020/PN.Gin. Penelitian ini Bertujuan “Untuk Menganalisis Pengaturan Penggunaan Akta Nomine Dalam Kepemilikan Tanah Menurut Undang-Undang Nomor 5 Tahun 1960 tentang Peraturan Dasar Pokok-Pokok Agraria dan Surat Edaran Mahkamah Agung Nomor 10 Tahun 2020, dan Pertimbangan Hukum Hakim dalam Putusan Nomor 259/Pdt.G/2020/PN.Gin.” Akta nominee merupakan perjanjian pinjam nama yang mencantumkan WNI menjadi pemilik formal hak milik atas tanah, dan penguasaan dan pembiayaan berasal dari WNA sebagai bentuk penyiasatan terhadap pembatasan kepemilikan. Studi ini menerapkan metode hukum normatif melalui pendekatan perundang-undangan dan studi kasus. Temuan yang ada menjabarkan praktik tersebut bertentangan dengan asas nasionalitas pada UUPA, khususnya Pasal 21 ayat (1) dan Pasal 26 ayat (2), serta tidak memenuhi syarat causa yang halal menurut Pasal 1320 dan 1337 KUHPerdata. Majelis hakim menilai substansi dan tujuan perjanjian, bukan sekadar bentuk formalnya, sehingga menyatakan perjanjian nominee batal demi hukum dan tidak memperoleh perlindungan hukum.

Abstract

Penerapan prinsip Environmental, Social, and Governance (ESG) merupakan isu penting dalam tata kelola perusahaan untuk mendukung pembangunan berkelanjutan, namun di Indonesia kewajiban Direksi Perseroan Terbatas dalam menerapkannya belum diatur secara eksplisit dalam satu norma hukum tunggal dan masih tersebar dalam berbagai regulasi. Penelitian ini bertujuan menganalisis pengaturan hukum, implementasi ESG di Kawasan Industri Medan, serta hambatan dan upaya penguatannya dengan metode yuridis empiris dan pendekatan kualitatif-deskriptif. Hasil penelitian menunjukkan bahwa ESG masih dipandang sebagai soft obligation sehingga implementasinya menghadapi kendala berupa ketidakjelasan regulasi, keterbatasan pemahaman Direksi, orientasi bisnis jangka pendek, serta lemahnya pengawasan dan partisipasi pemangku kepentingan, sehingga diperlukan penguatan regulasi dan integrasi ESG dalam tanggung jawab hukum Direksi.

Abstract

The development of Indonesian positive law has provided more detailed guidelines regarding procedures for policy cancellation, disclosure obligations, and mechanisms for objections by policyholders, affirming that insurance companies may not unilaterally cancel policies unless supported by clear legal grounds and carried out in accordance with lawful procedures. This study aims to analyze the legal liability of insurance companies for unlawful acts and to examine judicial considerations in Decision No. 4943 K/Pdt/2024. The research employs a normative juridical method using statutory, case, and conceptual approaches, with data obtained through library research and analyzed qualitatively using legal reasoning analysis. The findings indicate that unilateral cancellation of an insurance policy without lawful grounds constitutes a violation of law that gives rise to legal liability for the insurance company, as such actions fulfill all elements of an unlawful act under Article 1365 of the Indonesian Civil Code, namely the existence of an act, fault, damage, and a causal relationship. The Supreme Court emphasized that insurance companies cannot evade liability on unilateral grounds, as the refusal to pay claims and cancellation of policies contradict the principles of pacta sunt servanda and good faith; therefore, insurers are obliged to compensate the injured party. The implications of this decision confirm that the legal liability of insurance companies is firm and cannot be set aside, while also strengthening legal protection for policyholders and reinforcing the application of good faith and legal certainty in insurance practices in Indonesia.
