Abstract

Monetary crisis that happened during 1997-1998 had made the Indonesian Government to reform its policy in the monetary system. The most important reformation is in the financial institution. Indonesian government decided to establish a special committee to stabilize the financial system. The legal issue of this paper is the establishment of the Financial System Stability Committee. The purpose of this paper is to understand the reasoning behind the establishment and the operating system of the committee from the point . This is a normative legal research based on secondary sources. This research showed that Financial System Stability Committee based on the Law Number 9 year 2016 on Prevention and Mitigation of Financial System Crisis had to coordinate with its committee member : to preserve and maintain the financial system stability; to handle if the crisis actually happened; to handle the systemic banking problem both in the crisis situation or normal situation.Key words : Bank systemic, financial crisis

Abstract

Supervision of market activities and competition in Islam has existed since the time of Prophet Muhammad PBUH and, at the same time, became a duty of an official called a muhtasib (supervisor). Al-Hisbah, as a controller institution for economic activities and market competition, aims to uphold the amar ma'ruf nahi munkar (commanding the good and forbidding the evil). Meanwhile, KPPU, as an independent institution, functions as a controller of the practice of monopolies and unfair business competition in Indonesia under the principle of economic democracy to support national economic development. This research uses the juridical-normative method with a historical and conceptual approach. Having compared the role of KPPU in supervising business competition to al-hisbah institution in Islam, this study finds out that KPPU, in general, is similar to al-hisbah on account that the substance and the values contained in al-hisbah have been embedded in KPPU especially in upholding amar ma'ruf nahi munkar in economic activities and business competition.

Abstract

Act Number 4 of 2023 expands the  Financial Services Authority (known as Otoritas Jasa Keuangan/OJK), as the leading sector in investigating money laundering crimes initiated by criminal acts in the financial services sector. However, this provision has resulted in many legal ambiguities, such as who can explore the predicate crime, what the optimal division of authority between the police and the OJK is, and what the consequences of the OJK's authority as a sole investigator. This article is here to identify the legal ambiguities arising from the expansion of OJK authority and to offer solutions that focus on strengthening harmonization and coordination between related institutions. The approach includes an analysis of available legal instruments, relevant case studies, and other policies used to address financial service crimes, such as banking fraud. The results of this study are expected to contribute positively to the expansion of the authority of the OJK in enhancing the effectiveness of money laundering investigations. In addition, this article also contributes to providing concrete recommendations to overcome legal ambiguities by strengthening cooperation between institutions and formulating more integrated policies.

Abstract

Introduction: This article examines the legal challenges in the absence of specific regulations governing group companies (holding) in Indonesia, especially within State-Owned Enterprises (SOEs). The core issue lies in determining the liability of the parent company for losses incurred by its subsidiaries due to unclear corporate accountability structures and control relationships in the SOE holding framework.Purposes of the Research: The purpose of this study is to analyze the legal framework that governs the relationship between a parent company and its subsidiaries in SOE holding structures, with particular attention to the responsibility of corporate organs in addressing subsidiary business risks.Methods of the Research: This study applies normative juridical research using a statutory and case-based approach. The analysis is based on secondary legal materials and is supported by comparative law methods from other jurisdictions to evaluate the application of doctrines such as piercing the corporate veil and business judgment rule.Results of the Research: The findings show that the doctrine of piercing the corporate veil may apply when the parent company’s actions result in harm to subsidiaries. However, corporate organs remain protected under the business judgment rule if acting in good faith. This study contributes by offering a legal framework for parent-subsidiary accountability in SOE holdings and comparing it with international practices.

Abstract

Small Enterprises are growing rapidly in Indonesia, and play an important role in economic development in Indonesia. The emergence of Law Number 11 of 2020 concerning Job Creation has contributed to the ease of establishing a limited liability company for Small Enterprises. It supports the development of Small Enterprises, with the Job Creation Law the establishment of a company no longer requires a notary deed but can be registered easily on the official website of the Directorate General of Administration Of General Laws. The author wants to see how the establishment of a limited liability company by Small Enterprises is based on the Job Creation Law and see the differences in the procedure for independent establishment and establishment using a notarial deed. The benefit of this research is that to contributes to legal thinking and becomes a reference that related to the topic. The research method used is normative juridical, with a conceptual and statutory approach, secondary data collection, qualitative data types, with library study data collection techniques to be analyzed using descriptive analysis techniques. The results of the author's research on establishment by Small Enterprises are carried out on the website of the Directorate General of Administration Of General Laws and can be established by one person aged at least 17 years and fulfills the requirements in the form, which later if received will get a legal entity establishment certificate. The difference between those established with a notary is that the process of establishment with a notary deed is longer and has a deed of establishment, ownership by Small Enterprises as sole ownership, the legal basis on which Small Enterprises is based refers to the Job Creation Law while with a notary deed it is more Limited Liability Company Law.

Abstract

Tujuan penelitian ini untuk mengetahui dan menganalisis perbandingan pengaturan BOT diberbagai negara Asean sebagai acuan pembaharuan hukum BOT di Indonesia. Pembangunan infrastruktur baik sarana dan prasarana adalah kewajiban pemerintah. BOT sebagai alternatif pembiayaan harapannya dapat memenuhi kebutuhan itu. Namun pada tataran regulasi perlu juga diperbaiki agar dapat memberikan kepastian dan keadilan bagi semua pihak, seperti halnya regulasi BOT yang dibuat oleh Filipina yang kemudian membawa ketertarikan bagi swasta asing ataupun lokal untuk ikut terlibat membangun infrastruktur di negaranya. Metode penelitian yang digunakan adalah yuridis normatif dengan pendekatan perundang-undangan, konsep, dan perbandingan, bahan hukum yang dikumpulkan adalah bahan hukum sekunder baik itu putusan ataupun peraturan-peraturan terkait. Konsep umum BOT disebut Project Finance, dengan dua peserta utama, yaitu pemerintah tuan rumah dan sponsor swasta. BOT di Indonesia, Fililipina, Malaysia, dan Vietnam sangatlah beragam. Pengaturan ini dibuat menyesuaikan dengan kondisi negara masing-masing. Perbandingan BOT antara Indonesia dengan Filipina, Malaysia, dan Vietnam menjelaskan bahwa BOT di Indonesia masih sangat liberal dan tidak pro nasionalisasi, hal tersebut dapat dilihat pada tidak adanya aturan mengenai kepemilikan saham perusahan BOT yang dimiliki oleh orang Indonesia, bahkan jangka waktu konsesi, serta model penyelesaiannya.

Abstract

Agricultural cooperatives play a strategic role in national economic development, particularly in strengthening food security and empowering farmers. However, their contribution in Indonesia remains low due to weak institutions and historical dependence on state intervention. This article examines the role of legal structure in building integrated and independent agricultural cooperatives, using a normative legal approach and Lawrence M. Friedman's legal system theory, which emphasizes three main elements: structure, substance, and legal culture. Findings indicate that the failure of cooperatives like Agricultural Cooperative and Village Unit Cooperative was triggered by ineffective, bureaucratic, and unresponsive legal structures that failed to adapt to grassroots institutional dynamics. Compared to the success of the National Agricultural Cooperative Federation (NACF) in South Korea, legal structure reforms in Indonesia need to focus on strengthening cooperative institutions, promoting vertical-horizontal integration, and fostering solid inter-agency coordination. The state should act as a facilitator, not a dominator, by providing a legal ecosystem that enables cooperatives to grow as competitive, inclusive, and sustainable people's economic forces.

Abstract

The establishment of the Individual Limited Liability Company in Indonesia presents several fundamental issues related to the validity of incorporation documents, ambiguity regarding the pre-approval period, and conceptual inconsistencies between Government Regulation No. 8 of 2021 and the Limited Liability Company Law. One of the main issues is the absence of a notarial deed, which is often the legal basis for establishing a legal entity in Indonesia, creating legal uncertainty for third parties. Additionally, the misalignment in the use of the terms “registration” and “approval” in this regulation contributes to confusion about when the legal entity status of the Individual Limited Liability Company can be obtained. Another issue is the organizational structure of the Individual Limited Liability Company, which combines the functions of shareholder and director in a single individual, eliminating the basic principles of power separation and fiduciary duty that underpin good governance. This also hinders the application of the Piercing the Corporate Veil doctrine and blurs the boundary between the owner and the company itself. The absence of a Supervisory Board in this structure further exacerbates the situation as there is no adequate oversight mechanism. Therefore, an update to Government Regulation No. 8 of 2021 is needed, which includes the obligation for a declaration of establishment before a notary, clarity on the personal responsibility of the founder before approval, and the regulation of a periodic reporting mechanism. In the long term, legislative reforms are necessary to create a new legal entity distinct from the Limited Liability Company Law, considering lessons from other jurisdictions and the values of Pancasila.
