Abstract

Tulisan ini menguraikan langkah-langkah hukum yang dapat ditempuh dalam proses pembuatan akta di hadapan Notaris apabila salah satu pihak tidak dapat hadir secara langsung di hadapan pejabat umum tersebut. Dalam praktik pembuatan akta otentik, kerap terjadi keadaan di mana salah satu penghadap berhalangan hadir karena alasan tertentu. Penulis menerapkan metode penelitian hukum normatif dengan pendekatan peraturan Perundang-Undangan dan studi kepustakaan untuk menelaah serta menemukan solusi mengenai prosedur yang dapat ditempuh para pihak dalam pembuatan akta perjanjian. Artikel ini menekankan bahwa proses pembuatan akta harus berlandaskan asas itikad baik sehingga ketidakhadiran salah satu pihak tidak menimbulkan kerugian bagi pihak mana pun. Lebih lanjut, dijelaskan pula bahwa terdapat beberapa mekanisme yang dapat diambil apabila salah satu pihak berhalangan, antara lain memberikan surat kuasa atau meminta Notaris untuk datang ke pihak yang bersangkutan dengan memenuhi persyaratan tertentu.

Abstract

The purpose of this study is to determine the form of legal protection for customers against unilateral account blocking by banks based on the perspective of prudence and to determine the legal consequences of agreements between banks and customers regarding such legal actions. This type of research uses a normative juridical approach, which means that it examines and analyzes the relationship between one law and another by considering the starting point of the research analysis of laws and regulations, using a legislative and conceptual approach. The results of this study indicate that legal protection for customers can be achieved through transparency and credibility of information, implementation of the principle of bank secrecy, and optimization of the role of the Deposit Insurance Corporation (LPS), as stated in the Banking Law. In addition, banks must adhere to the implementation of the principle of prudence so that the implementation of legal protection for customers is realized properly, thereby maintaining customer trust. The legal consequence of this action is that the bank's actions fall under the category of unlawful acts, thereby obligating the bank to compensate the customer

Abstract

State-owned enterprise faces complex business dynamics, including the risk of state losses due to managerial decisions. The Business Judgment Rule (BJR) principle serves as the basis for legal protection for the direction to make business decisions with professional freedom, as long as the decisions are made in good faith, with caution, and without conflict of interest. However, the application of this principle in Indonesia is still inconsistent, as seen from cases such as Pertamina and Merpati Nusantara Airlines which show heterogeneity in the assessment of the legal responsibility of directors. The focus of this study is: first, to find the meaning of state losses in the context of State-owned enterprise based on the BJR principle; and to formulate a concept so that the BJR doctrine is not misused. The study uses a normative juridical method (research law) with a doctrinal approach to examine changes in the meaning of state losses in State-owned enterprise based on the Business Judgement Rule.

Abstract

The transformation toward sustainable development requires the renewal of the investment law system so that it aligns with environmental, social, and economic principles as mandated in the Sustainable Development Goals (SDGs). This study analyzes the direction of green investment law formation in Indonesia through three main focuses: the existing regulatory framework, juridical barriers in its implementation, and the ideal normative model to strengthen the legal resilience of sustainable investment. The results show that green investment regulations remain sectoral and fragmented across various laws, such as the Investment Law, the Environmental Protection Law, and technical policies like the OJK Green Taxonomy. This fragmentation creates legal uncertainty, overlapping authorities, and gaps between technocratic policies and formal legal norms. These obstacles are exacerbated by weak institutional coordination, the absence of a legal definition of green investment, and the lack of binding incentive and supervision mechanisms. This study recommends the establishment of a lex specialis on green investment, strengthening the legal status of the Green Taxonomy, creating an integrated green licensing system, and reinforcing ecological protection obligations as a mechanism for intergenerational justice. Therefore, the formation of a comprehensive and integrated green investment legal framework is necessary to create legal certainty, enhance the attractiveness of sustainable investment, and strengthen Indonesia’s commitment to achieving the SDGs.

Abstract

An authentic deed drawn up by a notary, even though it has high legal force, can be revoked if it is made with elements of abuse of circumstances (misbruik van omstandigheden). One example is the case recorded in Decision Number 106 PK/Pdt/2020, where an agreement made before a notary was revoked due to an imbalance in bargaining position that was detrimental to one of the parties. This normative juridical research concludes that abuse of circumstances, especially economic advantage, is a form of defective will that makes the notarial deed not meet the requirements for a valid agreement as stipulated in Article 1320 of the Civil Code. This shows that the principle of freedom of contract is not absolute and must be based on the principles of justice and protection of the weaker party. In addition, notaries have legal and ethical responsibilities for the deeds they draw up. If proven negligent or biased, notaries can be subject to sanctions. This emphasizes the importance of notarial integrity in maintaining public trust.

Abstract

The provision of credit to Micro, Small, and Medium Enterprises (MSMEs) often uses a Power of Attorney to Charge Mortgage Rights (SKMHT) as the initial binding of collateral before making a Deed of Granting Mortgage Rights (APHT). However, the regulation of the SKMHT period creates legal uncertainty, especially regarding Article 15 paragraphs (3) and (4) of the Mortgage Rights Law and banking technical provisions. The ambiguity of norms affects legal protection for creditors and debtors and may cause disputes in executing collateral.This research first analyzes the regulations on the SKMHT period and the vagueness of norms in MSME credit with land collateral. Second, it evaluates the reconstruction of ideal norms for SKMHT period settings to ensure legal certainty and protection in MSME credit practices.The research uses three approaches: the Statute Approach to examine SKMHT regulations, the Conceptual Approach to analyze legal doctrines, and the Comparative Approach to compare legal arrangements or court decisions from other countries.Three legal theories are applied: Legal Certainty Theory to resolve SKMHT term issues, Legal Protection Theory to analyze protection for creditors and debtors, and Responsibility Theory to review obligations of parties in MSME credit.The results show unclear norms cause legal uncertainty, and failure to convert SKMHT into APHT results in nullity. Therefore, reconstruction of SKMHT term norms in MSME credit with land collateral is required to ensure permanent legal force.
