Abstract

As a global principal, corporations have the obligation to comply with national and international hard law of human rights, respect soft laws and global standards. The United Nations Guiding Principles on Business and Human Rights (GPs) of 2011 were unanimously endorsed by the Human Rights Council and are respected as a global standard that stipulates that corporations should respect human rights when conducting their business activities. The purpose of this paper is to examine the scope and focus of National Action Plans (NAPs) by comparing the Netherlands NAP on Human Rights (2013) is compared to the UK’s updated NAP of 2016 with the aim of providing ideas and good examples of a NAP for Indonesia. This study used normative legal method. It is considered to be a valuable lesson both for developed and developing countries that for practical matters it is highly important to create and implement a NAP for the implementation of the GPs. Fortunately, Indonesia in June 2017 has launched a National Action Plan on Business and Human Rights (NAP). The burden responsibility to carry out the NAP on Business and Human Rights to corporation to be implemented strongly rests on the government authorities both central government and all levels authorities, including the local level, have the duty to implement human rights obligation, including to convince corporations that upholding the GPs will ultimately be to their benefit.

Abstract

The development of the 5.0 era, namely the era of the internet of things, made Land Deed Maker Officials required to follow the development of digitalization, one of which was by making an electronic Land Deed Making Official deed. The purpose of this research is to examine and analyze the arrangement and strength of the proof of the deed which is made electronically. This study uses a normative legal research method with statute approach and an analytical approach. The study indicates that the arrangement for the deed of granting mortgage rights is made by the Land Deed Making Officer submitted in electronic form as stipulated in Article 9 paragraph (4) of the Minister of ATR/KBPN No. 5 of 2020 which is related to Article 86 of PP 18/2021, but is still experiencing a blurring of norms because it is not clear what PPAT deeds are made electronically so that they do not provide legal certainty, and the power of proof of deeds made electronically does not have the power of proof which is perfect as an authentic deed and cannot be used as legal evidence in court so that it cannot be enforced because it is not in accordance with the provisions of Article 5 paragraph (4) letter b of the ITE Law. Therefore, it is urgent to harmonize policies related to electronic deeds Perkembangan zaman era 5.0 yaitu era internet of things membuat Pejabat Pembuat Akta Tanah dituntut harus mengikuti perkembangan digitalisasi salah satunya dengan membuat akta Pejabat Pembuat Akta Tanah secara elektronik. Tujuan penelitian ini untuk mengkaji dan menganalisa pengaturan dan kekuatan pembuktian akta tersebut yang dibuat secara elektronik. Studi ini menggunakan metode penelitian hukum normatif dengan pendekatan Perundang-Undangan dan pendekatan Analisis. Hasil penelitian menunjukkan bahwa pengaturan akta pemberian hak tanggungan dibuat oleh Pejabat Pembuat Akta Tanah disampaikan dalam bentuk elektronik sebagaimana ketentuan Pasal 9 ayat (4) Permen ATR/KBPN No. 5 Tahun 2020 yang memiliki keterkaitan dengan Pasal 86 PP 18/2021, namun masih mengalami kekaburan norma karena belum jelasnya akta-akta PPAT apa saja yang dibuat secara elektronik sehingga tidak memberikan kepastian hukum, serta kekuatan pembuktian akta yang dibuat secara elektronik tidak memiliki kekuatan pembuktian yang sempurna selayaknya akta otentik serta tidak dapat dijadikan alat bukti yang sah di pengadilan sehingga tidak dapat diberlakukan karena tidak sesuai dengan ketentuan Pasal 5 ayat (4) huruf b UU ITE. Oleh karenanya, urgen harmonisasi kebijakan yang terkait dengan akta elektronik.

Abstract

Preventing early childhood marriage (ECM) can protect children’s rights from the perspective of human rights. There are several rules regarding the age limit for marriage. In Indonesia, the minimum age for marriage is nineteen years. However, in fact, early child marriage is still relatively high, with the seventh highest ranking in the world. This study aims to elaborate on the rights of children, which ECM potentially violates, and to identify who is responsible for minimizing and/or combating this phenomenon. This normative legal research with a human rights approach occurs in the childhood protection context. The results show that ECM has implications for violations against the right to life, the right to education, the right to develop, and the right to health. Thus, more stringently applying international and national law and combining with local wisdom (Balinese Customary Law) in protecting children's rights in the context of preventing ECM can prevent ECM effectively and minimize violations of other children's rights. Moreover, it is believed that the responsibility to reduce and combat ECM not only belongs to the government but also to all stakeholders within the community, such as families, academics, the media, non-profit organizations, entrepreneurs, and customary.

Guna menunjukkan identitas maupun kekhasan produk dagang yang dimilikinya maka dibuatkanlah merek dagang. Permasaahannya adalah merek ini membutuhkan pendaftaran terlebih dahulu agar mendapat perlindungan hukum. Metode kegiatan yang dilakukan adalah dengan observasi dan sosialisasi. Hasilnya masyarakat dapat mengikutinya terkait cara membuat merek dagang serta tahap-tahap dalam melakukan pendaftaran mereknya.

Abstract

The digitalization of business law is one of the impacts of the development of technology and information. The development of technology and information is identical to the phenomenon of digitization, especially in the context of legal practice. This research gap is the existence of voids and overlapping legal rules related to technological developments in business where there should be legal rules that are general in nature and can accommodate business developments. This study aims to analyze the urgency and orientation of business law in the midst of the development of technology and information, especially with the development of the industrial revolution 4.0 and society 5.0. This research is a normative legal research. The results of the study confirm that the urgency of digitizing business law is by establishing laws and regulations that are in accordance with the needs of digitizing business law as well as the need for harmonization and revision of various existing regulations so that the law. In this case, the law can meet the demands of digital business practices in society. Laws in this case are regulations made by the central government to regulate and anticipate developments in business law so that one law with another may not overlap which has an impact on legal uncertainty in society. The orientation of business law in treading the era of the industrial revolution 4.0 and society 5.0 is that business law, especially business contracts, will become an instrument that is often used, especially digital business contract instruments. Furthermore, it is necessary to harmonize and even establish various laws and regulations using the omnibus law method to facilitate various overlapping laws and regulations as well as efforts to facilitate business development.

Abstract

The purpose of this paper is to elaborate on the agreement model and important clauses related to business development based on paid promotion on social media in the era of a hyper-connected society that is beneficial for all parties. This paper uses a normative legal research method with a statutory, conceptual, and analytical approach. The electronic-based business development agreement model of paid promotion on social media in the era of a hyper-connected society can be categorized as a creative variant of a service agreement. Although the tendency in business development with paid promotion on social media is in the form of standard contracts, in the context of an agreement that is legal, fair, and beneficial for the parties, the characteristics of the paid-promote agreement model become relevant to be stated in the form of agreement clauses. Those are the obligation to upload content, obligation to pay promotion fees, uploaded content, amount of uploaded content, the precise time to upload content, duration of displaying uploaded content, number of followers on social media, price, promotion fees, payment mechanism, period and expiration of paid promote agreement, the event of default, as well as dispute resolution. Accuracy in elaborating the elements of the agreement and their detailed placement in firm clauses leads to legal certainty, expediency, and reduces legal risks, especially for Micro, Small, and Medium Enterprises and start-up businesses who are just starting to develop their business by using paid-promote agreement model in the hyper-connected era as an alternative.

Abstract

Kesehatan bank termasuk Bank Perkreditan Rakyat tidak bisa dilepaskan dari peran Komisaris dalam tata kelola institusi perbankan. Tulisan ini bertujuan untuk mengelaborasi fungsi kontrol dan tanggung jawab Komisaris dalam pengelolaan Bank Perkreditan Rakyat yang sehat dalam kaitannya dengan prinsip GCG serta Asas Itikad Baik. Metode yang digunakan untuk menganalisis relevansi antara asas itikad baik dengan GCG bagi kesehatan bank adalah metode normatif. Jenis pendekatan perundang-undangan serta  pendekatan konsep, diantaranya konsep CSR dipergunakan dalam studi ini. Hasil studi menunjukkan bahwa Komisaris  sebagai wakil pemegang saham berperan penting dalam rangka GCG dan asas itikad baik yaitu bertanggungjawab melakukan pengawasan secara independen  dan  fungsi kontrol  terhadap Dewan Direksi yang menjalankan pengelolaan dalam rangka mewujudkan dan secara berkesinambungan meningkatkan kesehatan bank.Kata kunci: GCG; Asas Itikad Baik; Komisaris; Kesehatan Bank.

Abstract

Tujuan studi ini untuk mengkaji pengaturan perjanjian endorsement pada aplikasi instagram berdasarkan peraturan perundang-undangan di Indonesia serta mengkaji perlindungan hukum terhadap pihak pemilik bisnis, selebgram maupun konsumen dari adanya perjanjian endorsement pada aplikasi Instagram. Studi ini menggunakan penelitian hukum normatif dengan jenis pendekatan yuridis normative yaitu pendekatan peraturan perundang-undangan dan konsep. Hasil penelitian menunjukan bahwa pengaturan perjanjian endorsement pada aplikasi instagram berdasarkan peraturan perundang-undangan di Indonesia dapat menggunakan ketentuan Pasal 1320 KUH Perdata. Pada intinya selama perjanjian tersebut memiliki kesepakatan, dibuat oleh pihak yang cakap hukum, adanya suatu hal tertentu dan sebab yang halal maka perjanjian tersebut sah dimata hukum dan memiliki kekuatan hukum. Meskipun pada kenyataannya dalam perjanjian endorsement, sering ditemukan bahwa syarat sahnya perjanjian tersebut belum terpenuhi sehingga menyebabkan perjanjian tersebut batal demi hukum atau dapat dibatalkan. Maka dari itu sudah seharusnya ada ketentuan yang mengatur mengenai endorsement di Indonesia seperti yang ada pada negara maju lainnya. Perlindungan hukum terhadap pihak pemilik bisnis, selebgram maupun konsumen dari adanya perjanjian endorsement pada aplikasi instagram menggunakan perlindungan hukum represif yang termuat dalam Pasal 1243 KUH Perdata dan menuntut ganti kerugian, hal yang sama juga berlaku pada selebgram apabila ia merasa dirugikan dari adanya perjanjian tersebut. Sedangkan bagi pihak followers yang mengalami kerugian akibat adanya suatu kegiatan endorsement berhak untuk mendapatkan perlindungan sesuai dengan apa yang tertuang dalam UUPK. ABSTRACT The purpose of this study is to examine the arrangements for endorsement agreements on Instagram applications based on Indonesian laws and regulations and to examine legal protection for business owners, celebrities and consumers from endorsement agreements on the Instagram application. This study uses normative legal research with a normative juridical approach, namely laws and concepts. The results of the study show that the arrangement of endorsement agreements on the Instagram application based on Indonesian laws and regulations can use the provisions of Article 1320 of the Civil Code. In essence, as long as the agreement has an agreement, is made by a legally competent party, there is a certain matter and a lawful cause, the agreement is legal in the eyes of the law and has legal force. Despite the fact that in the endorsement agreement, it is often found that the legal terms of the agreement have not been met, it causes the agreement to be null and void or can be cancelled. Therefore, there should be provisions governing endorsements in Indonesia, like those in other developed countries. Legal protection for business owners, celebrities and consumers from an endorsement agreement on the Instagram application is Repressive legal protection based on Article 1243 of the Civil Code and demand compensation, the same thing applies to celebrities if they feel harmed by the agreement. Meanwhile, followers who experience losses due to an endorsement activity are entitled to protection in accordance with what is stated in the UUPK.

Abstract

Penelitian ini berfokus pada analisis atas isu hukum yaitu konflik aturan antara Pasal 65 ayat (6) UU Perdagangan dengan Pasal 80 PP PMSE terkait dengan sanksi administratif dalam perspektif Economic Analysis of Law (EAL). Hal ini karena dalam perspektif EAL, peran pemerintah penting sebagai regulator atas berbagai perkembangan bisnis yang ada. Penelitian ini merupakan penelitian hukum normatif dengan pendekatan konseptual dan perundang-undangan. Hasil penelitian menegaskan bahwa problematika hukum terkait sanksi administratif dalam bisnis digital adalah adanya konflik hukum terkait sanksi administratif dalam bisnis digital yaitu sebagaimana dalam ketentuan Pasal 65 ayat (6) UU Perdagangan dengan Pasal 80 PP PMSE. Berdasarkan asas lex superior derogate legi inferior ketentuan Pasal 65 ayat (6) UU Perdagangan lah yang berlaku. Hal ini dikarenakan berdasarkan ketentuan Undang-Undang No. 12 Tahun 2011 Tentang Pembentukan Peraturan Perundang-Undangan (UU P3), maka secara hierarkis kedudukan UU Perdagangan adalah lebih tinggi dari PP PMSE. Hal ini berimplikasi bahwa setiap pelaku usaha bisnis digital yang tidak mencantumkan informasi atau data yang wajib dituangkan dalam bisnis digital sebagaimana dalam Pasal 65 ayat (4) UU Perdagangan, maka dikenakan sanksi administratif berupa pencabutan izin.   Sanksi administratif bisnis digital dalam perspektif EAL adalah tidak memenuhi aspek keberdayagunaan (utility), nilai (value), serta efisiensi (efficiency). Hal ini dikarenakan Pasal 65 ayat (6) UU Perdagangan justru menempatkan sanksi administratif berupa pencabutan izin secara langsung sebagai langkah utama, sehingga dapat berimplikasi pada iklim bisnis yang kondusif di masyarakat. Dengan demikian, mengacu pada analisis EAL maka ketentuan yang relevan adalah diberlakukannya sanksi administratif secara berjenjang sebagaimana dalam Pasal 80 PP PMSE. Oleh karena itu, ke depan perlu adanya revisi ketentuan dalam Pasal 65 ayat (6) UU Perdagangan sehingga dikonstruksikan sesuai dengan rumusan Pasal 80 PP PMSE.
