Abstract

This study aims to analyze the fulfillment of National Health Insurance Rights (JKN) for workers who experience Termination of Employment (PHK) at PT. FI and evaluate the regulation of JKN rights after layoffs that provide justice for workers. The method used is normative legal research with a qualitative approach, which includes the selection and classification of legal materials as well as normative analysis of relevant regulations. Based on field findings, this study shows that there are administrative errors in reporting the status of layoffs that cause delays in fulfilling health insurance rights for laid-off workers. In addition, this study also found that even though the post-layoff JKN regulation has been regulated in the law, improper implementation can hinder the granting of rights fairly. This study recommends simplifying reporting procedures, increasing supervision by BPJS Kesehatan, and further education for companies to avoid administrative errors. Thus, this study contributes to the understanding of the importance of social justice in regulating health insurance for laid-off workers.

Abstract

Force majeure is an unexpected or unknown event which occur out of control that obstructs a party to fullfill the obligations in the agreement. This clause exempts the parties from the obligation to compensate either overall or partially for conducting default on contract. This research is normative legal research conducted by examining secondary, primary, and tertiary legal materials. As for research, conducted using conceptual approach and statute approach. The results show that COVID-19 is a relative force majeure. This condition affects the debtor’s economic ability to pay premiums to insurance companies every month. But according to article 1244 ICC the debtor must prove that the condition cannot be blamed on them. After it is proven article 1245 ICC can be applied which exempts the debtor from the obligation of compensation. In the face of COVID-19 as a force majeure insurance companies can implement an agreement restructuring policy in accordance with Financial Services Authority Regulations Number 14 of 2020. By implementing this policy insurance company can avoid the cancellation of the agreement due to force majeure.

Abstract

Penelitian ini bertujuan untuk melakukan investigasi praktik perjanjian Nominee. Lingkup yang dikaji adalah perjanjian Nominee antara pemegang saham Nominee dan Beneficiary berdasarkan hukum dan undang-undang perseroan terbatas di Indonesia. Metode penelitian yang digunakan adalah kualitatif dengan pengumpulan data sekunder berupa buku, jurnal, tesis bahan-bahan seminar serta regulasi dan putusan pengadilan terkait yaitu Putusan Pengadilan Negeri Medan Nomor: 1269 /Pid.B/2013/PN.Mdn. Fakta yang ditemukan adalah sengketa dalam putusan pengadilan disebabkan karena perbuatan memasukan keterangan palsu kedalam akta otentik sehingga Beneficiary mengalami kerugian. Namun hakim memutuskan bahwa perbuatan tersebut bukanlah wilayah pidana sehingga permasalahan antara beneficiary dengan pemegang saham nominee tidak terselesaikan. Hasil dari penelitian ini adalah pebuatan perjanjian nominee tersebut bukanlah perbuatan yang sesuai dengan itikad baik dan permasalahan hukum antara nominee dengan beneficiary dapat diselesaikan secara keperdataan apabila salah satu pihak ada yang dirugikan.

Abstract

This study investigates the principle of simple proof in Indonesian bankruptcy law, as stipulated in Article 8(4) of Law No. 37 of 2004, and its inconsistent application in judicial practice. The purpose of the research is to critically examine the disparity in court decisions regarding the interpretation of "simple proof" and to propose a more objective and balanced evidentiary standard. Employing a normative juridical methodology, the study integrates statutory, case-based, and conceptual approaches, focusing on the Central Jakarta Commercial Court Decision No. 23/Pdt.Sus-Pailit/2022 and its affirmation by the Supreme Court Decision No. 1714 K/Pdt.Sus-Pailit/2022. These rulings illustrate a substantive judicial interpretation that deviates from the formal criteria of simple proof, resulting in the dismissal of a bankruptcy petition despite the fulfillment of normative requirements. The findings reveal that the absence of clear parameters for simple proof has led to disparities in judicial decisions, undermining legal certainty and creditor protection. The originality of this study lies in its typological classification of disparity in Indonesian bankruptcy rulings and its formulation of a proposed evidentiary framework aimed at reducing judicial inconsistency. The research recommends issuing a Supreme Court Circular (SEMA) or revising the Bankruptcy Law to ensure consistent, equitable adjudication. These reforms are essential to upholding the principles of justice and balance in bankruptcy proceedings.

Abstract

Employment relations in Indonesia are regulated in the 1945 Constitution and the Manpower Law, which guarantee workers' rights to employment and fair treatment. However, in practice, there has been a shift in terminology and work patterns, especially with the implementation of partnership patterns by companies to avoid employment obligations. This study highlights the implementation of partnership patterns at PT ABC which changes the status of warehouse workers to partners, thereby eliminating normative rights such as minimum wages, social security, and other benefits. Changes in terminology such as "wages" to "service fees" and "working hours" to "service hours" blur the boundaries between employment and partnership relationships. This leads to labor exploitation. This study analyzes the principles of employment agreements in partnership patterns and their impact on the protection of warehouse workers at PT ABC. The results of the study indicate that partnership patterns can be a legal loophole for companies to avoid employment obligations, so stricter regulations are needed to protect workers' rights.

Abstract

This study examines the legal conflict between workers' wage claims and state tax obligations in bankruptcy proceedings under Indonesian law, focusing on the constitutional imperative to prioritize workers' rights. The Introduction contextualizes the tension between Article 95(4) of the Labor Law, which mandates wage prioritization, and tax legislation granting precedence to state claims, highlighting the landmark Constitutional Court Decision No. 67/PUU-XI/2013 that affirmed workers' constitutional rights to timely wages. Employing a Method of normative legal research, the analysis integrates statutory and case approaches, reviewing laws on bankruptcy (UU No. 37/2004), labor rights, and taxation, alongside judicial decisions and international frameworks like ILO Conventions No. 100 and 111. Results reveal that while the Constitutional Court’s decision established workers’ absolute priority over tax claims, regulatory disharmony persists due to conflicting provisions in the Tax Law (UU KUP) and the 2020 Job Creation Law (UU Cipta Kerja), which ambiguously subordinates tax claims only to secured creditors. Discussion underscores the necessity for legal synchronization to align labor and tax regulations, ensuring compliance with Gustav Radbruch’s principles of legal certainty and Hans Kelsen’s normative hierarchy. The study advocates legislative reforms to codify workers’ priority in bankruptcy, drawing parallels with Malaysia’s Employment Act 1955 and France’s AGS system, which institutionalize wage protection. By addressing regulatory contradictions, Indonesia can harmonize constitutional mandates with fiscal policies, balancing social justice and economic stability.

Abstract

This study examines the transfer of trademark rights as a means of debt settlement in corporate bankruptcy proceedings, using the bankruptcy case of PT Nyonya Meneer as a case study. The main issue addressed is how trademarks, as intangible intellectual property with high economic value, can be used as debt settlement assets during bankruptcy. This research employs a normative legal method with statutory and conceptual approaches, supported by a review of relevant court decisions. The analysis focuses on the relationship between the provisions of Law No. 37 of 2004 on Bankruptcy and Suspension of Debt Payment Obligations and Law No. 20 of 2016 on Trademarks. Trademarks may be transferred or sold to fulfill the debtor's obligations. Theoretical foundations include the Creditors’ Bargain Theory (Thomas H. Jackson) and the principle of wealth maximization (Richard A. Posner), emphasizing collective settlement and asset value optimization. The findings reveal that trademark transfer in bankruptcy is not explicitly regulated, creating a legal gap that affects the effectiveness of debt settlement and the protection of creditors’ rights. In the PT Nyonya Meneer case, the trademark despite its potential as a debt settlement instrument was not utilized optimally. Therefore, direct transfer of trademarks to creditors as a form of debt payment can be seen as an alternative solution, provided it is conducted under the principles of justice, legal certainty, and efficiency. This study recommends further regulation on the management and transfer of intellectual property within the bankruptcy regime to address the challenges of modern business practices.

Abstract

The purpose of this study is to examine the principle of good faith , which is a fundamental aspect of corporate governance, which ensures fair treatment for all shareholders, including minority shareholders. This study examines the application of good faith in the third General Meeting of Shareholders (GMS) in relation to the protection of minority shareholders, focusing on Decision Number 389/PDT.P/2019/PN.CKR. This study aims to analyze the court's reasons behind the issuance of the Niet Ontvankelijke Verklaard decision at the third GMS and to evaluate the legal protection mechanisms available to minority shareholders. This study uses a normative juridical approach, by analyzing legal norms and judicial precedents related to corporate governance and shareholder rights. The research findings reveal that minority shareholders often face legal uncertainty and procedural disadvantages in GMS decisions, especially when the principle of good faith is not upheld. The court's rejection of the third GMS application highlights the need for a more comprehensive legal framework to protect the interests of minority shareholders and ensure a fair corporate decision-making process. This study contributes to the corporate governance discourse by emphasizing the importance of procedural fairness and legal certainty in shareholder meetings

Abstract

Interpretation of debt-to-equity swap provisions for goods purchase transactions as stipulated in the Financial Services Authority Regulation (POJK) Number 14/POJK.04/2019 concerning Affiliated Transactions and Conflicts of Interest in Certain Transactions. The principle of openness and fairness in transactions between affiliated parties, including in the context of debt-to-equity swaps. However, this provision does not explicitly regulate the conversion of debt arising from goods purchase transactions, thus creating room for legal interpretation regarding whether business debt from operational activities can be converted into equity participation through the issuance of new shares. This study aims to analyze the implementation of debt-to-equity conversion as a financial restructuring strategy, with a focus on legal certainty and protection of public shareholders based on POJK 14/2019. The study uses a normative legal approach with the method of statutory regulations and case studies on PT SLJ Global Tbk. The results of the study indicate that PT SLJ Global Tbk has complied with the formal procedures of POJK 14/2019, including information disclosure, GMS approval, and unaffiliated creditor criteria. However, the conversion of business debt creates legal ambiguity due to the lack of clarity as to whether the debt meets the definition of “loan” in POJK 14/2019. In addition, the dilution of public shares by 34.32% without adequate protection mechanisms indicates a lack of legal certainty. The study recommends normative interpretation and strengthening of regulations to ensure fairness and legal certainty in the practice of debt conversion. Keywords: ; ; ; ;

Abstract

The trademark registration system in Indonesia, namely First to File, is often misused by unscrupulous individuals to register trademarks similar to well-known brands. This study aims to analyze and address issues related to trademark registration in Indonesia, including the First to the File system in trademark registration, primarily based on the “Jollibee vs Jollybe” trademark dispute, by integrating the use of one of the General Principles of Good Governance (AUPB), namely the principle of accuracy. Implementing AUPB can reduce the potential for conflicts and trademark disputes in the future. This study uses a statute approach by prioritizing primary and secondary data sources collected through literature research and uses qualitative descriptive analysis techniques. The results of this study indicate that the First to File system in trademark registration in Indonesia only provides legal protection after the Trademark is registered. Therefore, applying the Principle of Care in AUPB as a guideline in the trademark registration process is essential. However, suppose there is an error made by the trademark examiner when registering a trademark. In that case, it can be accounted for by creating a report addressed to the Indonesian Ombudsman to obtain mediation, consolidation, or adjudication.
