Abstract

Dalam penelitian ini digunakan teori kepastian hukum yang dikemukakan Gustav Von Radburch, yang menyatakan kepastian hukum "that law should be certain, that it could not be interpreted and applied in one way today and in another tomorrow, in one way here and in another way there.” Yang artinya (Hukum itu harus pasti, bahwa itu tidak dapat ditafsirkan dan diterapkan dalam satu cara hari ini dan dengan cara lain besok, dalam satu cara di sini dan dengan cara lain di sana). Jenis Penelitian yang dipergunakan dalam penelitian ini yaitu penelitian hukum yuridis normatif, dimana penelitian hukum yuridis normatif adalah penelitian hukum yang dilakukan secara meneliti bahan Pustaka atau data sekunder saja. Penelitian ini disebut juga dengan penelitian hukum kepustakaan. Sedangkan yang menjadi hasil dari penelitian ini adalah agar dalam pembentukan maupun perbaikan peraturan terkait jual beli saham mengharuskan dibuatnya akta pemindahan hak termasuk jual beli saham, agar dibuat dengan akta otentik yang dibuat oleh pejabat yang berwenang melakukan pembuatan akta otentik yaitu Notaris, guna meminimalisir terjadinya sengketa dalam jual beli saham akibat akta/perjanjian yang dibuat adalah akta/perjanjian yang dibuat dengan akta dibawah tangan.

Abstract

This study examines the legal and humanitarian challenges faced by Indonesian migrant workers imprisoned abroad and the urgency of establishing a clear legal mechanism for the transfer of sentenced persons (ToSP) between Indonesia and other countries.  ​Recent cases from Myanmar, Malaysia, and Saudi Arabia reveal persistent gaps in Indonesia's legal framework, leaving migrant workers vulnerable to unjust criminalization, disproportionate punishment, and prolonged detention without a predictable pathway for repatriation. The study finds that Indonesia's current approach relies heavily on ad hoc diplomatic negotiations rather than enforceable legal procedures, contravening the rehabilitative and humane treatment principles enshrined in international conventions, such as UNCAC Article 45 and UNTOC Article 17. Comparative analysis further reveals the absence of an ASEAN-wide prisoner transfer mechanism, unlike the comprehensive European Convention on the Transfer of Sentenced Persons. To address these deficiencies, this study proposes a two-pronged reform agenda: enacting a dedicated Indonesian National Law on ToSP and advocating an ASEAN Protocol on Prisoner Transfer. Crucially, the study reinterprets the issue through the lens of maqāṣid al-sharīʿa, positioning the protection of migrant workers' lives (ḥifẓ al-nafs), family well-being (ḥifẓ al-nasl), and economic welfare (ḥifẓ al-māl) as ethical imperatives that transcend the procedural limits of positive law. This maqāṣid-based framework transformed the ToSP regime from diplomatic discretion to a legally mandated restorative justice mechanism. The study concludes that aligning Indonesia's domestic legislation, bilateral agreements, and ASEAN advocacy with maqāṣid principles would establish a more humane, rehabilitative, and socially responsive transnational criminal justice system for migrant workers.

Abstract

The various problems encountered during online trials highlight an impaired supervision mechanism. This research is part of a need for a reconstruction in the supervision of online trials in Indonesia. Therefore, the formulation of the problem is: What are the problems that arise in online trials during the Covid-19 pandemic? How can the reconstruction of supervision in these trials be carried out? Furthermore, a descriptive, normative method was applied alongside a qualitative, statute approach. The results showed that problems related to the supervision of online trials include the absence of clear legal rules and procedures that have not been regulated in Indonesia Law. It is necessary to supervise judges during these trials, and this supervision has not involved the Indonesian judicial system, specifically the Judicial Commission or KY. Therefore, there is a need for reconstruction in supervision through the Revision of the Criminal Procedure Code (KUHAP), the Establishment of Special Regulations Related to the Online Trial Law, and the Formation of a Special Team for Online Trial Supervisors.

Abstract

The research results explain that strong, consistent, and non-discriminatory law enforcement is a key element in ensuring the existence of principles of justice and legal certainty. It also has the potential to benefit society through deterrence, which can discourage individuals from engaging in corruption. Additionally, it contributes to building public trust in law enforcement efforts and law enforcement agencies. Consequently, public support for law enforcement institutions is strengthened. The development of this concept in anti-corruption law is expected to help recover state losses caused by corruption. Moreover, this punitive concept also offers several benefits in achieving the objectives of penalizing offenders. With a clear obligation to repay restitution without compromise, an offender will work under state supervision to generate funds used to cover the losses resulting from their actions.

Abstract

The guarantor agreement/individual guarantor or personal guarantor often requires the guarantor to relinquish his rights as a personal guarantor so that the consequences of the personal guarantee result in bankruptcy. Various decisions on bankruptcy petitions state that the personal guarantor can be made bankrupt, so that the guarantor as referred to in article 1 paragraph 1 of the Bankruptcy Law must release all his assets into general confiscation to pay off creditor payments. The main problem that will be studied is the position of the guarantor, in this case the personal guarantee, which is used as a bankruptcy debtor. The purpose of writing this journal is to analyze the capacity of personal guarantees made by bankrupt debtors the same as the main debtor because at the time of making the guarantee deed the guarantor was willing to voluntarily relinquish all his privileges without waiting for the main debtor to default and his assets to be sold. This journal is normative juridical research, with a statutory approach and a case approach. In this journal, it was found that making a guarantee deed means that the position of a guarantor who can be made bankrupt is a weak position in an agreement, so the role of the notary must be to be able to provide legal counseling before the personal guarantor signs the guarantee deed. The result of this study is that Personal Guarantee as a guarantor of bankruptcy has an equivalent status with the main debtor because in making the deed of guarantee, the guarantor has agreed to release his privileges without waiting for the default of the main debtor. If the main debtor's debt is not met, the creditor can file bankruptcy against the guarantor (Personal Guarantee or Corporate Guarantee) in accordance with the bankruptcy law. In the agreement, it is important for all parties (creditor, notary and debtor) to understand the risks that may arise when the guarantor signs the deed of guarantee

Abstract

Limited Liability Companies that have implemented the use of teleconferencing in the GMS decision making mechanism. Apart from being able to be held via teleconference media directly, GMS participants can also use the e-RUPS platform for decision making, both those who attend physically and those who attend using the teleconference media. The implementation of the use of the e-GMS platform in GMS, especially in Closed PTs, whether all GMS participants can attend it physically or there are GMS participants who attend via teleconferencing media is interesting to research because it is in Article 77 of the PT UUPT. The method used in this research is normative juridical legal research, which was carried out as an effort to obtain the necessary data regarding the problem. The data used is primary data as supporting legal material for secondary data. Data analysis was carried out using qualitative analysis methods. From the results of the research, the implementation of a teleconference GMS (zoom meeting) via electronic means still requires prior summons to Shareholders by registered letter. The summons is made no later than 14 (fourteen) days before the date the GMS is held and the teleconference GMS remains valid in the form of a deed of reassurance but must comply with The legal requirements for a GMS in a closed PT can be carried out as long as each meeting procedure and mechanism can be legally accounted for by holding the GMS via Zoom Meeting. The suggestion is to immediately create a media platform for the implementation of Teleconferencing/Video Conference GMS intended for closed Limited Liability Companies as per the Platform issued by the Indonesian Central Securities Depository for Public Limited Liability Company GMS, implementation through a certain system using a digital system must have a sustainable mechanism. to maintain novelty, clarity and responsibility. Immediately the Ministry of Law and Human Rights together with the DPR and related parties will make regulations regarding procedures for holding GMS by Teleconference/Video conference for Closed Limited Liability Companies so that legal certainty is guaranteed for the parties, and create a media platform for holding GMS that meets special standards for GMS

Abstract

Struktur kepemilikan saham dalam PT sering menimbulkan ketimpangan hak dan tanggung jawab, yang berpotensi mengakibatkan ketidakadilan bagi pemegang saham minoritas. Ketidakseimbangan ini dapat memicu konflik internal, terutama saat perusahaan mengalami kerugian atau saat tindakan pengurus merugikan kepentingan pemegang saham tertentu. Pasal 72 UUPT memberikan hak kepada pemegang saham untuk menuntut ganti rugi dalam situasi di mana keputusan pengurus merugikan perusahaan, namun pemegang saham minoritas sering mengalami kesulitan dalam memperjuangkan hak-hak ini. Penelitian ini bertujuan untuk mengeksplorasi sejauh mana hak-hak pemegang saham diatur dalam Pasal 72 UUPT dan bagaimana perlindungan terhadap kepentingan mereka dapat diterapkan dalam berbagai kondisi. Selain itu, penelitian ini menganalisis dampak perubahan dalam Undang-Undang Cipta Kerja terhadap pengaturan PT, terutama bagi usaha mikro dan kecil yang kini dapat mendirikan PT sebagai badan hukum perorangan. Metode penelitian yang digunakan adalah kajian hukum yuridis-normatif dengan analisis kualitatif terhadap data sekunder yang dikumpulkan dari studi kepustakaan. Hasil penelitian menunjukkan UUPT secara jelas mengatur hak dan tanggung jawab pemegang saham, termasuk hak suara dan hak untuk mendapatkan dividen. Ketimpangan antara pemegang saham mayoritas dan minoritas memerlukan perlindungan hukum terhadap ketidakadilan. Undang-Undang Cipta Kerja memfasilitasi badan hukum perorangan untuk usaha mikro dan kecil, tetapi menyoroti perlunya perlindungan hak pemegang saham yang lebih baik, akuntabilitas, dan transparansi

Abstract

Penelitian ini mengkaji perlindungan hukum terhadap hak pemegang saham minoritas dalam situasi restrukturisasi perusahaan, khususnya terkait pembagian dividen dan dampak terhadap kontrol serta kepemilikan saham. Berdasarkan ketentuan Pasal 72 UU Perseroan Terbatas (UUPT), pembagian dividen interim dapat dilakukan dengan syarat tertentu, namun dalam praktik restrukturisasi, pemegang saham minoritas berisiko menghadapi kerugian berupa hilangnya hak dividen, dilusi saham, dan berkurangnya pengaruh dalam pengambilan keputusan perusahaan. Selain itu, kendala dominasi pemegang saham mayoritas seringkali mengurangi perlindungan bagi pemegang saham minoritas. Penelitian ini juga memberikan saran untuk meningkatkan transparansi dan mekanisme perlindungan hak minoritas melalui perubahan anggaran dasar atau perjanjian pemegang saham yang mengatur keputusan strategis dan restrukturisasi perusahaan

Abstract

Legal certainty related to transactions using Dinar and Dirham currencies in the criminal law approach in Indonesia. Based on Law No. 7 of 2011 on currency, Rupiah is the only legal tender in Indonesia. The use of currencies other than Rupiah, including dinars and dirhams, is not legally recognized and has the potential to violate criminal provisions, such as those related to fraud or forgery. However, this phenomenon also involves social and cultural dimensions, especially in communities based on sharia economics, where dinars and dirhams are considered as means of transaction that are more in line with Islamic principles of justice and ethics. Overly repressive law enforcement can generate resistance in society, so more inclusive legal reforms and adjustments are needed. By promoting dialogue and collaboration between policy makers, business actors, and the community, it is expected to create a legal system that is fair and responsive to social needs and is able to maintain legal stability in Indonesia . From the research results, the transfer of receivables by Cessie by the creditor in the event that the debtor fails to pay the third party mortgage guarantee does not comply with the applicable provisions as regulated in Article 613 of the Civil Code and Law of the Republic of Indonesia Number 4 of 1996 concerning Mortgage Rights. Form legal protection for third parties by filing a lawsuit before or during the execution process. The government, stakeholders and related parties are expected to make changes to Law of the Republic of Indonesia Number 4 of 1996 concerning Mortgage Rights over Land and Objects related to Land, by accommodating third party protection which is explicitly regulated in guaranteeing rights to land, these regulations do not clearly regulate the rights and obligations of third parties so they cannot provide legal protection for collateral owners. The results of this study that legal certainty related to transactions using dinars and dirhams, as done by Zaim Saidi, in the approach of Indonesian criminal law is a violation of Article 9 of Law No. 1 of 1946 on Criminal Law regulations in conjunction with Law No. 7 of 2011 on currency. Enforcement of these transactions can be carried out through the application of criminal sanctions, since the use of currencies other than Rupiah for payment purposes is not justified by law. In addition, the low legal awareness of the public in using the Rupiah as a legal tender also became an important factor in this case.

Abstract

AbstrakPajak sangat penting untuk meningkatkan kemakmuran dan kemajuan manusia. Agar pembangunan dapat terwujud sebagai representasi Negara dalam mencapai Bonum Publicum, maka masyarakat umum dan otoritas pajak harus memahami hal tersebut. Menurut Undang-Undang Ketentuan Umum dan Tata Cara Perpajakan (UU KUP), Indonesia menggunakan Self Assessment System sebagai salah satu cara pemungutan pajak. Self Assesment System sebagaimana dimaksud dalam peraturan perundang-undangan perpajakan mengandaikan wajib pajak menentukan besarnya pajak yang terutang dan dibayar serta melaporkannya secara berkala. Namun, mengingat tingginya jumlah wajib pajak yang tidak patuh dan seringnya terjadi kecurangan baik oleh oknum maupun aparat pajak, sistem pemungutan pajak di Indonesia sebenarnya belum berjalan dengan baik. Pemerintah diharapkan dapat memberikan penyuluhan kepada masyarakat tentang bagaimana mengelola pajak dengan baik dan benar serta memastikan tidak ada celah terjadinya kecurangan dalam pemungutan pajak dengan menetapkan peraturan yang dapat diterapkan secara konsisten dan tegas serta meningkatkan profesionalisme aparatur. otoritas pajak dalam melayani wajib pajak. Kata kunci: penerimaan pajak; penghindaran pajak; self assesment system Abstracttaxes is very important to increase human prosperity and progress. However, given the high number of disobedient taxpayers and the frequent occurrence of fraud by both tax officials and officials, the tax collection system in Indonesia is actually not running well.
