Abstract

Introduction: Consumer protection is a crucial aspect in maintaining the balance between business interests and the rights of consumers. Legal regulations must embody the principles of substantive justice, ensuring not only formal legal procedures but also tangible outcomes that directly benefit society. the application of substantive justice theory within consumer protection regulations in Indonesia and Russia, two countries with distinct legal systems and socio-political contexts.Purposes of the Research: The purpose of this study is to analyze the extent to which consumer protection regulations in Indonesia and Russia have implemented the principles of substantive justice, and to identify points of convergence as well as divergence between the two systems.Methods of the Research: This research employs a normative legal method with a comparative approach. Data are obtained through statutory analysis, examination of relevant provisions, and a review of scholarly literature on substantive justice. The research emphasizes how the respective legal frameworks address consumer rights, business obligations, and dispute resolution mechanisms.Results Main Findings of the Research: The findings reveal that Indonesia, through Law Number 8 of 1999 on Consumer Protection, primarily emphasizes the distribution of rights, obligations, and accessible dispute resolution mechanisms. Meanwhile, Russia, under the Law on Protection of Consumer Rights Number 2300-1 of 1992, places greater weight on comprehensive compensation, including moral damages. The originality of this research lies in its comparative analysis of the application of substantive justice theory between Indonesia and Russia, a juxtaposition rarely explored in consumer law scholarship. The study contributes to the academic discourse by demonstrating that the realization of substantive justice depends not only on statutory provisions but also on the effectiveness of legal enforcement and public legal awareness.

Abstract

This article provides a comprehensive analysis of the binding force of procurement contracts within the framework of Article 1338 of the Indonesian Civil Code (KUH Perdata), which establishes that any legally executed agreement shall bind the parties with the force of law (pacta sunt servanda). Using a literature-based methodology, this study examines national regulations (the Indonesian Civil Code, public procurement legislation, Presidential Regulation No. 16/2018 and its amendments), legal doctrines of contract law and administrative law, as well as relevant judicial decisions. The findings show that procurement contracts possess a dual legal nature: they are private agreements governed by civil law while simultaneously being influenced by public law due to the state’s involvement and the use of public financial resources. As a result, their binding force is determined not only by compliance with the legal conditions for contract validity (Article 1320 of the Civil Code) but also by adherence to principles of transparency, accountability, efficiency, and regulatory conformity in public procurement. The study reveals that the application of Article 1338 to procurement contracts must consider: (1) the limits of freedom of contract, (2) standardized government procurement documents, (3) safeguards against abuse of power, and (4) dispute-resolution mechanisms such as objections, mediation, arbitration, or litigation. This article concludes that the binding nature of procurement contracts is not absolute; rather, it is contextual and conditioned by principles of good governance and public financial accountability. The study contributes to the development of procurement contract doctrine within the Indonesian legal system.

Abstract

Building failure is a multidimensional problem in the construction sector that includes aspects of agreements, technical performance, and civil consequences. This study examines legal arrangements related to building failures in Indonesia, reads the pattern of accountability in a number of Supreme Court decisions, and contrasts it with international practice. The research was conducted through the search for regulations, court decisions, and academic literature as the basis for normative analysis. The findings show that the absence of uniform technical investigation procedures, weak project documentation, and differences in expert approaches also trigger differences in verdicts. As a new contribution, this study introduces the Building Failure Integrated Analysis Model (MAT-KB) which combines contract analysis, tort principles, forensic evaluation, and economic considerations to strengthen the accuracy and consistency of dispute resolution. This model is considered to be able to provide a more comprehensive evaluation framework for construction law practice in Indonesia.

Abstract

Penelitian ini menganalisis konstruksi yuridis kontrak konstruksi pada proyek investasi dengan porsi kepemilikan kontraktor dalam posisi investasi non-mayoritas. Dualitas peran kontraktor sebagai pelaksana konstruksi dan pemegang saham minoritas menimbulkan kompleksitas hukum yang memerlukan pendekatan integratif antara hukum kontrak dan hukum perseroan. Permasalahan yang dikaji meliputi konstruksi yuridis kontrak konstruksi yang tepat, mekanisme penyelesaian konflik kepentingan, serta perlindungan hukum bagi kontraktor-investor minoritas dalam menghadapi keputusan sepihak pemegang saham mayoritas. Penelitian yuridis normatif ini mengkaji Undang-Undang Nomor 2 Tahun 2017 tentang Jasa Konstruksi khususnya Pasal 22 sampai Pasal 30, Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas terutama Pasal 52, Pasal 61, Pasal 97, Pasal 114, dan Pasal 138, serta Peraturan Pemerintah Nomor 14 Tahun 2021 dan Peraturan Presiden Nomor 38 Tahun 2015 tentang Kerjasama Pemerintah dengan Badan Usaha. Hasil penelitian menunjukkan bahwa konstruksi yuridis yang tepat memerlukan sinkronisasi antara kontrak konstruksi dengan perjanjian pemegang saham, mekanisme penyelesaian konflik kepentingan melalui pendekatan preventif berupa pembentukan komite independen dan klausul deadlock resolution, serta pendekatan represif melalui mediasi dan arbitrase. Perlindungan hukum komprehensif bagi kontraktor-investor minoritas mencakup hak mengusulkan Rapat Umum Pemegang Saham, menggugat direksi dan komisaris, mengajukan pemeriksaan perseroan, serta penetapan hak veto dalam keputusan strategis. Penelitian ini merekomendasikan perlunya regulasi khusus yang mengatur dualitas peran kontraktor dalam skema investasi campuran untuk memberikan kepastian hukum bagi seluruh pemangku kepentingan dalam proyek infrastruktur.

Abstract

The application of FIDIC-based construction contracts in Indonesian toll road projects raises significant normative questions regarding their compatibility with the national legal framework. This study employs a normative legal approach, combining statutory, conceptual, and comparative analyses to examine the alignment between FIDIC contractual structures and Indonesian Construction Services Law, the Civil Code, and the Arbitration Act. The findings indicate that while FIDIC reflects common law traditions emphasizing party autonomy, detailed risk allocation, and multi-tier dispute resolution mechanisms, Indonesian law imposes mandatory norms that limit contractual freedom in the interest of public order and legal certainty. Normative tensions primarily arise in clauses concerning risk distribution, variations, claims management, and the finality of dispute board and arbitral decisions. Nevertheless, these tensions do not render FIDIC inapplicable. Instead, adaptive drafting and systematic interpretation enable its integration within the Indonesian civil law system. Proper harmonization ensures that FIDIC contracts remain legally valid while supporting efficiency, certainty, and accountability in the delivery of strategic toll road infrastructure projects.

Abstract

The article aims to identify legal issues and legal solutions that affect legal protection for foreign investment in infrastructure and downstream projects in Indonesia. The analysis uses a systematic literature review method. The focus of the analysis lies in four areas: (1) enforcement of arbitral awards (New York Convention 1958; Law 30/1999), (2) the position of arbitration (seat), lex arbitri, and the standard of "public order", (3) the division of contractual risks in GPBU/EPC/O&M (change-in-law, tax gross-up, step-in lender, termination/compensation, government guarantee, land acquisition), and (4) BIT/ISDS as an additional layer of protection. Although the results show a more pro-enforcement tendency, key problems remain: flexible interpretation of "public order", slow and formalistic exequatur, undisciplined seat selection, inconsistency in clauses in contract documents, inconsistencies in land procurement, and unclear reasons and regressions in government guarantees. This article provides several legal options. The first is a judicial guideline that aims to reduce "public order" and avoid reassessing the subject matter. The second is the standardization of exequatur, which includes standards such as SLAs, file templates, and e-filing. The third is the recognition of short-term relief, which includes an emergency arbitrator. The fourth is the hygienic arbitration clause model, which includes changes in the law, seat, lex arbitri, consolidation, and joinder. The package reduces the risk of greater actions, speeds up the opening of financial accounts, and enhances the legal protection of foreign investors.

Abstract

Technological advancements have transformed buying and selling transactions from conventional to digital, providing convenience for people in conducting transactions. However, this progress also brings new challenges for consumers, particularly regarding protection from fraud, privacy issues, and fulfillment of consumer rights. Consumers' personal data stored in digital systems is vulnerable to misuse, and there is no guarantee that the goods or services received match the agreement with the seller. This study aims to analyze consumer protection challenges in the digital era from an Islamic legal perspective and offers solutions based on sharia principles. This research employs a normative legal method with a literature study approach. The findings reveal that Islamic law, through primary sources such as the Qur'an, Sunnah, Ijma', and Qiyas, as well as muamalah principles such as ash-shiddiq (honesty), al-adl (justice), and al-ihsan (benevolence), provides a strong foundation for consumer protection in the digital era. The study highlights that Islamic law not only emphasizes technical protections but also ethical and moral aspects in digital commerce. In conclusion, consumer protection solutions from an Islamic perspective include three main aspects: transparency in digital transactions, strengthening sharia-based regulations, and enhancing consumer education. By applying the values of justice, honesty, and responsibility in transactions, the goal is to establish safe and fair digital transactions for all parties involved
