Abstract

On July 14, 2016, the Government enacted the Government Regulation Number 29 of 2016 regarding Amendments in Authorized Capital of a Limited Liability Company (LLC). Article 1 paragraph (3) of the regulation showed that the amount of authorized capital was submitted to the agreement of the LLC founders. This regulation was issued in order to increase Indonesia’s ‘ease of doing business’ rank, especially in ‘starting a business.’ This article aims to examine the legal protection for the third party over the amount of authorized capital based on the agreement of the LLC founders using the study of dogmatic law. Regulations referenced are Law Number 40 of 2007 regarding Limited Liability Companies and Government Regulation Number 29 of 2016 regarding Amendments in Authorized Capital of LLC. Based on the results of this study, it was found that the determination of authorized capital based on the agreement of LLC founders has neglected the protection of the third parties. This manifested particularly in protecting minority investors and resolving insolvency. Through the enactment of authorized capital based on the agreement of the founders, the mechanism of preventive and repressive legal protection to the third parties are assumed to be eliminated. Abstract

In Indonesia, there are legal auditors whose job is to conduct legal audits, so that they can improve Indonesia's RoL indicators, considering that one of the indicators is Regulatory Enforcement. However, it turns out that there is a legal vacuum (leemten in het recht) related to this legal auditor in Indonesia, so it is necessary to regulate this legal auditor in the law to fill the legal vacuum. The formulation of the problem in this article: First, what is the urgency of regulating legal auditors in law? Second, how is the formulation of legal auditor arrangements in statutory regulations? This legal research is a legal research with a statutory and conceptual approach. The legal data of this research is secondary data with primary and secondary legal materials. The results of this research. As for the results of this study, first, the urgency of regulating legal auditors in law, there are at least 4 (four):  1) Improving the Rule of Law Index (RoI) in Indonesia; 2) The realization of the function of law as a tool of social control (law as a tool of social engineering); 3) Provide standardized standards and criteria for auditors; and 4) Provide legal protection and realize legal certainty for business actors. Related to the formulation of legal auditor arrangements in this law is qualified into 2 (two), namely in terms of material and formal.

Abstract

The ongoing struggle of indigenous people fighting for their rights to preserve the customary forests underscores the critical need to protect both cultural heritage and environment. This research focuses on implementing the Green Constitution in Indonesia, aiming to strengthen the existence of indigenous peoples and their customary rights to customary forests. However, there are significant problems with Article 33(3) of the 1945 Constitution which emphasizes the welfare of the people through the exploitation of natural resources, often neglecting aspects of environmental conservation and contradicting Indonesia's commitment to the Sustainable Development Goals (SDGs). As a result, the Indonesian Constitution has an anthropocentric orientation that prioritizes environmental preservation for human interests rather than fully reflecting the Green Constitution principles that emphasize environmental sustainability in line with human needs. The research used in this study is juridical-normative approach to analyze the law and relevant regulation regarding the issue at hand to identify possible solution towards the existing legal issues. This research identifies two main problems: first, to what extent the 1945 Constitution reflects the principles of the Green Constitution, and second, how efforts to strengthen the rights of indigenous peoples to customary forests reflect the Green Constitution. The results show that the 1945 Constitution has not fully adopted the principles of the Green Constitution, therefore measures are needed to strengthen the rights of indigenous peoples related to customary forests, including the elimination of conditional recognition through judicial interpretation of Article 18B paragraph (2) of the 1945 Constitution, to secure environmental conservation democratically and sustainably.

Abstract

Maraknya teknologi informasi komunikasi kerap kali memunculkan perkembangan pada kehidupan manusia, salah satunya melalui kehadiran telepon seluler. Namun, terhadap kehadiran telepon seluler justru tidak menutup kemungkinan adanya indikasi pelanggaran dalam pengunaannya, seperti black market atau produk yang diperjualbelikan di luar persetujuan Pemerintah dan/atau tidak mematuhi kebijakan negara. Oleh sebab itu, sejak tanggal 18 April 2020 sebagaimana tertuang pada Peraturan Menteri Perindustrian Nomor 29 tahun 2019 tentang Sistem Basis Data Identitas Perangkat Telekomunikasi Bergerak serta Peraturan Menteri Komunikasi dan Informatika Nomor 1 tahun 2020 tentang Pengendalian Alat dan/atau Perangkat Telekomunikasi yang Tersambung ke Jaringan Bergerak Seluler Melalui Identifikasi International Mobile Equipment Identity (IMEI) Pemerintah resmi menerapkan aturan pengendalian IMEI. Sedangkan, tujuan dari adanya IMEI sendiri merupakan mekanisme preventif kemungkinan adanya indikasi pelanggaran, yang mana apabila nomor IMEI dari suatu perangkat ponsel tersebut tidak terdaftar maka dapat dilakukan pemblokiran atau terdapat kendala teknis lainnya seperti sinyal nomor seluler (Subscriber Identity Module Card/SIM CARD) yang telah dipasang hilang dan berstatus ‘no service.’ Berdasarkan uraian latar belakang isu hukum yang akan diangkat dalam penelitian ini diantaranya, (1) Perlindungan Hukum Bagi Pengguna Produk Apple Terhadap International Mobile Equipment Identity (IMEI) Yang Tidak Terdaftar dan (2) Tanggung Gugat Apple Authorized Reseller terhadap adanya pemblokiran IMEI pada produk yang dijual.

Abstract

The special power of attorney is a crucial thing in a lawsuit, but it is not considered. For example, many are not aware of the nazegelen requirement stipulated in SEMA7/2012 for special power of attorney made overseas. Therefore, this legal research will analyze nazegelen as a condition for the validity of a special power of attorney made overseas, as well as the legal consequences if these conditions are not met. Sources of law will be analyzed using a statute approach and a conceptual approach. In conclusion, the requirements for the validity of a special power of attorney made overseas are: 1) state clearly and specifically the use of the special power of attorney, 2) clearly and specifically mention the role of certain level of court to be used, 3) clearly states the relevant relative competence, 4) mentions the identity and position of the parties in detail, 4) Must be legalized by representatives of the Republic of Indonesia, and 5) nazegelen. Of these conditions, the conditions that many do not know are related to the obligation to carry out nazegelen. As a result, although these requirements have been regulated in SEMA 7/2012, the norms are not applied. This condition is called desuetude. Non-fulfillment of the nazegelen requirements should be cause the lawsuit to be unacceptable, a procedural exception can be filed, and the examination process that occurs is invalid.

Abstract

The absence of legal certainty in the application of the pari passu pro rata parte principle in the distribution of bankrupt accounts in Indonesia has given rise to uncertainty regarding the protection of the rights of laborers whose employers or companies have faced bankruptcy. This article considers that Indonesia requires a set of formulations enabling the state to provide legal protection for the rights of laborers affected by employer or company bankruptcy. The article explores the feasibility of adopting the Francovich Principle in Indonesia, defining it as a principle holding the state accountable for the losses incurred by laborers due to company bankruptcies.  The  article  concludes  that  several  conditions must be met to apply the Francovich Principle, including the establishment of a guarantee institution, the obligation for financial contributions from companies, and the implementation of specific measures to prevent abuse. The state’s effort to adopt the Francovich Principle involves establishing a priority scale in drafting laws related to the Francovich Principle into the Priority National Legislation Program. Furthermore, the government needs to revitalize institutions related to the Francovich Principle within the national legal and regulatory system

Abstract

The existence of regional autonomy in Indonesia is implemented through regional leaders who have the authority to run local government. When carrying out their duties, regional leaders are supervised by other state institutions as a form of checks and balances in government power. Hence, the procedure to dismiss regional leaders regulates to involve the Regional People's Representative Assembly, the Supreme Court, and the President through the Minister of Home Affairs as a form of right to dismiss. However, the existence of the proportionality principle in the procedure to dismiss regional leaders, through the right given to regional leaders to defend themselves, has yet to be regulated in the law. This article talks about two things: first, the procedure to dismiss regional leaders, and second, the legal consequences and the position of a chance to summon regional leaders to explain and defend themselves in the procedure to dismiss regional leaders. This article aims to find the importance of proportionality principles in the procedure to dismiss regional leaders. The method used in this article is legal research, with statutes, conceptual, and case approaches. The results of this research show that although the procedure to dismiss regional leaders has been regulated in law, applying the proportionality principle only exists in jurisprudences. Hence, an ius constituendum is needed to determine legal consequences and certainty regarding the procedure to dismiss regional leaders.

Abstract

The government have issued numerous internet blocking when there are no explicit rules regarding them, such as sources of authority, criteria, deadline, Legal attempt, and so forth. Based on that, the formulation of the problems in this article are first, how is the internet blocking in a perspective of the state of democratic law? Second, how is the constitutional internet blocking mechanism? As for the purposes in this article are first, analyzing internet blocking in the perspective of the state of democratic law and second, describing the constitutional internet blocking mechanism. The research method used in this article is a doctrinal research method with a statute approach, conceptual approach, and case approach. The analysis results for this article are first, internet blocking in the state of democratic law are permissible but must not against the constitution, that is, should not against with the 1945 Constitution and the constitutional court ruling, and in accordance with the principle of human rights protection regulated in International Covenant on Civil and Political Rights (ICCPR). Second, as for the constitutional internet blocking mechanisms are formally expressed in the legal products of laws and materially will be regulated in conjunction with internet blocking procedures, legal subjects who can legally enforce internet blocking, Governments that can specifically implement internet blocking, criteria for internet blocking, deadline of internet blocking, and legal attempt against internet blocking. Abstract

This article discusses the problems encountered in the preliminary court proceeding of gross human right violation cases in Indonesia.  Identified are two state institutions, i.e. the National Human Right Commission and the Attorney General, who possess the authority to initiate investigation and subsequent successful prosecution of gross human right violation cases. Good cooperation and relation between these two agencies is therefore a must.  This article looks into the problems encountered by these two institutions in doing the preliminary process and discusses possible redistribution of these two state agency authorities. To do this a doctrinal approach will be used.

Abstract

In the era of the industrial revolution 4.0 which caused the information to be easily spread, it turned out to have a bad impact, which led to the birth of the post-truth era. The post-truth era is an era in which objective facts become blurred because of broad public opinion. This makes it easy to spread hooks and expressions of hatred in society. The high perpetrators of hoax distribution and expressions of hatred make a legal solution needed that not only focuses on the deterrent effect for the perpetrators but the recovery of the community in its original condition. To restore the community's condition to its original condition, a restorative justice approach is used, one of which is through mediation by the police. This article will discuss, firstly related to the concept of mediation of penalties by the police in Indonesia and secondly it will discuss the approach of mediation of penalties by the Indonesian police in the handling of criminal acts of hate speech in electronicmedia. This article is a legal article that uses a statute approach, conceptual approach, and case approach. Based on the analysis in this article, it was found first the police nowdasy have an authority to solve the problem with restorative justice secondly that the first approach that pollice need to use in handling hate speech is by mediating in order to realize restorative justice by police agencies in Indonesia.
