Abstract

A homologated peace agreement in the PKPU process is not automatically void when the debtor defaults, but rather grants creditors the right to file for cancellation. The case of PT Multi Karya Utama Abadi demonstrates that executing cancellation is difficult due to assets being bound by the Foundation's Building Use Rights and cooperation agreements. Legal protection for creditors can be pursued through actio pauliana, cancellation of homologation, bankruptcy and consumer protection channels both through litigation and non-litigation via BPSK. However, the position of concurrent creditors remains weak in the distribution of bankruptcy assets. Policy reformulation is needed to provide priority to property buyers and strengthen pre-construction regulations to protect creditors acting in good faith.

Abstract

The construction of lease agreements in the utilization of Management Right (HPL) land at the Sei Mangkei Special Economic Zone by PT KINRA as an extension of PTPN III contradicts Government Regulation Number 18 of 2021, which mandates the use of land transfer and use agreements as the basis for granting Building Use Rights (HGB), Cultivation Rights (HGU), or Use Rights over HPL land. Employing a normative legal method, the findings indicate that lease agreements are not absolutely prohibited under civil law, yet they do not create real rights for investors and cannot serve as the basis for HGB certificate applications. Legal certainty can only be achieved through a deed conforming to GR 18/2021, supported by comprehensive technical guidelines/SOPs and the strengthening of the notary's preventive role. Consequently, aligning the management practices of Right to Manage (HPL) land with statutory provisions serves as a fundamental prerequisite to ensure legal protection for all parties and the sustainability of investments within Special Economic Zones.

Abstract

Transfer of land rights through a Sale and Purchase Deed executed before a Land Deed Official (PPAT) constitutes an important legal act within the Indonesian land law system, serving as the basis for the transfer and registration of rights. However, in practice, such transfers often lead to disputes, particularly when related to debt guarantees or claims from third parties. This normative legal research employs statutory and case approaches using secondary data analyzed qualitatively. The findings indicate that validity is determined by the fulfillment of the requirements under Article 1320 of the Civil Code, land administration procedures, and the authority of the PPAT. Good faith purchasers are legally protected as long as the transaction is conducted honestly and formally. Supreme Court Decision Number 5267 K/Pdt/2025 affirms that the deed remains valid in the absence of defects of consent and ensures legal certainty for the parties involved.

Abstract

Legal certainty in the preparation of Sale and Purchase Deeds (AJB) by Land Deed Officials (PPAT) is a crucial aspect in ensuring the validity of land rights transfers. This study examines Certificate of Ownership No. 710/Kuta Village based on the Denpasar High Court Decision No. 35/PDT/2021/PT DPS using a normative juridical method and statutory approach. The results indicate that violations of formal requirements by PPAT result in the deed being declared invalid and undermine legal certainty. Furthermore, PPAT liability includes both administrative and civil aspects, making compliance with legal procedures essential to ensure the validity and legal certainty of a deed.

Abstract

Abstract: Paylater has become popular because it is inclusive, flexible, and offers a simple registration process and various attractive promos. However, the increasing use of Paylater, such as SPayLater from Shopee, poses a risk of bad debt and personal data theft. Several cases, such as billing that does not comply with regulations and hacking of ShopeePay balances, show weaknesses in data security and management on the E-commerce platform. Therefore, research is needed to strengthen legal protection of consumer personal data in Shopee E-commerce transactions. The research uses a juridical-normative method with a legislative and literature approach. The results of this study are summarized in several conclusions, namely that legal protection of consumer personal data in e-commerce in Indonesia has developed, especially with the enactment of Law No. 27 of 2022. Although e-commerce service providers are obliged to maintain data confidentiality and security, challenges in implementing the law and consumer understanding of their rights still need to be overcome. From this conclusion, it is recommended that the government needs to strengthen supervision and enforcement of Law No. 27 of 2022 concerning Personal Data Protection by tightening security requirements and conducting periodic audits on e-commerce platforms.Keyword: Personal Data, Consumer, E-Commerce Abstrak: Paylater menjadi populer karena inklusif, fleksibel, dan menawarkan proses pendaftaran yang sederhana serta berbagai promo menarik. Namun, meningkatnya penggunaan Paylater, seperti SPayLater dari Shopee, menimbulkan risiko kredit macet dan pencurian data pribadi. Beberapa kasus, seperti penagihan yang tidak sesuai aturan dan peretasan saldo ShopeePay, menunjukkan kelemahan dalam keamanan dan manajemen data di platform E-commerce. Oleh karena itu, diperlukan penelitian untuk memperkuat perlindungan hukum terhadap data pribadi konsumen dalam transaksi E-commerce Shopee. Penelitian menggunakan metode yuridis-normatif dengan pendekatan perundang-undangan dan literatur. Hasil penelitian ini dirangkum dalam beberapa kesimpulan yakni bahwa perlindungan hukum terhadap data pribadi konsumen dalam e-commerce di Indonesia telah mengalami perkembangan, terutama dengan adanya UU No. 27 Tahun 2022. Meskipun penyedia layanan e-commerce berkewajiban menjaga kerahasiaan dan keamanan data, tantangan dalam penerapan hukum dan pemahaman konsumen tentang hak-hak mereka masih perlu diatasi. Dari kesimpulan ini, disarankan pemerintah perlu memperkuat pengawasan dan penegakan UU No. 27 Tahun 2022 tentang Perlindungan Data Pribadi dengan memperketat persyaratan keamanan dan melakukan audit berkala pada platform e-commerce.Kata kunci: Data Pribadi, Konsumen, E-Commerce

Abstract

Abstract: A single-member limited liability company (SMLLC), as regulated under Law Number 40 of 2007 concerning Limited Liability Companies and its amendment through Law Number 6 of 2023 on Job Creation, represents a new form of legal entity offering greater flexibility for micro and small enterprises. However, this entity raises various legal challenges, particularly related to the principle of limited liability (separate legal entity) and the application of the piercing the corporate veil doctrine. This study aims to analyze the legal implications of the SMLLC's status as a legal entity, evaluate the application of the limited liability doctrine to single shareholders who also serve as directors, and examine legal protections for SMLLCs as independent legal entities against actions by single shareholders. The research employs a normative legal method with legislative and conceptual approaches. The findings reveal that SMLLCs have distinct characteristics compared to conventional limited liability companies, necessitating adjustments in the application of the limited liability principle. In certain circumstances, single shareholders may be held fully liable for company losses under the piercing the corporate veil doctrine, particularly in cases of misuse of the corporate form for personal gain. This study provides recommendations for policymakers to clarify the legal framework governing SMLLCs to mitigate potential legal conflicts and ensure balanced protection for all stakeholders. Keyword: Single-Member Limited Liability Company, Shareholder Liability, Piercing The Corporate Veil, Legal Entity, Legal Doctrine Abstrak: Perseroan terbatas perorangan, yang diatur dalam Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas dan perubahan melalui Undang-Undang Nomor 6 Tahun 2023 tentang Cipta Kerja, merupakan bentuk badan hukum baru yang memberikan fleksibilitas lebih besar kepada usaha mikro dan kecil. Namun, keberadaan perseroan ini juga menimbulkan berbagai permasalahan hukum, khususnya terkait prinsip pemisahan tanggung jawab (separate legal entity) dan penerapan doktrin piercing the corporate veil. Penelitian ini bertujuan untuk menganalisis akibat hukum dari kedudukan perseroan terbatas perorangan sebagai badan hukum; mengevaluasi penerapan doktrin tanggung jawab terbatas terhadap pemegang saham tunggal yang merangkap sebagai direksi; dan mengkaji perlindungan hukum bagi perseroan terbatas perorangan sebagai badan hukum mandiri dari tindakan pemegang saham tunggal. Metode yang digunakan adalah penelitian hukum normatif dengan pendekatan undang-undang dan konseptual. Hasil penelitian menunjukkan bahwa perseroan terbatas perorangan memiliki karakteristik yang berbeda dibandingkan dengan perseroan terbatas konvensional, sehingga prinsip tanggung jawab terbatas membutuhkan penyesuaian. Dalam situasi tertentu, pemegang saham tunggal dapat dimintai pertanggungjawaban penuh atas kerugian perseroan berdasarkan doktrin piercing the corporate veil, terutama jika terjadi penyalahgunaan fungsi badan hukum untuk kepentingan pribadi. Abstract

Abstract: Unlawful conduct by a notary refers to actions that violate the legal and ethical obligations inherent to the notarial profession. This includes the preparation of inaccurate documents, abuse of authority, of failure to adhere to professional ethics. This study aims to examine and analyze the validity requirements for share transfer through a grant and its legal implications for the implementastion of the General Meeting of Shareholders (GMS). This research employs a normative juridical method with a descriptive analytical approach, utilizing both statutory and cased-based approaches. Seceondary data is the main source, consisting of primary, secondary, and tertiary legal materials, collected through literature review and analyzed qualitatively. Keywords: Notary, Share Grant Deed, Unlawful Conduct Abstrak: Perbuatan melawan hukumun notaris adalah tindakan seorang notaris yang bertentangan dengan aturan atau prinsip yang harus ditaati dalam melaksanakan tugasnya. Hali ini mencakup pelanggaran terhadap kewajiban professional, seperti membuat dokumen yang tidak sesuai kenyataan, menyalahgunakan kewenangan, atau mengabaikan etika yang berlaku dalam profesinya. Penelitian ini bertujuan untuk mengetahui dan menganalisis syarat keabsahan pengalihan saham dengan hibah dan akibat hukumnya terhadap pelaksanaan RUPS. Penelitian ini menggunakan metode penelitian yuridis normative bersifat deskriptif analisis dengan pendekatan penrundang-undangan dan penedekatan kasus. Abstract

Abstract: Instant food products, fast food, restaurants to market snacks are things that are prone to contamination by types of food that are not halal, both in terms of ingredients and processes. The issue of the halal labeling process has changed since the beginning of the implementation of halal labeling until the emergence of several regulations, namely Law No. 33 of 2014 and updated by Law No. 6 of 2023. This study uses a normative legal research method (juridical normative) To obtain valid and accountable research results, it is necessary to use data collection techniques and tools, namely, Library research and Field research in the form of interviews. The tools used in this research method include document studies and interview guidelines. From the results found that Law No. 8 of 1999 concerning Consumer Protection cannot be used as a reference in terms of consumer protection issues in the field of halal labeling, this issue should be the domain of Law No. 33 of 2014 concerning Halal Product Guarantees so that a revision needs to be made to the law, namely by adding legal protection, as well as legal efforts that can be taken by business actors and consumers who feel disadvantaged by the halal labeling process. Keyword: Legal Certainty, Legal Protection, Halal Labeling Process, BPJPH, MUI Abstrak: Produk–produk makanan instan, makanan cepat saji, restoran sampai jajanan pasar merupakan hal yang rawan dicemari oleh jenis makanan yang tidak halal baik dari segi bahan, maupun prosesnya. Persoalan mengenai proses labelisasi halal mengalami perubahan sejak awal mula diberlakukannya labelisasi halal sampai dengan munculnya beberapa aturan yakni Undang–Undang No 33 Tahun 2014 dan diperbeharui dengan Undang–Undang No 6 Tahun 2023. Penelitian ini menggunakan metode penelitian hukum normatif (yuridis normatif) Untuk mendapatkan hasil penelitian yang valid dan akuntabel maka perlu digunakan teknik dan alat pengumpulan data yaitu, Penelitian kepustakaan (library research) dan Studi lapangan (field research) berupa wawancara. Alat yang digunakan dalam metode penelitian ini mencakup studi dokumen dan pedoman wawancara. Dari hasil yang ditemukan bahwa Undang–Undang No 8 Tahun 1999 Tentang Perlindungan Konsumen belum bisa menjadi acuan dalam hal persoalan perlindungan konsumen dibidang labelisasi halal, persoalan ini harusnya menjadi ranah dari UU No 33 Tahun 2014 Tentang Jaminan Produk Halal sehingga perlu dilakukan revisi dalam UU tersebut yaitu ditambahkan tentang perlindungan hukum, serta upaya hukum yang dapat dilakukan oleh pelaku usaha dan konsumen yang merasa dirugikan oleh proses labelisasi halal. Kata kunci: Kepastian Hukum, Perlindungan Hukum, Proses Labelisasi Halal, BPJPH,                    MUI
