Abstract

Perjanjian Pengikatan Jual Beli (PPJB) saham umumnya digunakan sebagai perjanjian pendahuluan sebelum peralihan hak menjadi sah. Namun, keabsahan dan kekuatan mengikatnya masih diperdebatkan, khususnya ketika peralihan hak atas saham masuk dalam suatu sengketa di pengadilan. Tulisan ini bertujuan untuk menjawab permasalahan kedudukan PPJB ditinjau dari perspektif hukum perjanjian serta aspek kepastian hukum PPJB saham sebagai bagian dari perlindungan hukum para pihak. Metode penelitian yang digunakan adalah yuridis normatif dengan cara meneliti data sekunder yang bersumber dari bahan hukum primer, sekunder dan tersier, khususnya yang berkorelasi dengan topik penelitian. Metode deskripsi-analitis digunakan untuk menggambarkan eksitensi PPJB dalam proses peralihan saham untuk selanjutnya dianalisis dengan menggunakan asas dan konsep hukum sehingga dapat diketahui keabsahan dan kekuatan mengikatnya. Hasil penelitian menunjukkan bahwa ditinjau dari perspektif hukum perjanjian, kedudukan PPJB sah dan memiliki kekuatan mengikat bagi para pihak apabila persyaratan materiil maupun formil PPJB telah terpenuhi. Peralihan saham secara yuridis beralih setelah PPJB saham diikuti dengan pemenuhan persyaratan yang ditetapkan dalam PPJB dan ditindaklanjuti dengan pembuatan akta peralihan saham secara notarial serta pencatatan peralihan saham dalam daftar pemegang saham perusahaan.

Abstract

This research examines the civil liability of beneficial owners in contractual relationships when third parties suffer losses. The issue arises because beneficial owners may substantially control corporate decisions and receive economic benefits without being formally recorded as shareholders, directors, or commissioners. This research uses a normative juridical method with a descriptive-analytical specification, supported by literature study and interviews with legal experts. The findings show that civil liability may be imposed based on the form of control exercised by the beneficial owner. If the beneficial owner is also a controlling shareholder, liability may be imposed through the doctrine of piercing the corporate veil under Article 3 paragraph (2) of Law Number 40 of 2007 concerning Limited Liability Companies. Meanwhile, hidden beneficial owners may be held liable under Article 1365 of the Indonesian Civil Code if factual control, bad faith, unlawful conduct, and a causal relationship with third-party losses can be proven. This study concludes that civil liability for beneficial owners is necessary to prevent misuse of corporate legal personality and strengthen legal protection for harmed third parties.

Abstract

One of the government's efforts to improve the ability of Micro, Small, and Medium Enterprises (“MSMEs”) to conduct business activities is to execute a partnership system between Large Enterprises and MSMEs. In practice, violations are still found in the implementation of partnerships between Large Enterprises and MSMEs, the appropriate supervision is required from the relevant institutions. This paper examined the legal basis of the Business Competition Supervisory Commission (“KPPU”) in supervising the implementation of partnerships between Large Enterprises and MSMEs as well as the form of supervision conducted by KPPU on the implementation of partnerships. The research used a normative juridical by using secondary data sources. The typology of research used descriptive-analytical, which describes the authorities of KPPU in supervising business competition in Indonesia in terms of the implementation of partnerships comprehensively. This study has resulted, even though Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition does not state KPPU’s authority to supervise partnerships, though concerns to several related laws and regulations such as Law Number 20 of 2008 concerning MSMEs in conjunction with Government Regulation Number 7 of 2021 concerning the Ease, Protection, and Empowerment of Cooperatives and MSMEs, it is found that provisions authorize KPPU to supervise partnerships. The form of supervision over implementing partnerships conducted by KPPU includes providing consultations, evaluations, suggestions, and considerations related to government policies, harmonization of policies, and law enforcement. Furthermore,  examining of alleged violations of the oil palm plantations of core plasma partnership between PT STP and Koperasi THB marks the KPPU's authority in partnerships law enforcement.

Abstract

Tulisan ini membahas tentang perkembangan online shop dengan menggunakan metode pembayaran COD di Indonesia. Peraturan yang ada di Indonesia cukup tegas untuk melindungi konsumen, namun peraturan yang ada dalam Undang-Undang Perlindungan Konsumen tidak memberikan perlindungan yang sama terhadap hak-hak yang dimiliki penjual. Meskipun dalam undang-undang tersebut dijelaskan mengenai hak-hak pelaku usaha, tetapi tidak mengatur tentang ketentuan apabila hak pelaku usaha tersebut dilanggar. Penelitian yang digunakan adalah metode pendekatan Yuridis Normatif, yaitu suatu metode hukum yang dilakukan dengan meneliti bahan pustaka atau data sekunder yang berhubungan dengan perlindungan hukum terhadap penjual pada online shop dalam praktik sistem pembayaran cash on delivery (COD). Peran peraturan setingkat Undang-Undang sangat dibutuhkan untuk melindungi penjual, hal ini bertujuan untuk mewujudkan asas keadilan bagi semua pihak yang terlibat dalam transaksi online shop dengan menggunakan metode pembayaran COD.

Abstract

Indonesia’s agricultural sector remains dominated by traditional rice farming that contributes modestly to GDP, while farmers face rising risks of crop failure due to climate change and other external factors. This condition reveals a gap between the legal objective of farmer protection and empowerment and the practical effectiveness of crop insurance through the Rice Farming Insurance Program (Asuransi Usaha Tani Padi/AUTP). This article examines whether AUTP constitutes a legally valid general insurance contract under Indonesian civil and commercial law and assesses its effectiveness as a protection mechanism for rice farmers. Using a normative juridical method based on secondary data, the study applies statutory, conceptual, and case approaches to analyze AUTP regulations in relation to empirical findings from prior research. The results indicate that AUTP fulfills the essential elements of loss insurance and qualifies as an innominate contract under Article 1319 of the Civil Code in conjunction with Articles 246 and 247 of the Commercial Code. However, its practical effectiveness remains limited due to internal constraints, including low insurance literacy, premium affordability, and participation rates, as well as external constraints related to institutional capacity, claim mechanisms, and climate-related production risks. These findings suggest that further strengthening of AUTP’s implementation design is necessary to achieve effective farmer protection.

Abstract

Talent Pool on the appointment of BUMN Directors that has been implemented at this time still leaves problems. This research aims to know how the application of the Talent Pool on the appointment of Directors of PLN (Persero) viewed from Good Corporate Governance and the implications for compliance and performance aspects. The research method used in this study is a normative juridical approach which is done analytically descriptive. The results showed there were still mismatches in the application of the Talent Pool on the appointment of the Directors of PLN (Persero) to several GCG principles that are transparency principle related to the need for an information system to appoint Directors of BUMN which is transparent and accountable, accountability principle is relating to the need for the development of a performance appraisal system for Directors, BoC and Shareholders and the accountability arrangements for professional institutions or teams formed by the Minister of BUMN in conducting due diligence and propriety tests for candidates for the BoD and independence principle is relating to the process of appointing BUMN Directors which must be done in stages by involving the final assessment by Tim Penilai Akhir. The implications of the application of the Talent Pool that applies GCG principles have a significant impact on compliance and performance aspects, this is evidenced by increased compliance with applicable laws and regulations through prevention of acts against the law and increased performance through company profitability.

Abstract

The aviation industry in Indonesia plays an important role in supporting community mobility and the national economy. However, non-compliance with regulations, especially in reporting changes in ticket fare policies, has the potential to create monopolistic practices and unfair business competition. One of the cases that emerged was Lion Group's non-compliance which had an impact on the structure of the domestic aviation market. This study aims to analyze the implications of Lion Group's non-compliance with fare regulations on business competition in the aviation industry. The approach used is juridical-normative with data collection techniques through literature studies. The data analyzed includes laws and regulations, legal decisions, and related literature. The results of the study show that Lion Group's non-compliance creates barriers for competitors, reduces consumer choice, and increases the risk of unhealthy market dominance. This violates the principles of Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unhealthy Business Competition. The implications of this study show the urgency of strengthening regulation and supervision by the Business Competition Supervisory Commission (KPPU) to prevent similar violations. Transparency in tariff policies and commitment to regulation are needed to create healthy and fair competition in the aviation industry. This non-compliance has much greater implications than just an internal problem of the company. This also has an impact on monopolistic practices and unfair business competition that can harm consumers and other business actors. In this context, business competition law, especially Law No. 5 of 1999 concerning the Prohibition of Monopoly Practices and Unfair Business Competition, is important to maintain healthy competition. Non-compliance with the reporting of these tariff changes not only has the potential to lead to competitive unfairness, but can also exacerbate market dominance by a single company, thereby suppressing the diversity of choices for consumers. Through this study, the legal and economic implications of Lion Group's non-compliance with tariff reporting provisions in the business competition law will be analyzed. The author will also examine the extent of its impact on business competition in the Indonesian aviation industry, as well as the steps that can be taken by the relevant authorities to prevent monopolistic practices and promote fair competition. This study aims to provide a deeper understanding of the importance of compliance with fare regulations in creating a healthy and sustainable business climate in the aviation industry.

Abstract

Penelitian ini mengisi celah dalam penegakan hukum persaingan Indonesia dengan menganalisis Putusan Perkara No. 08/KPPU-L/2024, di mana PT. Maruka Indonesia bersekongkol mengeksploitasi informasi rahasia PT. Chiyoda Kogyo Indonesia, menyebabkan penurunan pendapatan 64%. Meski ada indikasi dominasi tidak langsung melalui kepemilikan saham Maruka Corporation Japan, KPPU mengabaikan rule of reason dan doktrin SEE. Menilai kelalaian metodologis KPPU dan mendorong adopsi SEE untuk mengatasi penguasaan pasar terselubung. Analisis yuridis normatif terhadap kerangka hukum, putusan pengadilan, dan data sekunder. Pengabaian rule of reason oleh KPPU menyembunyikan penyalahgunaan posisi dominan Maruka, sementara SEE dapat mengungkap kontrol ekstrateritorial. Pelanggaran etika bisnis Jepang memperparah pelanggaran. Studi ini merekomendasikan pedoman KPPU tentang SEE, penyempurnaan rule of reason, dan amendemen UU No. 5/1999.

Abstract

Kartel merupakan praktik yang dilakukan oleh sekelompok pelaku usaha dengan tujuan menghilangkan persaingan di pasar, yang pada akhirnya merugikan konsumen. Salah satu kasus kartel yang terjadi di Indonesia adalah kartel ban kendaraan, di mana enam perusahaan terbukti melakukan pengaturan harga dan pembatasan produksi dalam periode 2009–2012. Praktik ini menyebabkan kenaikan harga yang tidak wajar dan mengurangi hak konsumen untuk mendapatkan produk dengan harga yang kompetitif. Penelitian ini menggunakan metode yuridis-normatif dengan pendekatan konseptual dan perundang-undangan (statute approach) guna menganalisis implikasi kartel ban terhadap perlindungan konsumen serta efektivitas regulasi yang berlaku. Hasil penelitian menunjukkan bahwa Undang-Undang No. 8 Tahun 1999 tentang Perlindungan Konsumen memiliki peran penting dalam memberikan perlindungan hukum bagi konsumen yang menjadi korban kartel, termasuk hak atas informasi yang benar, hak atas kompensasi, serta hak untuk menggugat secara hukum. Keberadaan regulasi tersebut diharapkan dapat memperkuat upaya perlindungan konsumen, mendorong transparansi dalam bisnis, serta menciptakan persaingan usaha yang sehat. Oleh karena itu, diperlukan pengawasan yang lebih ketat dari otoritas terkait guna memastikan kepatuhan pelaku usaha terhadap aturan yang ada dan mencegah terjadinya praktik kartel di masa mendatang.

Abstract

Bancassurance allows public access to insurance products. However, bancassurance raises several legal issues. The aim of this research is to determine the legal relationship between insurance companies and banks as well as the legal protection of insurance consumers. The method used is normative juridical, namely a review of laws and regulations that are relevant to legal issues, especially related to the implementation of bancassurance in Indonesia, while this research is analytical descriptive, namely obtaining a comprehensive picture regarding the implementation of bancassurance in Indonesia, for further analysis regarding aspects bancassurance legal relations and consumer legal protection. The research results conclude: The legal relationship between insurance companies and banks through bancassurance is cooperation in marketing insurance products, where the bank is only tasked with marketing insurance products without the authority to negotiate and pay claims for insurance products; Consumer protection is provided not only regarding the insurance products offered but also the credibility of the insurance companies that issue insurance products and banks that market insurance products. In order to guarantee the security and confidentiality of customer data, it is necessary to draw up confidentiality pacts by insurance companies and banks that state that customer personal data is not used outside its intended purpose to prevent misuse.
