Abstract

Peace agreements serve as an alternative solution for resolving debts between debtors and creditors, aiming to enable debtors to restructure their debts and maintain business continuity. The peace agreement process is governed by strict procedures, including the submission of a peace plan by the debtor, approval by concurrent creditors through voting, and ratification by the Commercial Court through a homologation hearing. A ratified peace agreement is binding on all concurrent creditors but can be annulled if the debtor fails to fulfill their obligations, as illustrated in the case of PT Perindustrian Njonja Meneer. This study employs a normative legal method with a statutory approach and qualitative data analysis. The findings indicate that the success of a peace agreement depends on the debtor’s compliance and the creditors’ approval.

Abstract

Introduction: Business competition often drives companies to engage in unfair practices, including violations of the rule of reason principle, where market dominance is achieved through cartel-like behavior. This study focuses on analyzing how this principle applies to airline ticket pricing, particularly under Law Number 5 of 1999 concerning Monopoly Practices and Unfair Business Competition in Indonesia. Purposes of the Research: This research aims to analyze the application of the rule of reason principle in airline ticket pricing and assess whether airlines' pricing practices comply with Law Number 5 of 1999, focusing on a case involving seven airlines accused of anti-competitive behavior. Methods of the Research: This research uses normative legal research methods, relying on secondary data collected through literature studies. The analysis focuses on interpreting Law Number 5 of 1999, specifically Article 5, to determine whether airline pricing practices, including those of seven airlines under investigation, violate the rule of reason principle and constitute unfair competition. Results Main Findings of the Research: This research demonstrates that a violation under the rule of reason principle demands rigorous evaluation of market effects. The case involving seven airlines uncovered a price-fixing scheme in breach of Article 5 of Law No. 5 of 1999. By restricting routes and low-cost ticket availability, the conduct significantly eroded consumer welfare and disrupted the integrity of competitive market structures.

Abstract

Shopee sebagai salah satu platform e-commerce terbesar di Indonesia telah mengembangkan ekosistem digital yang mencakup layanan pembayaran ShopeePay. Namun, strategi bisnis Shopee dalam mendorong penggunaan ShopeePay berpotensi menciptakan praktik monopoli dalam sistem pembayaran digital. Penelitian ini bertujuan untuk menganalisis dugaan monopoli yang dilakukan oleh Shopee dalam sistem pembayaran digital serta dampaknya terhadap persaingan usaha, penegakan hukum, dan ekosistem e-commerce di Indonesia. Metode penelitian yang digunakan adalah pendekatan kualitatif dengan analisis hukum dan ekonomi terhadap kebijakan Shopee serta tinjauan terhadap regulasi yang berlaku, khususnya Undang-Undang Nomor 5 Tahun 1999 tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak Sehat. Hasil penelitian menunjukkan bahwa kebijakan Shopee yang memberikan insentif eksklusif kepada pengguna ShopeePay berpotensi menciptakan ketergantungan merchant dan konsumen terhadap layanan tersebut, sehingga menghambat persaingan dengan penyedia pembayaran digital lain seperti OVO, DANA, dan GoPay. Praktik ini dapat dikategorikan sebagai pengikatan (tying practice) yang dalam beberapa yurisdiksi internasional telah dianggap sebagai strategi anti-persaingan. Selain itu, regulasi yang ada saat ini masih belum cukup kuat untuk mengatasi kompleksitas persaingan usaha di sektor digital, sehingga diperlukan intervensi dari Komisi Pengawas Persaingan Usaha (KPPU) serta kebijakan yang lebih inklusif guna memastikan ekosistem pembayaran digital yang sehat dan kompetitif. Penelitian ini menegaskan pentingnya pembaruan regulasi dalam menghadapi tantangan persaingan usaha di era digital. Pemerintah perlu memperkuat kebijakan interoperabilitas sistem pembayaran, memperjelas batasan antara strategi bisnis yang sah dan praktik monopoli, serta meningkatkan pengawasan terhadap platform digital yang memiliki dominasi pasar. Dengan regulasi yang lebih adaptif, diharapkan persaingan usaha tetap sehat, inovasi tetap berkembang, dan konsumen tetap memiliki kebebasan dalam memilih layanan pembayaran yang paling sesuai dengan kebutuhan mereka.

Abstract

Problems in the application of legal accountability to State-Owned Enterprises (SOE) involved in corruption, with a focus on the non-uniformity of the definition of state finance, the application of sanctions, and disparities in the recovery of state losses. The method used in this study is normative research with a descriptive analytical approach, which examines existing laws and regulations and analyzes legal practices applied to SOE involved in corruption. The results of the study indicate that the non-uniformity in the definition of state finance causes difficulties in determining the amount of state losses, while the application of inappropriate sanctions, such as fines, is ineffective in recovering state losses. In addition, there is disparity in criminalization, which has an impact on injustice in the process of recovering state losses, with the Prosecutor's Office being more successful in recovering losses than the CEC. This study recommends standardizing legal definitions, applying more appropriate sanctions such as termination of operations or restructuring of management, and implementing an asset recovery mechanism to increase the effectiveness of recovering state losses

Abstract

This study analyzes the legal risks and benefits in establishing a limited liability company (PT) through a joint venture scheme between Foreign Direct Investment (PMA) and Domestic Investment (PMDN) in Indonesia. The research uses qualitative methods by reviewing legal documents such as Joint Venture Agreements (JVA) and Articles of Association (AoA), as well as Indonesian investment regulations. The study identifies key risks including inconsistencies between JVA and AoA, disproportionate governance structures, conflicting objectives between PMA and PMDN, and violations of foreign ownership limits under the Positive Investment List. These risks potentially cause operational conflicts and legal sanctions. Additionally, differences in legal backgrounds increase the chance of misinterpretation of ambiguous contract clauses. To mitigate these risks, the research suggests harmonizing the JVA and AoA, involving legal advisors familiar with Indonesian law and international business practices, and implementing clear governance and dispute resolution mechanisms such as arbitration. The findings aim to guide stakeholders in managing joint ventures effectively and legally compliant in Indonesia. Penelitian ini menganalisis risiko hukum dan manfaat pembentukan Perseroan Terbatas (PT) melalui skema joint venture antara Penanaman Modal Asing (PMA) dan Penanaman Modal Dalam Negeri (PMDN) di Indonesia. Metode yang digunakan adalah kajian kualitatif terhadap dokumen hukum seperti Perjanjian Joint Venture (JVA), Anggaran Dasar (AD), serta regulasi investasi di Indonesia. Hasil penelitian mengidentifikasi risiko utama berupa ketidaksesuaian JVA dan AD, struktur tata kelola yang tidak proporsional, perbedaan tujuan antara PMA dan PMDN, serta pelanggaran batas kepemilikan asing sesuai Daftar Positif Investasi. Risiko ini berpotensi menimbulkan konflik operasional dan sanksi hukum. Selain itu, perbedaan latar belakang hukum memperbesar kemungkinan salah tafsir klausul kontrak. Untuk mitigasi, disarankan penyusunan JVA dan AD secara harmonis dengan pendampingan penasihat hukum yang memahami hukum Indonesia dan praktik bisnis internasional, serta mekanisme penyelesaian sengketa yang jelas seperti arbitrase. Temuan ini bertujuan membantu pihak terkait dalam mengelola joint venture secara efektif dan sesuai hukum di Indonesia.

Abstract

This study examines legal deviations in the implementation of the Suspension of Debt Payment Obligations (PKPU) mechanism, specifically regarding the approval of a peace settlement submitted for the second time after the debtor is declared bankrupt. The study highlights the Supreme Court Decision No. 648K/Pdt.Sus-Pailit/2021, which ratified the second peace settlement in the case of PT Prospek Duta Sukses. This decision is deemed contradictory to the principle of a single peace settlement, as stipulated in Articles 289 and 292 of Law No. 37 of 2004 on Bankruptcy and PKPU, and further reinforced by Supreme Court Circular Letter (SEMA) No. 5 of 2021, which states that a peace settlement in bankruptcy can only be conducted once. Using a normative juridical method, this research analyzes the legal reasoning used by the panel of judges in approving the second peace settlement and evaluates its impact on legal certainty and protection for creditors, who are the affected parties in the bankruptcy process. The approval of a second peace settlement after the debtor is declared bankrupt creates legal uncertainty, as the existing provisions do not provide for more than one peace settlement. Additionally, this decision potentially harms creditors by prolonging the settlement of debts, which should have been clear, thus allowing room for misuse of legal procedures. The findings of the study show that the approval of this second peace settlement not only contradicts the fundamental principles of law but also risks harming creditors, who should be protected by the bankruptcy system to ensure their rights are fairly met. Therefore, this research suggests that consistent application of the law, in line with existing provisions, is necessary to uphold the principles of justice, legal certainty, and the credibility of the national bankruptcy system. Furthermore, reforms in regulations or law enforcement are needed to ensure that legal practices operate in accordance with principles that are fair and transparent.

Abstract

The implementation of a recommendation feature in the courier service selection system on e-commerce platforms is a technological innovation aimed at improving logistics efficiency while providing a more optimal user experience. Through this feature, consumers can find alternative delivery services based on certain indicators, such as cost, estimated time, and service quality. However, in practice, the implementation of recommendation features has the potential to raise legal issues when platforms prioritize internal couriers or certain partners without transparency and clear objective indicators. This situation can lead to discriminatory treatment, limit market access for other businesses, and reduce consumer freedom in choosing services. This study aims to analyze the implementation of recommendation features by e-commerce platforms from a competition law perspective, specifically based on Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition. The method used is normative juridical research with a descriptive-analytical approach, through the review of secondary data in the form of laws and regulations, literature, and the practice of implementing recommendation systems in the digital industry. The research results indicate that recommendation features that unilaterally prioritize internal couriers without objective basis and without information transparency have the potential to violate Article 19 letter d of Law Number 5 of 1999. This practice can hinder competition, close opportunities for other courier service providers, and create distortions in the digital logistics ecosystem. Therefore, this study recommends that recommendation features in e-commerce be designed in a neutral, transparent manner, and based on objective indicators, such as rates, estimated delivery times, and service performance. This will maintain healthy business competition and protect consumers' rights to obtain the best service options.

Abstract

With reference to the Civil Code and the type of legal protection available to holders of local e-wallets that store cryptocurrency, this paper examines the legality of trading transactions involving digital currency, in this case crypto coins, as a form of payment. The urgency of this study is the occurrence of a legal vacuum (rechtsvacuum) of the existence of crypto coins that creates legal uncertainty. Normative juridical is the research method used in this study. The conclusion that can be drawn from the results of the discussion is that trade transactions using crypto coins as a means of payment in terms of the Civil Code are not prohibited if they are related to Article 1320 jo 1541 of the Civil Code, payments using crypto coins can be equated with legal exchange relationships. This form of legal protection for crypto coin users can be preventive and repressive. Preventive is carried out through consistent regulation. Repressively, now BAPPEBTI as a supervisor can provide administrative sanctions, in the form of warnings to license revocation for companies that organize e-wallets. Penelitian ini bertujuan menganalisis keabsahan transaksi perdagangan menggunakan koin kripto sebagai alat pembayaran, ditinjau dari Kitab Undang-Undang Hukum Perdata dan bentuk perlindungan hukum terhadap pengguna koin kripto yang tersimpan dalam e-wallet lokal. Urgensi dari penelitian ini adalah terjadinya kekosongan hukum (rechtsvacuum) keberadaan koin kripto yang menimbulkan ketidakpastian hukum. Dalam penyusunan artikel ini digunakan metode penelitian hukum yuridis normatif yang dilakukan melalui penelaahan bahan pustaka sebagai bahan dasarnya. Dari hasil pembahasan dapat diambil kesimpulan bahwa Transaksi perdagangan yang menggunakan koin kripto sebagai alat pembayaran ditinjau dari Kitab Undang-Undang Hukum Perdata bukan sesuatu hal yang dilarang, jika dikaitkan dengan Pasal 1320 jo 1541 Kitab Undang-Undang Hukum Perdata, maka pembayaran melalui penggunaan koin kripto dapat dipersamakan dengan hubungan hukum tukar-menukar. Bentuk perlindungan hukum bagi pengguna koin kripto dapat  dilakukan secara preventif dan represif. Secara preventif dilakukan melalui regulasi yang konsisten. Secara represif, sekarang ini BAPPEBTI sebagai pengawas dapat memberikan sanksi administratif, berupa peringatan hingga pencabutan izin bagi perusahaan yang menyelenggarakan e-wallet.

Abstract

ABSTRAKArtikel ini mengkaji dampak putusan Mahkamah Konstitusi Nomor 83/PUU-XXII/2024 yang menghapus Pasal 251 KUHD terhadap praktik hukum dalam industri asuransi. Penghapusan pasal tersebut bertujuan untuk mencegah kerugian sepihak dan menciptakan kesetaraan hukum antara pihak tertanggung dan penanggung. Penelitian ini berfokus pada penegakan prinsip keadilan yang ada dalam asuransi untuk menilai perubahan perilaku masyarakat dan keadilan hukum pasca putusan tersebut ditetapkan. Penelitian ini menggunakan pendekatan yuridis normatif dengan metode pengumpulan data secara deskriptif melalui studi literatur dari buku dan karya ilmiah relevan lainnya, yang kemudian dianalisis secara kualitatif. Hasil penelitian menunjukkan bahwa putusan Mahkamah Konstitusi tersebut membawa dampak positif terhadap industri asuransi, menciptakan iklim usaha yang lebih sehat, mendorong keuntungan yang adil bagi para pihak, serta mengurangi praktik pembatalan sepihak perjanjian oleh perusahaan asuransi. Kesimpulan yang didapat adalah dengan penegakan putusan ini, maka prinsip keadilan yang ada dalam asuransi dapat terlaksana dengan lebih bagus dan dapat dirasakan oleh kedua belah pihak.Kata Kunci: Asuransi, Pembatalan Sepihak Asuransi, Prinsip Keadilan
