Abstract

Abstract

The Business Judgment Rule (BJR) serves as a fundamental doctrine in corporate law, protecting company directors from personal liability when they act in good faith, exercise due diligence, and avoid conflicts of interest. However its recognized importance in safeguarding directors’ discretion, Indonesian lawmakers and courts have not fully developed its application, as shown by limited statutory codification, inconsistent judicial interpretation, and insufficient empirical analysis, thereby hindering coherent corporate governance and generating uncertainty in directors’ decision-making authority. This study analyzes the implementation of the BJR in Indonesia through a comparative lens with Malaysia. Using a normative and comparative legal approach, the research reveals that Indonesia’s current framework lacks clarity, comprehensive codification, and consistent judicial interpretation particularly in the private sector. The research findings demonstrate that, first, the implementation of the Business Judgment Rule (BJR) in Indonesia remains constrained by procedural ambiguity, which undermines consistent and predictable enforcement. Second, the allocation of the burden of proof lacks clarity, thereby weakening both the protection afforded to directors and the reliability of judicial determinations. Third, institutional support for the practical application of the BJR is insufficient, limiting its capacity to promote effective corporate governance. In response, the study recommends comprehensive reform of the Indonesian Company Law, the incorporation of safe-harbor provisions, the enhancement of judicial competence through specialized training, and the reinforcement of corporate governance mechanisms to improve legal certainty and strengthen directors’ accountability. Advancing the BJR framework is essential to encourage innovation, reduce legal risks, and enhance the competitiveness and resilience of Indonesia’s corporate sector.

Abstract

The reform of criminal law under Law Number 1 of 2023 on the Indonesian Penal Code (KUHP) as the new material criminal law introduces the concept of Judicial Pardon or Rechterlijk Pardon. This reform allows for the possibility of a guilty verdict without the imposition of a criminal sentence in the Indonesian Penal Code. The central issues addressed in this study are: (1) What are the aims and conceptual foundations of Judicial Pardon or Rechterlijk Pardon? and (2) How is the concept regulated under Law Number 1 of 2023 on the Penal Code, Law Number 8 of 1981 on the Criminal Procedure Code (KUHAP), and the 2012 Draft Criminal Procedure Code (RKUHAP)? This study employs a normative juridical method, using both the statute approach and the comparative approach. The research is based on secondary data, gathered through library research, and analyzed qualitatively. The criminal law reform through Law Number 1 of 2023 introduces Judicial Pardon or Rechterlijk Pardon as an alternative consideration for judges, allowing them to refrain from imposing a sentence while still upholding the principles of justice and humanity. However, this reform in the concept has yet to be accommodated within Indonesia’s formal criminal law, as reflected in the Criminal Procedure Code of 1981 and the 2012 Draft Criminal Procedure Code. These codes currently do not recognize Judicial Pardon as a valid form of judgment—that is, a decision wherein a defendant is proven guilty beyond reasonable doubt but is not punished due to judicial clemency. Therefore, harmonization and adjustment are needed to ensure consistency in the application of Judicial Pardon or Rechterlijk Pardon within both material and formal criminal law systems, contributing to a more coherent and unified criminal justice system in Indonesia.

Abstract

Abstract

The purpose of this study was to determine the pattern of social stratification relations in the form of communication of the Sasak language variation. This type of research can be categorized as a qualitative descriptive research (post positive) because it is oriented towards finding values and influences, namely two focuses that have causality and a hierarchical relationship between social stratification and the existence of language. The research phase begins with problem identification, intensive observation, and then proceeds with the data acquisition stage. Data collection and acquisition techniques were carried out in three ways, namely interviews, observation, and documentation while the research data focused on two types of data, namely secondary data (written) through documents and empirical data (field) through observation and interviews. Determination of informants as sources are selected and determined by qualification and random based on certain criteria. After the data is obtained, the data will be analyzed using the method of data reduction and categorization. The results of this study conclude that: (1) stratification and social class in the Sasak community have a very large existence and influence in the mobility of the community. All aspects including language in the stratification and social class of the Sasak people will be formed differently into language classes (undak usuk) to show the criteria and identity of each group. (2) The forms of communication that occur in social society can be seen based on the context of the speakers who communicate with each other or with different groups, while in relation to social interaction, social interaction between groups will be high if their forms of communication are parallel (parallel) and social interaction will decrease if the form of communication is opposite and not comparable (diparallel).

Abstract

This study aims to identify the obstacles faced by grade 11 students at MAN Sorong SP 4 in comprehending English reading texts. Employing a mixed-methods approach, data were collected through a 4-point Likert scale questionnaire completed by 20 students and semi-structured interviews with 5 students and 1 English teacher. The instrument covered four key areas: vocabulary mastery, motivation, media preferences, and teacher support. Results revealed that 76% of students struggled with vocabulary, 71% lacked effective reading strategies such as skimming and inference, and 64% had difficulties understanding text structures. Additionally, 60% of students demonstrated low motivation toward academic reading, although they showed interest in English content through social media. Interview findings supported the quantitative data, indicating students' reliance on dictionaries, absence of explicit reading strategy instruction, and low confidence in dealing with complex texts. The study recommends an instructional approach that integrates reading strategies, vocabulary development, and educational digital media to enhance students’ holistic reading comprehension skills.

Abstract

This study aims to identify the impact of extensive reading activities on students' vocabulary mastery at SMA Islam Raudatul Ulum Batu Jangkih during the 2024/2025 academic year. The research employs a quantitative approach with a pre-experimental design. The sample consists of 33 eleventh-grade students, including 18 females and 15 males. The instruments used for data collection were pre-tests and post-tests, designed to assess students' vocabulary skills before and after the intervention through extensive reading activities tailored to their proficiency level. The students participated in extensive reading sessions over four meetings, with reading materials chosen according to their interests and abilities. After the intervention, the data were analyzed using a paired sample t-test with the assistance of SPSS version 20 to determine the effectiveness of the method. The results showed a significant improvement in students' vocabulary mastery after engaging in extensive reading activities. The average pre-test score was 56.81, while the post-test average increased to 78.33. The t-test results indicated a significant value (p-value) of 0.001, demonstrating a significant difference between pre-test and post-test scores, indicating that the extensive reading method had a positive impact. These findings suggest that the extensive reading model is not only effective in improving students' vocabulary mastery but also in increasing their motivation to read independently. Therefore, English teachers are encouraged to integrate extensive reading into their teaching methods to enhance vocabulary acquisition and other language skills such as comprehension and speaking.
