Abstract

There is a clear boundary between the corporation and its owners, which is not the same as shareholders. Capital that can be approved, placed, or paid up is one of the components of a company's articles of association. Article 33 paragraph (1) of the Limited Liability Company Law also stipulates that a full deposit of 25% of the authorized capital is required. To emphasize common legal occurrences, it is known that shareholders often fail to fulfill their responsibilities in providing the working capital required by the deed of incorporation at the beginning of the company's existence. In this study, we looked at issues from closed cases that we collected from a number of gas agency LLCs in Central Java. Examine the rights of shareholders, procedures for proving ownership, and the legal position of shareholders who do not contribute all their capital. Writing systematically based on an analytical-critical approach and the nature of literature research is the research method used. The findings of this study also make it clear that shareholders who do not pay the full issued capital according to the agreement are in default in connection with the agreement to form a limited liability company, as stated in Article 33 of the PT Law Number 40 of 2007 concerning Limited Liability Companies. Limited. The people involved in this lawsuit have all been officially recognized as shareholders, which means that their names are now considered inseparable. Therefore, shareholders must acquire and maintain their rights as shareholders.

Abstract

Abstract: Developments in the economic and trade sectors are increasingly rapid as well as debt and receivable problems that cannot be resolved by the Bankruptcy Law, the government has made changes to these regulations to become Law Number 37 of 2004 concerning Bankruptcy and Postponement of Debt Payment Obligations. PKPU is an effort used by both debtors and creditors in the event that the debtor considers that he is or is expected to be unable to continue paying his debts that are due and payable, in order to achieve a peace plan for the debtor and creditor. The absence of legal action against a PKPU decision can be a mode or abuse for creditors to reject the peace plan proposed by the debtor so that the debtor is immediately declared bankrupt. In the UUKPKPU it is explained that the peace plan submitted by the debtor in the PKPU is determined based on approval or voting from the creditors. Through a normative juridical approach with analytical descriptive methods, it can be seen to what extent judges apply the principle of balance in deciding a decision and the results of a decision can influence the position of the law.Keywords: PKPU, Bankrupt, Legal Review Abstrak :Perkembangan dalam bidang perekonomian dan perdagangan yang semakin pesat serta permasalahan utang piutang yang belum bisa diselesaikan oleh UU Kepailitan, pemerintah melakukan perubahan terhadap peraturan tersebut menjadi Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang. PKPU adalah suatu upaya yang digunakan baik oleh debitur maupun kreditur dalam hal debitur menilai sudah atau diperkirakan tidak dapat melanjutkan pembayaran utang-utangnya yang telah jatuh waktu tempo dan dapat ditagih, agar tercapainya rencana perdamaian bagi debitur dan kreditur. Tidak adanya upaya hukum terhadap putusan PKPU dapat menjadi suatu modus atau penyalahgunaan bagi kreditur untuk menolak rencana perdamaian yang diajukan oleh debitur sehingga debitur langsung dinyatakan pailit. Dalam UUKPKPU dijelaskan bahwa rencana perdamaian yang diajukan oleh debitur dalam PKPU ditentukan berdasarkan persetujuan atau pemungutan suara dari pihak kreditur. Melalui pendekatan Yuridis normatif dengan metode deskriptif analitis dapat ditinjau sejauh mana hakim menerapkan asas keseimbangan dalam memutus suatu putusan dan hasil dari suatu putusan dapat mempengaruhi kedudukan Undang-undang. Kata kunci : PKPU, Pailit, Pengujian Undang-undang

Abstract

Tujuan penelitian ini mengkaji bagaimanakah klasula baku kewajiban memberikan ulasan baik dalam transaksi e-commerce oleh konsumen sebagai persyaratan pemberian garansi dalam perspektif hukum pelindungan konsumen serta bagaimanakah pelindungan konsumen atas adanya klausula baku yang mewajibkan konsumen e-commerce memberikan ulasan baik sebagai persyaratan pemberian garansi dalam perspektif pelindungan konsumen. Penelitian dilaksanakan melalui pendekatan yuridis normatif yang bersifat diskirptif analitis. Hasil penelitian menunjukkan klausula baku dalam transaksi e-commerce yang menyatakan garansi hangus apabila konsumen memberikan review tidak baik dapat dikategorikan sebagai klausula baku yang dilarang Pasal 18 ayat (1) huruf a UU 8/1999. Konsekuensi atas pencantuman klausula baku tersebut berdasarkan Pasal 18 ayat (3) UU 8/1999 dinyatakan batal demi hukum. Merchant dan konsumen seharusnya secara bersama-sama memperhatikan kewajiban itikad baik. Pelindungan konsumen e-commerce atas pencatuman klausula baku yang mewajibkan konsumen memberikan review baik sebagai persyaratan garansi melalui perlindungan preventif dan represif. Perlindungan preventif dapat dilakukan melalui pengawasan yang efektif atas pencantuman klausula baku yang bertentangan Pasal 18 ayat 1 huruf (a) UU 8/1999 oleh BPSK, serta pihak penyelenggara marketplace dapat memastikan ketaatan merchant akan ketentuan yang telah ditetapkan oleh marketplace maupun UU 8/1999. Adapun perlindungan hukum secara represif dapat dilakukan melalui penyelesaian secara damai, penyelesaian melalui BPSK dan melalui pengadilan.

Abstract

This research explores the application of the receptie a contrario theory in its implementation in the inheritance law of the Minangkabau customary society. This research is a normative juridical research with conceptual and philosophical approaches. Data source analysis is conducted on primary legal materials in the form of expert interviews and laws and regulations, and secondary legal materials in the form of research results on Islamic law and customary law. Based on the research results, it can be concluded that the theory of receptie a contrario still applies to inheritance issues in Minangkabau. Although the Minangkabau people are famous for their adherence to customs, they consider breaking customs shameful. However, the Minangkabau community has explicitly stated that their customary inheritance law refers to Islamic inheritance law by recognizing that children and wives are heirs of their parents/husbands. In contrast, previously, the customary heirs recognized were nieces (kemenakan). This research confirms that the application of the receptie a contrario theory still applies to inheritance issues in Minangkabau. In addition, it also contributes to explaining to the broader community that inheritance in Minangkabau, although it adheres to matrilineal kinship lines, has implemented Islamic law.

Abstract

Child marriages are common throughout Indonesia. This is due to a strong influence of Indonesian customs and religion that strongly influence the lives of its people. It is worth pointing that marriage age arrangements in Indonesian Marriage Law reinforces that legal age for men is 19 years and 16 years for women. The 2012 statistics show that Indonesia is the 37th highest in the world in child marriage, while at the Southeast Asian level, this country ranks second after Cambodia. The ranking went up dramatically since in 2016, based on UNICEF, Indonesia ranked the 7th in child marriage worldwide. This means that the practice of child marriage in Indonesia happens, especially to women at the age of 18 years, and there is no discrimination related to the age of marriage. Against this matter, there has been a file for judicial review that demands marriage age for men and women to be pegged at the age of 18 years. However, the Judge of the Constitutional Court, through Decision Number 30-74/PUU-XII/2014, states that age of marriage remains valid for the 19-year-old for man and 16-year-old for women. The struggle does not stop there because at this time, there a national movement of STOP CHILD MARRIAGE formed by civil organisations in cooperation with the Commission of Child Protection and Ministry of Woman Empowerment and Child Protection. This movement sees that the practice of child marriage is a national emergency problem that must be addressed seriously. Further, this movement demands immediate enactment of government regulation in favour of the law which must promptly revise the Marriage Law, especially related to the marriage age.

Abstract

Empowerment of women and girls is to be realized through sustainable development. Sustainable development depends on an equitable distribution of resources and it cannot be achieved without gender equality (Pathania, 2017). This research aims to analyze the implementation of the Sustainable Development Goals Program in the elimination of child marriage practices in Indonesia and to discover efforts to implement the Sustainable Development Goals Program by government officials in the elimination of child marriages in Pesisir Selatan District, West Sumatra Province. This research used the Sustainable Development Goals approach. To obtain the data, the researchers used primary and secondary data. Based on the result, it can be concluded that implementation of achievement of the Sustainable Development Goals is not only carried out centrally by the central government, but the central government also submits this to the regional government.

Abstract

Changes in the legal construction begin with a paradigmatic shift in the relationship between the consumer and businesses, as reflected in the preference of let the producer aware principle in favor of letting the buyer aware principle. This study aims to find out the implication of the let the producer aware principle for goods and services, and its development in consumer protection law in Indonesia and to find out the legal system of Indonesia adopts the let the producer aware principle in order to protect Indonesian consumers. The research method applied in this study is normative juridical approach. The data obtained from the study of literature which is used as secondary data. Furthermore, interviews were conducted to obtain primary data, and then the data were analyzed by juridical qualitative method. As a result of analysis, it shows that firstly: the implementation of let the producer aware principle in Indonesia has not been properly conducted because of the common perception that consumers’ opinion is less valuable than producers’. Secondly, the adoption of the let the producer aware principle for consumer protection by Indonesian Legal policy is shown by Law Number 8 Year 1999 about Consumer Protection (Indonesian Consumer Protection Act), which is based on the principle of fault liability, utilizing reversed burden of proof. This way, both parties are protected, because it proportionally distributes the liability to each party. In conclusion, both producers and consumers are equally protected on condition that they can provide evidence of the losses obtained.

Abstract

In debt and credit problems, bankruptcy is often the last solution to resolve the problem. State-Owned Enterprises or SOEs are also not immune from debt and credit problems that lead to bankruptcy. The regulation regarding the bankruptcy of SOEs itself is regulated in Article 2 Paragraph (5) of the Bankruptcy Law and its explanation. However, problems then arise when the subsidiaries of SOEs become bankruptcy respondents. There is no legislation that specifically regulates the bankruptcy of SOEs Subsidiaries, so this has led to confusion and debate in the community regarding the status of SOEs Subsidiaries in terms of bankruptcy. The ambiguity and debate can be seen in the implications of the bankruptcy petition case filed by the Kinarya Liman Margaseta Consortium against PT Indonesia Power, which is a Subsidiary of SOEs, namely PT PLN. This research aims to find out how the position of a SOEs Subsidiary in terms of bankruptcy is reviewed from the Bankruptcy Law and SOEs Law. The type of research used in this research is normative legal research. The research specifications used in this research are descriptive analysis. The approach used in this research is a statutory approach and case approach. Based on the results of this case study, it can be seen that when viewed from the Bankruptcy Law and the SOEs Law, basically the subsidiaries of SOEs and SOEs cannot be equated in status and position. This is supported by several theories and strengthened by the Constitutional Court Decision and the Supreme Court Decision. Thus, PT Indonesia Power's bankruptcy petition should be filed by its creditors in addition to the Minister of Finance.

Abstract

This research examines the regulation of remuneration for Foundation executives in Indonesia, focusing on legal aspects and its implementation. As Foundations evolve to support social, religious, and humanitarian objectives, cases of misappropriation of Foundation funds have emerged, highlighting the need for tighter oversight. Through a normative juridical approach and descriptive analysis, this study details the issues surrounding remuneration regulations, emphasizes instances of financial misconduct, and discusses the importance of establishing an external supervisory body or regulatory changes. The implementation of Good Corporate Governance and Good Cooperative Governance principles within the Foundation context is also explored. This research responds to the need for integrity, transparency, and accountability in Foundation management to achieve the humanitarian goals they undertake. The conclusion underscores the necessity for further action, including the establishment of an external supervisory body or regulatory strengthening.

Abstract

Introduction: Business competition often drives companies to engage in unfair practices, including violations of the rule of reason principle, where market dominance is achieved through cartel-like behavior. This study focuses on analyzing how this principle applies to airline ticket pricing, particularly under Law Number 5 of 1999 concerning Monopoly Practices and Unfair Business Competition in Indonesia. Purposes of the Research: This research aims to analyze the application of the rule of reason principle in airline ticket pricing and assess whether airlines' pricing practices comply with Law Number 5 of 1999, focusing on a case involving seven airlines accused of anti-competitive behavior. Methods of the Research: This research uses normative legal research methods, relying on secondary data collected through literature studies. The analysis focuses on interpreting Law Number 5 of 1999, specifically Article 5, to determine whether airline pricing practices, including those of seven airlines under investigation, violate the rule of reason principle and constitute unfair competition. Results Main Findings of the Research: This research demonstrates that a violation under the rule of reason principle demands rigorous evaluation of market effects. The case involving seven airlines uncovered a price-fixing scheme in breach of Article 5 of Law No. 5 of 1999. By restricting routes and low-cost ticket availability, the conduct significantly eroded consumer welfare and disrupted the integrity of competitive market structures.
