Abstract

Abstract: Unlawful conduct by a notary refers to actions that violate the legal and ethical obligations inherent to the notarial profession. This includes the preparation of inaccurate documents, abuse of authority, of failure to adhere to professional ethics. This study aims to examine and analyze the validity requirements for share transfer through a grant and its legal implications for the implementastion of the General Meeting of Shareholders (GMS). This research employs a normative juridical method with a descriptive analytical approach, utilizing both statutory and cased-based approaches. Seceondary data is the main source, consisting of primary, secondary, and tertiary legal materials, collected through literature review and analyzed qualitatively. Keywords: Notary, Share Grant Deed, Unlawful Conduct Abstrak: Perbuatan melawan hukumun notaris adalah tindakan seorang notaris yang bertentangan dengan aturan atau prinsip yang harus ditaati dalam melaksanakan tugasnya. Hali ini mencakup pelanggaran terhadap kewajiban professional, seperti membuat dokumen yang tidak sesuai kenyataan, menyalahgunakan kewenangan, atau mengabaikan etika yang berlaku dalam profesinya. Penelitian ini bertujuan untuk mengetahui dan menganalisis syarat keabsahan pengalihan saham dengan hibah dan akibat hukumnya terhadap pelaksanaan RUPS. Penelitian ini menggunakan metode penelitian yuridis normative bersifat deskriptif analisis dengan pendekatan penrundang-undangan dan penedekatan kasus. Data sekunder menjadi data utama penelitian yang terdiri dari bahan hukum primer, sekunder, tersier yang dikumpulkan dengan studi kepustakaan dan dianalisis dengan analisis data kualitatif. Kata kunci: Notaris, Akta Hibah Saham, Perbuatan Melawan Hukum

Abstract

Abstract: Instant food products, fast food, restaurants to market snacks are things that are prone to contamination by types of food that are not halal, both in terms of ingredients and processes. The issue of the halal labeling process has changed since the beginning of the implementation of halal labeling until the emergence of several regulations, namely Law No. 33 of 2014 and updated by Law No. 6 of 2023. This study uses a normative legal research method (juridical normative) To obtain valid and accountable research results, it is necessary to use data collection techniques and tools, namely, Library research and Field research in the form of interviews. The tools used in this research method include document studies and interview guidelines. From the results found that Law No. 8 of 1999 concerning Consumer Protection cannot be used as a reference in terms of consumer protection issues in the field of halal labeling, this issue should be the domain of Law No. 33 of 2014 concerning Halal Product Guarantees so that a revision needs to be made to the law, namely by adding legal protection, as well as legal efforts that can be taken by business actors and consumers who feel disadvantaged by the halal labeling process. Keyword: Legal Certainty, Legal Protection, Halal Labeling Process, BPJPH, MUI Abstrak: Produk–produk makanan instan, makanan cepat saji, restoran sampai jajanan pasar merupakan hal yang rawan dicemari oleh jenis makanan yang tidak halal baik dari segi bahan, maupun prosesnya. Persoalan mengenai proses labelisasi halal mengalami perubahan sejak awal mula diberlakukannya labelisasi halal sampai dengan munculnya beberapa aturan yakni Undang–Undang No 33 Tahun 2014 dan diperbeharui dengan Undang–Undang No 6 Tahun 2023. Penelitian ini menggunakan metode penelitian hukum normatif (yuridis normatif) Untuk mendapatkan hasil penelitian yang valid dan akuntabel maka perlu digunakan teknik dan alat pengumpulan data yaitu, Penelitian kepustakaan (library research) dan Studi lapangan (field research) berupa wawancara. Alat yang digunakan dalam metode penelitian ini mencakup studi dokumen dan pedoman wawancara. Dari hasil yang ditemukan bahwa Undang–Undang No 8 Tahun 1999 Tentang Perlindungan Konsumen belum bisa menjadi acuan dalam hal persoalan perlindungan konsumen dibidang labelisasi halal, persoalan ini harusnya menjadi ranah dari UU No 33 Tahun 2014 Tentang Jaminan Produk Halal sehingga perlu dilakukan revisi dalam UU tersebut yaitu ditambahkan tentang perlindungan hukum, serta upaya hukum yang dapat dilakukan oleh pelaku usaha dan konsumen yang merasa dirugikan oleh proses labelisasi halal. Kata kunci: Kepastian Hukum, Perlindungan Hukum, Proses Labelisasi Halal, BPJPH,                    MUI

Abstract

Abstract: The obligation to implement Social and Environmental Responsibility (TJSL) in Indonesia has been regulated by law, but regulations regarding the provision of incentives for companies that implement it have not been comprehensively formulated. This situation raises questions about the effectiveness of TJSL policies in encouraging corporate compliance while increasing the attractiveness of national investment. This study aims to analyze the regulation of TJSL incentives in the Indonesian legal system, assess the urgency of providing incentives from the perspective of legal certainty and ease of doing business, and compare them with policies implemented in Singapore. This study is a normative legal study with legislative, conceptual, and comparative approaches. Primary and secondary legal materials are analyzed qualitatively using the theory of legal certainty, development law theory, and comparative law theory as analytical frameworks. This study shows that the regulation of TJSL incentives in Indonesia is still limited, not systematically integrated with investment and ease of doing business policies, and has not been designed as a strategic instrument to encourage optimal corporate participation. In contrast, Singapore implements a more structured approach through a combination of fiscal and non-fiscal incentives aligned with sustainable development policies and improving the investment climate. Therefore, reformulating CSR incentive policies in Indonesia is necessary to create legal certainty, increase the effectiveness of CSR implementation, and strengthen national competitiveness and investment attractiveness. The formulation of clear, measurable, and integrated incentives will make CSR not only a legal obligation but also a strategic instrument for sustainable economic development. Abstrak: Kewajiban pelaksanaan Tanggung Jawab Sosial dan Lingkungan (TJSL) di Indonesia telah diatur dalam peraturan perundang-undangan, namun pengaturan mengenai pemberian insentif bagi perusahaan yang melaksanakannya belum dirumuskan secara komprehensif. Kondisi ini menimbulkan persoalan mengenai efektivitas kebijakan TJSL dalam mendorong kepatuhan korporasi sekaligus meningkatkan daya tarik investasi nasional. Penelitian ini bertujuan untuk menganalisis pengaturan insentif TJSL dalam sistem hukum Indonesia, menilai urgensi pemberian insentif dalam perspektif kepastian hukum dan kemudahan berusaha, serta membandingkannya dengan kebijakan yang diterapkan di Singapura.Penelitian ini merupakan penelitian hukum normatif dengan pendekatan perundang-undangan, konseptual, dan perbandingan. Bahan hukum primer dan sekunder dianalisis secara kualitatif dengan menggunakan teori kepastian hukum, teori hukum pembangunan, dan teori perbandingan hukum sebagai kerangka analisis. Penelitian ini menunjukkan bahwa pengaturan insentif TJSL di Indonesia masih bersifat terbatas, tidak terintegrasi secara sistematis dengan kebijakan investasi dan kemudahan berusaha, serta belum dirancang sebagai instrumen strategis untuk mendorong partisipasi korporasi secara optimal. Sebaliknya, Singapura menerapkan pendekatan yang lebih terstruktur melalui kombinasi insentif fiskal dan non-fiskal yang selaras dengan kebijakan pembangunan berkelanjutan dan peningkatan iklim investasi. Atas dasar hal tersebut reformulasi kebijakan insentif TJSL di Indonesia diperlukan guna menciptakan kepastian hukum, meningkatkan efektivitas pelaksanaan TJSL, serta memperkuat daya saing dan daya tarik investasi nasional. Perumusan insentif yang jelas, terukur, dan terintegrasi akan menjadikan TJSL tidak hanya sebagai kewajiban hukum, tetapi juga sebagai instrumen strategis pembangunan ekonomi berkelanjutan. Abstract

Medan City Customs and Excise Supervision and Services (KPPBC) in the implementation of Bonded Zone facilities as an instrument for increasing investment and strengthening the competitiveness of national industry. The problem in this study focuses on how the implementation of services and supervision of Bonded Zone facilities by KPPBC Medan City and various legal and administrative challenges faced in supporting increased investment. Although Bonded Zone facilities provide various fiscal incentives and procedural conveniences that are proven to be able to increase exports and attract investment, there are still obstacles in the form of complexity of supervision, lack of synchronization of legal regulations, lack of norms related to inspection and assistance mechanisms, limited supervisory resources, and potential injustice for industries outside the Bonded Zone. The research method used is normative legal research with an approach to legal principles, legal systematics, legal synchronization, and laws and regulations related to Bonded Zones. The results of the study indicate that KPPBC Medan City has carried out its service and supervision role quite effectively through the provision of fiscal facilities, simplification of electronic-based customs procedures, fast licensing services, technical assistance to business actors, and risk management-based supervision. This policy has had a positive impact on company operational efficiency, increased exports, and investment growth in Medan City. However, various challenges remain, including regulatory inconsistencies, legal gaps in certain oversight mechanisms, limited resources, and the need for a more balanced oversight model that balances facilitation and law enforcement functions. Therefore, strengthening regulatory harmonization, improving the quality of assistance, optimizing inter-agency coordination, and developing risk-based oversight are necessary to create legal certainty and a more conducive investment climate.
