Bankcruptcy and Suspension of Payment law is a great solution for debitor who have debt problems with their creditors. Debtors can be declared bankrupt or Suspension of Payment if the debtor is simply proven to have debts to 2 (two) or more creditors and is simply proven to have "a debts that has become due and payableâ€. The existence of "a debts that has become due and payable†is one of the fundamental things in bankruptcy or Suspension of Payment cases. In today's world, determining the existence of “a debts that has become due and payable†becomes difficult. The many new forms of agreements and clauses in the world of business law make new difficulties in proving the existence of “a debts that has become due and payable†in bankruptcy and Suspension of Payment cases. These difficulties can be found in the click-wrap agreement. Click-wrap agreement is an electronic agreement that uses standard clauses. The unilateral determination of clauses in click-wrap agreements often creates problems in practice. One of the problems that occur is a dispute about the determination of a debts that has become due and payable that comes from the click-wrap agreement between the debtor and the creditor. This is because click-wrap agreement makers often don't specify a debt maturity date in the agreement. Based on the explanation above, this research will examine and analyze the determination of the existence of "a debts that has become due and payable" from click-wrap agreements that do not regulate the debt maturity clause.

Penelitian ini menggunakan metode penelitian yuridis empiris. Adapun permasalahan yang dibahas adalah bagaimana tanggung jawab hukum yang diberikan oleh penanggung dan apa upaya hukum yang dapat dilakukan oleh pihak ketiga dalam perjanjian asuransi apabila terjadi resiko. Hasil dan kesimpulan yang diperoleh yakni apabila ada kejadian yang melibatkan pihak ketiga yang disebabkan oleh tertanggung dalam perjanjian asuransi kendaraan bermotor, maka ganti kerugian terhadap pihak ketiga diberikan oleh penanggung. Pihak penanggung akan mengganti kerugian yang diderita pihak ketiga atau pihak yang berkepentingan dengan berdasarkan isi dari polis asuransi. Upaya hukum yang dapat dilakukan pihak ketiga apabila terjadi resiko adalah dengan tiga cara, yaitu musyawarah langsung, mengundang pihak ketiga dari instansi perusahaan asuransi, dan jalur arbitrase.

Yayasan selaku badan hukum dapat dipailitkan jika tidak dapat membayar utang-utangnya. namun, Yayasan Rumah Sakit Sandi Karsa dinyatakan tidak pailit berdasarkan putusan Mahkamah Agung disaat tidak dapat membayar utangnya terhadap para kreditornya. oleh karena itu, penelitian ini bertujuan untuk menganalisis putusan Pengadilan Niaga dan putusan Mahkamah Agung yang mengadili kasus kepailitan Yayasan Rumah Sakit Sandi Karsa. Penelitian ini didasarkan pada pendekatan yuridis normatif kemudian dianalisis dengan metode yuridis normative kualitatif. Hasil penelitian menunjukkan bahwa pada dasarnya Yayasan Rumah Sakit Sandi Karsa telah memenuhi unsur-unsur untuk dapat dipailitkan, dimana Yayasan Rumah Sakit Sandi Karsa memiliki dua kreditor dan tidak membayar lunas utang-utangnya sesuai tempo yang sudah ditentukan, serta harta kekayaan Yayasan yang tersisa setelah putusan Mahkamah Agung haruslah digunakan oleh Yayasan Rumah Sakit Sandi Karsa untuk melunasi utang-utangnya kepada para kreditornya agar adil bagi para kreditor dan hak yang dimiliki oleh para kreditor dapat terpenuhi.

The purpose of this research is to find out the annulment of homologation in the case of a PKPU application for KSP Intidana in terms of Law No. 37 of 2004. This research method is normative juridical which is guided by primary legal materials and secondary legal materials contained in a legislation. The results of the research show that first, the action of not accepting the annulment of homologation on the basis that the application submitted was premature is not in accordance with the provisions of the KPKPU Law because the concept of negligence as a reason for homologation annulment in the KPKPU Law is interpreted as an action where the debtor really does not fulfill the clauses agreed upon in the composition agreement, not waiting until the payment deadline expires. Secondly, the judge's action in not accepting the homologation annulment request submitted by KSP Intidana's creditors was inappropriate because it did not fulfil one of the principles of the decision in which the judge's decision must contain a clear basis.

Talent Pool on the appointment of BUMN Directors that has been implemented at this time still leaves problems. This research aims to know how the application of the Talent Pool on the appointment of Directors of PLN (Persero) viewed from Good Corporate Governance and the implications for compliance and performance aspects. The research method used in this study is a normative juridical approach which is done analytically descriptive. The results showed there were still mismatches in the application of the Talent Pool on the appointment of the Directors of PLN (Persero) to several GCG principles that are transparency principle related to the need for an information system to appoint Directors of BUMN which is transparent and accountable, accountability principle is relating to the need for the development of a performance appraisal system for Directors, BoC and Shareholders and the accountability arrangements for professional institutions or teams formed by the Minister of BUMN in conducting due diligence and propriety tests for candidates for the BoD and independence principle is relating to the process of appointing BUMN Directors which must be done in stages by involving the final assessment by Tim Penilai Akhir. The implications of the application of the Talent Pool that applies GCG principles have a significant impact on compliance and performance aspects, this is evidenced by increased compliance with applicable laws and regulations through prevention of acts against the law and increased performance through company profitability.

The purpose of this research is to analyze the exclusion of monopoly by State Owned Enterprises (BUMN) based on the provisions of business competition law in the procurement of the Covid-19 vaccine by Bio Farma (Persero) Ltd. Indonesia is being hit by the Covid-19 outbreak. This condition has had a negative impact in various fields. To overcome this, one of the government's efforts is to bring in vaccines to prevent the spread, and the procurement of vaccines is given to Bio Farma Ltd. There are indications of monopoly actions in the procurement of Covid-19 vaccines by Bio Farma Ltd. This research uses the approach statute approach and conceptual approach. The technique of tracing legal materials uses field study techniques and document studies (library research), as well as study analysis is using qualitative analysis. The results of the research and the discus-sion show that the procurement process for the Covid-19 vaccine is strictly regulated by the government. Even the quantity, procurement, and distribution are coordinated by the government in this case through the assignment of SOEs (BUMN) as regulated in Presidential Regulation Number 99 of 2020 as amended by Presidential Regulation Number 14 of 2021. The results of the study show that the actions taken by SOEs (BUMN) in this case Bio Farma (Persero) Ltd in procuring the Covid-19 vaccine is included in the excluded monopoly category, because it meets the elements of the provisions in Article 50 paragraph a. Law Number 5 of 1999 concerning Prohibition of Monopolistic Practices and Unfair Business Competition.

This study examines the mechanism and authority involved in resolving consumer disputes within the insurance sector. The study adopts a normative juridical method to analyze the topic comprehensively. Initially, it provides an overview of the mechanism employed to address consumer disputes in the insurance sector. Subsequently, it delves into an examination of the authority responsible for handling such disputes in Indonesia, particularly focusing on out-of-court alternative dispute resolution methods. The findings of the study reveal that insurance customers resort to various dispute resolution measures when faced with claim defaults by insurance companies. These measures include initiating civil lawsuits in the District Court and filing reports through either the Consumer Dispute Settlement Agency or the Indonesian Insurance Mediation Agency. It is important to note that the resolution of insurance disputes should adhere to the terms and conditions outlined in the Insurance Policy, as it represents a binding agreement between the insurer and the insured

This paper aims to see the application of Good Corporate Governance principles as an effort to strengthen SOEs. The Principles of Good Corporate Governance are the principles that underline a company's management processes and mechanisms based on laws and regulations and business ethics. SOEs as a business entity have so far only played a development role in their journey so that they often ignore the role of SOEs as a business entity or business operator, which causes the management of SOEs to be considered less successful. Therefore, the implementation of Good Corporate Governance principles is expected to strengthen SOEs as a Business Entity. This research uses normative juridical approach method of analytical descriptive research specification. The data is collected through literature and refers to the provisions of laws and regulations. This study concludes that the Principles of Good Corporate Governance are needed to be applied as an effort to link SOEs as Business Entities which includes application in several aspects, namely especially shareholder rights, equal treatment of shareholders, the role of shareholders that must be recognized, accurate and timely disclosure, and board responsibility.

PKPU merupakan proses bagi debitor untuk mengajukan rencana perdamaian. Rencana perdamaian yang telah disetujui oleh kreditor akan disahkan oleh hakim. Adanya rencana perdamaian yang telah disetujui oleh para kreditornya tetapi pengesahannya ditolak oleh hakim, karena imbalan jasa tim pengurus belum dibayar dan tidak ada jaminan pembayarannya. Penelitian ini bertujuan untuk mengkaji dan menganalisis proses Penundaan Kewajiban Pembayaran Utang (PKPU) serta rencana perdamaian dalam konteks perjanjian utang-piutang di RS X. Penelitian ini akan menganalisis permasalahan hukum mengenai imbalan jasa tim pengurus yang harus dibayarkan oleh debitor dan pertimbangan hakim dalam memutus perkara. Jenis penelitian yang digunakan dalam penelitian ini adalah penelitian hukum normatif dengan melakukan analisis bahan pustaka atau data sekunder sebagai sumber utama. Metode pendekatan yang digunakan adalah pendekatan undang-undang dengan meninjau UU KPKPU. Pendekatan kasus juga diterapkan, merujuk pada kasus penolakan pengesahan perdamaian oleh hakim. Hasil penelitian menunjukkan, pertama bahwa imbalan jasa tim pengurus merupakan kreditor preferen yang pembayarannya harus didahulukan. Kedua, bahwa pertimbangan hakim dalam memutus perkara tidak tepat karena imbalan jasa tim pengurus merupakan kesepakatan antara debitor dan pengurus. Adanya peran pengurus dan hakim pengawas dalam menentukan imbalan jasa tim pengurus. Apabila tidak ada kesepakatan imbalan jasa tim pengurus antara debitor dan pengurus, hal ini dapat ditetapkan oleh hakim pengawas.

This research aims to understand the practice of fare determination through a bidding system on online transportation applications based on Competition Law in Indonesia and to examine the supervision of fare determination actions through a bidding system on online transportation applications based on the applicable laws and regulations. This research employs a normative juridical analysis with a descriptive-analytical method by explaining the practice of fare determination using a bidding system and subsequently analyzing it using existing legal theories and norms. The results of this research indicate that the fare determination actions taken by online transportation business operators using a bidding system potentially violate the provisions of Article 20 of the Business Competition Law regarding the prohibition of predatory pricing and the Decree of the Minister of Transportation Number KP 667 in conjunction with the Decree of the Minister of Transportation Number KP 1001 concerning the Guidelines for Calculating Service Costs for Motorcycles Used with Applications, as well as the Minister of Transportation Regulation Number 12 of 2019 on the Protection of Safety for Motorcycle Users Used for Community Interests. Supervision of the actions of online transportation business operators in setting prices using a bidding system is conducted by two institutions, namely KPPU (Commission for the Supervision of Business Competition) and the Ministry of Transportation, both preventively and repressively.
