Abstract

The purpose of this research is to analyze the exclusion of monopoly by State Owned Enterprises (BUMN) based on the provisions of business competition law in the procurement of the Covid-19 vaccine by Bio Farma (Persero) Ltd. Indonesia is being hit by the Covid-19 outbreak. This condition has had a negative impact in various fields. To overcome this, one of the government's efforts is to bring in vaccines to prevent the spread, and the procurement of vaccines is given to Bio Farma Ltd. There are indications of monopoly actions in the procurement of Covid-19 vaccines by Bio Farma Ltd. This research uses the approach statute approach and conceptual approach. The technique of tracing legal materials uses field study techniques and document studies (library research), as well as study analysis is using qualitative analysis. The results of the research and the discus-sion show that the procurement process for the Covid-19 vaccine is strictly regulated by the government. Even the quantity, procurement, and distribution are coordinated by the government in this case through the assignment of SOEs (BUMN) as regulated in Presidential Regulation Number 99 of 2020 as amended by Presidential Regulation Number 14 of 2021. The results of the study show that the actions taken by SOEs (BUMN) in this case Bio Farma (Persero) Ltd in procuring the Covid-19 vaccine is included in the excluded monopoly category, because it meets the elements of the provisions in Article 50 paragraph a. Law Number 5 of 1999 concerning Prohibition of Monopolistic Practices and Unfair Business Competition.

Abstract

This study examines the mechanism and authority involved in resolving consumer disputes within the insurance sector. The study adopts a normative juridical method to analyze the topic comprehensively. Initially, it provides an overview of the mechanism employed to address consumer disputes in the insurance sector. Subsequently, it delves into an examination of the authority responsible for handling such disputes in Indonesia, particularly focusing on out-of-court alternative dispute resolution methods. The findings of the study reveal that insurance customers resort to various dispute resolution measures when faced with claim defaults by insurance companies. These measures include initiating civil lawsuits in the District Court and filing reports through either the Consumer Dispute Settlement Agency or the Indonesian Insurance Mediation Agency. It is important to note that the resolution of insurance disputes should adhere to the terms and conditions outlined in the Insurance Policy, as it represents a binding agreement between the insurer and the insured

Abstract

This research aims to study and determine the responsibilities of Holding as the parent company of SOE, if there is legal action taken by the subsidiary holding company which results in losses to third parties. Then, it is hoped that this research can be used as a reference for Holding as the parent company of SOE to see the limits of liability for losses to third parties resulting from legal actions of subsidiaries and also the solutions to resolve for similar problems. SOE has an important position in terms of supporting government programs that seek to realize prosperity and independence in balanced development. The method in this research was carried out in a normative juridical manner, so the research was based on applicable legal norms and carried out a review of the explanations contained in the library materials. It can be concluded from this research that the parent holding company will be responsible if the parent company participates in decision making.

Abstract

This paper aims to see the application of Good Corporate Governance principles as an effort to strengthen SOEs. The Principles of Good Corporate Governance are the principles that underline a company's management processes and mechanisms based on laws and regulations and business ethics. SOEs as a business entity have so far only played a development role in their journey so that they often ignore the role of SOEs as a business entity or business operator, which causes the management of SOEs to be considered less successful. Therefore, the implementation of Good Corporate Governance principles is expected to strengthen SOEs as a Business Entity. This research uses normative juridical approach method of analytical descriptive research specification. The data is collected through literature and refers to the provisions of laws and regulations. This study concludes that the Principles of Good Corporate Governance are needed to be applied as an effort to link SOEs as Business Entities which includes application in several aspects, namely especially shareholder rights, equal treatment of shareholders, the role of shareholders that must be recognized, accurate and timely disclosure, and board responsibility.

Abstract

PKPU merupakan proses bagi debitor untuk mengajukan rencana perdamaian. Rencana perdamaian yang telah disetujui oleh kreditor akan disahkan oleh hakim. Adanya rencana perdamaian yang telah disetujui oleh para kreditornya tetapi pengesahannya ditolak oleh hakim, karena imbalan jasa tim pengurus belum dibayar dan tidak ada jaminan pembayarannya. Penelitian ini bertujuan untuk mengkaji dan menganalisis proses Penundaan Kewajiban Pembayaran Utang (PKPU) serta rencana perdamaian dalam konteks perjanjian utang-piutang di RS X. Penelitian ini akan menganalisis permasalahan hukum mengenai imbalan jasa tim pengurus yang harus dibayarkan oleh debitor dan pertimbangan hakim dalam memutus perkara. Jenis penelitian yang digunakan dalam penelitian ini adalah penelitian hukum normatif dengan melakukan analisis bahan pustaka atau data sekunder sebagai sumber utama. Metode pendekatan yang digunakan adalah pendekatan undang-undang dengan meninjau UU KPKPU. Pendekatan kasus juga diterapkan, merujuk pada kasus penolakan pengesahan perdamaian oleh hakim. Hasil penelitian menunjukkan, pertama bahwa imbalan jasa tim pengurus merupakan kreditor preferen yang pembayarannya harus didahulukan. Kedua, bahwa pertimbangan hakim dalam memutus perkara tidak tepat karena imbalan jasa tim pengurus merupakan kesepakatan antara debitor dan pengurus. Adanya peran pengurus dan hakim pengawas dalam menentukan imbalan jasa tim pengurus. Apabila tidak ada kesepakatan imbalan jasa tim pengurus antara debitor dan pengurus, hal ini dapat ditetapkan oleh hakim pengawas.

Abstract

This research aims to understand the practice of fare determination through a bidding system on online transportation applications based on Competition Law in Indonesia and to examine the supervision of fare determination actions through a bidding system on online transportation applications based on the applicable laws and regulations. This research employs a normative juridical analysis with a descriptive-analytical method by explaining the practice of fare determination using a bidding system and subsequently analyzing it using existing legal theories and norms. The results of this research indicate that the fare determination actions taken by online transportation business operators using a bidding system potentially violate the provisions of Article 20 of the Business Competition Law regarding the prohibition of predatory pricing and the Decree of the Minister of Transportation Number KP 667 in conjunction with the Decree of the Minister of Transportation Number KP 1001 concerning the Guidelines for Calculating Service Costs for Motorcycles Used with Applications, as well as the Minister of Transportation Regulation Number 12 of 2019 on the Protection of Safety for Motorcycle Users Used for Community Interests. Supervision of the actions of online transportation business operators in setting prices using a bidding system is conducted by two institutions, namely KPPU (Commission for the Supervision of Business Competition) and the Ministry of Transportation, both preventively and repressively.

Abstract

Directors have a crucial role in the company, with the potential for actions that are not in accordance with corporate governance that can be detrimental and cause conflicts of interest, threatening the company's growth. In this context, Good Corporate Governance becomes crucial as a supervision to prevent detrimental actions. This article discusses Directors' Transactions involving Conflicts of Interest and legal certainty of director actions. The research uses normative juridical methods, with a statutory regulatory approach as the basis. Actions or transactions with a conflict of interest are considered not to be a legal problem if they are carried out in good faith, in accordance with KEP-412/BL/2009. However, a different view emerges from the principles of good corporate governance which suggest avoiding transactions with conflicts of interest. The research conclusion confirms that directors, as holders of trust, cannot be held responsible for losses if they act in good faith. Although the law allows transactions with conflicts of interest, the principles of good corporate governance emphasize the importance of avoiding actions that involve conflicts of interest in order to maintain the principles of good corporate governance.

Abstract

In debt and credit problems, bankruptcy is often the last solution to resolve the problem. State-Owned Enterprises or SOEs are also not immune from debt and credit problems that lead to bankruptcy. The regulation regarding the bankruptcy of SOEs itself is regulated in Article 2 Paragraph (5) of the Bankruptcy Law and its explanation. However, problems then arise when the subsidiaries of SOEs become bankruptcy respondents. There is no legislation that specifically regulates the bankruptcy of SOEs Subsidiaries, so this has led to confusion and debate in the community regarding the status of SOEs Subsidiaries in terms of bankruptcy. The ambiguity and debate can be seen in the implications of the bankruptcy petition case filed by the Kinarya Liman Margaseta Consortium against PT Indonesia Power, which is a Subsidiary of SOEs, namely PT PLN. This research aims to find out how the position of a SOEs Subsidiary in terms of bankruptcy is reviewed from the Bankruptcy Law and SOEs Law. The type of research used in this research is normative legal research. The research specifications used in this research are descriptive analysis. The approach used in this research is a statutory approach and case approach. Based on the results of this case study, it can be seen that when viewed from the Bankruptcy Law and the SOEs Law, basically the subsidiaries of SOEs and SOEs cannot be equated in status and position. This is supported by several theories and strengthened by the Constitutional Court Decision and the Supreme Court Decision. Thus, PT Indonesia Power's bankruptcy petition should be filed by its creditors in addition to the Minister of Finance.

Abstract

The Good Corporate Governance in Insurance company of the state-owned company refers to the principles, regulations, and best practices in the insurance industry. The implementation of GCG put forward the principles which gives certainty in running the company. The purpose of this research is to analyze and review for legal and compliance aspect to the GCG in the insurance state-owned company. This research using normative-juridical method. The result of this research are some aspect in GCG implementation which is not correct thus resulting weak-based decision making and failed to protect the interest of stakeholders. Matters that faced by PT Asuransi Jiwasraya (Persero) becomes a landmark case for the ineffective and not correct GCG implementation on insurance state-owned company.

Abstract

With the establishment of electricity as a branch of production that controls the lives of many people by the 1945 Constitution and Law Number 30 of 2009 concerning Electricity, the provision of sufficient and reliable electricity is the government's obligation. In the implementation of Law Number 30 of 2009 where the government stipulates that the provision of electricity for the public interest can also be carried out by private business entities, the focus of this research is (1) to find out whether the provision of electricity for the public interest is provided by private business entities. is a form of privatization of electricity as a branch of production that controls the lives of many people, and (2) to find out what the Government's authority is in setting electricity tariffs, especially electricity tariffs provided by private business entities. The method used in this journal is the normative juridical method, which takes the form of research on applicable laws and regulations, legal principles, court decisions, expert opinions and writings related to this journal. From the research results, it was found that the provision of electric power for public purposes is not only carried out by the government through PT PLN (Persero) but is also carried out by private business entities, namely by providing the same role. By giving this role, it can be concluded that there has been privatization in the supply of electricity for the public interest. The provision of electricity by private business entities is intended to assist the Government in providing sufficient and reliable electricity, especially for the business and industrial sectors, so that it can attract foreign investors to do business in Indonesia and the community's economy can develop. However, the government has the authority to set electricity tariffs for consumers or customers in each business area managed by private business entities and can be set differently, but this has consequences for household customers who in fact usually pay more than the tariff for home customers. stairs located within the PT PLN (Persero) business area. As a consequence, it is recommended that the government set tariffs for household and social customers in business areas managed by private business entities the same as rates for household and social customers in PT PLN (Persero) business areas. Electricity used by households and social groups still functions as a public good that controls the livelihoods of many people, which is different from electricity for business and industrial needs.
