Abstract

Directors have a crucial role in the company, with the potential for actions that are not in accordance with corporate governance that can be detrimental and cause conflicts of interest, threatening the company's growth. In this context, Good Corporate Governance becomes crucial as a supervision to prevent detrimental actions. This article discusses Directors' Transactions involving Conflicts of Interest and legal certainty of director actions. The research uses normative juridical methods, with a statutory regulatory approach as the basis. Actions or transactions with a conflict of interest are considered not to be a legal problem if they are carried out in good faith, in accordance with KEP-412/BL/2009. However, a different view emerges from the principles of good corporate governance which suggest avoiding transactions with conflicts of interest. The research conclusion confirms that directors, as holders of trust, cannot be held responsible for losses if they act in good faith. Although the law allows transactions with conflicts of interest, the principles of good corporate governance emphasize the importance of avoiding actions that involve conflicts of interest in order to maintain the principles of good corporate governance.

Abstract

In debt and credit problems, bankruptcy is often the last solution to resolve the problem. State-Owned Enterprises or SOEs are also not immune from debt and credit problems that lead to bankruptcy. The regulation regarding the bankruptcy of SOEs itself is regulated in Article 2 Paragraph (5) of the Bankruptcy Law and its explanation. However, problems then arise when the subsidiaries of SOEs become bankruptcy respondents. There is no legislation that specifically regulates the bankruptcy of SOEs Subsidiaries, so this has led to confusion and debate in the community regarding the status of SOEs Subsidiaries in terms of bankruptcy. The ambiguity and debate can be seen in the implications of the bankruptcy petition case filed by the Kinarya Liman Margaseta Consortium against PT Indonesia Power, which is a Subsidiary of SOEs, namely PT PLN. This research aims to find out how the position of a SOEs Subsidiary in terms of bankruptcy is reviewed from the Bankruptcy Law and SOEs Law. The type of research used in this research is normative legal research. The research specifications used in this research are descriptive analysis. The approach used in this research is a statutory approach and case approach. Based on the results of this case study, it can be seen that when viewed from the Bankruptcy Law and the SOEs Law, basically the subsidiaries of SOEs and SOEs cannot be equated in status and position. This is supported by several theories and strengthened by the Constitutional Court Decision and the Supreme Court Decision. Thus, PT Indonesia Power's bankruptcy petition should be filed by its creditors in addition to the Minister of Finance.

Abstract

The Good Corporate Governance in Insurance company of the state-owned company refers to the principles, regulations, and best practices in the insurance industry. The implementation of GCG put forward the principles which gives certainty in running the company. The purpose of this research is to analyze and review for legal and compliance aspect to the GCG in the insurance state-owned company. This research using normative-juridical method. The result of this research are some aspect in GCG implementation which is not correct thus resulting weak-based decision making and failed to protect the interest of stakeholders. Matters that faced by PT Asuransi Jiwasraya (Persero) becomes a landmark case for the ineffective and not correct GCG implementation on insurance state-owned company.

Abstract

With the establishment of electricity as a branch of production that controls the lives of many people by the 1945 Constitution and Law Number 30 of 2009 concerning Electricity, the provision of sufficient and reliable electricity is the government's obligation. In the implementation of Law Number 30 of 2009 where the government stipulates that the provision of electricity for the public interest can also be carried out by private business entities, the focus of this research is (1) to find out whether the provision of electricity for the public interest is provided by private business entities. is a form of privatization of electricity as a branch of production that controls the lives of many people, and (2) to find out what the Government's authority is in setting electricity tariffs, especially electricity tariffs provided by private business entities. The method used in this journal is the normative juridical method, which takes the form of research on applicable laws and regulations, legal principles, court decisions, expert opinions and writings related to this journal. From the research results, it was found that the provision of electric power for public purposes is not only carried out by the government through PT PLN (Persero) but is also carried out by private business entities, namely by providing the same role. By giving this role, it can be concluded that there has been privatization in the supply of electricity for the public interest. The provision of electricity by private business entities is intended to assist the Government in providing sufficient and reliable electricity, especially for the business and industrial sectors, so that it can attract foreign investors to do business in Indonesia and the community's economy can develop. However, the government has the authority to set electricity tariffs for consumers or customers in each business area managed by private business entities and can be set differently, but this has consequences for household customers who in fact usually pay more than the tariff for home customers. stairs located within the PT PLN (Persero) business area. As a consequence, it is recommended that the government set tariffs for household and social customers in business areas managed by private business entities the same as rates for household and social customers in PT PLN (Persero) business areas. Electricity used by households and social groups still functions as a public good that controls the livelihoods of many people, which is different from electricity for business and industrial needs.

Abstract

The constitutional basis for the state's role in implementing the national economy is Article 33 of the 1945 Constitution of the Republic of Indonesia. The mandate of Article 33 of the 1945 Constitution regarding the State's Controlling Rights, one of which is realized through the existence of state-owned enterprises (“SOEs”) as one of the business actors in the economy. The expansion of the global economy necessitates the improvement of SOEs, and the government's strategic policy choice is establishing a state-owned holding company (“SOHC”) to strengthen value and efficiency. This research aims to determine how the state's controlling rights in the SOHC scheme relate to three basic legal values identified by Gustav Radbruch, namely justice, certainty, and benefits. Through normative juridical research methods, the approach taken is a conceptual approach and a statutory approach, conducted by researching theory or doctrine and relevant laws and regulations, including Supreme Court and Constitutional Court decisions. The results of this study show that the establishment of a SOHC has, in theory, met Gustav Radbruch's legal objectives of justice, certainty, and benefits. State's controlling rights must be widely understood with authority to formulate policies and actions for regulation, control, management, and supervision. In the management function, state control in the SOHC structure can be protected through special share ownership by the state. However, state control based on a sense of social justice, legal certainty, and benefit-oriented must still respect the principles of GCG in SOEs and do not mean monopolizing all national economic activities.

Abstract

Pasar modal memiliki peran strategis dalam pembangunan ekonomi nasional. Pasar modal memiliki fungsi sebagai alternatif sumber pendanaan bagi perusahaan dan juga sebagai sarana investasi bagi masyarakat. Perusahaan dapat memperoleh dana melalui penerbitkan efek salah satunya melalui mekanisme penawaran umum atau Initial Public Offering (IPO). Pada praktiknya, seringkali IPO dijadikan sebagai exit strategy bagi orang dalam perusahaan, oleh karenanya Otoritas Jasa Keuangan menetapkan kewajiban lock-up saham dalam proses IPO. Pada pelaksanaannya, kewajiban tersebut belum sepenuhnya diimplementasikan oleh emiten dan para orang dalam emiten, sehingga berdampak kerugian kepada pemegang saham minoritas. Tujuan penelitian ini adalah untuk mengetahui mekanisme lock-up di dalam pasar modal Indonesia dan perlindungan hukum terhadap pemegang saham minoritas yang dirugikan akibat terjadinya pelanggaran lock-up dalam proses IPO di Indonesia. Penelitian ini ditulis dengan menggunakan metode penelitian yuridis normatif dengan meneliti bahan pustaka atau data sekunder. Hasil penelitian ini bahwa perlindungan hukum terhadap pemegang saham minoritas akibat pelanggaran lock-up dapat dilakukan tindakan perlindungan yang bersifat represif berupa pengajuan gugatan ganti rugi atau melalui mekanisme pengembalian keuntungan tidak sah. Abstract

Investasi merupakan salah satu cara untuk melindungi nilai tabungan dari kemungkinan penyusutan akibat inflasi sekaligus untuk memperoleh keuntungan. Reksadana merupakan alternatif investasi dengan risiko yang relatif lebih rendah. Meskipun reksadana memiliki risiko yang relatif lebih rendah, reksadana tetap memiliki risiko investasi, antara lain risiko pasar, risiko likuiditas, risiko inflasi, risiko jenis portofolio efek yang diinvestasikan oleh manajer investasi, dan risiko ketidakpatuhan manajer investasi dalam mengelola dan memasarkan produk. Risiko ini memicu masalah seperti gagal bayar yang kerap menimpa manajer investasi. Masalah ini muncul akibat kesalahan manajer investasi dalam memasarkan produk yang menjanjikan fixed return dalam jumlah tertentu dan nilai portofolio yang terpengaruh oleh risiko pasar menyebabkan portofolio tidak laku. Akibatnya, investor yang merasa dirugikan mengajukan permohonan pernyataan kepailitan terhadap manajer investasi. Kepailitan manajer investasi tentu akan merugikan investor. Melalui metode penelitian yuridis normatif, penelitian ini bertujuan untuk mengkaji bentuk perlindungan hukum bagi investor reksadana yang mengalami kerugian dalam hal terjadi kepailitan manajer investasi dan tanggung jawab manajer investasi atas kerugian investor reksadana yang ditinjau berdasarkan Hukum Kepailitan dan Hukum Pasar Modal Indonesia.

Abstract

Regulations of savings and loan cooperatives allow cooperatives to collect funds, resulting in the chance of issuing products to non-member communities. This study aimed to analyze the practice of issuing products to non-member communities by cooperatives. By highlighting the principle of membership as the specialty of cooperatives in Indonesia, it argued that issuing products to non-member communities is a deviation of cooperative's business activity. It accounted for the cooperative regulations, objectives, and principles of membership in cooperatives to the practice of issuing products to non-member communities that deviate from statutory regulations does not arise. The study used legal research derived from secondary data, among others primary legal materials, secondary legal materials, and tertiary legal materials. This study showed that the practice of issuing products to non-member communities is a deviation from statutory regulations, objectives, and membership principles in cooperatives. In the meantime, cooperatives while maintaining their identity requires all cooperative actors, the government, and the general public in preventing and following up on savings and loan cooperative practices that eliminate membership rights for service users. Abstract

One of the government's efforts to improve the ability of Micro, Small, and Medium Enterprises (“MSMEs”) to conduct business activities is to execute a partnership system between Large Enterprises and MSMEs. In practice, violations are still found in the implementation of partnerships between Large Enterprises and MSMEs, the appropriate supervision is required from the relevant institutions. This paper examined the legal basis of the Business Competition Supervisory Commission (“KPPU”) in supervising the implementation of partnerships between Large Enterprises and MSMEs as well as the form of supervision conducted by KPPU on the implementation of partnerships. The research used a normative juridical by using secondary data sources. The typology of research used descriptive-analytical, which describes the authorities of KPPU in supervising business competition in Indonesia in terms of the implementation of partnerships comprehensively. This study has resulted, even though Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition does not state KPPU’s authority to supervise partnerships, though concerns to several related laws and regulations such as Law Number 20 of 2008 concerning MSMEs in conjunction with Government Regulation Number 7 of 2021 concerning the Ease, Protection, and Empowerment of Cooperatives and MSMEs, it is found that provisions authorize KPPU to supervise partnerships. The form of supervision over implementing partnerships conducted by KPPU includes providing consultations, evaluations, suggestions, and considerations related to government policies, harmonization of policies, and law enforcement. Furthermore,  examining of alleged violations of the oil palm plantations of core plasma partnership between PT STP and Koperasi THB marks the KPPU's authority in partnerships law enforcement.

Abstract

This research examines the urgency of incorporating authentic deeds in patent licensing agreements and formulating such documents to establish legal safeguards that enhance the effectiveness of patent licensing ventures. This study employed a normative juridical approach with analytical descriptive methods. The results showed that the integration of authentic deeds in patent licensing agreements ensures legal certainty for the involved parties, as these deeds serve as conclusive evidence to validate legal actions taken by the parties. Furthermore, authentic deeds act as a deterrent against bad faith actions by preventing parties from disavowing the agreement's contents. Additionally, there are no specific government-mandated formulations for patent licensing agreements. To achieve optimal legal protection, the formulation of an authentic deed in a patent license agreement should encompass aspects such as license exclusivity, limitations on patent usage, annual patent fees, information disclosure clauses, the equilibrium of patent use, sanctions, and dispute resolution.
