Abstract

The emergence of SPAC has democratized participation in the burgeoning equity market. Capital raised during a SPAC's Initial Public Offering (IPO) is typically held in escrow identifies a suitable acquisition or merger target. This study explores the concept of SPACs, their operational mechanisms, their appeal to tech startups, and their presence in Asia, with a specific focus on the Indonesian jurisdiction. The study also aims to identify the potential risks SPACs may pose to the equity market to inform more effective regulation. Employing normative legal research and prioritizing secondary data, the findings of this paper indicate that SPACs have evolved from a niche option to a significant facilitator for private enterprises seeking to enter public markets through an IPO. The study further reveals that, despite the risks associated with SPACs and their current unpreparedness for IPOs in Indonesia, lessons from foreign experiences could guide the development and implementation of domestic regulations. While SPACs have demonstrated their value and promise to become a significant market force, calls for swift regulatory action should balance the benefits of SPACs against the need for thoughtful regulation, presenting an opportunity to reconsider existing IPO regulations.DOI: https://doi.org/10.22304/pjih.v11n1.a5

Abstract

This research is conducted to examine the problem of legal protection of MSME brands in the digitalization era in the scope of legislation, challenges and law enforcement processes. This research uses normative juridical research and is descriptive qualitative with a statutory approach, concept approach and comparative approach. The results show that first, the laws and regulations that accommodate the protection of MSME brands include Law No.20 of 2016, Law No.20 of 2008, PP No.7 of 2021 and PP No.28 of 2019. The form of MSME brand protection is carried out by constitutive methods and is carried out by means of collective registration, procurement of cooperation, special relief and provision of financing. Unfortunately, in terms of regulation it has weaknesses in the form of potential ownership of the brand not from the original inventor. This is different from the constitutive system in the United States which uses the consideration of use in commerce and intent to use in commerce in determining the rights to the trademark. Second, the challenges of law enforcement of MSME brand protection in the digital era are the lack of public knowledge regarding trademark registration and trademark infringement to the decline in public enthusiasm and awareness in protecting MSME brands. On this basis, DJKI then conducts law enforcement by following up complaints of trademark infringement, optimizing trademark protection programs, conducting socialization and education, holding cooperation to form a special task force. The protection of MSME brands is crucial because it can prevent brand infringement, support the creative industry and maintain brand originality.

Abstract

The rapid growth of influencer marketing has revolutionized the way brands connect with their target audiences. However, this novel marketing strategy has also brought forth new legal challenges, particularly in consumer trust and intellectual property rights (IPRs). This study aims to bridge the gap in the current understanding of the interplay between consumer trust and IPR risks in the context of influencer marketing. Through a normative legal research method with a statutory approach, this study seeks to comprehensively examine the wider implications of influencer marketing. The research aims to contribute to developing a more robust legal framework that can effectively address the unique challenges posed by influencer marketing while fostering consumer trust and protecting intellectual property rights. The findings reveal inadequacies in the existing Indonesian legal frameworks, particularly the Consumer Protection Law, Copyright Law, and Trademark and GI Law, in addressing the unique challenges of influencer marketing. The study proposes targeted amendments to these laws, including mandatory disclosure requirements, clear guidelines on fair use and trademark usage, and stronger enforcement mechanisms to mitigate consumer trust and IPR risks. Pertumbuhan pesat pemasaran melalui influencer telah merevolusi cara mengenalkan merek berhubungan dengan audiens target mereka. Namun, strategi pemasaran baru ini juga memunculkan tantangan hukum baru, terutama di bidang kepercayaan konsumen dan hak kekayaan intelektual (HKI). Penelitian ini bertujuan untuk menjembatani kesenjangan dalam pemahaman saat ini mengenai keterkaitan antara kepercayaan konsumen dan risiko HKI dalam konteks pemasaran influencer. Melalui metode penelitian hukum normatif dengan pendekatan perundang-undangan, penelitian ini berupaya memberikan pemeriksaan menyeluruh terhadap implikasi luas pemasaran influencer. Penelitian ini bertujuan untuk berkontribusi pada pengembangan kerangka hukum yang lebih kuat yang dapat secara efektif menangani tantangan unik yang ditimbulkan oleh pemasaran influencer sambil mendorong kepercayaan konsumen dan melindungi hak kekayaan intelektual. Temuan mengungkapkan ketidakcukupan dalam kerangka hukum Indonesia yang ada, terutama Undang-Undang Perlindungan Konsumen, Undang-Undang Hak Cipta, dan Undang-Undang Merek dan Indikasi Geografis, dalam menangani tantangan unik pemasaran influencer. Penelitian ini mengusulkan amandemen khusus terhadap undang-undang ini, termasuk persyaratan pengungkapan wajib, pedoman yang jelas tentang penggunaan wajar dan penggunaan merek dagang, serta mekanisme penegakan yang lebih kuat, untuk mengurangi risiko kepercayaan konsumen dan HKI.

Abstract

Enhancing access to notary services is a crucial aspect of law enforcement, as it clarifies legal certainty across various segments of society. This enhancement can be achieved through the utilization of digitalization, enabling the execution of notary services without the need for face-to-face interactions. This study aims to analyze the challenges of digitalizing notary services in Indonesia, using the United States as a comparison. Employing normative legal research methods supported by legislative and comparative approaches, the analysis reveals that Indonesia lags behind the United States in facilitating digital notary services, with an insufficient legal framework. This issue reflects the underdevelopment of legal frameworks in the notary field and other legal domains, which impacts the normative limitations of digitalizing notary services in Indonesia. [Peningkatan akses terhadap layanan kenotariatan merupakan bagian penting dari penegakan hukum, dengan memperjelas kepastian hukum di berbagai kalangan masyarakat. Peningkatan akses ini dapat dilakukan dengan memanfaatkan proses digitalisasi, yang memungkinkan dilaksanakannya pelayanan kenotariatan tanpa harus bertatap muka. Penelitian ini bertujuan untuk menganalisis tantangan digitalisasi layanan kenotariatan di Indonesia, dengan menggunakan Amerika Serikat sebagai perbandingan. Dengan metode penelitian hukum normatif yang didukung oleh pendekatan peraturan perundang-undangan dan pendekatan komparatif, analisis penelitian ini menemukan bahwa Indonesia masih tertinggal di belakang Amerika Serikat dalam memfasilitasi layanan kenotariatan digital, dengan kerangka hukum yang masih kurang memadai. Permasalahan ini mencerminkan pengembangan hukum yang tertinggal di ranah kenotariatan, dan ranah hukum lainnya, yang berdampak terhadap batasan normatif digitalisasi layanan kenotariatan di Indonesia].

Abstract

This study examines issues related to the legal certainty analysis in judicial decisions regarding the authority of the Consumer Dispute Settlement Board (Badan Penyelesaian Sengketa Konsumen/BPSK) of Batam City, as observed in Batam District Court Decision Number 10/Pdt.Sus-BPSK/2021/PN Btm and Batam District Court Decision Number 25/Pdt.Sus-BPSK/2024/PN Btm. The core issue discussed in this research is the analysis of judicial considerations in ruling on matters related to the authority of BPSK Batam City and how these judicial decisions provide legal certainty in resolving disputes. The primary objective of this study is to analyze how judicial considerations influence legal certainty for parties involved in disputes concerning BPSK Batam City's authority. This research is normative in nature, employing a literature study approach. The data utilized comprises secondary data, including various laws and regulations, books, theses, and relevant journal articles. Data collection methods involve a literature study, and the analysis is conducted using qualitative methods to interpret and summarize the research findings. The results indicate that the authority of BPSK Batam City in handling consumer disputes is limited in accordance with Law Number 8 of 1999 on Consumer Protection, which allows consumers to choose dispute resolution through BPSK or the court based on the consumer's domicile. In the cases studied, BPSK Batam City frequently encounters challenges related to its competence in handling disputes that should be referred to the court, such as civil disputes or breaches of contract. [Penelitian ini mengkaji permasalahan terkait analisis kepastian hukum dalam putusan hakim mengenai kewenangan Badan Penyelesaian Sengketa Konsumen (BPSK) Kota Batam, seperti yang ditemukan dalam Putusan Pengadilan Negeri Batam Nomor 10/Pdt.Sus-BPSK/2021/PN Btm dan Putusan Pengadilan Negeri Batam Nomor 25/Pdt.Sus-BPSK/2024/PN Btm. Permasalahan yang dibahas dalam penelitian ini adalah menganalisis pertimbangan hakim dalam memutus perkara terkait kewenangan Badan Penyelesaian Sengketa Konsumen Kota Batam dan bagaimana putusan hakim memberikan kepastian hukum dalam menyelesaikan putusan sengketa, tujuan utama penelitian ini adalah untuk menganalisis bagaimana pertimbangan hakim mempengaruhi kepastian hukum bagi pihak yang bersengketa terkait kewenangan BPSK Kota Batam. Penelitian ini bersifat normatif dengan menggunakan pendekatan studi kepustakaan. Data yang digunakan adalah data sekunder yang terdiri dari berbagai peraturan perundang-undangan, buku, skripsi, dan artikel jurnal yang relevan. Metode pengumpulan data dilakukan melalui studi kepustakaan dan dianalisis menggunakan metode kualitatif untuk menginterpretasikan dan merangkum hasil penelitian. Hasil penelitian menunjukkan bahwa kewenangan BPSK Kota Batam dalam menangani sengketa konsumen terbatas sesuai dengan Undang-Undang Nomor 8 Tahun 1999 tentang Perlindungan Konsumen, yang memperbolehkan konsumen untuk memilih penyelesaian sengketa melalui BPSK atau pengadilan sesuai tempat kedudukan konsumen. Dalam kasus-kasus yang diteliti, BPSK Kota Batam sering kali menghadapi tantangan terkait kompetensinya dalam menangani sengketa yang seharusnya diserahkan kepada pengadilan, seperti sengketa keperdataan atau perbuatan wanprestasi].

Abstract

As a country blessed with abundant cultural elements, Indonesia holds the potential to harness traditional knowledge for the betterment of its people's lives. Unfortunately, this concept is often forgotten within Indonesian society and faces various challenges that jeopardize cultural heritage. Hence, the objective of this study is to analyze the significance of traditional knowledge and the legal hurdles that arise in regulating this concept within Indonesia's intellectual property rights framework. The findings of this normative legal research demonstrate that traditional knowledge holds great importance for Indonesian society, particularly amidst the accelerating impacts of globalization, which pose a threat to cultural heritage. Taking a legislative approach, there is an urgent need for a normative framework to protect traditional knowledge as a communal intellectual asset in order to realize the implicit recognition reflected in the constitution, the 1945 Constitution.

Abstract

Introduction: Patent rights are rights granted to individuals who have successfully created new inventions, where the rights and responsibilities of the inventor arise when the invention is registered in accordance with applicable regulations and protected by Law Number 13 of 2016 concerning patents. In the resolution of patent disputes, the regulations mandate the use of litigation remedies. Nonetheless, it is important to remember that mediation is an alternative dispute resolution before taking litigation steps, and is a win-win solution, but it is not a mandatory stage in the settlement of patent civil disputes. Of course, this is contrary to the implementation of the legal aspects which are not only justice, and legal certainty but also expediency.Purposes of the Research: This research aims to improve understanding of the implementation of the legal objectives aspect in patent dispute resolution in Indonesia.Methods of the Research: In this research, normative legal research methods were used. The data taken consists of primary legal materials and secondary legal materials.Results of the Research: The results of this study reveal a new perspective on the concept of justice, which was previously only seen as "right and wrong", to "risks and benefits". This is due to the principle of expediency that lies between the point of legal certainty and the point of justice.

Abstract

One of the impacts of the COVID-19 pandemic is the default of high-yield promissory notes issued by PT Indosterling Optima Investa. This default case has led to the criminal trial of the CEO of PT Indosterling Optima Investa, who was acquitted, and the PKPU (Postponement of Debt Payment Obligation) decision stipulating the restructuring of interest payments and principal debt to investors. This research aims to determine the form of responsibility of PT Indosterling Optima Investa as the issuer for the losses suffered by investors due to the default of high-yield promissory notes and what legal protections are available for investors against the default of high-yield promissory notes issued by PT Indosterling Optima Investa. The type of research used in this paper is empirical legal research, where law is conceptualized as a social institution that is realistically associated with other social variables.

Abstract

This research generally aims to determine the role of the Batam Concession Agency and the strategy of the Batam Concession Agency in managing land related to the existence of idle land. The research method used in this research is the normative juridical research method, namely a research method whose main data is obtained from statutory regulations. Based on the research results obtained and analyzed by land researchers in Batam City, it is regulated based on PERKA No. 3 of 2020 concerning the Implementation of Land Allocation, Land Rights in Batam City are divided into two, namely, HGB for 30 years and can be extended for 25 years, and Right to Use for 25 years and can be extended for 20 years, both rights can be renewed according to their interests . The position of the land agreement in Batam City is a product issued by BP Batam. The land agreement is made based on the request of the beneficiary of the Right to Get the approval from the head of BP Batam. Regarding idle land in the city of Batam, it is divided into two, land that has not yet completed administration and idle land that has completed administration but has not been utilized properly.

Abstract

Indonesia’s Court of Constitution has issued decree No. 85/PUU-XI/2013, which annuls the Law No. 7 Year 2004 governing water resources. It has implicated the state’s acquisitions over the water resources in particular and in general other resources of natural productions of the common basic need of entire people in the country (as stated in the Indonesia’s constitution in Article 3 of Chapter 33). In Batam city water resources has been administered by PT Adhya Tirta Batam (ATB) for 25 years as an exclusive holder of full concession for sites of water resources. Afterward it carried on by PT Moya Indonesia that was appointed through a scheme of government – private parties cooperation (KPBU) between the Administrative Body of Batam (BP Batam) and the company for another 15 years. The BP Batam then established PT Air Batam Hulu and PT Air Batam Hilir, which violates Batam residents’ constitutional right and human right for water. This research is committed with methods of normative jurisdiction – and so the research outputs will eventually show norms that are recognized by the law. We seek truths through reconstructions of law enforcements over BP Batam’s failures of water management in Batam city. Citizen law suits is one out of some options chosen for legal protection of residents’ rights ‘to rule the state’ that will ensure the existence of current and future generations.
