Abstract

The bankruptcy of insurance companies is a complex issue involving the interests of consumers as policyholders and creditors who demand legal certainty. This study aims to analyze bankruptcy issues within the Indonesian insurance industry through a case study of PT Asuransi Jiwasraya (Persero), with a focus on legal protection for consumers and the assurance of legal certainty for creditors. The research method employed is normative juridical, using a statutory and case study approach. The findings indicate that the resolution mechanism for Jiwasraya’s default did not follow the bankruptcy process as stipulated in Law Number 37 of 2004 concerning Bankruptcy and Suspension of Debt Payment Obligations (PKPU), but was instead resolved through state intervention and restructuring via a state-owned insurance holding company. This has created a legal dilemma regarding the suboptimal protection of consumer rights and the weakened position of creditors in the settlement process. On the other hand, the authority of the Financial Services Authority (Otoritas Jasa Keuangan/OJK) in supervising and intervening in troubled insurance companies becomes a crucial aspect that requires clearer regulatory provisions. Therefore, a reformulation of policies and a more comprehensive legal framework is needed to ensure a balanced protection of consumers and legal certainty for creditors in bankruptcy cases involving insurance companies.

Abstract

This paper analyzes several instances of bid rigging based on two KPPU case decisions: No. 04/KPPU-L/2020 involving procurement collusion in hospital projects in Langsa, Aceh, and No. 14/KPPU-L/2019 related to irregularities in the procurement of drinking water systems at Bandar Lampung. The research employs a normative legal methodology with a prescriptive and practical orientation. It adopts legal and case-based approaches. Legal materials referenced include primary, secondary, and tertiary sources, collected through a literature-based method. The study concludes that the decision in Case No. 04/KPPU-L/2020 adheres to the provisions of Article No. 22 of Law No. 5 of 1999 and KPPU Regulation No. 2 of 2010, which serves as the guideline for implementing said article. Meanwhile, in Case No. 14/KPPU-L/2019, the existence of post-tender cooperation between the government and private parties, which ignored previously agreed tender terms, constitutes a violation of Article 79 of Government Regulation No. 54 of 2010 concerning the evaluation of bids in public procurement.

Abstract

The Regulation of the Minister of Agrarian Affairs and Spatial Planning/National Land Agency (Permen ATR/BPN) Number 3 of 2023 on the Issuance of Electronic Documents in Land Registration was enacted by the government to improve the quality of public services related to land registration activities while also providing protection for citizens' data regarding land rights. This regulation serves as the legal foundation for the use of electronic systems in land registration processes, the use of electronic documents during land registration, the utilization of electronically converted documents, and the legal recognition of electronic land certificates. One of the highlights of this regulation is the implementation of electronic land certificates for land rights holders. According to Article 1 point 9 of Permen ATR/BPN Number. 3 of 2023, an electronic land certificate is defined as a certificate issued through an electronic system, formatted as an electronic document, and stored in electronic land registers. Based on this description, it can be understood that the electronic land certificate represents the government's commitment to optimizing the use of information technology in services related to land ownership rights. Through the adoption of information technology, it is expected that risks associated with physical document damage and theft can be minimized, ease of access for land rights holders can be enhanced, and the issuance process of land certificates can be expedited. In addition to discussing the benefits of electronic land certificates, this paper also examines the legal protection afforded to legal entities as holders of land rights, particularly corporations. Corporations are the central focus of this journal, as land certificates are among the most common and widely used collateral objects for bank credit facilities

Abstract

A share sale and purchase agreement (PPJB) is commonly used as a preliminary agreement before the transfer of rights becomes valid. However, its validity and binding force are still debated, especially when the transfer of rights to shares is included in a dispute in court. This paper aims to answer the problem of the position of PPJB from the perspective of agreement law and the legal certainty aspects of PPJB shares as part of the legal protection of the parties. The research method used is normative juridical by examining secondary data sourced from primary, secondary and tertiary legal materials, especially those correlated with the research topic. The description-analytical method is used to describe the existence of PPJB in the process of transferring shares to be further analyzed using legal principles and concepts so that its validity and binding force can be known. The results show that from the perspective of agreement law, the position of the PPJB is valid and has binding force for the parties if the material and formal requirements of the PPJB have been fulfilled. The transfer of shares is juridically transferred after the PPJB is followed by the fulfillment of the requirements stipulated in the PPJB and followed up with the notarial deed of transfer of shares and the recording of the transfer of shares in the company's register of shareholders.

Abstract

The aviation industry in Indonesia plays an important role in supporting community mobility and the national economy. However, non-compliance with regulations, especially in reporting changes in ticket fare policies, has the potential to create monopolistic practices and unfair business competition. One of the cases that emerged was Lion Group's non-compliance which had an impact on the structure of the domestic aviation market. This study aims to analyze the implications of Lion Group's non-compliance with fare regulations on business competition in the aviation industry. The approach used is juridical-normative with data collection techniques through literature studies. The data analyzed includes laws and regulations, legal decisions, and related literature. The results of the study show that Lion Group's non-compliance creates barriers for competitors, reduces consumer choice, and increases the risk of unhealthy market dominance. This violates the principles of Law Number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unhealthy Business Competition. The implications of this study show the urgency of strengthening regulation and supervision by the Business Competition Supervisory Commission (KPPU) to prevent similar violations. Transparency in tariff policies and commitment to regulation are needed to create healthy and fair competition in the aviation industry. This non-compliance has much greater implications than just an internal problem of the company. This also has an impact on monopolistic practices and unfair business competition that can harm consumers and other business actors. In this context, business competition law, especially Law No. 5 of 1999 concerning the Prohibition of Monopoly Practices and Unfair Business Competition, is important to maintain healthy competition. Non-compliance with the reporting of these tariff changes not only has the potential to lead to competitive unfairness, but can also exacerbate market dominance by a single company, thereby suppressing the diversity of choices for consumers. Through this study, the legal and economic implications of Lion Group's non-compliance with tariff reporting provisions in the business competition law will be analyzed. The author will also examine the extent of its impact on business competition in the Indonesian aviation industry, as well as the steps that can be taken by the relevant authorities to prevent monopolistic practices and promote fair competition. This study aims to provide a deeper understanding of the importance of compliance with fare regulations in creating a healthy and sustainable business climate in the aviation industry.

Abstract

The study aims to determine consumer rights in product sales through an adverse bundling system and dispute resolution efforts to maintain rights. The focus of the problem is the fulfillment of consumer rights and their resolution, both in court and out of court. The method of research used by the author is normative juridical, which examines theories, concepts, legal principles, and laws and regulations related to the research topic. Novelty of this research is the gap in the implementation of product sales strategies carried out by business actors with the GCPL Law in implementing a bundling system that forces consumers to buy products in packages. This emphasizes empowering weak consumers in the face of adverse conditions. Often the product sales strategies found can benefit consumers in shopping, thus making this research different from previous studies. The results showed that according to the GCPL, business actors should not force consumers to buy products with a bundling system, because it can reduce consumer comfort when shopping. In implementing the bundling system, it is natural to pay attention to the GCPL so as not to cause harm to consumers. Consumers also have the right to security, honest information about product conditions, and the right to choose goods according to the exchange rate stated in the GCPL Law. Conclusion, consumer protection can be carried out through LPKSM supervision seen from the obedience of business actors as prevention. Legal efforts that can be taken by consumers include peaceful settlement, BPSK, or court through a tort lawsuit.

Abstract

Penelitian ini membahas perlindungan hukum terhadap pemegang saham minoritas dalam konteks akuisisi perusahaan berdasarkan ketentuan dalam Undang-Undang Perseroan Terbatas (UUPT) dan peraturan terkait lainnya. Tujuan penelitian ini adalah untuk menganalisis bagaimana perlindungan hukum pemegang saham minoritas dalam akuisisi perseroan terbatas. Metode penelitian yang digunakan adalah studi kepustakaan dengan menganalisis peraturan perundang-undangan, literatur hukum, serta praktik hukum yang berlaku. Hasil penelitian menunjukkan bahwa hak appraisal memberikan pemegang saham minoritas hak untuk menjual saham mereka dengan harga wajar apabila mereka tidak menyetujui keputusan akuisisi. Namun, masih terdapat ketidakjelasan mengenai kriteria harga wajar yang dapat merugikan pemegang saham minoritas, terutama ketika pemegang saham mayoritas memegang kendali dalam keputusan. Selain itu, peraturan pasar modal dan prinsip Good Corporate Governance (GCG) memberikan tambahan perlindungan terhadap pemegang saham minoritas. Meskipun demikian, tantangan tetap ada terkait dengan penerapan hak-hak tersebut secara efektif. Penelitian ini menyimpulkan bahwa perlindungan terhadap pemegang saham minoritas dalam akuisisi perusahaan perlu diperkuat dengan penetapan kriteria yang lebih jelas mengenai harga wajar serta penerapan prinsip GCG yang lebih konsisten.

Abstract

The application of the going concern principle within Indonesia's bankruptcy law system is a crucial legal protection mechanism for debtors facing financial difficulties. This study aims to analyze the implementation of the going concern principle as a form of legal protection for debtors in the bankruptcy process in Indonesia. This research employs a normative juridical method with a statutory approach and case study analysis. The results indicate that the going concern principle is implemented through the Suspension of Debt Payment Obligations (PKPU) mechanism, as regulated in Law No. 37 of 2004 concerning Bankruptcy and PKPU. The findings show that although the going concern principle provides significant protection for debtors by offering an alternative to liquidation, its implementation faces several challenges, including creditor resistance, resource limitations, and regulatory gaps. The study concludes that the going concern principle is effective in balancing the interests of debtors and creditors, though improvements in the regulatory framework and implementation capacity are needed to enhance its effectiveness in protecting debtors' rights while maintaining creditor confidence.

Abstract

Penelitian ini mengkaji konsep dan praktik yudisial terkait pembuktian sederhana dalam perkara kepailitan dan Penundaan Kewajiban Pembayaran Utang (PKPU) berdasarkan Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang di Indonesia. Pembuktian sederhana merupakan syarat formil untuk dikabulkannya permohonan pailit atau PKPU, yang dapat dipenuhi dengan membuktikan adanya sedikitnya dua kreditur dan satu utang yang telah jatuh tempo dan dapat ditagih. Namun, dalam praktiknya, interpretasi dan penerapan syarat ini sangat bervariasi antar pengadilan niaga, sehingga menimbulkan ketidakpastian hukum dan inkonsistensi putusan. Dengan menggunakan pendekatan hukum normatif yang dikombinasikan dengan studi kasus khususnya putusan dari Pengadilan Niaga Jakarta dan Surabayatulisan ini menganalisis apakah prinsip pembuktian sederhana diterapkan secara konsisten dan adil. Temuan menunjukkan bahwa ketiadaan parameter hukum yang jelas telah menciptakan kekosongan hukum yang membuka peluang bagi interpretasi yang tidak seragam dan potensi penyalahgunaan proses oleh kreditur yang bertindak dengan itikad buruk. Oleh karena itu, penelitian ini menekankan perlunya reformulasi konsep pembuktian sederhana, termasuk definisi normatif yang lebih tegas serta pedoman teknis dari Mahkamah Agung guna menjamin kepastian hukum, mencegah penyalahgunaan prosedur, dan menegakkan keadilan bagi semua pihak yang terlibat.

Abstract

Credit utilization to meet needs and support lifestyles carries potential negative consequences if individuals disregard the established terms and conditions. Often overlooked amidst increasing demand for credit are the associated costs, benefits, and risks of the credit product. Consequently, customers or consumers lacking adequate repayment capacity who allocate credit towards consumption exacerbate the issue of non-performing credit. Credit restructuring serves as a mechanism to alleviate borrowers' obligations to the Bank. However, the restructuring process is not invariably successful. Failure in restructuring efforts can contribute to a rise in Non-Performing Loans (NPL), thereby diminishing the quality of the Bank's assets.To mitigate NPL levels, a common strategy involves the transfer of bad debts through a cessie mechanism or the assignment of collection rights (receivables) from creditors to third parties. Cessie, however, can introduce challenges concerning the collection methods employed by these third-party assignees. Frequently encountered problems include the protection of consumers from unethical collection practices, the valuation of transferred receivables, and the potential for conflicts of interest between Financial Service Providers (PUJK) and third parties. The regulation of receivables transfer or collection rights within the financial services sector is addressed in the Financial Services Authority Regulation (POJK) Number 22 of 2023 concerning Consumer and Community Protection in the Financial Services Sector. Nevertheless, consumers frequently lodge complaints with the OJK regarding the absence of notification when PUJK transfers receivables to a third party. This lack of notification presents PUJK with a future reputational risk. Addressing this issue, this paper will examine the impact of a cessie conducted without a notification letter and propose a mechanism for submitting such notification, recommending its inclusion within the provisions of POJK Number 22 of 2023.
