Abstract

This research aims to analyze the optimization of legal protection and risk mitigation for PT ASDP Indonesia Ferry (Persero) as the lender in a Shareholder Loan (SHL) Agreement with PT Indonesia Ferry Properti, and to examine the legal implications of the PT ASDP directors' liability in the SHL decision-making process. The research method employed is normative juridical with a literature study approach. The findings indicate that although the SHL execution has procedurally met legal principles and Good Corporate Governance (GCG), the optimization of legal protection for PT ASDP requires the enhancement of more proactive post-disbursement fund supervision clauses and, crucially, the implementation of specific collateral to mitigate credit risk, considering the current agreement is still reactive and lacks specific collateral. Furthermore, the directors of PT ASDP bear responsibilities under Article 97 of the Company Law and the principle of fiduciary duty. The Business Judgment Rule (BJR) doctrine can shield directors from personal liability if decisions are made in good faith, with due care, without conflicts of interest, and accompanied by risk mitigation efforts, wherein the implementation of GCG principles is fundamental. Violations may lead to civil, criminal, or administrative liability. This research concludes the importance of contractual strengthening of the SHL and strict adherence to GCG to protect company assets and directors.

Abstract

The development of the global financial system has encouraged various countries to adopt bullion banks as an alternative to the gold-based financial system. However, in Indonesia, the concept of bullion banks is still relatively new and does not yet have a clear legal framework. This study aims to examine the need for bullion bank regulation in Indonesia and to assess the suitability of the national legal framework with international practices. The method used is normative juridical with a statutory approach and comparative studies. The results of the study show that Indonesia does not yet have specific regulations regarding bullion banks, which has the potential to cause legal uncertainty for business actors and investors. Therefore, it is necessary to formulate comprehensive regulations to regulate bullion bank activities specifically to support the stability of the national financial system. This study recommends that policy makers immediately formulate regulations related to bullion banks by referring to best practices in other countries.

Abstract

Agrarian conflicts in Indonesia are structural issues rooted in the unequal distribution and ownership of land. This study examines the dynamics of agrarian conflict in Central Kalimantan, particularly related to the expansion of oil palm plantations and its impact on local land ownership structures. Using a juridical-sociological approach and a case study method, the research finds that the implementation of the Basic Agrarian Law (UUPA) has not yet fully realized the principles of social justice in agrarian resource management. The disparity in land ownership between corporations and indigenous communities is identified as a major trigger for prolonged conflict. This study recommends the enforcement of the core principles of the UUPA and the strengthening of indigenous land rights within national agrarian policy.

Abstract

This study explores establishing a legal entity as a representative body for participants in Islamic insurance, in light of current Indonesian regulations and the fatwas and guidelines issued by the National Sharia Board of the Indonesian Council of Ulama (DSN-MUI). Using a normative juridical method with statutory, comparative, and conceptual approaches, this research draws on primary legal materials—including statutory laws and DSN-MUI fatwas—and secondary sources such as scholarly literature and credible legal documents. The proposed legal entity aims to represent the collective ownership of Islamic insurance participants. It suggests forming an internal body comprised of participant representatives from various regions, modeled after the Badan Perwakilan Anggota (Member Representative Body) in mutual insurance. This initiative is intended to enhance participant rights and address conflicts of interest arising from Islamic insurance companies' dual role as both fund managers and supervisors. Despite its potential, forming such an internal legal body faces practical and legal obstacles, including financing issues, representative selection criteria, operational efficiency, and the absence of specific regulatory support. Furthermore, the existing authority of the Sharia Supervisory Board (DPS) is limited to Sharia compliance oversight. As a viable alternative, appointing an Independent Commissioner to represent participants is recommended. This solution is grounded in existing laws, such as the Company Law, Insurance Law, UUP2SK, and relevant OJK regulations. It can be enhanced by establishing a Dana Tabarru’ Funds committee under Article 121(1) of the Company Law to ensure stronger accountability and protection of participants’ interests.

Abstract

This research aims to determine whether the budget formulation of the Merah Putih Village Cooperative is in accordance with the norms and statutory regulations as stipulated in Law Number 25 of 1992 concerning Cooperatives, particularly in relation to Article 33 paragraph (4) of the 1945 Constitution, which emphasizes the principle of independence in the national economy. The results of this study focus on optimizing the establishment of the Merah Putih Village Cooperative to support the formation of national-scale cooperatives that function not only as savings and loan institutions driving the economy, but also address the challenges and risks that may arise from the establishment of the Merah Putih Cooperative. First, the issue of economic scale is crucial. Operations at the village level are often limited by available resources and market reach. Second, human resource capacity is a determining factor. The management of funds amounting to IDR 3–5 billion requires financial, business, operational, and marketing management skills that are not always present in every village. Experience with Village-Owned Enterprises (BUMDes) shows that one of their main challenges is finding local residents who are truly skilled managers. Third, elite capture or control by local elites can become a bottleneck. In villages with weak governance, influential figures may abuse their authority to control the cooperative for personal gain. Similar occurrences are often found in grant programs from Ministries/Agencies or the private sector, where key individuals dominate and exploit these resources for their own interests. Fourth, the risk of fraud.

Abstract

This study conducts a comprehensive comparative analysis of one-tier board supervision mechanisms across Indonesia, Malaysia, and Singapore, examining the effectiveness of corporate governance frameworks in emerging market contexts. The research employs a doctrinal normative legal methodology, analyzing statutory instruments including Indonesia's Job Creation Law No. 6 of 2023, Malaysia's Companies Act 2016, and Singapore's Companies Act 1967. The introduction of Indonesia's Individual Limited Liability Company (PT Perseorangan) represents a significant paradigmatic shift from traditional two-tier governance structures, necessitating examination of supervisory adequacy within simplified corporate frameworks. The comparative analysis reveals fundamental disparities in regulatory sophistication, with Malaysia and Singapore demonstrating comprehensive fiduciary duty frameworks, mandatory company secretary requirements, and graduated enforcement mechanisms. In contrast, Indonesia's PT Perseorangan exhibits critical institutional deficiencies, including normative conflicts between statutory provisions, limited directorial responsibility regulation, and inadequate enforcement responsiveness. The findings demonstrate that effective one-tier governance systems require sophisticated institutional support mechanisms extending beyond regulatory simplification. Malaysia's stringent Section 213 fiduciary duty provisions and Singapore's technology-enabled enforcement approach provide robust oversight despite absent traditional supervisory boards. The research establishes that successful governance transitions require institutional preparation rather than mere regulatory amendment, with Indonesia's framework requiring substantial reform incorporating company secretary mandates, comprehensive fiduciary duty provisions, and graduated enforcement systems. These findings contribute to institutional theory literature by demonstrating context-dependent governance effectiveness and provide practical recommendations for enhancing corporate accountability in simplified governance structures within emerging market jurisdictions.

Abstract

Data from Kompas.com showed that throughout 2024, there were a total of 295 cases of land conflicts. The residents of Green Village Bekasi inadvertently became victims of a land dispute due to the unlawful actions of the developer. Therefore, appropriate legal regulations are necessary to protect good faith buyers. This study aims to examine the legal protection afforded to good faith buyers in the property business, as well as the legal protection obtained by the residents of Green Village Bekasi. The research method employed is normative legal research, utilizing statutory and case approaches. The research data were obtained from secondary sources, including primary legal materials, secondary legal materials, and tertiary legal materials. The results of the study indicate that there are no specific laws or regulations explicitly protecting good faith buyers; however, the court, through Decision Number 553/Pdt.Bth/2020/PN Bks, granted legal protection to the third-party objectors by revoking and annulling the Execution Seizure. Furthermore, the residents of Green Village Bekasi deserve recognition as good faith buyers because their transactions fulfill the requirements under the Basic Agrarian Law (UUPA) and Supreme Court Circular Letter (SEMA) No. 4 of 2016

Abstract

Background: The advancement of information technology in the digital era has introduced new dimensions to legal proceedings, particularly through the emergence of electronic evidence. This includes screenshots of digital conversations, electronically produced documents, and other forms of digital records. These new evidentiary types have begun to play a significant role in civil litigation, including inheritance disputes. In the Indonesian legal system, the increasing reliance on electronic documents presents both opportunities and challenges. Questions arise concerning the admissibility, authenticity, and legal force of such evidence, especially in sensitive cases like inheritance, where traditional documentation is often favored. This paper specifically addresses the complexity surrounding the evaluation and use of electronic evidence in Indonesian civil courts, emphasizing its growing importance in delivering justice in the modern legal landscape. Purpose: This study examines the judicial assessment of electronic evidence in inheritance disputes through a case study of Decision No. 22/PDT.G/2021/PN DGL at the Donggala District Court. The research aims to analyze how electronic communications, particularly WhatsApp chats, are evaluated as valid proof under Indonesian civil procedural law and their relevance to the Islamic legal concept of bayyinah. Methods: Using a normative juridical approach with statute and case analysis, the study reviews primary legal sources, including the Civil Code, the Herziene Indonesisch Reglement (HIR), and the Electronic Information and Transactions (EIT) Law, complemented by secondary literature Results: The findings reveal that the court recognized electronic evidence as valid proof when it met formal requirements (printing, stamping, and verification) and material requirements (relevance and uncontested authenticity). The Defendants’ electronic submissions were deemed legally sufficient to prove the transfer of property during the decedent’s lifetime, whereas the Plaintiff’s evidence was rejected for lack of probative value. Implication: The study highlights the need for clearer judicial guidelines, enhanced digital forensic literacy among judges, and legal reforms such as digital notarization and certified e-filing systems to strengthen evidentiary reliability in line with Sharia principles. Originality: The novelty of this research lies in its integration of electronic evidence within the framework of Islamic procedural law, interpreting digital communications as a modern manifestation of bayyinah.

Abstract

This article explores the caste system in Bali which has become an integral part of the social and cultural structure of Balinese society. The relationship between caste and social status reflects a deep and distinctive aspect of the structure of Balinese society. This article contains the history and how caste affects daily life and interaction patterns in Bali. In conclusion, the article also discusses the responsibilities of caste system holders in Bali involving a series of roles that are important in maintaining social and cultural balance in the Balinese indigenous community. They are responsible for maintaining and preserving the traditions and cultural values associated with each caste. In this article we can find out about the relationship and social system of caste in Bali.

Abstract

The purpose of this study is to describe the fulfillment of the elements and legal considerations that must be made in implementing the concept of vicarious liability related to the extent to which an employer/employer can be held responsible for harmful actions committed by employees/employees. Vicarious liability is one of the concepts in civil law that regulates liability for substitutes carried out by other people. The concept of vicarious liability has been regulated in Article 1367 of the Civil Code. However, this article often creates misconceptions because there is no legal regulation that further regulates this concept. Therefore, there is a need for research that examines more deeply so that in the future this does not happen again. This study uses a normative juridical research method using two approaches, namely the statutory approach and the case approach. This study analyzes the criteria that must be met in the context of replacement accountability, which has not been explained in previous studies. The results of this study indicate that the law cannot absolutely categorize all employee actions as the responsibility of an employer. Therefore, to meet the criteria for applying Article 1367 of the Civil Code in a case, the injured party needs to prove that all of the criteria required in that article have been fully met.Tujuan dari penelitian ini adalah untuk menguraikan mengenai pemenuhan unsur-unsur serta pertimbangan-pertimbangan hukum yang harus dilakukan dalam pengimplementasian konsep vicarious liability terkait dengan sejauh mana seorang majikan/pemberi kerja bisa bertanggung jawab atas perbuatan merugikan yang dilakukan oleh pegawai/penerima kerja. Vicarious liability merupakan salah satu konsep dalam hukum perdata yang mengatur terkait dengan pertanggungjawaban pengganti yang dilakukan oleh orang lain. Konsep vicarious liability telah diatur dalam Pasal 1367 KUHPerdata. Namun pasal tersebut seringkali menimbulkan miskonsepsi karena tidak ada aturan hukum yang mengatur lebih lanjut mengenai konsep tersebut. Oleh karenanya, perlu adanya penelitian yang mengkaji lebih dalam agar kedepannya hal tersebut tidak terjadi kembali. Penelitian ini menggunakan metode penelitian yuridis normatif dengan menggunakan dua pendekatan yakni pendekatan perundang-undangan (statue approach) dan pendekatan kasus (case approach). Penelitian ini menganalisis mengenai kriteria-kriteria yang harus dipenuhi dalam konteks pertanggungjawaban pengganti, dimana hal tersebut belum dijelaskan dalam penelitian-penelitian terdahulu. Hasil dari penelitian ini menunjukan bahwa hukum tidak bisa secara mutlak mengkategorikan seluruh perbuatan pegawai menjadi tanggung jawab dari seorang majikan. Oleh karenanya, untuk memenuhi kriteria diterapkannya Pasal 1367 KUHPerdata dalam sebuah perkara, pihak yang dirugikan perlu membuktikan bahwa seluruh kriteria yang disyaratkan dalam pasal tersebut telah seluruhnya terpenuhi.
