Abstract

The objective of this journal study is to examine and analyze the safeguards for Secured Creditors regarding the enforcement of property guarantees following a bankruptcy ruling against the debtor. This research employs a normative legal approach, utilizing legislation, a conceptual perspective, and case studies. The findings indicate that the position of Secured Creditors in case number 527 K/Pdt. Sus-Pailit/2020 emphasizes that the right to execute on property guarantees remains intact, even with a 90-day suspension period post-bankruptcy decision. This suspension does not eliminate the preferential status concerning debt repayment. During this time, the curator is prohibited from selling or taking control of the collateral without the Secured Creditor's consent. Specific regulations are needed to protect Secured Creditors, ensuring that the execution of their property guarantees under suspension remains under their oversight, to promote fairness, legal certainty, and proportional protection of their rights during the bankruptcy process.

Abstract

Separate Creditors as Holders of Security Rights possess a preferential claim over the secured collateral. However, under bankruptcy law, their rights to execute and auction the collateral are subject to statutory limitations. In practice, Supreme Court Decision No. 521 K/Pdt.Sus-Pailit/2021 and Supreme Court Decision No. 527 K/Pdt.Sus-Pailit/2020 have provided divergent interpretations regarding the execution rights of Separate Creditors over their collateral once the debtor has been declared bankrupt. The core issues examined in this research are: (1) How legal certainty is afforded to the execution rights of Separate Creditors pursuant to Supreme Court Decisions No. 521 K/Pdt.Sus-Pailit/2021 and No. 527 K/Pdt.Sus-Pailit/2020; and (2) What legal consequences arise for Separate Creditors who fail to execute their collateral under Law No. 37 of 2004 concerning Bankruptcy and Suspension of Debt Payment Obligations (PKPU). This study employs normative legal research using a statutory approach and case-based analysis, focusing on judicial interpretations of bankruptcy decisions affecting the execution rights of Separate Creditors. The research relies on secondary data obtained through literature review and applies qualitative analytical methods. Separate Creditors are granted a two-month period following insolvency to initiate execution proceedings by filing a public auction request with the KPKNL, which is calculated from the commencement of the execution process not from the completion of the auction. Furthermore, the rights of Separate Creditors are not absolute, as they are constrained by a statutory stay period of 90 (ninety) days from the date the debtor is declared bankrupt. During this stay period, the Curator is entitled to demand that the collateral held by Separate Creditors be transferred to the Curator for sale either through public auction or private sale, under the supervision of the Supervisory Judge. It is therefore necessary to revise Law No. 37 of 2004 to clarify the scope of authority held by Separate Creditors in executing collateral, and to establish a digital oversight mechanism for curatorial functions to ensure transparency and accountability when collateral is handed over to the Curator for auction.

Abstract

Penelitian ini bertujuan untuk menganalisis kedudukan hukum Perjanjian Kerja Waktu Tertentu (PKWT) yang tidak dibuat dalam bentuk tertulis sebagaimana diatur dalam perundang-undangan ketenagakerjaan Indonesia. Ketiadaan kontrak tertulis menimbulkan persoalan mengenai keabsahan PKWT dan status hubungan kerja antara pekerja dan pemberi kerja. Melalui metode penelitian yuridis normatif dengan pendekatan perundang-undangan, pendekatan kasus, dan pendekatan konseptual, penelitian ini mengkaji Putusan Mahkamah Agung Nomor 3K/PDT.SUS-PHI/2025. Hasil penelitian menunjukkan bahwa PKWT yang tidak dibuat secara tertulis tidak memenuhi syarat formal sehingga hubungan kerja berubahipso juremenjadi Perjanjian Kerja Waktu Tidak Tertentu (PKWTT). Putusan Mahkamah Agung tersebut memperkuat perlindungan hukum bagi pekerja serta memberikan kepastian hukum dalam praktik ketenagakerjaan di Indonesia.

Abstract

Penelitian ini mengkaji secara mendalam perlindungan hukum terhadap hak normatif pekerja dengan status Perjanjian Kerja Waktu Tidak Tertentu (PKWTT) yang mengalami Pemutusan Hubungan Kerja (PHK) akibat perubahan kondisi usaha. Dalam praktik ketenagakerjaan, perubahan kondisi usaha sering dijadikan dasar oleh perusahaan untuk melakukan rasionalisasi tenaga kerja, namun pelaksanaannya kerap menimbulkan persoalan karena tidak jarang hak-hak dasar pekerja terabaikan. Situasi ini menunjukkan adanya ketegangan antara kepentingan pengusaha dalam menjaga keberlanjutan usaha dan kewajiban negara untuk menjamin terpenuhinya hak-hak normatif pekerja sesuai amanat konstitusi dan peraturan perundang-undangan. Penelitian ini menggunakan metode yuridis normatif dengan menelaah berbagai instrumen hukum positif, antara lain Undang-Undang Ketenagakerjaan, peraturan pelaksana, doktrin para ahli, serta putusan pengadilan yang relevan. Melalui pendekatan ini, penelitian berupaya mengidentifikasi batasan yuridis PHK berdasarkan perubahan kondisi usaha serta menilai sejauh mana mekanisme perlindungan normatif dapat memberikan kepastian dan keadilan bagi pekerja. Hasil penelitian menunjukkan bahwa PHK hanya dapat dibenarkan apabila dilakukan melalui prosedur yang sah, disertai pemberian kompensasi yang memenuhi standar minimum, dan tetap memperhatikan asas proporsionalitas serta keseimbangan dalam hubungan kerja. Apabila pengusaha melakukan PHK tanpa memenuhi syarat-syarat tersebut, tindakan tersebut berpotensi bertentangan dengan hukum positif dan dapat menimbulkan akibat hukum berupa kewajiban pemenuhan hak yang belum diberikan atau pembatalan PHK oleh lembaga penyelesaian perselisihan hubungan industrial. Dengan demikian, keberadaan perlindungan hukum terhadap hak normatif pekerja PKWTT menjadi instrumen penting untuk menjaga hubungan industrial yang adil sekaligus memastikan pekerja memperoleh kepastian dalam menghadapi perubahan kondisi usaha.

Abstract

Doktrin Business Judgement Rule menjadi penting karena memberikan ruang perlindungan hukum bagi direksi yang mengambil keputusan bisnis berdasarkan itikad baik, pertimbangan yang rasional, serta bebas dari konflik kepentingan. Penelitian ini bertujuan menelaah bagaimana prinsip tersebut diterapkan dalam praktik hukum perusahaan di Indonesia serta menilai kebutuhan pembaharuan pengaturannya, baik pada korporasi swasta maupun Badan Usaha Milik Negara. Penelitian menggunakan metode yuridis normatif dengan pendekatan perundang-undangan dan studi putusan, melalui analisis terhadap ketentuan dalam Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas, Undang-Undang Nomor 1 Tahun 2025 mengenai perubahan regulasi BUMN, serta beberapa putusan Mahkamah Agung yang relevan. Temuan penelitian menunjukkan bahwa prinsip BJR sesungguhnya telah tercermin secara implisit dalam Pasal 97 ayat (5) UUPT, meskipun penerapannya belum seragam akibat perbedaan penafsiran aparat penegak hukum terhadap unsur good faith dan due care. Oleh karena itu diperlukan aturan pelaksana yang lebih tegas untuk memastikan adanya parameter perlindungan yang konsisten bagi direksi, sehingga keputusan bisnis yang wajar tidak berubah menjadi dasar kriminalisasi. Penguatan penerapan BJR secara proporsional diyakini berpotensi mendorong tata kelola perusahaan yang lebih akuntabel, meningkatkan keberanian manajerial dalam pengambilan risiko yang terukur, serta menciptakan iklim usaha dan investasi yang lebih sehat di Indonesia.

Abstract

Background: Life insurance plays a crucial role in balancing financial protection and risk management, where pre-existing condition clauses function to maintain fairness between premium payments and actual risks borne by insurers. Specific Background: In Indonesia, the implementation of these clauses often triggers disputes due to inconsistent interpretations, lack of regulatory standardization, and low public literacy regarding insurance contracts. Knowledge Gap: Despite their importance, limited studies examine how effectively these clauses mitigate risk while maintaining legal certainty amid regulatory ambiguity and practical challenges in underwriting and proof. Aim: This study evaluates the effectiveness of pre-existing condition clauses as a risk-mitigation mechanism for Indonesian life insurance companies. Results: Findings show that these clauses prevent adverse selection, strengthen utmost good faith, and support accurate underwriting, though effectiveness is hindered by unclear definitions, uneven documentation, agent miscommunication, and difficulties in proving prior illnesses. Novelty: This research integrates legal, technical, and consumer-protection perspectives to identify systemic weaknesses that reduce clause enforceability. Implications: Strengthening regulatory standards, improving transparency, and enhancing underwriting systems are essential to reduce disputes and reinforce legal certainty in life insurance governance. Abstract

The background of this research is the challenge of fulfilling the 1% disability employment quota by private companies in Indonesia, in accordance with Law No. 8 of 2016 on Persons with Disabilities. Despite the regulations outlining this obligation, companies often face obstacles such as low legal awareness, social stigma, and a lack of disability-friendly infrastructure. This study employs a juridical-normative research method with statutory, conceptual, and analytical approaches to relevant regulations and their implementation practices. The findings show that although the government has made efforts to encourage companies to meet the disability quota through incentives and sanctions, consistent implementation remains limited. Strengthening oversight and increasing legal awareness are necessary to address these challenges. Additionally, applicable solutions include improving accessibility facilities and providing training programs for companies to better address the challenges of disability inclusion.

Abstract

General Background: Insider trading and weak information disclosure undermine market integrity and investor protection. Specific Background: In Indonesia, disclosure obligations under the Capital Market Law, OJK regulations, and IDX rules remain limited in timeliness, insider categorization, and enforcement compared to Singapore and the United States. Knowledge Gap: Existing studies have not systematically compared issuer compliance with disclosure principles across these jurisdictions to assess their effectiveness in preventing insider trading. Aims: This study analyzes Indonesia’s disclosure framework, compares it with Singapore and the U.S., and evaluates necessary reforms to enhance investor protection. Results: Findings show Indonesia’s two-day disclosure window, narrow insider definition, and predominantly administrative sanctions weaken deterrence, while Singapore’s immediate disclosure model and the U.S.’s broad misappropriation theory, real-time surveillance, and strong enforcement provide higher compliance and detection levels. Novelty: This research integrates doctrinal, conceptual, and comparative analyses to demonstrate how adopting broader insider definitions, accelerated disclosure, and technology-driven monitoring can strengthen Indonesia’s regulatory structure. Implications: Strengthening OJK–IDX integration, enhancing surveillance capacity, reforming insider trading provisions, and adopting international best practices are essential to improving market transparency and long-term investor confidence. Highlights: Indonesia’s disclosure rules remain slower and less comprehensive than Singapore and the U.S. Broader insider definitions and real-time surveillance improve detection and deterrence. Abstract

General Background: The rapid expansion of digital lending in Indonesia and Singapore reflects a broader transformation in financial technology that demands stronger regulatory safeguards. Specific Background: Despite regulatory efforts, Indonesia continues to face challenges of weak supervision, low industry compliance, and high exposure to illegal platforms, whereas Singapore has established a more structured and integrated regulatory model. Knowledge Gap: Comparative analyses examining both countries’ legal frameworks through the lens of Legal Development Theory remain limited, particularly regarding their effectiveness in ensuring consumer protection. Aims: This study analyzes and compares the legal protection mechanisms governing digital lending in Indonesia and Singapore while assessing their alignment with legal development principles. Results: Findings show Indonesia relies on POJK 40/2024, Consumer Protection Law, and Personal Data Protection Law, yet enforcement remains inconsistent; in contrast, Singapore’s Payment Services Act, CPFTA, PDPA, and MAS compliance-based supervision ensure stronger preventive regulation and more efficient dispute resolution. Novelty: This research integrates comparative regulatory analysis with Legal Development Theory to reveal differing developmental orientations of both jurisdictions. Implications: Strengthening supervisory capacity and enforcement is essential for Indonesia to build a safer, equitable, and innovation-supportive digital lending ecosystem. Highlights: Strong contrast exists between Indonesia’s fragmented enforcement and Singapore’s integrated MAS-led regulatory model. Singapore emphasizes preventive, risk-based oversight, while Indonesia remains largely reactive to emerging problems. Effective consumer protection hinges not only on regulation completeness but also on consistent supervision and institutional capacity. Abstract

General Background: The widespread adoption of outsourcing in Indonesia aims to enhance corporate flexibility and efficiency. Specific Background: Despite comprehensive regulation under UU 13/2003, UU 6/2023, and PP 35/2021, outsourced workers frequently experience violations of fundamental rights due to unclear allocation of legal responsibilities between outsourcing providers and user companies. Knowledge Gap: Existing Indonesian regulations place full liability solely on outsourcing companies, leaving limited legal remedies when providers fail to fulfil obligations, unlike countries applying joint liability. Aims: This study analyzes Indonesia’s legal framework on outsourced workers’ rights and compares it with the joint liability principles adopted in Spain and the Philippines. Results: Findings indicate that Indonesia’s system creates structural protection gaps, while Spain and the Philippines impose solidary responsibility on both provider and user companies, ensuring stronger enforcement of wages, social security, and working conditions. Novelty: This research provides a comparative legal perspective demonstrating how joint liability can operate as an equitable mechanism for outsourced worker protection. Implications: Adoption of joint liability in Indonesia could enhance legal certainty, prevent responsibility evasion, and strengthen workers’ access to remedies, offering a policy alternative for future legislative reform. Highlights: Indonesia’s current framework places full responsibility on outsourcing providers, creating protection gaps. Spain and the Philippines strengthen worker rights through solidary (joint) liability between providers and user companies. Joint liability offers a viable reform option to enhance fairness and legal certainty for outsourced workers in Indonesia.
