Abstract

The rapid expansion of the esports industry in Indonesia has not been accompanied by adequate legal certainty regarding employment relationships between athletes and teams, thereby creating opportunities for detrimental contractual practices, including freeze contracts that restrict athletes’ mobility and fundamental rights. This study aims to (1) identify forms of workers’ rights violations arising from the implementation of freeze contracts and (2) assess the adequacy of the existing regulatory framework—including PBESI Regulation Number 034/PB-ESI/B/VI/2021, the Sports Law, and the Manpower Law—in providing legal protection for esports athletes. This study employs a normative juridical method using statutory, conceptual, and case-based analytical approaches. The findings indicate that freeze contracts have the potential to violate the rights to freedom of employment, income security, and equality within the employment relationship. Moreover, the current regulatory framework does not specifically address employment protection for esports athletes. In conclusion, regulatory reform and strengthened contract oversight mechanisms are required to ensure effective and equitable legal protection for athletes.

Abstract

This study aims to analyze the effectiveness of Indonesia’s positive law in providing legal certainty and justice for the parties in resolving franchise disputes arising from breach of contract. The research uses a normative juridical method with a statutory and conceptual approach. The findings indicate that Indonesia’s legal framework on franchising has been comprehensively regulated under Government Regulation No. 42 of 2007, Minister of Trade Regulation No. 71 of 2019, and the Civil Code provisions. Normatively, these regulations have provided a foundation of legal certainty and protection for both franchisors and franchisees. However, the effectiveness of implementation remains limited due to the lack of administrative compliance among business actors, weak government supervision, and the inequality of bargaining power in standard contracts. Therefore, it is necessary to strengthen state supervision, enhance legal awareness among business actors, and enforce principles of justice and good faith in the execution of franchise agreements, so that the law not only ensures formal certainty but also achieves substantive justice for both parties.

Abstract

The objective of this journal study is to examine and analyze the safeguards for Secured Creditors regarding the enforcement of property guarantees following a bankruptcy ruling against the debtor. This research employs a normative legal approach, utilizing legislation, a conceptual perspective, and case studies. The findings indicate that the position of Secured Creditors in case number 527 K/Pdt. Sus-Pailit/2020 emphasizes that the right to execute on property guarantees remains intact, even with a 90-day suspension period post-bankruptcy decision. This suspension does not eliminate the preferential status concerning debt repayment. During this time, the curator is prohibited from selling or taking control of the collateral without the Secured Creditor's consent. Specific regulations are needed to protect Secured Creditors, ensuring that the execution of their property guarantees under suspension remains under their oversight, to promote fairness, legal certainty, and proportional protection of their rights during the bankruptcy process.

Abstract

Separate Creditors as Holders of Security Rights possess a preferential claim over the secured collateral. However, under bankruptcy law, their rights to execute and auction the collateral are subject to statutory limitations. In practice, Supreme Court Decision No. 521 K/Pdt.Sus-Pailit/2021 and Supreme Court Decision No. 527 K/Pdt.Sus-Pailit/2020 have provided divergent interpretations regarding the execution rights of Separate Creditors over their collateral once the debtor has been declared bankrupt. The core issues examined in this research are: (1) How legal certainty is afforded to the execution rights of Separate Creditors pursuant to Supreme Court Decisions No. 521 K/Pdt.Sus-Pailit/2021 and No. 527 K/Pdt.Sus-Pailit/2020; and (2) What legal consequences arise for Separate Creditors who fail to execute their collateral under Law No. 37 of 2004 concerning Bankruptcy and Suspension of Debt Payment Obligations (PKPU). This study employs normative legal research using a statutory approach and case-based analysis, focusing on judicial interpretations of bankruptcy decisions affecting the execution rights of Separate Creditors. The research relies on secondary data obtained through literature review and applies qualitative analytical methods. Separate Creditors are granted a two-month period following insolvency to initiate execution proceedings by filing a public auction request with the KPKNL, which is calculated from the commencement of the execution process not from the completion of the auction. Furthermore, the rights of Separate Creditors are not absolute, as they are constrained by a statutory stay period of 90 (ninety) days from the date the debtor is declared bankrupt. During this stay period, the Curator is entitled to demand that the collateral held by Separate Creditors be transferred to the Curator for sale either through public auction or private sale, under the supervision of the Supervisory Judge. It is therefore necessary to revise Law No. 37 of 2004 to clarify the scope of authority held by Separate Creditors in executing collateral, and to establish a digital oversight mechanism for curatorial functions to ensure transparency and accountability when collateral is handed over to the Curator for auction.

Abstract

Abstract

Abstract

Abstract

General background: Indonesia’s rapid economic growth has intensified business competition, particularly through the increasing use of digital marketing strategies. Specific background: This environment has contributed to the rise of black campaign practices, which not only damage business reputations but also cause substantial material and immaterial losses, while regulatory clarity remains limited. Knowledge gap: Existing studies rarely examine black campaigns as a form of unfair business competition within the framework of unlawful acts under Article 1365 of the Indonesian Civil Code. Aim: This study analyzes whether black campaign practices fulfill the elements of an unlawful act—namely the existence of an act, illegality, fault, losses, and causal relationship—thereby establishing grounds for civil liability. Results: The findings demonstrate that the characteristics of black campaigns, including the dissemination of misleading information and direct attacks on competitors’ products and branding, substantively satisfy all elements of Article 1365. Novelty: This research highlights that black campaign disputes should not be viewed solely through the lens of criminal liability under the ITE Law, but can be more effectively resolved through civil liability mechanisms that address actual economic harm. Implications: The study underscores the importance of adopting civil law remedies to protect business continuity, market fairness, and economic stability within the digital competition landscape. Highlights: Black campaign practices meet all elements of unlawful acts under Article 1365. Civil liability offers a more effective remedy than relying solely on the ITE Law. Digital competition increases reputational and economic risks for businesses. Keywords: Black Campaign, Unfair Business Competition, Unlawful Act, Civil Liability, Digital Marketing

Abstract

General Background: Good Corporate Governance (GCG) is essential for ensuring corporate integrity and preventing financial distress, particularly within State-Owned Enterprises (SOEs). Specific Background: Recent bankruptcy cases involving SOE subsidiaries reveal persistent weaknesses in transparency, accountability, and supervisory mechanisms, as exemplified by the collapse of PT Indofarma Global Medika (IGM). Knowledge Gap: Existing studies often assess fraud or GCG violations in isolation, lacking analysis that connects governance failures to legal and financial consequences within SOE parent–subsidiary structures. Aims: This study examines how suboptimal GCG implementation contributes to bankruptcy risks in SOE subsidiaries and evaluates the legal and managerial implications for parent entities. Results: Findings show that repeated fraud, inadequate risk management, and ineffective oversight created structural vulnerabilities that escalated into insolvency during the Suspension of Debt Payment Obligations process. Novelty: The research establishes a direct causal link between GCG failure and subsidiary bankruptcy within the specific legal framework governing SOEs, highlighting accountability gaps in parent–subsidiary governance. Implications: Strengthening GCG enforcement is critical to safeguard state assets, enhance supervisory effectiveness, and prevent future insolvencies in SOE corporate groups. Highlights: Suboptimal GCG implementation in SOE subsidiaries significantly increases bankruptcy risk. Parent–subsidiary governance gaps weaken supervision and allow fraud to recur. Strengthening risk management and accountability is crucial to protect state assets. Abstract

Background: Life insurance plays a crucial role in balancing financial protection and risk management, where pre-existing condition clauses function to maintain fairness between premium payments and actual risks borne by insurers. Specific Background: In Indonesia, the implementation of these clauses often triggers disputes due to inconsistent interpretations, lack of regulatory standardization, and low public literacy regarding insurance contracts. Knowledge Gap: Despite their importance, limited studies examine how effectively these clauses mitigate risk while maintaining legal certainty amid regulatory ambiguity and practical challenges in underwriting and proof. Aim: This study evaluates the effectiveness of pre-existing condition clauses as a risk-mitigation mechanism for Indonesian life insurance companies. Results: Findings show that these clauses prevent adverse selection, strengthen utmost good faith, and support accurate underwriting, though effectiveness is hindered by unclear definitions, uneven documentation, agent miscommunication, and difficulties in proving prior illnesses. Novelty: This research integrates legal, technical, and consumer-protection perspectives to identify systemic weaknesses that reduce clause enforceability. Implications: Strengthening regulatory standards, improving transparency, and enhancing underwriting systems are essential to reduce disputes and reinforce legal certainty in life insurance governance. Highlights: Evaluates how pre-existing condition clauses function as a core risk-mitigation tool in Indonesian life insurance. Highlights legal and practical challenges, including regulatory gaps, proof difficulties, and low insurance literacy. Recommends strengthening regulation, transparency, and underwriting systems to reduce disputes and enhance legal certainty.
