Abstract

This study aimed to analyze the financial performance of the subsidiary company (PT ABC) before and after acquired by the holding company (PT XYZ). The examined ratios of the financial performance were profitability and capital structure for the period of 2010-2014. This study utilized the t test tool. In the first and second year after the acquisition, the result shows that with the existence of business synergy, there was a change in financial performance although it was insignificant. Furthermore, in the third year, there was absolutely no change; however, in the fourth year, there was an insignifant change. The implications of this research indicates the motive or objective of the shareholders (K-State-owned Enterprises) in assigning the holding company (XYZ) to restructure the financial performance and improve capital structure of its subsidiary company (PT ABC) by conducting a business synergy has not been reached.Keywords: acquisition, financial performance, improved capital structure, business synergy and financial reports

Abstract

Analysis on the relationship between competitive position and efficiency with the focus on the Indonesian commercial banks is still very rare. On the other hand, the commercial banks contains banks have systemic impact when they have troubles. The objective of this analysis is to examine the direction of the relationship between competitive position and efficiency which has managerial and policy implications for the parties concerned. The relationship was evaluated using Granger-causality test, where previous studies for Indonesian banking sector did not use this test. The quarterly financial data of each bank sample, balanced sheet and profit/loss statement, were used to calculate the efficiency score and Lerner index. The data were taken from the website of Otoritas Jasa Keuangan (OJK). Lerner index was used as an indicator for competitive position of banks, and higher index means a stronger competitive position. A score calculated by data envelopment analysis (DEA) method is a measure for bank efficiency. Dynamic model is estimated by generalized method of moment (GMM) to address endogeneity and heteroscedasticity issues. The study found that there is a significant one-way positive relationship between efficiency and competitive position, and the causality runs from efficiency to competitive position. The policy implication in this finding is that regulators should avoid implementing a regulation, which is counterproductive in strengthening bank’s ability to compete in the market.Keywords: competitive position, DEA, efficiency, Granger-causality, pricing power

Abstract

There were differences in research results of several previous studies which examined the relationship between external sourcing and corporate financial performances. Those results indicated that external sourcing could have a positive, negative, or no effect on the financial performance of the company. There was numerous literature stated that external sourcing was a strategy to minimize costs which could reduce production and procurement costs, thus becoming a strategy considered by the top management to improve the company performance. This study analyzed the external sourcing effects on financial performance (ROA) of manufacturing company listed in Indonesia Stock Exchange (BEI). Total population of manufacturing companies listed in the Indonesia Stock Exchange from 2012-2016 was as many as 132 companies, but there were only 70 companies that met the criteria to be the object of the research. The manufacturing company used three industry sectors namely basic and chemical industry, consumer goods industry, and miscellaneous industry as the research objects. Using panel data regression, the research results indicated that external sourcing strategy had a significant and negative effect on ROA. Negative effects resulting from purchases on external parties (external sourcing) were caused by the high cost of sales exceeded the company revenue. Therefore, the company should pay attention to the level of purchases made, namely purchases to the third party on raw materials and goods in the process to have the level of purchases at an optimal point in order to generate profits for the company.Keywords: external sourcing, financial performance, panel data, manufacturing company

Abstract

Taxes are the main source of state revenue and become an important factor for the running of government and development of the country with the largest contribution coming from corporate income tax. Different objectives of business ownership result in different tax management. This study analyzes the characteristics of tax avoidance, determinants and influences on firm value in state-owned and private companies. This study uses secondary data sources in the form of quarterly company financial statements, company stock price reports, and other related data. Descriptive and panel data analysis were used to examine the sample in this study which includes non-financial companies that are continuously profitable and listed in the LQ45 index for the period February 2014 to July 2019. The results of the study explain that private companies are more dominant in tax avoidance conduct compared to State-Owned Enterprises (SOEs). The determinants that influence the tax avoidance of SOEs are ROA and firm size, whereas in private companies there are no determinants that have a significant effect. There is significant negative impact in State-owned companies from tax avoidance on the firm value, while private company does not have a significant effect. Abstract

Product System Service (PSS) was an excellent way to create new customer value under hyper-competition. Both product and service components were not used individually but in integrating product, service, and system and their valid combinations. This paper investigated the case study and was performed between June 2019 and April 2020. The is study aims to explore the introduction of the study's purpose of exploring the company was introducing the latest PSS model in its own " Energy Saving Company (ESCO) model" with its capitals in Indonesia. This new business model was able to tap potential business opportunities in the energy-saving industry. The study used these three methods – Soft System Methodology (SSM), General Morphological Analysis (GMA) & Business Model Canvas (BMC). In this paper, the authors performed SSM to reduce the gap that exists in the real world. GMA and BMC as other tools to ensure collaboration to form the new business model. The result showed that through PSS, the company could develop their own "ESCO model" under Energy Saving Agreement (ESA) or Energy Saving Performance Contract (ESPC), which was known as "saving back arrangement financing." By adopting PSS, the company could gain a competitive advantage since there was increasing demand for energy and limited supply in Indonesia; hence there was a vast, untapped opportunity in the energy-saving industry. Abstract

All ASEAN countries have achieved extraordinarily high growth rates in their history of economic development. They relied on new energy efficiency technologies to reduce their energy intensity while avoiding the rebound effect. Academics debate told that the rebound effect happened due to the false policies. Hence, the other strategy to stimulate increased energy efficiency in the economic sector is essential for government policy in overcoming resource constraints. This study used the logarithmic-mean Divisia index (LMDI) decomposition and KAYA identity to recognize the determinant factors of carbon emissions and rebound effect changes in ASEAN countries. This study also analyzed the factors behind the shift in ASEAN's carbon emissions and identified the differences between ASEAN member countries. The carbon emissions are decomposed into the population, GDP growth, energy intensity, and carbon intensity. One of the purposes of this paper advocated enhancing efficiency, notably in the energy efficiency sector's plan to encourage government measures. According to the research findings, substantial energy rebounds in Indonesia have revealed that energy efficiency gains in Indonesia may be related to the rebound effect. Indonesia sought to go in this direction, with the national energy policy aiming to lower energy efficiency by 1% each year to stimulate energy savings in all sectors. Abstract

The combined assurance model plays a pivotal role in integrating a company’s governance, risk, and compliance (GRC) processes. More than a decade after the South African financial market initiated the model through King III Report in 2009, the Indonesian financial market strived to adopt it in 2013. However, very few companies in Indonesia have reported its implementation. We hypothesized that institutional theory could explain the phenomenon. This comparative study thus used qualitative and quantitative approaches to analyze the adoption of the combined assurance model in South African and Indonesian markets. Qualitative content analysis was employed to interrogate the annual reports of 130 companies listed on the Johannesburg Stock Exchange and the Indonesia Stock Exchange to identify professions and their activities in implementing the model. Afterwards, an estimation model was built using binary logistic regression based on the identified variables. It was found that regulative and normative pillars were the most determining factors in implementing a combined assurance model. In addition, it was found that the integrated report approach and market capitalization were associated with model implementation. These findings can be the basis for state and professions (i.e., authorities, regulators, and standard-setting bodies), especially in Indonesia, to enhance the companies’ integrated GRC. Abstract

Background: Social enterprises (SEs) in Indonesia had increasingly played a significant role in addressing multidimensional societal challenges through innovative, community-based approaches. Despite this progress, their development remained constrained by the absence of a coherent legal and institutional framework.Purpose: This study aims to critically examine the extent to which Presidential Regulation No. 2 of 2022 on National Entrepreneurship Development supports the growth and institutional legitimacy of SEs in Indonesia.Design/methodology/approach: Employing a comparative interpretive approach, the study combines critical legal document analysis with qualitative data from in-depth interviews involving twenty SE practitioners across various regions and sectors.Findings/Result: The analysis reveals a significant policy–practice gap. While SEs are referenced in the regulation, the absence of operational definitions, hybrid legal forms, incentive structures, and ecosystem support limits their recognition and functionality. In contrast, SE practitioners operate in informal and adaptive ways, innovating within fragmented institutional contexts and often without formal policy guidance.Conclusion: The findings underscore the need for institutional innovation and the co-creation of legal and policy mechanisms that are reflective of the hybrid realities of SEs. The study proposes the establishment of a dedicated legal framework, the development of tailored incentives, and the strengthening of a collaborative SE ecosystem in Indonesia.Originality/value (State of the art): This research contributes to the global discourse on social enterprise and open innovation by providing context-specific insights from a non-Western setting. It highlights the need for adaptive, inclusive regulatory approaches that bridge the gap between policy narratives and field-level realities in SE development. Abstract

Corporate Environmental, Social, and Governance (ESG) has prominently emerged to address sustainability challenges. Despite the positive implications in the extant literature, corporate ESG performance was given less attention by small-medium enterprises (SMEs). Hence, this study aims to investigate corporate ESG performance in Indonesian public SMEs and its influence on firm value. The study was conducted on 17 non-financial SMEs consistently listed on IDX PEFINDO25 from 2016 to 2020. The study found a trend of the annual increase in corporate ESG performance of SMEs and disclosure. The detailed level of performance revealed governance performance was featured, followed by social and environmental performance. The regression analysis showed a significantly positive influence of corporate ESG on firm value. Following these positive influences, we suggest that SME managers amplify corporate ESG as a long-term business growth and value-creation strategy. In addition, investors are advised to consider SMEs with higher ESG performance as part of their investment portfolio. Keywords: corporate ESG, disclosure, firm value, SMEs, sustainability challenges

Abstract

Obsolete fashion is a potential market in Indonesia. The increasing trend of public consumption is utilized by Shukufukuu.Id to sell used fashion clothes. However, Shukufukuu.Id's revenue has stagnated. This research is designed to create alternative marketing strategies as a solution to the problem. The method of determining respondents in this study uses non-probability sampling with a convenience sampling technique. Research respondents were taken from potential consumer respondents totaling 33 people and Shukufukuu.Id respondents totaling 30 people. The analytical tool used in this research is the product elements (product), price, promotion, distribution channels (place), personalization, privacy, customer service, community, security, site, and sales promotion (4P+P2C2S3) marketing mix. The data in this study were analyzed using descriptive analysis and importance-performance analysis (IPA). The results showed that there are five variables with high expectations but have not met customer satisfaction, namely the diversity of clothing types, unique clothing models, clothing designs, free shipping promos on first purchases, and promos at the end of the month. Based on IPA calculations and the owner's view of the problems faced and solutions, alternative marketing strategies are designed in the form of increasing the variety of clothes sold, sales promotions that can increase customer satisfaction and brand awareness, and sales promotions that can change consumer behavior.
