Abstract

ABSTRACT   Legal liability to investors in the stock brokerage stock market is a relationship that is based on contractual relationships. There are responsibilities that must be carried by such broker to sell or buy action based on orders from investors. It is primarily a stockbroker more passive than active in its responsibilities to investors. However, there are actions that can be activated if there is a stock broker it really needed investors. The forms of action were not acting in good faith from a stock broker to the investor is informed not act properly on certain information effects, not informed and deliberate disregard of the use of investor funds were made ​​without the knowledge of investors stockbroker. Abstract

ABSTRACT   Arrangements Termination of Employment by reason of resigned of their own accord have been set in Article 162 of Law Number 13 of  2003 on labor, where in one of the verses that paragraph (3) sets the terms of PHK by reason of resignation in a way apply for resignation by  workers/labourers in writing no later than 30 days before the start date of resignation. Against the ruling of the PHI Number: 60/G/2012/PHI.Mdn stating PHK of the plaintiffs are characterized as Termination of Employment since the resignation of their own accord are contrary to Article 162 of Law Number. 13 of 2003 on Labor. Therefore, the decision of the Supreme Court the case Number. 37K/PDT.SUS/2013 quashed the verdict of the Court at the level of industrial relations and stated the Tribunal Judges of PHI had been wrong to apply the law and not paying close attention to disconnect the evidences in the matter, is in compliance with the provisions of applicable law. Abstract

ABSTRACT   State Owned Enterprises (SOE) is a business entity wholly or largely owned by the state capital through direct investments from sovereign wealth pengaturanya separated and regulated in Law No. 19 Year 2003 on SOEs and the Law No. 40 Year 2007 About the Company Limited. But there are many cases of failure by not executed a civil suit over the object of wealth owned by the Court was interpreting SOE’s property is state property that is subject to the law of the State Treasury. Regulation of Wealth Owned Enterprises as a form of wealth separated state regulated in Law Number 19 Year 2003 regarding SOEs and Law No. 40 of 2007 on Limited Liability Companies. Wealth Enterprises is the object Civil Lawsuit Case. When the state capital in the form of shares included in the Persero of wealth separated state, for the sake of intellectual property law becomes Persero. No longer the nation's wealth. This is based on Article 1 (1) and figure (2) jis Article 1 (10) and Article 4 paragraph (1) of state-owned enterprises, as well as Article 1 (1) in conjunction with Article 7, paragraph (7) letter a of Law PT also principles of law 'separate legal entity', wealth separated state and are included as capital assets Persero Persero. Consequently all the wealth obtained either through the inclusion of the country as well as those derived from business activities Persero, by law, a wealth Persero itself. Analysis of the Supreme Court delayed the execution of the provisions referring to Law. 1 of 2004 on State Treasury, Article 1 number 10, 11 and 50 then there is a conflict of laws (antinomie) the rule of law. This is an issue that the Supreme Court ruling execution can not be carried out above. To complete the 'antinomie' rule of law courts should use a "preference principle of law ', namely: (1) Lex superiority derogat legi inferiori (legislation higher higher level defeating legislation below), (2) Lex posteriori derogat legi priori (new legislation which beat the old legislation), and (3) Lex derogat legi generali specialist (special legislation defeated general legislation). There are several related attitudes 'antinomie', namely: (1) denial (disavowal), (2) reinterpretation, (3) revocation (invalidation), and (4) recovery (remedy).   Key Words: Execution, Civil Case, SOE Assets

Abstract

ABSTRACT The presence of foreign capital investment in Indonesia is very important and strategic in supporting the implementation of national development. Indonesia's national development requires enormous funding to be able to support the economic growth rate is expected. Funding needs are not only can be obtained from domestic funding sources, but also from abroad. It causes foreign investment becoming one of foreign funding sources that support the strategic national development, especially in the development of the real sector which in turn is expected to have an impact on the opening of the field work widely. The results showed that foreign nationals or foreign corporations can make purchases in the acquisition of shares in the company after the acquisition but not PMA, the PMA company is not required to form a limited liability company may be acquired and even then there will be restrictions on ownership of foreign citizens or foreign legal entity the company instead of the PMA and the PMA company is not turned into a PMA company, whereas for the control and supervision carried out gradually from the center by BKPM up to the provincial and district / city. Abstract

ABSTRACT The scope of the prohibition to attach exoneration clause in a standard agreement is not found in the Civil Code; it is found in Article 18, paragraph 1 of UUPK. The attachment of exoneration clause is contrary to the sense of righteousness if it is viewed from distributive fairness theory and to the principles of adequacy, harmony, fairness, and naturalness although it is in line with commutative righteousness theory. The inclination of seven judges’ verdicts does not directly consider exoneration clause but tends to see the validity of the contract according to Article 1320 of the Civil Code and Article 1338 of the Civil Code.It is recommended that Article 18, paragraph 1 of UUPK should be confirmed as exoneration clause or exoneration clause in its explanation. Besides that, the panel of judges should not be too rigid in interpreting righteousness and the principle of consensus; they should be open widely to interpret law from concrete occurrence, concerning the validity of a contract according to Article 1339 of the Civil Code. Abstract

ABSTRACT Legislation, which regulates the authority of prosecutors in prosecuting tipikor cases, does not give full authority to prosecutors as the only prosecuting institution although KPK (Corruption Eradication Committee) also has the authority to prosecute tipikor cases. The implementation of handling tipikor cases after the establishment of Tipikor Court of Justice, Banda Aceh, has the implication on the slowness of the bureaucratic process in the District Court, Kuala Simpang, for obtaining the license of arresting, confiscating, searching, and detaining; besides that, it is costly. Progressive efforts made are as follows: budget is increased, hearing schedule is united, some witnesses’ testimony is read before in the hearing, the cases are handled by the same judges, witnesses are examined simultaneously, the number of prosecutors is reduced, and returning the loss of the State is relatively small. It is recommended that the District Attorney’s Office carry out their authority in prosecuting tipikor cases neutral and unbiased. The government should establish Tipikor Court of Justice in every District/Town, and progressive efforts should be focused on the increase in budget. Abstract

ABSTRACT Escalation is a legal instrument for the contractor to submit a price adjustment in terms of increasing the cost of implementing the value of the work to the value of the work at the time the contract was agreed to form a multi-year contract unit price. In its application the government through a joint decision of the Minister of Finance and the Minister of Public Works in 2008 and in 2013, imposes an escalation of all the projects that will be or are in the stages of processing due to rising prices of raw materials kontsruksi as the impact of rising fuel. Legislation construction services do not define the limits and the escalation of force majeure. Restrictions state is necessary as a handle to gain a complete understanding of the escalation and force majeure. From these results it can be seen escalation may be filed if the service providers comply with the limits that state, the rising cost of execution of work, increasing the cost of implementing such work can not be predicted by the service provider when the contract was agreed, bound service providers complete the work, and service providers are able to complete work, while the force majeure may be submitted by service providers if they meet the restrictions that state, the incident involuntary service providers, events beyond the ability of service providers to complete the work, due to the events that led to losses for service users. Abstract

ABSTRACT Breach of contract is a true realm of civil law which should not be replaced by blaming someone else who did the breach of contract under criminal law but it must be based on the civil law.The offense of fraud should not be blamed on someone who did it for acts of breach of contract because it is the domain of criminal law. But in the court practice, a dilemma in law enforcement between which act is included in the category of breach of contract and which act is included in the category of offense of fraud in a contract frequently occur. The characteristic of breach of contract is seen from the negligence of somebody inimplementaing achievement in the good faith. While the element in the offense of fraud is exactly seen from the contrary namely from the element of intent not from the element of negligence. In the court of law, the practice of breach of contract and the offense of fraud. For the characteristics of breach of contract was released by the judge seen from the longstanding trade relationship in good faith. While the characteristics of the oiffense of fraud contained the element of intent in bad faith, benefiting themselves  or others,  not performing or avoiding obligations, containing the words of lie, and delaying for no obvious reason. Therefore, every individual, the parties or communities in making an agreement, especially police officers, prosecutors, advocates, and judges need to understand the characteristics of the difference between breach of contract and the offense of fraud. In the cases of agreement with the indication of breach of contract, the negligence of debtor in paying his debt must be proven first before the debtor can be accused for having breached a contract. Whilein the cases of agreement with the indication of the offense of fraud, the element of intent in bad faith must be proven first. Keywords: Agreement, Breach of Contract, Offense of Fraud

Abstract

ABSTRACT PT. Direct Vision applied a request for rejecting the execution on the Rulings of SIAC in 2010 because of the violation against public order. However, the Central Jakarta District Court and the Supreme Court refused the request for rejecting the execution on the ruling of SIAC in 2010 in Indonesia. Legal provision which regulates the rejection for the execution on the International Arbitration decision according to UUA, APS, and new York 1958 convention permits that the request can be filed to the Court in the petitioner’s country, but the cancelation can only be filed in the country where the decision is made. The main reason for the panel of judges to refuse the request for execution on SIAC decisions in 2010 was because PT. Ayunda Prima Mitra simultaneously filed a complaint about illegal action in the South Jakarta District Court against Astro Group Malaysia. It is recommended that UUA and APS should set the period of the International Arbitration registration, the reasons for rejecting the execution on the International Arbitration Decisions should not be mixed with the reasons for rejecting and canceling, and PT. Direct Vision should wait for the decision to execute from the South Jakarta District Court.   Keywords: International Arbitration, Public Order

Abstract

ABSTRACT Environmental standards important to get the attention of the national legal system . Legal arrangement of standardization environment ( eco-labeling ) is not specifically fit but still refers to the standardization of the environment that the fit within the framework of WTO agreements that have been ratified in Law No. 7 of 1994 in this case related to the environmental aspects of the Agreement on Technical barriers to Trade and the agreement on the Application of Sanitary and Phytosanitary Measures ( SPS ). Standardization of the environment within the framework of WTO trade agreements in the context of his position, the main purpose of the GATT / WTO is free trade. GATT / WTO is not an environmental protection agency and does not have a mandate on the environment, only in this case to prevent barriers to trade (TBT), which can lead to the dreaded proteknisme and trade discrimination, the WTO stipulates that environmental aspects should be included in the terms of trade, but of competence for coordination policy in this field is restricted trade policies, and therefore the framework of WTO trade agreement is not the proper forum to resolve environmental problems due to shortage of neutrality of this institution to balance trade and environmental policy. Standardize the application of WTO environment in an atmosphere of national law as it has been ratified by the Indonesian government with Law No. 7 of 1994 regarding TBT especially concerning standardization in member countries to reiterate that in this case Indonesia was required to adjust the rules and regulations perudang national regulation in the field of standardization. This agreement recognizes that the Member States in this regard should not be prevented Indonesia issued a regulation and establishes a minimum standard level to safeguard and environmental management in its application should not be any element of discrimination and should not create unnecessary obstacles to trade. Indonesia currently has Ekolable Indonesian Institute which is based on a single commitment that the sustainability of the environment.
