Abstract

A Trade Secret refers to knowledge or information that is not publicly accessible within the realms of technology and business, which holds economic significance due to its utility in commercial operations, and is carefully safeguarded by its proprietor. Such secrets receive legal protection upon the creation of the information, especially when it begins to influence economic activities. It is common for parties to insert confidentiality clauses into agreements to ensure that sensitive information remains undisclosed. Once included, compliance with the confidentiality terms becomes mandatory for all involved. This study examines the responsibilities of employees, bound by employment contracts, in preserving the confidentiality of trade secrets belonging to their employers. It also explores the legal consequences of employment contracts that omit confidentiality clauses and the overall legal protection afforded to owners of trade secrets under Indonesia's legal framework. The study adopts a normative legal research approach, relying primarily on secondary data sources. Using a descriptive analysis method, data was collected through the examination of documents. The findings reveal that employees are obligated to protect their employer's trade secrets, and the manner in which companies manage their confidential information greatly impacts employees' ability to uphold such secrecy. A key measure in protecting trade secrets is for employers to establish provisions in employment contracts with their staff. Without confidentiality clauses, the risk of sensitive information being leaked or misused by the recipient is significantly heightened.

Abstract

The existence of a counterclaim from a third party claiming ownership of the collateral is one of several challenges that are sometimes faced in implementing mortgage rights. The following analysis uses the case between PT. Bank Danamon Indonesia, Tbk with a third party (Henny Susanti, et al.) as the main discussion to examine the bank's rejection of the implementation of mortgage rights obtained by the third party. With this case analysis, it is hoped that the decision ratio used by the panel of judges can be studied in depth. This research uses legislative and case methods to provide normative and prescriptive legal research. The results of this research result in the conclusion that the regulation of the burden of third party land rights used as collateral for the bank's mortgage rights is equivalent to the burden of the collateral provided by the debtor. The bank can file a police report against the party who misuses the credit application process, and the bank can also file a civil lawsuit as a creditor with mortgage rights who has been harmed by the bank's negligence in determining the mortgage rights of a third party. In its legal analysis, the Panel of Judges at the Tangerang District Court prioritized formal elements. This does not apply to the Panel of Judges who have applied positive law correctly at the appeal, cassation and PK levels.

Abstract

Water Treatment Plant (WTP)companies experience dilemma between the obligation to provide healthy drinking water and the company's limitations in providing water infrastructure. This encourages state water companies to collaborate with the private sector to procure infrastructure. This study raises issues related to the concept of state control over water and its implications for cooperation schemes for drinking water supply, as well as the legal aspects of cooperation in the management of drinking water treatment plants. This study uses normative research method with statute and conceptual approach. The result shows that considering the status of state water companies are subject to public finance accountability, that parties must design and implement the cooperation with due care, that is the principles of good corporate governance. This principle remains difficult to implement as many challenges facing. Hence the more efforts and cooperation with associated stakeholders should be taken into account.

Abstract

The law gives great authority to directors so that directors have freedom in running the company in order to achieve the company's goals and objectives. For this reason, when running a company, directors are required to always be careful in making decisions. The principle of prudence is part of the board of directors' fiduciary duty which must be implemented by every member of the board of directors. This research is aimed at analyzing the limits of prudence of insurance company directors in placing investments in company funds, as well as the legal consequences and responsibilities of company directors for violating the precautionary principle by making the case of PT. ASABRI as an object of study. This research is descriptive normative legal research with a statutory approach and a case approach. Data sources were obtained from primary and secondary legal materials collected using literature study techniques and analyzed using qualitative analysis methods. The results of this research found and concluded that legislation does not regulate in detail the limits of the prudential principle of directors in managing investments. However, directors are required to prepare an investment management plan that reflects investment policies and strategies, through a careful and accountable risk analysis and feasibility study process. In the case of the decision of the directors of PT. ASABRI which resulted in losses to PT. ASABRI, can be qualified as an unlawful act because it violates the precautionary principle, which is indicated by the actions of the directors who knew and approved the placement of PT investment funds. ASABRI in a number of companies without going through a risk analysis process and feasibility study. As a result of this violation of the precautionary principle, the directors of PT. ASABRI is personally and jointly responsible for the company's losses.

Abstract

Binomo as a trading platform has claimed many victims, this happened with the presence of affiliates who also promoted large amounts of profits obtained in a short time. Indra Kenz as an influencer and affiliate has been named a suspect. It is necessary to study the forms of misleading promotion that cause consumer losses, the mechanism for compensation for losses by affiliates to consumers and the legal responsibility of affiliates who promote products that cause consumer losses. This research is normative research using a statutory approach and a conceptual approach. Data uses secondary data sources, consisting of primary, secondary and tertiary legal materials collected using library study techniques. The data analysis used is qualitative analysis. The research found and concluded that forms of misleading promotions that cause consumer losses include misleading promotions with evidence of success and the promise of large profits promised by affiliates. The mechanism for returning losses to victims of Binary Options crimes is by filing a lawsuit for compensation, both civil and UUPK. Legal liability by affiliates who promote products that cause consumer losses can be subject to sanctions as stated in Article 28 paragraph (1) in conjunction with Article 45A paragraph (1) of the ITE Law and Article 1365 of the Civil Code. If referring to Article 9 paragraph (1) letter k UUPK, then affiliates can be subject to sanctions in Article 62 paragraph (1) UUPK.

Abstract

The use of NDAs can certainly be employed as a preventive measure against the disclosure of trade secrets. An NDA is an agreement or contract used to protect a company's confidential information from being leaked. This research discusses the issue: What is the legal standing of NDAs in protecting a company's trade secrets from the perspective of Indonesian law? What are the legal consequences of NDAs between companies and employees regarding the protection of sales methods as trade secrets?This study uses a normative legal research method with a conceptual approach, a legislative approach, and an analytical approach. The research is descriptive in nature. The legal materials used include primary legal materials, namely Law of the Republic of Indonesia No. 30 of 2000 concerning Trade Secrets, and secondary legal materials.The results of this study indicate the urgency of creating NDAs between companies and employees in production or service sectors that regulate the boundaries of trade secrets prohibited from being disclosed to the public, thereby ensuring legal certainty between the parties. The impact of this will result in losses for the company and may lead to legal consequences in the form of civil sanctions causing compensation and criminal sanctions resulting in imprisonment and fines.Keywords: Legal Consequences, NDA, Company, Sales Methods, Secrets Trade.

Abstract

This study aimed to determine the impact of the ASEAN Economic Community (AEC) on the national shipping industry highly imbalanced with relevant business policies. The AEC agreement is also expected to positively affect the shipping industry while controlling domestic and competing in international activities. In this study, a normative method was used, with the collection of data carried out through literature studies. The Maritime Vision of Indonesia, which is the Policy Direction and Strategy for The Development of Marine Transportation, was also implemented to motivate the country toward becoming the World Maritime Axis. This emphasized becoming a developed, sovereign, independent, and strong maritime country, which was able to positively contribute to regional and global security and peace, according to national interests. Furthermore, the Marine Policy of Indonesia was prepared regarding the Development Vision of the country, as stated in Law Number 17 of 2007 concerning the National Long-Term Development Plan 2005-2025 and Law Number 32 of 2014 emphasizing Marine Affairs. The results showed that the implementation of ASSM (ASEAN Shipping Single Market) impacted the national shipping industry, due to increasingly open competition. Based on the AEC era, Indonesia should be internally and externally ready, for the effective and efficient prioritization of shipping transportation activities. The country should also be ready to compete nationally and internationally, specifically in sea transportation, as one of the important components of the national shipping sector.

Abstract

The sale and purcase agreement (PPJB) of land accompanied by a power of attorney to sell is frequently used as collateral in debt agreements. However, such a PPJB does not constitute valid legal collateral because it lacks executorial power and is susceptible to annulment by the court. This creates legal risk for creditors in the event of default by the debtor. Notaries must be held accountable for eansuring the accuracy and conformity of documents with actual conditions to prevent legal losses. Therefore, it is advi for creditors to use legally recognized forms of collateral, such a mortage risk (hak tanggungan), to ensure legal protection and debt repayment certanly. Legal protection for creditors can also be strenghened through fair contractual clauses and legal action in cases of default or unlawful condut.

Abstract

This study examines the problems in the preparation of circular decision deeds and General Meeting of Shareholders deeds by notaries, particularly related to the lack of notarial neutrality and the failure to incorporate the parties' intentions into the deed, which renders the deed invalid. Using normative legal research methods with qualitative analysis, this study analyzes several court decisions and concludes that in Decision Number 46/PDT.G/2023/PN CBI and 236/Pdt.G/2019/PN.Bdg jo its cassation decision, as well as Decision Number 141/Pdt.G/2018/PN Blb jo its appeal and cassation decisions, the notaries were proven to have committed unlawful acts based on Article 1365 of the Civil Code for violating the Notary Position Law, although the researcher considers the decision in the second case to be inappropriate because the notary had exercised his authority in accordance with regulations by incorporating the parties' intentions into the deed.

Abstract

An agreement arises from the mutual consent of two or more parties. This consent in formed through the meeting of an offer and an acceptance. For an agreement to be valid and binding, it must meet serveral conditions as sipulated in Article 1320 of the Indonesian Civil Code. However, it is posible for such consent to be flawed due to a defect of will (wilsgebreke). This research is a normative juridical study with a descriptive aproach. The case analyzed in Supreme Court Decision Number 2828 K/Pdt/2017 Concerns the nullification of notarial Deed Number 4 and Deed number 5 dated August 5,2015, wich where deemed legally invalid due to actions of one party and the involvement of the notary. This study found that the defect of will included deceit, fraud, and imbalance in the formation of the deed. The cancelation of a notarial deed nullifies its legal force, and thus renders the legal consequences of the agreement unenforceable.
