Abstract

ABSTRACT   Among the standars maintained by the regulation of the Minister of research technology and higher education number 44 year 2015 about the national standars of higher education, there is a standar to give guidance for the qualification and number of lecturers a study program should have in any university in Indonesia as it is written on chapter 27 verse 6, chapter 29 verse 3 and 4.  From the study, it was found that the standar remained the same throughout Indonesia for the number of lecturers which is at minimum 6 persons per program study. Meanwhile, the qualification for the lecturers teaching in Diploma 3 and Diploma 4 programs is any lecturer holding a Master degree or an applied Master degree whose specialty is in line to the study program. However, for the implementation of the regulation of the Minister of research technology and higher education number 44 year 2015 that says every study program must have at least 6 permanent lecturers was still not fulfilled in academicals universities and the lecturers’ qualification was still not met since they were mostly bachelor graduates. Finally, the regulation of the Minister of research technology and higher education number 44 year 2015 cannot be adopted fully in every region because there are some discrepancies in abilities between the universities in capital cities and in urban areas. It is suggested that the regulation of the Minister of research technology and higher education number 44 year 2015 is not totally applied in universities outside capital cities of provinces like the regencies of Toba Samosir and North Tapanuli. It is also necessary to set the time limit for the application of the regulations. It is highly recommended that academicals universities are given time and exception in applying the rules for the lecturers’ adequacy and qualification. Finally, the support from the central and local governments are highly expected to successfully run the programs set by the Minister of research technology and higher education number 44 year 2015.   Key words : lecturer, standar for adequacy and qualification , study program

Abstract

ABSTRACT In recent years, the Indonesian economy has shown difficulties as a result of the global economic crisis marked by declining stock prices of publicly traded companies. In response, The Financial Services Authority (OJK) has re-enacted Rule Number 2 / POJK.04 / 2013 concerning Buyback of Shares Issued by Issuers or Public Companies in Significant Market Fluctuation Conditions. With this regulation, companies whose share prices tend to decline significantly are allowed to buyback without having to hold a GMS in advance. By using the methods of normative legal research, this research will examine how the arrangements are based on the Company Law and the POJK in detail, then how exactly the GMS position is in the Shareholders of the Public Company in UUPT and POJK, and how the legal protections can be provided to the POJK related Public and Investor Company. Therefore requires special regulation as the implementing regulation which accomodated by Rule Number XI.B.2 intended for the holding of buyback when the market condition is normal, and POJK No. 2 / POJK.04 / 2013 which used if the market situation tends to fluctuate significantly as a result of the crisis. Furthermore, the position of the GMS in share buyback corporate action is abolished because the company needs to take efficient measures to make an urgent decision for the company. The abolition of such GMS pursuant to Article 4 of the POJK is replaced with an announcement containing the plan, proforma, methods, and analysis of the company's management regarding the influence of share buyback on business activities and growth of the company. Concerning the concept of legal protection against investors is not sufficiently regulated in the POJK because it has been regulated comprehensively in the OJK Regulation Number 1 / POJK.07 / 2013 on Consumer Protection of Financial Services Sector, thus the form of protection stipulated in the POJK is solely for issuers / public companies only. Abstract

ABSTRACT Separatist creditor is a holder of pawn, fiduciary collateral, hypothecation, or security right of other objects; he can execute his right as if there were no bankruptcy as it is stipulated in Article 55, paragraph (1) of Law No. 37/2004 on Bankruptcy and PKPU (Suspension of Debt Payment). This Article states that creditor can also request to PKPU which enables debtor to propose reconciliation for PKPU. However, in Article 228, paragraph (6) of Law No. 37/2004 on Bankruptcy and PKPU states that PKPU is not in effect for separatist creditor; the person in charge of determining debtor to get his right of PKPU is unsecured creditor, and it becomes one of the applicant’s propositions in requesting for Judicial Review of Law No. 37/2004 on Bankruptcy and PKPU on the 1945 Constitution. The result of the research showed that there werw inconsistencies  in the regulation of Law No. 37/2004 on Bankruptcy and PKPU, againts setting legal domicile separatist creditor in voting to determine reconciliation in PKPU. This legal uncertainty of separatist creditor’s voting rights in determining reconciliation can cause the loss of separatist creditor’s right and status; he will get the lowest compensation of the value of collateral as it is stipulated in Article149 and Article 281, paragraph (2) of Law No. 37/2004 on Bankruptcy and PKPU which will probably be potential for the existence of fictitious creditors and collusion in the reconciliation plan. The Ruling of the Panel of Judges of the Constitutional Court of the Republic of Indonesia No. 015/PUU-III/2005 is considered not accurate and not objective since it does not consider any negative potentials which can occur in bankruptcy case when separatist creditor does not have any legal domicile in the voting for reconciliation in PKPU.   Keywords: Separatist Creditor, Determining Reconciliation, PKPU (Suspension of Debt Payment)

Abstract

ABSTRACT The Financial Services Authority is expected to minimize the risks that may arise through regulating and overseeing activities in the banking sector, at least reminding the need for careful risk handling, even if it is necessary to prohibit banks from engaging in certain activities that tend to invite high risk to bank health the crisis on the financial system and banks is expected to detect early on the root of bank problems in assessing the soundness of banks, so as to better reflect the condition of the bank. The formulation of the problem in the thesis research is how the authority of the Financial Services Authority in granting licenses for the establishment of the bank. How is the institutional relationship between the Financial Services Authority and Bank Indonesia related to the Bank's soundness. How is the authority of the Financial Services Authority in overseeing the Bank Soundness.The type of research used is normative law and the nature of the research is descriptive. Data used are primary and secondary data, consisting of primary, secondary, and tertiary legal materials. Techniques and data collection tools were conducted by library study and field study by conducting interviews. Data analysis was done by qualitative analysis method.Under Article 7 of the Financial Services Authority Act, the Financial Services Authority declares that the Financial Services Authority has the authority to regulate and supervise the Bank's institutions which include licensing for establishment of a bank. In this Coordination Protocol as a forum for reconciliation between the Ministry of Finance, Bank Indonesia, the Financial Services Authority and the Deposit Insurance Corporation in a coordination forum called the Financial System Stability Committee (KSSK). Coordination in this committee is made if it is not possible to handle banking problems by the Financial Services Authority in relation to the settlement and handling of a failed bank that is suspected to have a systemic impact. The Financial Services Authority also requires the controlling shareholders or investors to increase the capital of the Systemic Bank and be able to convert the type of debt or investment to increase the capital of the systemic bank if faced with potential crisis. Abstract

ABSTRACT Implementation of corporate social responsibility by using good governance is done by one of the companies in Indonesia, namely PT. PERTAMINA EP RANTAU Kabupaten Aceh Tamiang. PT. PERTAMINA EP RANTAU Aceh Tamiang District manages business with ethical behavior with regard to people, profit and planet. Abstract

ABSTRACT   The existence of authority in filing an application for bankruptcy declaration for a centralized insurance company in one institution, namely the Minister of Finance which is then transferred to the Financial Services Authority increasingly makes the problem more complex related to legal protection for its customers. The absence of authority in submitting an application for bankruptcy statement to the insurance company will make the client feel insecure when investing in the insurance company. For insured users (insured or insurance customers), the bankruptcy process of a company is one way of debt collection, in addition to various other means of debt collection known by law, such as billing through a bond, the execution of debt guarantees, or bills through court procedures with ordinary procedures. There is a different interpretation between the law and the judge who decides the bankruptcy case of the company. The judge in his verdict states that the company declared bankrupt must be requested by another person or company concerned or the company that feels aggrieved whereas in the Insurance Insurance Act and the Laws of the Financial Services Authority itself states that the Financial Services Authority is authorized to bankrupt the insurance company as appropriate with the purpose of establishing its own Financial Services Authority to regulate and supervise the activities of financial services in the capital market sector. There is a difference of interpretation between judges and the law. It is important to do research on how the role of Financial Services Authority in applying for insolvency insurance company. Abstract

ABSTRACT Actio Pauliana granted as a protection to creditors for debtors that inflict a financial loss. Actio Pauliana is regulated on article 41 to article 50 of insolvency constitutional and PKPU. The real practice of Actio Pauliana took case on the submission of the head of Association House of Legacy Semarang as the curator. Based on verdict no. 02/PAILIT/2006/PN.Niaga.Smg jo 017K/N/2007 jo 018PK/Pdt.Sus/2007, The Panel of Judges repudiate the judicial review of BHP. The Panel of Judges Propositions was neither the evidence could prove the debtor’s bankruptcy nor the thrid party ascertains that the sales and purchases agreement will cause a financial loss for the creditors. However, the transactions between debtors and the thrid party effects on the diminished of the bankrupt assets, that leads to a financial loss for the creditor. This research is conducted to find out that Actio Pauliana could give law protection from curator to creditor, the circumscription of well-doing an unwell-doing debtors on their bankrutcy assets transfer, and the application of Actio Pauliana law by the Panel Judges according to verdict number 018PK/Pdt.Sus/2007. The result showed that Actio Pauliana legal action number: 018 PK/Pdt.Sus/2007 hasn’t granted protection to creditors. The repudiate verdict from panel judges cause an improbability of annulment of insolvency debtors and thrid parties law action, thus the insolvency assets stand still on the thrid party side and reduce the book price of the assets. This Panel Judge’s repudiate verdict as a final judgment  was taken because of lack of evidence from the curator. Meanwhile based on the fact of the case, insolvency assets sales and purchases agreement should be held within 1  year before the insolvency proceedings being announced, and this action is not compulsory for the debtors. Insolvency assets sales and purchases agreement agreed upon debtors and third parties are for lawer than the market price, affecting the diminished of insolvency assets that continuously cause a financial loss for another insolvency creditors. The absence of good will specification on the insolvency constitution. Insolvency constitutional and PKPU, is determined to be the cause of different perspective for the judges to finalize the judgement of Actio Pauliana submission.   Keywords : Insolvency, Actio Pauliana, Creditors

Abstract

ABSTRACT   Responsibility is related to violation against a regulation and an obligation which has to be carried out based on an agreement and a legal provision. A business person can specify certain requirements without consumers’ consent. In consequence, consumers do not have any authority or right to realize the agreement in legal correlation. The research used descriptive analytical method with juridical normative approach. The data were gathered by conducting library research and collecting references dealing with the research object which includes secondary data obtained and gathered from the library research. The gathered data were analyzed qualitatively. The responsibility of a business person for his employee’s error in the case in BPSK of Medan is not fully his responsibility because consumers are protected by Law No 8/1999 on Consumer Protection. In the case of an automobile, Honda CRV, sold and used without any defect, the business person is not responsible anymore. The Ruling of BPSK Medan which accepts the claim from consumers is considered unjust by the business person because the content of the legal consideration does not analyze the error of the employee who has committed criminal act in forgery and the data of the consumer, but the objection of the business person by presenting evidence and witnesses is not considered.   Keywords: Responsibility, Employee’s Action, Consumer’s Loss

Abstract

ABSTRACT In this study, the study was conducted at PT. The Bank of North Sumatra is linked with the planned appointment of thousands of TKAD’s to non permanent Non-Career Employees, resulting in 90 (Nineteen) TKAD’s not applying to new outsourcing companies considered to have resigned. As a result of the resignation, the TKAD is in accordance with the provisions in force at PT. Bank of North Sumatra and Cooperation Agreement on Manpower Services Delivery No. 01 / DKU-RT / SPj / 2014 dated January 28, 2014 between PT. Bank of North Sumatra with PT. Purna Karya Sejahtera was awarded "severance pay". However, the provision of severance and separation money is calculated as much as 65% of the Pension Plan (JHT) money from the Employment BPJS Program d/h Jamsostek, so the TKAD is not accepted and there are 9 (Nine) TKAD PT. Bank Sumut filed a Industrial Relations Dispute Lawsuit to the Industrial Relations Court at the Medan District Court demanding the payment of severance pay, gratuity and separation money from PT. Abstract

ABSTRACT Legal protection for minority shareholders in a public company is being so crucial because their interest is related to public interest. Moreover, the minority shareholders are always prone to be exploited by majority shareholders or Directors and Commissioners of the company, and they can do anything which harms minority shareholders. Besides that, weak protection for minority shareholders can have the impact on the development of capital market industry so that protection for them should be accommodated. This thesis discusses the problem of legal principles for the protection of minority shareholders in a public company, the norm of protection for minority shareholders in a public company on capital market field legislation, and inefficiencies in the protection.   Keywords : Legal Protection, Minority Shareholders, Public Company
