Abstract

This study aims to analyze the implementation of the Corporate Social Responsibility (CSR) program carried out by PT Perkebunan Nusantara III Medan on Micro, Small, and Medium Enterprises (MSMEs) in the surrounding area. CSR is a form of corporate social responsibility towards the community, focusing on local economic empowerment through support for MSMEs in this context. The research method employed is a descriptive qualitative approach, utilizing data collection techniques that include interviews, observation, and documentation. The results show that PT Perkebunan Nusantara III has implemented several CSR programs, such as providing business capital assistance, entrepreneurship training, and business assistance. However, the effectiveness of the programs still needs to be improved, especially in terms of program sustainability and evaluation of the impact on increasing the economic independence of MSME actors. In conclusion, the implementation of CSR by PT Perkebunan Nusantara III Medan has made a positive contribution to the development of local MSMEs, although there are still challenges in optimizing its implementation.

Abstract

ABSTRAKBackdoor Listing merupakan suatu mekanisme yang digunakan oleh perusahaan tertutup untuk menjadi perusahaan publik tanpa melalui tahapan penawaran umum perdana (Initial Public Offering/IPO) secara konvensional. Mekanisme ini pada umumnya dilakukan melalui pengambilalihan perusahaan terbuka yang sudah tercatat di bursa efek. Namun, praktik Backdoor Listing menimbulkan persoalan hukum, khususnya dalam hal keterbukaan informasi kepada publik dan investor. Hal ini menjadi perhatian serius karena perusahaan tertutup yang melakukan Backdoor Listing sering kali tidak mengikuti ketentuan keterbukaan yang diatur dalam proses IPO. Dalam skripsi ini, penulis menggunakan metode penelitian yuridis normatif dengan pendekatan studi kepustakaan dan studi kasus, serta didukung oleh data sekunder yang berasal dari bahan hukum primer, sekunder, dan tersier. Hingga saat ini, belum terdapat pengaturan khusus yang secara tegas mengatur mengenai Backdoor Listing dalam peraturan perundang-undangan pasar modal di Indonesia. Kekosongan pengaturan ini berdampak pada lemahnya perlindungan terhadap investor, khususnya dalam hal akses terhadap informasi yang memadai dan transparan. Oleh karena itu, diperlukan adanya regulasi yang jelas dan komprehensif mengenai mekanisme Backdoor Listing guna menjamin penerapan prinsip keterbukaan informasi sebagaimana diamanatkan dalam peraturan pasar modal. Selain itu, penting untuk diberlakukan sanksi yang tegas bagi perusahaan yang menyalahgunakan celah hukum dengan melanggar mekanisme IPO, serta mendorong perusahaan untuk menyediakan informasi yang lengkap, akurat, dan tepat waktu demi menciptakan pasar modal yang sehat dan adil bagi seluruh pihak.Kata kunci: Backdoor Listing, keterbukaan, perlindungan hukum, investor

Abstract

This study examines the legal issues regarding the sale of collateral objects that are not bound by a deed of debt recognition, where in Decision No. 2811 K/Pdt/2019 there is a deed of sale and purchase issued as a guarantee of the return of rights. Through the normative legal research method, it was found that the sale of collateral objects based on a power of attorney to sell when the credit is in default is only valid if the debtor is proven to be in default and there is an agreement of the parties in accordance with Article 20 paragraphs (2) and (3) of the UUHT, while the power of attorney to sell made when the credit is binding is invalid because it is contrary to Law No. 4 of 1996 concerning Mortgage Rights and results in the cancellation of the power of attorney by law

Abstract

A personal guarantor has special rights granted by law to protect themselves while fulfilling their obligations. However, in practice, these special rights are often waived, which has significant legal implications, especially in the context of debtor bankruptcy. This research aims to understand the position of a personal guarantor in situations where the debtor is bankrupt, analyze the legal protection for guarantors who waive their special rights in bankruptcy cases, and elaborate on the legal considerations of the Judicial Panel regarding guarantor protection in decision No. 24/Pdt.Sus-Gugatan Lain Lain/2021/PN. Niaga.Jkt.Pst. The method used is normative juridical with a descriptive nature, using a statutory and case approach. Data is obtained from secondary sources, including primary, secondary, and tertiary legal materials, through literature studies and field studies. The analysis is conducted qualitatively with deductive conclusion drawing. The results of the study show that personal guarantors are also considered debtors in the event of debtor bankruptcy, benefiting creditors in fulfilling their claims. Preventive legal protection is provided through comprehensive information, maximum guarantee limits, bankruptcy provisions, and the right of subrogation. Repressive legal protection is carried out through the filing of other lawsuits in commercial courts, as seen in Decision No. 24/Pdt.Sus-Gugatan Lain Lain/2021/PN.Niaga.Jkt.Pst. which granted the lawsuit of the personal guarantor.

Abstract

Merek merupakan barang bergerang yang memiliki nilai komersial yang sangat tinggi dan dapat dimanfaatkan sebagai sumber daya perdagangan dalam sebuah perusahaan. Merek memiliki hak kekayaan intelektual, merek dikategorikan sebagai hak milik mekanis. Pemilik merek mendapatkan jaminan hukum atas kebutuhan terbesar untuk mendaftarkan merek mereka, baik secara nasional maupun global. Metode yang digunakan adalah penelitian hukum normatif yaitu penelitian  yang bersifat deskriptif-analitis yang dengan mengkaji hukum yang di konsepkan sebagai norma atau kaidah yang berlaku dalam masyarakat yang bersumber dari library research dan field research dengan menganalisis putusan Nomor 325 K/Pdt/2019. Dalam Putusan Mahkamah Agung Nomor 325 K/Pdt/2019, kedudukan merek primagama sebagai objek perjanjian waralaba yang telah dinyatakan pailit, Petrus Arnold Catur Wibowo selaku penerima waralaba masih memiliki hak penuh untuk melakukan pengelolaan usaha dari primagama. Berdasarkan penelitian dapat disimpulkan kelanjutan perjanjian waralaba merek dagang primagama setelah dinyatakan pailit maka perjanjian waralaba antara Purdi E Chandra selaku pemberi waralaba (franchisor) dan Petrus Arnold Catur Wibowo sebagai penerima waralaba (franchusee) berakhir. Berakhirnya perjanjian waralaba Purdi E Chandra dan Petrus Arnold Catur Wibowo dikarenakan hak kepemilikan dan hak pengelolaan telah beralih terhadap pihak lain (H. Sunaryo Suhadi, Azhar Risyad Sunaryo, dan Adam Primaskara) selaku para pihak pemenang lelang pailit. Dan peralihan hak dan pengelolaan primagama terhadap pihak pemenang lelang pailit telah berkekuatan hukum tetap sebagaimana telah ditetapkan dalam Putusan Mahkamah Agung Nomor 325 K/Pdt/2019.

Abstract

Kasus RUPS-LB NV. Javasche Bioscoop en Bouw Maatschappy menjadi penting diteliti karena kompleksitasnya yang berkaitan dengan masalah pewarisan saham. Penelitian menggunakan metode yuridis normatif ini menyimpulkan bahwa klaim kepemilikan saham oleh para ahli waris memiliki dasar hukum yang kuat berdasarkan Surat Keterangan Ahli Waris, Penetapan Pengadilan, dan Akta No.62 tahun 1962, sedangkan penyelenggaraan RUPS-LB tanpa melibatkan seluruh pemegang saham dianggap sebagai perbuatan melawan hukum karena bertentangan dengan UU No. 40 Tahun 2007 sehingga keputusan likuidasi yang dihasilkan menjadi batal demi hukum dan membuka peluang tuntutan ganti rugi berdasarkan Pasal 1365 KUHPerdata.

Abstract

Financial literacy is an important part of financial sector consumer protection. With financial literacy, the community will be able to choose financial products and services that are appropriate to their needs and have the ability to do better financial planning. Data shows that housewives have low financial literacy and, hence, are vulnerable to fraud and scams. Fraud and suspicious fundraising activities are still prevalent in many cities all over Indonesia, including Medan. Training of financial literacy and the legal protection in investment for housewives were designed and implemented to help overcome this issue. The training took place in Medan Selayang and Medan Maimun Districts and aimed to improve housewives’ financial literacy, including on how to manage household money properly and safely so as not to get trapped in bad investment, as well as to educate them about the legal measures that can be taken if they become victims of fraud. The training was conducted using lecture method followed by discussion and consultation. The participants were provided pocket books that were designed to be easily read and understood. Questionnaires were also prepared to measure the knowledge of the participants before and after training. The result of the test shows that the participants’ financial literacy improved after the training.

Abstract

Indonesia currently has Law Number 11 of 2012 concerning the Criminal Justice System for Children (UU-SPPA) to provide protection for children who need special protection such as child offenders, victims and witnesses. In fact, the implementation of the UU-SPPA actually only focuses on children as perpetrators. This not only shows that justice for children is still not upright especially for children who are victims of sexual violence. This is evident from the findings of a study conducted in 2019 entitled "The Effectiveness of the Convention on the Rights of the Child Victims of Sexual Violence". This study found that although Indonesia already has 2 government regulations governing the fulfillment of victims of sexual violence in the form of compensation and or restitution, none of the decisions of the Medan District Court and Lubuk Pakam contain the rights of victims. The decisions of the Medan District Court and Lubuk Pakam throughout 2018 were oriented towards providing penalties for the perpetrators. The two Government Regulations which are guidelines for implementing the Law are (a) Government Regulation of the Republic of Indonesia Number 7 of 2018 concerning Provision of Compensation, Restitution and Assistance to Witnesses and Victims; and (b) Government Regulation of the Republic of Indonesia Number 43 Year 2017 Concerning Implementation of Restitution for Children Who Are Victims of Criminal Acts. These two Government Regulations are the basic ingredients for the implementation of the 2019 Mandatory Servant Lecturer service dedication. This situation is the basis of community service in two districts namely Medan Baru and Medan Sunggal. Law Enforcement Officials (APH) in this case the police and the community not only obtain new information about victims' rights but also increase their awareness to guarantee the rights of children victims of sexual violence are requested in legal proceedings for perpetrators. Furthermore, the Police and the community hope that the information on these two Government Regulations can be continued both by the Regional Government Organization (OPD) and other institutions such as the Civil Society Organization (CSO) in Medan.

Abstract

Notaries are one of the professions that are very close to crime in the capital market, because notaries have an important role for issuers so that notaries have inside information. Notaries are very vulnerable to inside trading crimes. This research uses normative legal research methods and empirical legal research. Therefore, the data used include primary data and secondary data. Data were collected using library research and field research using interview methods. Furthermore, the data were analyzed using qualitative data analysis methods. Notaries can be held accountable if the notary is proven to have misused material information, where the examination is carried out by the OJK as the party that oversees the capital market. Responsibilities that can be requested by a notary include criminal liability, namely a 10-year prison sentence and a fine of 15 billion rupiah and civil which can be prosecuted under Article 1365 of unlawful acts, besides that there are also administrative responsibilities and code of ethics responsibilities.

Abstract

A Trade Secret refers to knowledge or information that is not publicly accessible within the realms of technology and business, which holds economic significance due to its utility in commercial operations, and is carefully safeguarded by its proprietor. Such secrets receive legal protection upon the creation of the information, especially when it begins to influence economic activities. It is common for parties to insert confidentiality clauses into agreements to ensure that sensitive information remains undisclosed. Once included, compliance with the confidentiality terms becomes mandatory for all involved. This study examines the responsibilities of employees, bound by employment contracts, in preserving the confidentiality of trade secrets belonging to their employers. It also explores the legal consequences of employment contracts that omit confidentiality clauses and the overall legal protection afforded to owners of trade secrets under Indonesia's legal framework. The study adopts a normative legal research approach, relying primarily on secondary data sources. Using a descriptive analysis method, data was collected through the examination of documents. The findings reveal that employees are obligated to protect their employer's trade secrets, and the manner in which companies manage their confidential information greatly impacts employees' ability to uphold such secrecy. A key measure in protecting trade secrets is for employers to establish provisions in employment contracts with their staff. Without confidentiality clauses, the risk of sensitive information being leaked or misused by the recipient is significantly heightened.
