Abstract

The establishment of Danantara as a national investment management institution (sovereign wealth fund) based on Law Number 1 of 2025 is a strategic step in consolidating state-owned enterprises' assets and capital to support economic growth and public welfare. However, the implementation of Danantara faces various legal and governance issues, particularly related to the dual roles of public officials, restrictions on the authority of the Supreme Audit Agency (BPK), and potential structural conflicts of interest that weaken the principles of Good Corporate Governance (GCG). In addition, the regulation of the Business Judgment Rule (BJR) principle in this law poses its own challenges: on the one hand, it protects directors from criminalization of investments, but on the other hand, it has the potential to open loopholes for abuse of authority if it is not balanced with effective oversight mechanisms. This study uses a normative and prescriptive-analytical juridical approach, examining the synchronization of norms in Law 1/2025, Law 40/2007 on Limited Liability Companies, and the practice of applying BJR in BUMNs, such as the Pertamina BMG Block case, the Garuda Indonesia case, and PT PLN Batubara. The results of the study show that the implementation of BJR in BUMNs and Danantara is effective in preventing the criminalization of business decisions if the directors are able to prove the elements of good faith and duty of care. However, there are still weaknesses in the aspects of transparency, accountability, and independence of supervision, which have the potential to reduce public trust. Therefore, it is necessary to strengthen the role of independent audits, prohibit public officials from holding multiple positions, and implement compliance reporting-based supervision to ensure that the BJR principle is carried out in accordance with the corridor of law and business ethics.

Abstract

Penelitian ini mempunyai dua tujuan. Tujuan pertama agar memahami dan menganalisis kekosongan aturan mengenai Perwalian calon Prajurit TNI yang telah dewasa. Tujuan kedua adalah meneliti urgensi adanya aturan yang mengatur mengenai hal tersebut dari perspektif Kepastian Hukum. Sifat penelitian adalah penelitian hukum normatif. Jenis penelitian ialahpeneilitian kepustakaan. Bahan hukum dalam penelitian ini ialah data sekunder yang meliputi bahan hukum primer, sekunder, dan tersier. Alat pengumpulan data pada riset ini ialah studi kepustakaan. Analisa yang dipakai dalam penelitian ini adalah analisis kualitatif. Perolehan riset dan pembahasan memperlihatkan bahwasannya terdapat kekosongan aturan mengenai Perwalian bagi anak yang telah dewasa. Permintaan Penetapan Perwalian ini jadi suatu persyaratan yang wajib terpenuhi pada pendaftaran calon Prajurit TNI sesuai SKEP Panglima TNI nomor 57/II/2003. Aturan yang mengatur mengenai perwalian diperuntukkan untuk perwalian anak, bukan perwalian bagi orang dewasa. Kesimpulan penelitian adalah kekosongan aturan ini mengakibatkan adanya 2 kewenangan absolut yaitu antara Pengadilan Agama dan Pengadilan Negeri karena pada prakteknya Perwalian untuk pendaftaran calon Prajurit TNI tetap dapat diajukan melalui Pengadilan Negeri dan Pengadilan Agama. Mahkamah Agung perlu diluncurkannya SEMA (Surat Edaran Mahkamah Agung) tentang Perwalian bagi orang dewasaa agar tidak terjadi kekosongan hukum dan menciptakan keseragaman dalam proses penyelesaian perkara.

Abstract

The granting of amnesty and abolition in Indonesia is a presidential prerogative under Article 14 of the 1945 Constitution. Its practice has exhibited complex and diverse patterns throughout Indonesia’s political history, from the Soekarno era to the Prabowo Subianto administration. It has generated controversy regarding the rule of law, substantive justice, transparency, and the protection of victims’ rights. This study aims to analyze the practice of amnesty and abolition from historical and juridical perspectives, evaluate its implications for the principle of the rule of law, and identify potential abuses of presidential discretion. Methods include case studies, comparative juridical analysis, and review of legal documents such as presidential decrees, Article 14 of the 1945 Constitution, court decisions, BPUPKI minutes, and legal literature. The analysis was conducted using historical, normative, and descriptive argumentative approaches. The results show that political considerations often influence the practice of amnesty and abolition, can create a perception of legal uncertainty, and that the DPR plays only a formal role. Patterns of granting amnesties differ by era: political stabilization (Soekarno, Soeharto); political rights rehabilitation (Habibie, Abdurrahman Wahid/Gus Dur); peace integration (SBY); and individual justice and human rights considerations (Jokowi, Prabowo). This research proposes a legal bureaucratic framework to strengthen transparency, accountability, and substantive justice. In conclusion, amnesties and abolitions should be implemented with due regard for justice, transparency, legal certainty, and public oversight to prevent abuse of power and to maintain public trust in the legal system.

Abstract

Penelitian ini berangkat dari fakta meningkatnya undang-undang yang dibatalkan oleh Mahkamah Konstitusi (MK), yang menandakan masih lemahnya kualitas pembentukan peraturan perundang-undangan serta belum menyeluruhnya penerapan prinsip-prinsip konstitusional dalam proses legislasi. Tujuan penelitian ini adalah menganalisis peran MK dalam menjaga kesesuaian undang-undang dengan UUD melalui mekanisme pengujian serta mengidentifikasi kebutuhan pembentukan forum konsultasi konstitusional sebagai bentuk pengawasan preventif. Penelitian menggunakan metode hukum normatif-doktrinal dengan pendekatan peraturan, konsep, dan perbandingan untuk merumuskan model kewenangan konsultatif bagi MK. Hasil kajian menunjukkan bahwa mekanisme judicial review yang berlaku saat ini belum mampu mencegah cacat konstitusional sejak awal proses legislasi, sehingga diperlukan instrumen pemeriksaan konstitusional pada tahap pra-legislasi. Forum konsultasi memberikan ruang bagi MK untuk menyampaikan pandangan konstitusional secara objektif, meningkatkan efisiensi penyusunan undang-undang, dan menekan potensi pelanggaran konstitusi tanpa menyalahi prinsip pemisahan kekuasaan. Kesimpulannya, penguatan kewenangan MK melalui forum konsultatif merupakan langkah penting untuk meningkatkan kualitas legislasi nasional.

Abstract

This research aims to explore the role of Pancasila as the legal basis of the constitution and its influence in shaping legal principles and jurisprudence in Indonesia. Using the document analysis method, this research examines legal documents, including the constitution, laws, and court decisions, to understand how Pancasila values are integrated into national law. John Locke's theory of natural rights and social contract is applied as a theoretical framework to dissect and assess the role of Pancasila in the context of constitutional law. The research finds that Pancasila, with its universal principles, serves as a strong foundation for building a democratic and just legal system, which is in line with Locke's views on limited government and the protection of individual rights.

Abstract

Tulisan ini menguraikan bahwa dalam suatu Masyarakat hukum mempunyai peran penting sebagai sarana untuk mengubah Masyarakat. Terkait dengan tujuan tersebut maka hukum merupakan alat untuk merekayasa masyarakat agar masyarakat bertindak sesuai tujuan hukum dan dapat tercipta ketertiban. Roscoe Pound adalah salah satu tokoh yang menguraikan bahwa Law as a tool of sosial engineering, yang berarti hukum sebagai alat pembaharuan dalam Masyarakat. Di Indonesia konsep tersebut dikembangkan oleh Mochtar Kusumaatmaja yang lebih “suka” menggunakan istilah “sarana” daripada “alat” (tool) hal ini disesuaikan dengan kondisi di Indonesia. Pada kondisi demikian, hukum sebagai alat pembaharuan dalam masyarakat, dalam istilah ini hukum diharapkan dapat berperan merubah nilai-nilai sosial dalam Masyarakat.

Abstract

Introduction: The use of nominee accounts is an increasingly prevalent phenomenon in the practice of financial crimes, such as money laundering, tax evasion, and the financing of other criminal acts. The nominee account is basically used to disguise the identity of the actual beneficial owner, thus posing a serious challenge in the enforcement of criminal responsibility.Purposes of the Research: This study aims to analyze the concepts and foundations of legal philosophy, especially justice, legal certainty, and usefulness in the enforcement of criminal liability for the use of nominee accounts in Indonesia and Pakistan, as well as compare the positive legal arrangements that apply in the two countries.Methods of the Research: This research uses normative legal research methods with approaches to legal philosophy, legislation, and comparative law.Results Main Findings of the Research: The findings of the study show that philosophically, the enforcement of criminal liability against nominee accounts in Indonesia and Pakistan is based on efforts to realize substantive justice by penetrating the formalities of legal ownership to reveal the true beneficial owners. From the perspective of legal certainty, both Indonesia and Pakistan still face challenges due to the lack of an explicit and comprehensive regulation of nominee accounts, so law enforcement often relies on the interpretation of other criminal norms, such as money laundering and banking crimes. Meanwhile, from the aspect of utility, regulation and law enforcement of nominee accounts are directed to maintain financial system stability, prevent abuse of the banking system, and protect the interests of the community and the state. Legally positive, Indonesia regulates criminal liability related to nominee accounts indirectly through the Money Laundering Act, banking regulations, and policies related to beneficial ownership, while Pakistan regulates it through an anti-money laundering legal framework and financial sector regulations that emphasize ownership transparency and due diligence obligations. This comparison shows that although the two countries have similar normative approaches, the difference lies in the explicit level of regulation and effectiveness of their implementation. Therefore, it is necessary to strengthen the philosophical foundation and harmonize legal arrangements to ensure the enforcement of fair, definite, and beneficial criminal liability for the practice of using nominee accounts.

Abstract

AbstractThe aim of this study to develop conflict resolution options or alternatifve dispute resolution in the local-knowlegde perspective in woe community in Ngada. In the socio-cultural reality that local knowledge is plural. Diversity of local knowledge based on the local community cosmology. Conflict resolution is always directed towards harmony. With socio-legal approach was found that adat-land dispute resolution perspective on the local knowledge in Ngadhu- bhaga community oriented perspectives such. Dispute resolution pattern in the local knowledge perspectives begins in the family, if the conflict comes from inside relatives or clan. But, if the conflict is sourced from inter- community/relatives/clan, then the chairman of the indigenous, traditional elders, who called mosalaki consulted. Mosalaki role tailored to the competencies and their respective duties. The division of tasks/roles is done by itself, according to custom and personal awareness and recognized together. It is recommended that in the event of a conflict, especially indigenous lands, the functionaries traditional law, mosalaki given first before being taken to the formal justice institutions. If the decision of the mosalaki has been accepted and implemented, then taken to the legal system, the nebis in idem principles can be applied.AbstrakTujuan penulisan ini adalah untuk mengembangkan alternatif penyelesaian konflik atau sengketa melalui perspektif pengetahuan lokal di komunitas Woe di Ngada. Dalam kenyataan sosiokultural, pengetahuan lokal bersifat plural. Keberagaman pengetahuan lokal didasarkan atas kosmologi. Penyelesaian konflik diarahkan pada harmoni. Pendekatan sosio-legal menemukan bahwa perspektif yang berlaku dalam penyelesaian konflik di Ngadhubhaga merupakan penyelesaian yang berorientasi pada kehidupan komunitas. Pola penyelesaian sengketa bersumber dari keluarga apabila konflik berawal dari dalam kerabat atau klan. Namun apabila konflik merupakan sengketa antar-komunitas/kerabat/klan, maka pemimpin komunitas, tetua adat yang disebut mosalaki, bertindak selaku konsultan. Peran mosalaki bergantung pada kompetensi dan tugas-tugasnya. Pembagian tugas dilakukan oleh dirinya sendiri, bergantung pada kebiasaan, kesadaran pribadi, dan telah diketahui bersama-sama. Dalam sebuah konflik, terutama yang berkaitan dengan tanah adat, direkomendasikan untuk dapat diselesaikan terlebih dahulu oleh mosalaki sebelum menempuh jalur hukum nasional. Apabila keputusan yang diambil mosalaki dapat diterima dan diterapkan, bila selanjutnya diselesaikan melalui sistem hukum nasional, maka prinsip nebis in idem dapat diterapkan.
